o Stroke of the Carriage is increased from 726 mm to 1026 mm.
 Table and Trunnion
o With a positive stop to the underside of the table in the form of a toothed ring
with a wedge operated on a hydraulic cylinder to provide a positive stop every
degree.

TERMS & CONDITIONS:

The Following terms & conditions are applicable for our Techno-commercial offer.

1. Price :
The above equipment complete with assembly, partial testing and proving trials on our
shop. Price quoted is FOB Mumbai, including packing. It does not include any taxes, duties
or any other levies.

2. Taxes :
a. Taxes will be applicable as prevalent on the date of dispatch, and will be at actual to your
account. These taxes are to be charged to you extra at actual as per the prevailing Govt.
norms & regulations at the time of dispatch.
b. Packing – Included.

3. Freight :
a. Freight cost will be borne by customer.

4. Transit Insurance :
a. Included.

5. Payment Terms :
a. 50% advance along with the Purchase Order.
b. 40% at Pre Dispatch Inspection at FCL
c. 10% after installation & commissioning or within 60 days after installation whichever is
earlier.

6. Delivery :
12-14 weeks after Design Approval and receipt of 50% advance.
Delivery period considered form the date of receipt of your technically and commercially
clear order along with the advance. The delivery date will be reckoned against the latest
of the above date(s).

7. Validity :
This offer will be valid for 15 days from the date of quotation. Thereafter this will be
subject to our reconfirmation.

8. Force majeure :

 The delivery indicated is subjected to the usual force majeure conditions such as plant
breakdown, strikes, riots, natural calamities, lockout, changes in government regulations
and/or other factors beyond our control.

9. Warranty :
The warranty period will be 12 months from the date dispatch against any manufacturing
defects in the equipment or parts of equipment designed & manufactured by us. In the
event of the machinery of our manufacture or any parts there of proving defective during
warranty period by reason of defect as practicable. Under all circumstances our liability
arising out of any manufacturing defects/workmanship if any, will be restricted to the
value of replacement of parts etc., and not extended to any consequential damage. Our
warranty extend to the system provided by us and does not related to any other
machinery, related equipment which may be linked to the system. Warranty above said
will not be applicable if installation, commissioning and usage instruction are not properly
adhered to as per our guidelines instructions. This warranty does not cover any bought
out items unless extended to us by our suppliers, and also standard items as motors, gear
boxes, sprockets, chains, etc. which are being procured from outside.

10.Service Contract :
Beyond 12 months warranty period a comprehensive contract could be extended by the
customer to take care of the services of the equipment.

11.Testing & Trials :

Final tests and trials of the equipment will be conducted at our end, as feasible. Customer
to arrange for their products, packing consumables etc., to facilitate the tests /trials runs.
In case, we need to arrange the same, we shall do it accordingly and the actual expenses
as per supporting details to be borne by the customer.

12.Delay in off take / installation :

In case of any delay in lifting the material after its readiness the customer should pay
within 10 days of receipt of our final invoice. If any extra ware housing cost is incurred by
us to hold the material, the same will be charged on to you. Similarly if the installation
work cannot be undertaken because your site is not ready or the upstream equipment’s
have not been commissioned, payments against final bills will be released without any
restrictions, against our undertaking to do erection and commissioning at a later date,
when the site is ready.
Any delay in payments will attract interest charges on the bills @ 2% per month or part
thereof (to be computed from the 10 days of the date of invoice).

13.Others:
a. Materials/facilities such as electricity, compressed air, lubricants, to be ensured without
extra cost to us, at your works for facilitating installation and commissioning. Labor
required for handling, shifting, erection and commissioning etc. also to be provided by
you, without extra cost to us.

b. Grouting/foundation is envisaged for these lines systems. In case any civil works are
required, the same to be arranged by you. Electrical distribution and cabling up to the
equipment’s point to be done by you at your cost.
c. The buyer should give an undertaking in which he agrees and confirms that the design
and technical specifications of the system and/or the parts or elements of the system
shall remain at all times the property of `Forbes & Co. Ltd.’. The buyer further agrees that
at no time he shall duplicate or modify or make machine or part or component there of
same as or similar to the one supplied in the system by `Forbes & Co. Ltd.’

14.Erection, Commissioning and Trials :-

a. Customer has to give one week notice period to make necessary arrangements for
erection & commissioning.
b. Erection and commissioning will be extra. We will depute Skilled Technicians to complete
this job. All rigging and material movement will be done by you under our supervision.
c. Estimated time for installation & commissioning ~ 1~2 weeks.
