USUFRUCT AGREEMENT

WITNESSETH: THAT

WHEREAS, the FIRST PARTIES are the registered owners of the lots covered by TCT
_______________ located in___________with improvement covered by Tax Declaration
No. (“properties”), copies of the titles and tax declarations are attached herein as
Annexes A, B, C, and D, and made as integral parts hereof.

WHEREAS, the SECOND PARTY recognizes the ownership of the FIRST PARTIES of
the properties.

WHEREAS, the FIRST PARTIES desire to give to the SECOND PARTY the right
of usufruct over the said properties with the latter having the full right to the use and
enjoyment of the fruits of the property in return for his assuming the obligation to
preserve the property during the term of the usufruct.

NOW THEREFORE, for and in consideration of the mutual agreements,


covenants and stipulations hereinafter set forth, the FIRST PARTIES hereby transfers
and conveys unto SECOND PARTY the properties subject to the following:

1. This agreement shall be valid during the lifetime of all FIRST PARTY signatories,
unless sooner terminated by agreement amongst them.
2. The SECOND PARTY may use the properties only for legitimate business
purposes.
3. The SECOND PARTY may lease the subject property upon notice to FIRST
PARTIES, provided that the FIRST PARTIES shall not be liable for any matter
pertaining to the lease.
4. The SECOND PARTY undertakes to immediately vacate the properties upon
demand to vacate by FIRST PARTIES. However, the FIRST PARTIES shall
respect any existing lease on the property by the SECOND PARTY until
expiration.
5. This agreement is valid and binding between the parties, successors-in-interest
and assigns.
