MEMORANDUM AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:


This Memorandum of Agreement entered into by and between
_______________________________________________________ of legal age, Filipino,
married and presently residing at _____________________________________________,
hereinafter referred to as the “FIRST PARTY”.

-and-

DITO TELECOMMUNITY CORPORATION, represented by


JULIET V. TANGDOL, likewise of legal age, Filipino,
Married, resident of Purok 10 Laya West, Tabuk, Kalinga,
Herein referred to as the “SECOND PARTY”.

WITHNESSETH: THAT,

WHEREAS, the First Party is/are the lawful and absolute owner/s of a real property located
in

with a total area of _______________________ covered by OCT/TCT
No._______________;

WHEREAS, the second party are the duly constituted agents of DITO TELECOMMUNITY
CORPORATION, a new telecommunication corporation sanctioned by the proper authorities
to operate in the country;

WHEREAS, DITO TELECOMMUNICTY CORPORATION is now in the process of


building, among others, its transmission tower/cell site nationwide to provide effective
cellular/network services. The SECOND PARTY being the duly constituted agents of BRLL
Electronics and Network solutions, are tasked to find and locate real properties for the
purpose of building and constructing its cell sites to home its transmission tower for a period
of time.

WHEREAS, should the property offered for lease by the FIRST PARTY, be qualified and
approved as a Cell/Transmission Tower Site, a Contract of Lease or its equivalent instrument
shall be executed and the corresponding consideration, on time payment, be given through
Manager’s Check or be deposited in the Bank Account of the FIRST PARTY – PROPERTY
OF THE OWNER.

WHEREAS, a Thirty Percent (30%) of the ONE-TIME payment from DITO


TELECOMMUNITY CORPORATION to the FIRST PARTY will be deducted.

WHEREAS, the Thirty percent (30%) deduction shall cover the following:
Fifteen Percent (15%) for the facilitation and referral fee of BRLL Electronics and Network
Solutions.
Fifteen percent (15%) shall be given as an agent commission.
WHEREAS, the SECOND PARTY proposed to the FIRST PARTY the latter’s participation
by submitting his property, including pertinent and relevant documents, for evaluation and
determination by the Company whether the said property is feasible for construction and
erection of its transmission tower to which such offer, including to its terms, was accepted by
the FIRST PARTY- the real property owner.

WHEREAS, the parties herein agree to comply with their commitments. Failure on either
party to comply, the aggrieved party shall have the right to file a case in court to protect their
interests.

WHEREAS, the following Terms and Condition shall be complied with:


1. The contract of lease shall be a period of Thirty years (30 yrs.) renewable thereafter
upon mutual consent of the parties;
2. The Area covered by the contract of lease is TWO HUNDRED TWENTY-FIVE
square meter (225 sq.m.), a portion of OCT/TCT _____________________________;
3. The Selection and Determination of the TWO HUNDRED TWENTY-FIVE square
meter (225 sq.m.) area within the property subject of this agreement shall be agreed
upon by the parties in a separate document;
4. The Consideration or AMOUNT to be paid in lieu of the Lease within the duration of
this contract shall be ONE-TIME PAYMENT and to be paid through Manager’s
Check or be deposited directly to the Bank Account of the FIRST PARTY

NOW, THEREFORE: for and in consideration of the foregoing, the parties hereby execute
this Memorandum of Agreement.

AFFIDAVIT OF CONSENT

I,____________________________________ Filipino, of legal age, married/single and


presently residing at ______________________________________________ after having
duly sworn to in accordance with the law, hereby depose and states, THAT:

1. I am the same person executing this affidavit;

2. I am the lawful and absolute owner of the real property with an area of ___________
covered by OCT/CTC:_____________located at________________________.
Copy of the OCT/CTC is hereby attached.

3. On,________________________________________, I was offered by DITO


TELECOMMUNITY CORPORATION thru its agents for possible lease of the
portion of the above mentioned property to be use as a CELL/Transmission Tower
site;

4. After having explained to me the full legal significance of the project


CELL/Transmission tower site by the DITO TELECOMMUNITY
CORPORATION thru its agent, I hereby signify my written consent freely, willingly
and voluntarily to lease the aforementioned property for a period of Thirty years (30
yrs.) in favor of DITO TELECOMMUNITY CORPORATION to be reckoned from
the execution of the Lease of Contract and after the proper consideration of lease
contract have been paid.

5. I am executing this AFFIDAVIT OF CONSENT for the purpose of attesting the


veracity of the foregoing facts and circumstances and in support to whatever legal
purpose in lieu of the establishment of the CELL/Transmission tower site on the
aforementioned property.
