MEMORANDUM OF AGREEMENT

THIS AGREEMENT is made this____ day of __________________, 2017 by and between


___________________________________________, as represented by its president,
___________________________________________, with business address at

_________________________________________, Inc. as represented by its Manager,


_________________________________________ with business address at
__________________________________________________________.

WHEREAS, ___________________________________________ owns and operates


___________________________________________,a real estate brokerage firm with
brokers and agents under its name operating nationwide;

WHEREAS, _________________________________________ owns and operates


_________________________________________, a realty firm and developer of
________________________________ located in
________________________________;

WHEREAS, ___________________________________________ offers to


_________________________________________ its realty and brokerage services to
sell the herein-described project using the former’s brokers and agents as well as the
firm’s tools and technology to launch an effective sales and marketing campaign;

WHEREAS, _________________________________________ grants and authorizes


___________________________________________ to represent on their behalf to sell
and market the abovementioned project, and to solicit and present the same to its
prospective customers;

NOW, therefore, with the aspiration of both _________________________________________


and ___________________________________________ to leverage from each other’s capacity
and resources, the same have executed this MEMORANDUM OF AGREEMENT (“MOA”) for
their mutual benefit and cooperation, thus:

1. ___________________________________________ owned by
___________________________________________ or thru his agents is given the right
to market and sell as broker only for ________________________________ located at
________________________________.________________________________, being
the owner is fully responsible for the actions of his company, employees, and agents. In
furtherance thereof, ___________________________________________ shall undertake
the following:

a) Act as marketing consultation for the duration of this contract;


b) Campaign and the herein-described project with vigorous effort through
its online and offline networks;
c) Participate in exhibits, marketing and site manning organized by
developer;
d) Invest in sales and marketing blitz, as well organize and support focus
groups to market the said property;
e) Release commissions to all agents working for
___________________________________________;
f) Assist the buyers when processing and applying for their loan to any
financial institution;
g) Supervise the overall conduct of the marketing efforts.

2. _________________________________________ rewards
___________________________________________ and its agents and brokers the
amount of FIFTY THOUSAND PESOS (P50, 000.00) as incentive for every reservation
made by a customer through any of
___________________________________________’s agents and brokers. Said
incentive shall be given directly to PHILIPPINE ACCESS SALES NETWORK and the
closing agent on staggered payments for an agreed period of time which is non-
refundable however, deductible to the Total Contract Price. (Sharing: 80/20: 80% goes to
closing agent and 20% Realty)

3. ___________________________________________ shall be compensated in the


amount of FIVE PERCENT (5%) of the Total Contract Price net of FIFTY THOUSAND
PESOS (P50, 000.00) for every sale made through its agents and/or brokers. In relation
thereof, the commission shall be released in installment payments until receipt of
downpayment made by the client and Letter of Guarantee or its equivalent as proof of
loan approval will be received by the developer from either any bank or Pag-ibig. Should
client pay in full, commission shall be paid upon clearing of check or upon receipt of
cash.

4. Upon commencement of this engagement,

scheme designed and/or formulated
by___________________________________________ The agreement;

5. _________________________________________ shall assign an inhouse marketing


officer to entertain, facilitate and assist in closing a prospect brought by any of
___________________________________________’s agents and brokers as well to
focus on the marketing of the herein-described project;

6. _________________________________________ shall communicate immediately in


writing to ___________________________________________ for any price
adjustments related to the herein-mentioned property;

7. ___________________________________________ shall facilitate and assists in the


transaction between _________________________________________ and prospective
buyer and in furtherance thereof, shall undertake all necessary work, documents,
documentations to include the business with the prospective buyer;

8. Should a prospective buyer signify to terminate the services of


___________________________________________ due to failure of any the latter’s
agents, _________________________________________ shall compensate
___________________________________________ to the extent of what has been
actually done or perform right before the termination by the latter has been done;

9. This Agreement shall be effective as of the date set forth in the opening paragraph and a
test market shall be done immediately by
___________________________________________ for a period of two months to
evaluate the response of its prospective clients to the property and pricing. This
Agreement may be extended upon written notice by
_________________________________________, otherwise, the same shall be deemed
or considered terminated after the test market of two months;

10. Any amendment to or revision of this MOA shall be made in writing and shall take effect
on such date agreed by both ___________________________________________ and
