DEED OF SALE

KNOWN ALL MEN BY THIS PRESENT

This DEED OF SALE is made, executed, and entered between:

        NESTOR M. SARMIENTO, of legal age, Filipino, and married to TERESITA

P. SARMIENTO, and with residence and postal address at BALUBAD, PORAC,
PAMPANGA, hereinafter referred to as the SELLER.

AND

       GERTRUDES R. SARMIENTO, legal of age, Filipino, and with residence

and postal address at PUROK 6 B.S AQUINO ST. BALUBAD, PORAC,
PAMPANGA, hereinafter referred to as the BUYER.

WITNESSETH;

       WHEREAS, the SELLER is the registered owner of a parcel of land with

improvements located at BALUBAD, PORAC, PAMPANGA) and covered by
Transfer Certificate of Title No. 354942-B containing a total area of (TWO
HUNDRED NINETY SQUARE METERS) (290) SQUARE METERS, more or
less, and more particularly described as follows:

TRANSFER CERTIFICATE OF TITLE NO.354942-B

       "A parcel of land (lot 467-B-8 of the subd. plan., Psd-035415-057588 being a
portion of lot 467-B, Psd-44403, LRC Rec No.), situated in the Barangay of
Balubad, Municipal of Porac, Province of Pampanga. Bounded on the NE., along
line 1-2 by lot 466 Cad. 156, Porac Cad.; on the SE., along line 2-3 by lot 467-B-
9; on the SW., along line 3-4 by Lot 467-B-7 all of the subd. plan.; along line 4-5
by lot 467-B-3; on the NW.; along line 4-1 by lot 467-B-7 all of the subd. Plan.;
beg. at a pt. marked “1” on plan being S. 62 deg. 27’E., 326.80 m. fromBBM #
15. Cad. 156, Porac Cad.; thence S.54 deg.44’E., 14.74 m. to pt. 2;thence S.35
deg.28’W., 25.76 m. to pt. 3;thence N. 54 deg.43’W., 5.52 m. to pt. 4;thence N.

       WHEREAS, the BUYER has offered to buy and the SELLER has agreed to
sell the above mentioned property for the amount of (THREE HUNDRED FIFTY
THOUSAND) (P 350,000.00) Philippine Currency;

       NOW THEREFORE, for and in consideration of the sum of THREE

HUNDRED FIFTY THOUSAND (P 350,000.00) Philippine Currency, hand paid
by the vendee to the vendor, the SELLER DO HEREBY SELL, TRANSFER, and
CONVEY by way of Sale unto the said BUYER, his heirs and assigns, the certain
parcel of land together with all the improvements found thereon, free from all
liens and encumbrances of whatever nature including real estate taxes as of the
date of this sale.
