MEMORANDUM OF UNDERSTANDING

This Memorandum of Understanding (MoU) entered into amongst:

UAP DEL PILAR – BULACAN CHAPTER, a non-government organization duly recognized
by the United Architects of the Philippines as UAP CHAPTER No. 00141, with headquarters address at
Lot 2 Block 12 Villarica Country Homes, Brgy. Patubig, Marilao, Bulacan herein represented
by IMELDA M. TRANCE, Chapter President, F.Y. 2021-2022, hereinafter referred to as DONOR.

and

Bagna Elementary School with address at Barangay Bagna, City of Malolos, Bulacan
represented by School Head - Teacher III, ANA MELISSA C. MAHINAY, hereinafter referred to as DONEE.

This Memorandum of Understanding identifies the commitment of UAP DEL PILAR-BULACAN CHAPTER
dedicated to helping Bagna Elementary School reach its goal to ensure the learners will reach their full potential
by improving the public education system/amenities;

ARTICLE 1: THE PURPOSE

The purpose of this MoU is to provide the framework for cooperation and coordination of UAP DEL PILAR-
BULACAN CHAPTER and Bagna Elementary School in relation to the evaluation, analysis,
recommendation, design, funding, implementation, and final inspection of the Rainwater Collection
System at Brgy. Bagna, City of Malolos, Bulacan.

ARTICLE 2: THE COORDINATION

To facilitate this collaboration, the DONOR and DONEE agree to jointly promote their participation in this
initiative, by fulfilling the undertaking specified below:

ARTICLE 3: ROLES AND RESPONSIBILITY OF BAGNA ELEMENTARY SCHOOL

3.1 Provide necessary information that will help in the full implementation of the project;
3.2 Receive the evaluation, analysis, recommendation, design, and funding for the rainwater collection
system;
3.3 Oversee and ensure the construction of the project by using the appropriated funds with the use and
implementation of the design provided by UAP DEL PILAR-BULACAN CHAPTER, for the sole purpose of the
construction of the proposed rainwater collection system;

ARTICLE 4: ROLES AND RESPONSIBILITY OF UAP DEL PILAR-BULACAN CHAPTER

4.1 Perform an ocular inspection at Bagna Elementary School that will determine the condition of the site;
4.2 Provide analysis, evaluation, appropriate conceptual design, estimate, and recommendation for the
rainwater collection system;
4.3 Plan, design, working drawings, perspective, and bill of quantities for the proposed rainwater collection
system must be built and used solely for the inspected site;
4.4 Appropriation of funds and donations by UAP DEL PILAR-BULACAN CHAPTER, giving relevance to the
importance of architecture in the service of improving the public education system and amenities for
Bagna Elementary School through their GREEN ARCHITECTURE PROJECT entitled ULAN: BIYAYA NG
KALIKASAN, GAWING KAPAKI-PAKINABANG;
4.5 Provide final inspection of the said project at Bagna Elementary School to commence its use;

5. 1 Non-Waiver. The failure of either party to enforce any provision of this Understanding shall not be
construed as a waiver or limitation of that party’s right to subsequently enforce and compel strict
compliance with every provision of this MoU.
5. 2 Force Majeure. In the event of non-fulfillment of the contract terms and conditions by reason of force
majeure namely fires, wars, riots, strikes, natural calamities, etc, neither UAP DEL PILAR-BULACAN nor
Bagna Elementary School shall be held responsible for any loss or consequential loss.
5.3 Indemnity. The Parties hereby agree, where allowed under pertinent and relevant legislation to their
respective agencies jointly and severally, to indemnify their representatives, administrators, and
properties from and against all actions, demands, proceedings, prosecutions, attachments, and the like
arising out of its liabilities and all charges, etc.
5.4 Collaboration Understanding – For the avoidance of doubt, UAP Del Pilar-Bulacan Chapter, and Bagna
Elementary School, confirm that this MoU is intended to set out the terms of a collaborative arrangement
between them for the specific and limited purposes set forth herein.

All signatories hereto acknowledge that they have read the foregoing MoU and their signatures certify
that they have full and complete authority to execute this document.
In WITNESS WHEREOF, the duly representatives of DONOR and DONEE hereby affix their signatures this
