EXCLUSIVITY AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This AGREEMENT is hereby executed and entered into by and between:

KAI HAULING SERVICES INC (VDR GROUP OF COMPANIES)

, a corporation duly organized and existing by virtue of the
laws of the Republic of the Philippines, with office address
at ___________________________________, represented
herein by its CEO, VICTOR DEL ROSARIO JR. , as evidenced
by a Secretary’s Certificate hereto attached as Annex “A”
hereinafter referred to as the KAI HAULING);

MR. ARNEL R. CALUYA, with postal address

(LESSOR and CONSULTANT shall be collectively known as

PARTIES.)

WITNESSETH, THAT:

WHEREAS KAI HAULING is the owner and lessor of thirty (30) dump trucks
located in ___________________________________ and MR. ARNEL R. CALUYA is
engage in the business of sourcing clients for various businesses;

WHEREAS, KAI HAULING has contracted the services of MR. ARNEL R. CALUYA
who has agreed to contribute his expertise, technical know-how and secure for KAI
HAULING, certain lease contract(s) for a period of thirty-six (36) month(s).

NOW, THEREFORE, the Parties agree as follows:

EXCLUSIVITY AGREEMENT:

1. The parties agree that POLYSTARWORLD-WIDE SERVICES INC. shall be an

exclusive client/ referral of MR. ARNEL R. CALUYA for the next fifteen (15) years,
from the effectivity of this agreement.

2. KAI HAULING or any of its affiliate companies/ entities under VDR group of
companies, likewise agree, not to directly engage or transact with
POLYSTARWORLD-WIDE SERVICES INC involving any new business ventures or
contracts that pertain to the lease, rental or sale of dump trucks and/or other
heavy equipment, without the consent and involvement of MR. ARNEL R.
CALUYA, as its’ exclusive agent, for the next fifteen (15) years from the effectivity
of this agreement.

 a. EFFECTIVITY:

1. This agreement shall take effect after KAI HAULING signed the lease contract(s)
with POLYSTARWORLD- WIDE SERVICES INC. on or before __________________,
and shall remain effective and valid within fifteen (15) years from signing of this
agreement.

IN WITNESS WHEREOF, the PARTIES have hereunto set their hands on the date
and at the place first above written.,

this page whereon this Acknowledgment is written, signed by the parties and their
