MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This MEMORANDUM OF AGREEMENT is made and executed by and between,

STI WEST NEGROS UNIVERSITY(STIWNU), an educational institution of higher

learning with its principal office at Burgos Street, Bacolod City, Philippines, duly represented by
its Executive Vice President, DR. RYAN MARK S. MOLINA, of legal age, married and a
resident of Bacolod City, Philippines herein referred to as the FIRST PARTY;

And

TERRA NOVA POOL AND CLUB HOUSE represented by Association President

DALILAH LOPEZ AGUILAR of legal age, Filipino, with postal address at Terra Nova
Homeowners Association, Bacolod City, hereinafter called as SECOND PARTY;

WHEREAS, the FIRST PARTY offers educational programs, including those that
require practical training in swimming and related activities;

WHEREAS, the SECOND PARTY is the owner and operator of Terra Nova Pool and
Club House, a facility equipped with swimming pools, related amenities, and services suitable
for the practical training of students;

NOW, THEREFORE, for and in consideration of the mutual covenants contained

herein, the FIRST PARTY and the SECOND PARTY, collectively referred to as the "Parties,"
agree as follows:
ARTICLE I
USE OF TERRA NOVA POOL AND CLUB HOUSE

1. The SECOND PARTY grants the FIRST PARTY permission to use the Safety and Survival
training to the students enrolled in B.S. Criminology program.

2. The use of the Terra Nova Pool and Club House shall be limited to the practical training
mentioned in the preceding paragraph and related activities necessary for the educational
programs of the College of Criminal Justice Education. It shall not be used for any other purpose
without the explicit consent of the SECOND PARTY.

3. The duration of each use of Terra Nova Pool and Club House shall be agreed upon in advance
between the FIRST PARTY and the SECOND PARTY. The parties shall establish a schedule
for such use and shall mutually coordinate on any changes to the schedule.

ARTICLE II
OBLIGATIONS OF THE PARTIES

A. Obligations of the FIRST PARTY:

1. The FIRST PARTY shall ensure the conduct of practical training in a manner that does not
disrupt the normal operations of Terra Nova Pool and Club House and complies with all safety
regulations.

2. The FIRST PARTY shall designate a qualified instructor who possesses the necessary
certifications for water safety and lifeguard duties.
3. The FIRST PARTY shall be responsible for providing the necessary equipment and materials
for the practical training, including life-saving equipment, first aid supplies, and any other
materials required for the safety of the students.

 B. Obligations of the SECOND PARTY:

1. The SECOND PARTY shall provide access to the Terra Nova Pool and Club House facilities
during the agreed schedules and ensure that the facilities are well-maintained, clean, and safe for
use of the students.

2. The SECOND PARTY shall designate a coordinator to closely communicate with the FIRST
PARTY regarding scheduling and any other matters related to the training particularly on the use
of Terra Nova Pool and Club House.

ARTICLE III
INDEMNITY AND LIABILITY

1. The FIRST PARTY shall be liable for any injuries and damages caused by its students during
the practical training. The SECOND PARTY shall not be held responsible for any such injuries
or damages.

2. The FIRST PARTY shall maintain insurance coverage to protect against liabilities related to
the use of Terra Nova Pool and Club House.

3. Both Parties shall cooperate in addressing any safety concerns and promptly notify each other
of any incidents or accidents that occur during the use of Terra Nova Pool and Club House.

ARTICLE IV
TERMINATION

1. Either Party may terminate this Agreement by providing written notice to the other Party at
least thirty (30) days in advance.

2. In the event of termination, the FIRST PARTY shall promptly vacate Terra Nova Pool and
Club House and return it to the SECOND PARTY in the same condition as when it was first
provided.

ARTICLE V
CONFIDENTIALITY

1. Both Parties agree to maintain the confidentiality of any non-public information disclosed
during the term of this Agreement.

ARTICLE VI
ENTIRE AGREEMENT

1. This Agreement constitutes the entire understanding between the Parties and supersedes all
prior agreements or understandings, whether written or oral.

ARTICLE VII
AMENDMENTS

1. This Agreement may only be amended in writing and signed by both Parties.
