(the First Party and the Second Party hereinafter referred to collectively as the

"Parties" and individually as the “Party”)

RECITALS: ‫التمهيد‬

industries including maintenance, repair, and overhaul of aircraft, ;‫واملكونات‬
engines, and components;

B WHEREAS, the Second Party is a company specialized in providing ‫ و تخــزين‬،‫حيث أن الطــرف الثــاني شــركة تختص في تقــديم خــدمات الشحن الــوارد‬ .‫ب‬
Freight-Imports, Materials Storage, Customs Clearance, Warehouse ‫ و تقــديم الخــدمات الوجستية و‬،‫ و إدارة املستودعات‬،‫ و التخليص الجمركي‬،‫املواد‬
Management, and Logistics Services and has wide experience and ;‫لديها الخبرة والقدرة الكافية لتقديم الخدمات املطلوبة من الطرف األول‬
ability to provide the Services requested by the First Party;

C WHEREAS, the Second Party will offer the service during the Term, as ( ‫حيث أن الطرف الثاني سيقدم الخـدمات خالل مـدة االتفاقيـة وفًق ا للمـادة الثالثـة‬ .‫ت‬

 provided in Article three (3) of this Agreement (hereinafter referred to
as “Services”);
D WHEREAS, the First Party desires to utilize the Services provided by the
Second Party.
E WHEREAS, the Parties desire to establish a business relationship
between them and make joint efforts to achieve and maintain such
business relationship to serve their respective interests and set out
their respective rights and mutual obligations;
NOW, THEREFORE, in consideration of the mutual covenants and obligations
hereinafter set forth, it is hereby agreed between the Parties as follows:
ARTICLE ONE (1)
1.1 The above recitals and schedules hereto shall be deemed an integral part of
this Agreement and shall be read and interpreted with it as one integrated
unit.
ARTICLE TWO (2): RELATED DOCUMENTS
This Agreement consists of the following documents:

ARTICLE THREE (3): SUBJECT MATTER OF THE AGREEMENT:
3.1 The Second Party shall provide the following services to the First Party (the
“Services”): to handle the overall logistics and domestic warehouse
operations in regard to chemical materials and dangerous goods items.
Hence, the Second Party is fully responsible for handling the shipping of the
International inbound shipments including collection from suppliers and
custom clearance, obtaining the required permits from concerned
authorities, managing and storing the materials in their warehouses as per
the government regulations, transportation including distribution via line
Haul between the Second Party’s warehouses, and handling the waste
disposal processes.

‫إدارة و تخزين املواد الكيميائية و الخطرة في مستودعاته بمحطات الطــرف األول‬
‫ و النق ــل بم ــا في ذل ــك التوزيع بين مس ــتودعات‬،‫الرئيس ــية وفًق ا لل ــوائح الحكومي ــة‬

:‫ مدة االتفاقية‬:)4( ‫املادة الرابعة‬
‫‪4.1 The Term of this Agreement shall be one Gregorian year and effective‬‬
‫‪starting from the last party signature date (hereinafter referred to as the‬‬
‫‪"Term") and shall end upon its expiry date unless otherwise agreed in‬‬
‫‪writing within Sixty (60) days prior to the end of the Agreement, noting that‬‬
‫‪the execution date of the required services in this agreement shall start‬‬
‫‪within Thirty (30) days of the last Party’s signature date.‬‬
‫‪ 1.4‬مدة هذه االتفاقيـة هي سـنة ميالديـة واحـدة تبـدأ من تـاريخ توقيـع آخـر طـرف عليهـا‬
‫(ويشار إليها فيما بعد بـ " مدة االتفاقية") وتنتهي بانتهاء مدتها‪ ،‬ما لم يتفق األطــراف‬
‫ًا‬
‫كتابي ـ على خالف ذل ــك و ذل ــك بإخط ــار الط ــرف اآلخ ــر بم ــدة ال تق ــل عن س ــتين (‪)60‬‬
‫ًا‬ ‫ًا‬
‫يوم قبل انتهاء االتفاقية‪ ،‬علم بأن أن تـاريخ بـدء تنفيـذ الخـدمات املتفـق عليهـا يكون‬
‫في غضون ثالثين (‪ )30‬يوًم ا من تاريخ توقيع االتفاقية‪.‬‬

‫‪ARTICLE FIVE (5): UNDERTAKINGS AND WARRANTIES:‬‬ ‫املادة الخامسة (‪ :)5‬اإلقرارات والضمانات‪:‬‬

‫‪5.1 Both Parties have the legal right and authority to enter into and sign this‬‬ ‫‪ 1.5‬أن كال الطرفين لديهما السلطة والصـالحية القانونيـة و الشـرعية الالزمـة إلبـرام و‬

‫‪5.2 Signing this Agreement and performing the services stipulated in this‬‬

‫‪Agreement shall not counteract nor conflict nor violate any other agreement‬‬
‫ينته ــك وال يتع ــارض م ــع وال ي ــؤدي إلى مخالف ــة من أي ن ــوع ألي عق ــد أو اتفاقي ــة أو‬
‫‪or contract, nor will lead to violating any agreement or contract or any of the‬‬
‫نظ ــام أو ق ــانون أو حكم قض ــائي عن أي محكم ــة أو حكم ص ــادر عن محكم ــة تحكيم‬
‫‪Parties’ obligations or law or judicial ruling issued by an arbitrational court‬‬
‫أو أي التزام ُه م الطرفين فيه أو ملتزمين به‪.‬‬
‫‪or any count.‬‬

‫‪5.3 Both Parties have read and understood the provisions of this Agreement.‬‬
‫‪ 3.5‬أن كال الطــرفين اطلعــوا على هــذه االتفاقيــة و فهمــوا جميــع مــا ورد فيهــا من بنــود و‬
‫شروط و أحكام‪.‬‬

‫‪ARTICLE SIX (6): OBLIGATIONS OF THE FIRST PARTY:‬‬ ‫املادة السادسة (‪ :)6‬التزامات الطرف األول‪:‬‬

‫‪6.1 The First Party is obligated to pay the invoices with respect to the Services to‬‬ ‫يل ــتزم الط ــرف األول ب ــدفع الفوات ــير املتعلق ــة بالخ ــدمات للط ــرف الث ــاني وفًق ا للم ــادة‬ ‫‪1.6‬‬
‫‪the Second Party in accordance with Article nine (9) of this Agreement.‬‬ ‫التاسعة (‪ )9‬من هذه االتفاقية‪.‬‬

‫‪6.2 The First Party shall abide by the provision set in this Agreement, Annexures,‬‬ ‫يل ــتزم الط ــرف األول يل ــتزم بالش ــروط املنص ــوص عليه ــا في ه ــذه االتفاقي ــة واملرفق ــات‬ ‫‪2.6‬‬

‫‪6.3 The First Party shall provide support to the Second Party to resolve issues‬‬ ‫يلتزم الطرف األول بتقديم الدعم الالزم للطرف الثاني لحل املشاكل و اإلجابة على‬ ‫‪3.6‬‬
‫‪and answer inquiries related to (AMOS) maintenance downtime or crash‬‬ ‫االستفس ـ ــارات املتعلق ـ ــة بص ـ ــيانة أو تعط ـ ــل نظ ـ ــام (‪ )AMOS‬و ال ـ ــتي تخص عملي ـ ــات‬
‫‪that concerns the daily operation when needed.‬‬ ‫التشغيل اليومية متى دعت الحاجة‪.‬‬

‫‪6.4 The First Party shall provide the required support for permit issuance and‬‬ ‫يلــتزم الط ــرف األول بتق ــديم الــدعم الالزم إلصــدار التص ــاريح و املوافق ــات الالزم ــة‬ ‫‪4.6‬‬
‫‪approvals required from the concerned authorities when needed.‬‬ ‫من الجهات الحكومية متى دعت الحاجة‪.‬‬

‫‪6.5 The First Party has the right, during the term of the agreement, to cancel the‬‬
‫‪requested services at any main station with a written notice sent to the‬‬
‫‪Second Party thirty (30) days prior to the execution date. Accordingly, the‬‬
‫‪total value of the contract and monthly payments shall be reviewed and‬‬

 determined upon the First needs.
ARTICLE SEVEN (7): OBLIGATIONS OF THE SECOND PARTY:
7.1 The Second Party shall abide by the provision set in this Agreement,
Annexes, and any amendments thereto.
7.2 The Second Party shall comply and continue to comply with the warehouse
operation management procedure required by the First Party.
7.3 The Second Party shall comply and continue to comply with all applicable
laws and regulations and international accords or treaties related to
cybersecurity applicable to both Parties, and the First Party shall be promptly
notified by the Second Party in the event the stipulated requirements are not
in the workplace, and which will consequently affect the interest of the First
Party.
7.4 The Second Party shall implement and maintain appropriate technical and
organizational security measures to protect the First Party Personal Data by
way of:
I. Providing appropriate encryption controls in order to protect the First
Party's data; and
II. Conducting periodic backup copies, in relation to the First Party’s data
and information.
7.5 The Second Party shall obtain all permits required to process the services
requested in this agreement from the concerned authority. Any delay will be
the Second Party’s liability unless it is due to governmental issues which the
First Party shall be notified of prior to enough time to provide the support
needed, and it will not be considered a violation of the service agreement.
7.6 The Second Party shall provide the elements required to fulfill the minimum
requirements of the First Party cybersecurity. If not, The Second Party shall
provide the required number of employees in all his warehouses concerned
to this agreement that satisfies the daily operation requirements around the
clock, while the First Party will provide the necessary devices and (AMOS)
access to the Second Party employees to be able to comply with the daily
operation requirements in the best practices.
7.7 The Second Party shall return all devices provided to him to enable its
employees to perform the tasks required of them in the agreement, provided

‫املعمول بها واالتفاقات أو املعاهدات الدولية املتعلقة باألمن السـيبراني املطبقــة على‬
‫ ويجب إخطـ ــار الطـ ــرف األول على الفـ ــور من قبـ ــل الطـ ــرف الثـ ــاني في‬،‫كال الطـ ــرفين‬
‫ والــذي ســيؤثر بالتــالي‬،‫حالــة عــدم وجــود املتطلبــات املنصــوص عليهــا في موقــع العمــل‬

‫يل ــتزم الط ــرف الث ــاني بتط ــبيق و املحافظ ــة على الت ــدابير األمني ــة التقني ــة والتنظيمي ــة‬ 4.7
-:‫املناسبة لحماية البيانات الشخصية للطرف األول عن طريق‬
‫ توفير ضوابط التشفير املناسبة من أجل حماية بيانات الطرف األول ؛ و‬.I

‫يل ـ ــتزم الط ـ ــرف الث ـ ــاني بالحص ـ ــول على جمي ـ ــع تص ـ ــاريح االس ـ ــتيراد الالزم ـ ــة للقي ـ ــام‬ 5.7

‫ علمـ بــأن أي تــأخير هــو‬،‫بالخــدمات املطلوبــة في هــذه االتفاقيــة من الجهــات املختصــة‬
‫ و يتم إخطــار الطــرف‬،‫مســؤولية الطــرف الثــاني مــالم يكن بسبب الجهــات الحكوميــة‬
.‫األول عن أي تأخير لتقديم الدعم الالزم‬
‫يل ــتزم الط ــرف الث ــاني بتوف ــير العناص ــر الالزم ــة ال ــتي تس ــتوفي اإلش ــتراطات الرئيس ــية‬ 6.7
‫ و في حــال عــدم الوفــاء بهــا يلــتزم الطــرف‬،‫بــاألمن السيبيراني الخــاص بــالطرف األول‬
‫الثـ ــاني بتوفـ ــير العـ ــدد املطلـ ــوب من املوظفين في جميـ ــع مسـ ــتودعاته الخاصـ ــة بهـ ــذه‬
‫ بينمـ ــا‬،‫االتفاقيـ ــة بمـ ــا يضـ ــمن تلـ ــبي متطلبـ ــات التشـ ــغيل اليوميـ ــة على مـ ــدار السـ ــاعة‬
‫) ملوظفي‬AMOS( ‫ســيوفر الطــرف األول األجهــزة الالزمــة و إمكانيــة الوصــول لنظــام‬
.‫الطرف الثاني لتمكينهم من أداء املهام املطلوبة منهم على أكمل وجه‬
‫يلــتزم الطــرف الثــاني بإعــادة كل األجهــزة املوفرة لــه من قبــل الطــرف األول الخاصــة‬ 7.7
‫ على أن تكون بحال ـ ــة‬،‫بتمكين موظفي ـ ــه من أداه امله ـ ــام املطلوب ـ ــة منهم في االتفاقي ـ ــة‬

7.8 The Second Party shall ship, import, receive, collect, store and deliver the
chemical materials and dangerous goods to the First Party’s last mile. In
addition, provide the handling and customs clearance services.
7.9 The Second Party shall handle the expired chemical materials and dangerous
goods as per the governmental roles and regulations and the disposal of
their leftovers as prescribed in the safety data sheet.

‫يلتزم الطرف الثاني بالتعامل مع املواد الكيميائية و الخطـرة منتهيـة الصـالحية وفقـ‬ 9.7
‫للوائح و االشتراطات الحكومية و التخلص منها على النحــو املنصــوص عليــه في دليــل‬

materials and dangerous goods items in each one of the First Party’s ،‫ الري ـ ــاض‬،‫الخط ـ ــرة في كل املحط ـ ــات الرئيس ـ ــية الخاص ـ ــة ب ـ ــالطرف األول في (ج ـ ــدة‬

stations at (JEDDAH, RIYADH, DAMMAM, and MEDINA MUNAWARAH) as .‫املنورة) وفًق ا لتعليمات الطرف األول‬
per the First Party’s instructions.

7.17 The Second Party shall receive the new chemical materials and dangerous
goods items and Purchase Orders.
7.18 The Second Party shall check physically the overall condition of the received
chemical materials and dangerous goods items in terms of (quantity,
certificate of conformity, safety data sheet, Invoices, and Package condition)
and ensure that all are matched with the Purchase Order information. If not,
A quarantine area (standard chemical storage) shall be available to hold the
shipment until the issue is resolved.

7.19 The Second Party shall receive the chemical materials and dangerous goods ‫يلتزم الطرف الثاني باستالم مستندات املواد الكيميائيــة و الخطــرة حسـب النظــام و‬ 19.7

7.22 The Second Party shall keep the chemical material and dangerous goods ‫يل ــتزم الط ــرف الث ــاني باالحتف ــاظ ب ــاملواد الكيميائي ــة مقفل ــة في املخ ــزن و الثالج ــة و‬ 22.7

7.24 The Second Party shall monitor the shelf life of consumable chemical ‫يل ــتزم الط ــرف الث ــاني بمراقب ــة الُع م ــر االفتراضي للم ــواد الكيميائي ــة و الخط ــرة من‬ 24.7
materials and dangerous goods items by identifying the Part Number, ‫ و رقم أمــر الشــراء في‬،‫ و تــاريخ انتهــاء صــالحيتها‬،‫ و وصــفها‬،‫خالل تحديــد رقم املادة‬
Description, Expiry Date, and Purchase Order number on the label of the .‫امللصق التعريفي األصفر‬
Yellow Tag.

7.25 The Second Party shall check the cabinet temperature and humidity level ‫يلــتزم الطــرف الثــاني بفحص درجــة حــرارة و رطوبــة املخــزن باســتمرار و التأكــد من‬ 25.7
every shift and ensure the recording of the values in the turnover logbook. .‫تسجيل القيم في سجالت املتابعة‬

7.26 The Second Party shall dispose of the consumable chemical materials and ‫يلتزم الطرف الثاني بالتخلص من أي مواد كيميائيــة و خطــرة مسـتهلكة خالل ســبعة‬ 26.7

dangerous goods items within seven (7) days prior to their expiry date by . ‫) أيام قبل تاريخ انتهاء صالحيتها عن طريق فحص النظام أسبوعي‬7(
checking the system on a weekly basis.

7.27 The Second Party shall review the ongoing Pick Slip requests through
(AMOS) in the transaction (APN375 pick-slip viewer).
7.28 The Second Party shall print the requested store Pick Slip.
7.29 The Second Party shall hand over the printed Pick Slip to the issuer in order
to receive and accept the requested materials.
7.30 The Second Party shall confirm the requested quantity or returned quantity
of the Pick Slip.
7.31 The Second Party shall update (AMOS) in the transaction (APN230 pick-slip
confirmation) to confirm the Pick Slip by checking the chemical materials
and dangerous goods items status and then book the pick-slip.
7.32 The Second Party shall record the Pick Slip confirmation data (Pick Slip
Number, Part Number, and Quantity) in the Store Delivery Sheet.
7.33 The Second Party shall deliver parts and materials to the requester after
signing the delivery sheet.
7.34 The Second Party shall confirm and close the pick slip and add the following
notes:-
I. (AMOS ZERO STOCK, SD STOCK); if the parts and materials are not
available physically in the store and the system.
II. (AMOS SHOPLOC); if the parts and materials are not available in the
store and released.
III. In case materials are released to the workshop, check the materials
release date in (AMOS), in the transaction (APN188), if the part
release date from Shop is more than two (2) weeks from the released
date, close the Pick Slip Zero by adding a NOTE (SHOPLOC NOT
RCVD). If the part is released earlier than two (2) weeks, check the
materials at the Shop area, receiving area, and main store.
IV. (SHOPLOC NOT RCVD); If parts materials are not found.
7.35 The Second Party shall check physically the chemical materials and
dangerous goods items’ Packaging condition, shelf life, batch number, and
the attached label.
7.36 In case of the chemical material and dangerous goods items are issued

7.42 The Second Party shall dispose of any chemical materials and dangerous ‫يل ـ ـ ــتزم الط ـ ـ ــرف الث ـ ـ ــاني ب ـ ـ ــالتخلص من أي نفاي ـ ـ ــات م ـ ـ ــواد كيميائي ـ ـ ــة و خط ـ ـ ــرة في‬ 42.7
goods items waste in the Second Party or the First Party warehouses which is ‫مس ـ ــتودعاته و مس ـ ــتودعات الط ـ ــرف األول بحيث تكون قيم ـ ــة الخدم ـ ــة في ف ـ ــاتورة‬

7.43 The Second Party shall have backup generators in all his warehouses in case ‫يلتزم الطرف الثاني بتوفير مولدات احتياطية في جميع مستودعاته في حالــة انقطــاع‬ 43.7

ARTICLE EIGHT (8): QUALITY OF SERVICES AND STANDARDS: : ‫ معايير و جودة الخدمات‬:)8( ‫املادة الثامنة‬

8.3 The Second Party shall clear the shipments from customs duties; within ‫يل ــتزم الط ــرف الث ــاني بتخليص الشحنات من الجم ــارك خالل م ــدة أقص ــاها أربع ــة و‬ III.8
twenty-four (24) hours for routine shipments, and within twelve (12) hours ‫) س ـ ــاعة للشحنات‬12( ‫ و اثن ـ ــا عش ـ ــرة‬،‫) س ـ ــاعة للشحنات الروتيني ـ ــة‬24( ‫عش ـ ــرون‬

 for urgent, work stoppage (WSP) and AOG shipments, from the date of
arrival.
8.4 The Second Party shall manage the last mile delivery time for pick slip
requests from his warehouses to the First Party maintenance operation
stations to be within twelve (12) hours for routine requests, and within three
(3) hours for urgent, work stoppage (WSP) and Aircraft on Ground (AOG)
requests.
8.5 The Second Party shall manage the replenishment of the stock availability of
his external warehouses at the main stations within 24 hours.
8.6 The Second Party shall perform the receiving of chemical material and
dangerous goods items within six (6) hours for routine shipments, and
within one (1) hour for urgent, work stoppage (WSP) and Aircraft on
Ground (AOG) shipments.
8.7 The Second Party shall maintain the inventory accuracy in terms of (stock
physical location and matching quantity between the system location and
physical location) every three (3) months.
8.8 The Second Party shall perform special handling for the Aircraft on Ground
(AOG) orders with reaction and response within one (1) hour from the
request received from the First Party.
ARTICLE NINE (9): AGREEMENT VALUE, COSTS, AND PENALTIES:
9.1 The value of the Agreement shall be seven million (7,000,000) Saudi Riyal.
(hereinafter referred to as the “Agreement Value”).
9.2 All governmental and duties payments such as (Saber Certificates, Bayan
Customs, and others) shall be paid by the Second Party, then to be charged
to the First Party separately, except for the handling services which is the
Second Party’s liability.
9.3 The second party shall submit monthly invoices at the end of each
Gregorian month to the first party according to the services provided to him
with an amount not exceeding five hundred eighty-three thousand and
three hundred thirty-three (583,333.33) Saudi Riyal including all the
services agreed upon in this agreement, and shall be paid within thirty (30)
days from the First Party receipt date unless there is a dispute.

9.4 PENALTIES ‫الغرامات‬ IV.9

9.4.1 The Parties hereby agree that in the event that the Services were not
provided in the specified period (as stated above), the First Party shall
reserve the right to apply a delayed penalty of two percent (2%) of the
Agreement Value per each late day, provided that the delay penalty
shall not exceed fifteen percent (15%) of the total Agreement Value.

chemical materials and dangerous goods items in good condition, and ‫ و في ح ــال وج ــود أي م ــواد متض ــررة يق ــوم الط ــرف الث ــاني‬،‫خط ــرة بحال ــة بجي ــدة‬
in the event that there are any damaged materials, the Second Party .‫بتعويض الطرف األول عن ذلك‬
will compensate the First Party for that.

avoidance of doubt, upon the termination of this Agreement the
Second Party shall not be entitled to claim any additional
compensations or amounts, such claims shall be limited to the
entitlements in accordance with this Agreement if;

duly given and delivered if given in writing and dispatched by pre-paid registered

ARTICLE FOURTEEN (14): FORCE MAJEURE:
Either Party will be excused from performance hereunder to the extent that it is
prevented from performing its obligations hereunder, in whole or in part, as a
result of an act of God, war, pandemics, and epidemics, natural disasters, or civil
disturbances, or any statutes, regulations, court orders, or any other
circumstances beyond the reasonable control of the affected Party, provided that
the affected Party makes a good faith effort to provide or arrange for the provision
of such services within the resulting limitations on the availability of its facilities
or Personnel. Notwithstanding that, the force majeure event must be beyond the
control of the affected Party, and the affected Party must have been prevented
from performing its obligations, whereas the affected Party shall provide
necessary evidence and proof which proves its inability to provide its obligations
under the Agreement, provided that the affected Party must have taken all
necessary steps to avoid its non-performance and have satisfied its duty to
mitigate damages as a result thereof.
ARTICLE FIFTEEN (15): LANGUAGE:
This Agreement has been drafted in the Arabic and English languages. In case of
any conflicts between the two languages, the Arabic version shall prevail.
ARTICLE SIXTEEN (16): SEVERABILITY:
The various provisions and sub-provisions of the Agreement are severable and if
any provision or other identifiable part is held to be unenforceable by any tribunal
or a court of competent jurisdiction then such unenforceability shall not affect the
enforceability of the remaining provisions or identifiable parts of the Agreement.
If any provision of this Agreement is found to be void or unenforceable, that
provision shall be deemed to be deleted from this Agreement and the remaining
provisions of this Agreement shall continue in full force and effect.
ARTICLE SEVENTEEN (17): REPRESENTATION
17.1 This Agreement does not indicate or establish directly or indirectly any
partnership or any other arrangements between the First Party and the
Second Party. Accordingly, neither Party may entail any obligations on
behalf of the other Party. The Parties shall remain at all times in their

17.2 Neither Party may act on behalf of the other Party or its employees or
represent them before any third party.
ARTICLE EIGHTTEEN (18): ENTIRE AGREEMENT AND VARIATIONS:
18.1 The Parties each acknowledge and agree that this Agreement represents the
entire agreement between them, or any of them, regarding the subject
matter of this Agreement and that they are not relying on any
representation, warranty, or commitment (whether orally or in writing)
made by any of the others in entering into it, otherwise than as set out in this
Agreement.
18.2 Other than as expressly provided elsewhere in this Agreement, no variation
of this Agreement or any other documents in the agreed form shall be valid
unless in writing and signed by or on behalf of each of the Parties to the
Agreement.
ARTICLE NINETEEN (19): GOVERNING LAW AND DISPUTE RESOLUTION:
19.1 This Agreement shall, in all aspects, be subject to, and construed in
accordance with the laws and regulations applicable in the Kingdom of
Saudi Arabia.
19.2 The Parties shall strive to settle any arising dispute with respect to this
Agreement amicably within ten (10) days from the date of the notice
provided to the other Party, in the event that, the dispute was not settled
amicably within the specified period, such dispute shall be referred to and
finally resolved by the competent courts in Jeddah, Saudi Arabia.
ARTICLE TWENTY (20): COUNTERPARTS:
This Agreement has been executed in two (2) counterparts of equal force
and effectiveness, provided to each Party to work and abide by.
