AIC’s Proposal is based on the building data and/or Drawings provided by you and is in accordance with AIC’s
standard design practices and standard terms & conditions of sale.

Kindly note that we have tried our very best to ensure that this proposal meets all your project requirements and
specifications; however, in some cases we may have had to make certain assumptions, deviations or exclude some
items that you may have requested. In case of any assumptions, deviations, omissions or exclusions from your
requirements the same would be described in Clause 5 & Clause 6 of this proposal offer. You are requested that you
carefully review our offer and give us your feedback in order to minimize noncompliance with your requirements.

Secondary Structural members:
 Secondary steel members such as purlins, girts, eave struts, base angles and gable angles are made of pre-galvanized
steel coils which are roll formed or press bent.

Primary Structural Members:

 All primary steel members surface preparation will be blast cleaned done in accordance with ISO 8501 – 1 Sa 2.5
minimum and painted with the special paint system described below Or Equivalent:

 All Primary Steel Members shall be painted to one Grey coat of 75 microns DFT Epoxy primer only.

CLAUSE 5: GENERAL EXCLUSIONS

1. Designing, detailing, coordinating, managing or building any architectural features or art works other than what is
shown in this proposal offer and proposal drawings.
2. Coordinating or managing the design of MEP (Mechanical, Electrical and Plumbing) services and allowance for
supporting MEP equipment, unless specifically mentioned in this proposal.
3. Application of any site applied (special) paint.
4. Application of touch up paint at site (unless erection is within our contract scope).
5. Doors, windows or any other works not specifically mentioned in this proposal offer
6. Interior partitions that are not specifically included in this proposal offer.
7. All Civil, Mechanical and Electrical Works.
8. Non-shrink epoxy grouting under steel columns.
9. Provision for maintenance works.
10. Allowance for gate passes (if any).
11. Designing, detailing, coordinating or building any sub-structure supporting system.
12. Fire proof paint (Intumescent or Cementitious) unless specifically quoted in our proposal offer.
13. Crane bridges, Crane rails, Monorails & Monorail beams.
14. Sheeting angle, gable angles, cleader angles are excluded from our scope of supply when panels are not under our
scope of work.
15. Skylight panels, roof curbs, roof extract fans are excluded from our scope of supply when panels are not under our
scope of work.
16. Roof safety rails/fall arrest system/staircase handrails/All handrails.
17. All doors, windows and louvers located within block wall.
18. Cold Store Panel (CSP) Partition panels.
19. Internal PVC downspouts/External Steel downspouts unless otherwise noted.
20. Container fumigation (if required).
21. Border charges/customs duties (for export projects).
Notwithstanding anything to the contrary stated herein, any activity which is not explicitly included in this
Proposal/Supply Agreement is excluded from the work scope of AIC.

CLAUSE 6: GENERAL ASSUMPTIONS

1. The Components of Steel Structure generally include all the structural steel elements of the building such as the main
frame columns & rafters, interior columns, bearing frames (end wall columns & rafters), crane runway beams &
brackets or columns, jack beams, mezzanine systems (columns, beams, joists, deck, staircases & deck fasteners), roof
platforms & cage ladders + framing for roof monitors canopies, roof extension & fascia + secondary cold formed Z,
C & angle structural members, Components of Stability bracing systems (rods only), roof & wall framed openings
and steel standard buyouts (such as anchor bolts, connection bolts & sag rods).
2. The Components of Panels generally include sandwich &, single skin panels of material GI60 or AZ50, flashings &
trims, eave gutters & downspouts, panel standard buyouts (fasteners, foam closures, bead mastic, pop rivets, etc.)
and Building Shell Accessories as mentioned in the offer.
3. Structural drawings are cross checked column placement and verify dimensions with the provided Architectural
drawings and pending client approval based on our proposal drawings or above building description in clause 1
4. Sizes and Location of doors and windows are assumed unless confirmed on our Proposal Drawings. Changes in the
assumed locations may affect the total price under the Agreement.
5. Our Fabrication Tolerances are as per MBMA guidelines and single side welding is considered for all BU sections.
6. All connections are designed as bearing connection without considering torque .
7. All Side wall, End wall girts, and block wall are considered bypass unless noted otherwise.
8. No lateral/vertical supports are considered for block wall/RC wall /precast & Siporex, only lateral loads are
considered on steel columns.
9. Design of Mezzanine beams & joists (composite/non composite) are considered as per AIC design.
10. Mezzanine Joist spacings are considered as per AIC design as per deck panel data sheet.
11. Internal bracing at the expansion joint location is only designed for stability purposes.
12. Purlins and girts spacing are considered as per AIC design according to panels data sheet.
13. Minimum Thickness For Built-up Sections is considered 4.00mm for webs & 5.00mm for flanges.
14. Partition supporting system (columns and girts) are considered to support steel rafters (Non-Removable).
15. Our Quality Control is as per our Standard ITP (Inspection & Testing Plan) which can be provided upon request.
16. Design Criteria are considered as noted in Design Clause of this offer and wind exposure considered (B) UNO.
17. It is client responsibility to check design loads in clause 4 and crane data in clause 1 is suitable for building usage.
18. Paint specification is considered as noted in Painting Section of this offer.
19. Panels & panel accessories are included/excluded from our scope of supply.
20. AIC have the right to provide intermediate splices in structural members as needed.
21. Crane runway beams and support structure are designed to support only one crane in operation per bay at a time i.e.
Crane bumper-to-bumper distance between each crane is one bay apart and crane class ‘C’ is considered.
22. Location of End wall cols. are assumed by AIC as per design unless specified on customer provided drawings.
23. Wall bracing locations are assumed by us ensuring that Wall bracings do not obstruct any door access as shown in
the customer provided drawings. The bracing locations are clearly indicated on our Proposal Drawings – any changes
in the assumed locations or request for additional braced bay locations may affect the total price under the
Agreement.

CLAUSE 7: TENTATIVE DESIGN & DELIVERY SCHEDULE

TECHNICAL SUBMITTAL

Approval drawings and design calculations for all buildings will be submitted at the end of 2-4 weeks from the date of
signing the contract and receipt of down payment. The approval drawings will not be drawn to scale (except for anchor
bolt layout plan).

DISPATCH TRIGGER DATE

The dispatch of materials from AIC factory will begin within 8 -15 weeks from the Dispatch Trigger Date “DTD” which
is the date of receipt and acceptance of the following at AIC Head Office in ASFAN, K.S.A. It can be the same for all buildings in
this job or different for each building in this job.

 Signed Contract: All pages and handwritten notes to be initialed by both parties.
 Final Revision to each building in this job.
 Your written and signed acceptance of price change advices that result from revisions to each building in this job.
 Signed "approved as noted (with minor comments)" or “approved as is” Approval Drawings for all buildings in this job.
 Acceptable letter of credit including all amendments requested by AIC.

CLAUSE 9: PAYMENT TERMS FOR SUPPLY PRICE


Description of Goods shall be: Pre-Engineered Steel Building Components.
Payment Terms:

 10% of the total supply price as down payment that is payable at job entry by Telex Transfer. Approval drawings
will only be submitted after the receipt of both the signed contract and the down payment.

 40 % of the total supply price is payable by Telex Transfer. upon receipt of approved drawings in order for AIC
to release the project for production.

*Receipt of the above payment will firm the shipment date.

- 10% Corporate guarantee to be submitted before collecting the below invoice valid 3 months.

 50% of the total supply price by Telex Transfer. 10 days prior to start of materials shipment in order for AIC to
release the material for shipment.

CLAUSE 10: STANDARD TERMS & CONDITIONS OF SALE

1. Proposal Price Validity

Price is valid for 10 days from date of this proposal, any extension of validity by AIC must be in writing.

2. Contract Price Validity. During periods of escalating material costs, the following will apply:

 Release for Production

Any building in this proposal contract that is not released for production by the Customer within 30 days from the
date of our initial submittal of its approval drawings will be subject to repricing on the basis of raw material costs
prevailing on the date of its release for production (job schedule shall be revised accordingly).

A release for production of a building is conditional upon the receipt of following from the Customer:

 Full Technical Approval (approval drawings, etc.) for all buildings of the project approved as is or approved as
noted (with minor comments). (partially approved buildings will not be considered a milestone to start
production)
 Signed written Price Change Advice for each building that has undergone a revision (variation) during the
approval stage.
 Fulfillment of the Payment Terms that are stated in the signed proposal contract or agreed upon in writing
thereafter.

 Release for Shipment

Any building that is not released for shipment within 15 days of the date of its release for production will be repriced
on the basis of raw material costs prevailing on the date of its release for shipment.

3. Delivering, Unloading and Storage at Job Site

 The customer, or his contractor is responsible for unloading the delivered AIC Steel materials at the project site, unless
erection is to be executed by AIC Steel.
 All expenses incurred inside the country of import, including but not limited to customs duties, taxes, clearance fees
and demurrage charges due to delays in returning the containers to the shipping lines, is the responsibility of the
buyer.
 Materials should be thoroughly checked after unloading. AIC Steel should be notified in writing of any shortages or
damages within three days from the delivery date.
 Erection shall be done as per AIC Erection guidelines submitted with design package, in case of any deviation from it,
this shall waive all our responsibilities and warranties provided.
 Care, storage and protection of the materials at the site is the responsibility of the customer, or his contractor.
 Red & Grey primer paints are meant to protect the steel during transportation and for a short storage period at site
with a prior protection (not to exceed two weeks). AIC Steel is not responsible for any signs of rust that might appear
on the steel due to improper storage or long storage periods at site.
 Once materials are fabricated, finished goods shall be shipped directly to Job Site Location. If the site is not ready and
the customer wants to store the materials in AIC Steel’s shipping yard, there will be storing & handling charges. In
case the material condition requires re-painting, the re-painting charges will also be applied. AIC Steel will not be
responsible for any damage happens to the materials during this period.

4. Price Change Advices. Any changes made by the Customer after the job is entered in AIC order register will be
analyzed for impact on price and dispatch schedule. If the changes result in a price increase, the job will be put on
hold until a signed acceptance letter for the price change is received from the Customer. Price Change Advices
must not hold payment for work already completed.

5. Changes in Material Prices. AIC reserves the right to claim the raw material difference in case of material
fluctuation price more than 5% from contract date to production date.

6. Force Majeure. AIC is not responsible for any delay in the dispatch of a job due to force majeure.

7. Material Warranty. AIC warrants its products for a period of 12 months from date of their dispatch from factory.

8. Design Warranty. AIC warrants its design for period of 10 years from date of dispatch from factory.

9. Quality Plan. The design and fabrication of all components of a job will be checked as per AIC Standard Inspection
& Testing Plan (ITP). Special tests and inspections beyond the scope of our standard ITP must be intimated to us at
time of quotation in order for us to incorporate their additional cost in our proposal offer.

10. Inspection of Materials at Job Site.

11. Governing Laws. The contract shall be construed and enforced in accordance with the laws of KSA.

12. Changes in Product Specifications. AIC reserves the right to change any of its product design or details, in the
process of continued enhancement.

13. Erection Drawings and Bill of Materials AIC Steel shall make available Erection Drawings and Bill of Materials
prior to the shipment of material.

14. Payments: AIC reserves the right to hold shipment if payment is not received as per the agreed payment terms.

15. Contract: This contract will govern conditions in case of the existence of any other contract documents.

16. Dispute Resolution and Arbitration. In the event of a dispute arising out of or relating to this contract, including
any question regarding its existence, validity or termination, the parties shall first seek to resolve the dispute
mutually in an amicable manner. If no resolution is reached mutually within 45 days from the date of intimation of
the dispute by either party, then the dispute shall be referred to and finally resolved by arbitration under the
Arbitration Rules as per the KSA Law. The language to be used in the arbitration shall be English.

17. Technical Submittal: The contract is based on submitting a full design package (Drawings & Design Calculations)
in accordance with project specifications as mentioned in this offer for one time only. In case additional revisions
are required due to additional requirements, Extra Engineering manhours shall be claimed by AIC.

CLAUSE 11: SUPPLY CONTRACT AGREEMENT

THIS AGREEMENT IS MADE AND ENTERED ON: 17/01/2024 BETWEEN:

IT IS HEREBY AGREED AS FOLLOWS;


1) In consideration of the BUYER making a total payment of 4,597,010.0/- with VAT to the SELLER, the SELLER
agrees to provide the Supplies to the BUYER as are detailed in the enclosed Proposal quotation HQ-SA1-5045-
Rev-05 Dated 17/01/2024, subject to the terms and conditions thereof. For the avoidance of any doubt, the
Parties confirm that the Proposal mentioned herein shall be deemed to be part and parcel of this Supply
Agreement.
2) CONTRACT DOCUMENTS: The following documents constitute the contract documents:
1. AIC Proposal No. HQ-SA1-5045-Rev-05 Dated 17/01/2024,
2. AIC Proposal drawings
2. AIC Standard Product Specifications.
3) The SELLER agrees to ship the materials and provide the Supplies from any of its manufacturing Plants in
accordance with the terms and conditions of this Supply Agreement and, in consideration thereof, the BUYER
agrees to pay the SELLER according to the rates, terms and conditions herein contained.
4) This Supply Agreement shall be deemed to be effective from the date of signing of this Supply Agreement by the
Parties.
5) This Supply Agreement embodies the entire agreement between the Parties concerning the subject matter hereof
and supersedes all previous agreements and understanding, whether in writing or otherwise. There are no
representations, either oral or written between the Parties, other than those set forth herein.
6) This Supply Agreement shall not be varied, modified or amended except by a written instrument signed by the
authorized representatives of both Parties.
