Liquidation-Of-Company en To Hi 2024-03-28 10-25-19
अर्थ: परिसमापन या समापन एक कानूनी शब्द है और यह उस प्रक्रिया को संदर्भित करता है जिसके माध्यम से किसी कंपनी
के मामलों को कानून द्वारा समाप्त किया जाता है। एक कंपनी कानून की रचना है, वह स्वयं स्वाभाविक मौत नहीं मर सकती।
इसलिए यह परिसमापन की प्रक्रिया के माध्यम से कानून द्वारा समाप्त होता है।
किसी कंपनी का परिसमापन या समापन एक ऐसी प्रक्रिया है जिसके माध्यम से कंपनी का जीवन और उसके
सभी मामले समाप्त हो जाते हैं और उसकी संपत्ति का प्रबंधन उसके लेनदारों और सदस्यों के लाभ के लिए किया जाता है।
एक प्रशासक, जिसे परिसमापक कहा जाता है, को कंपनी का नियंत्रण लेने, उसकी सहमति एकत्र करने, उसके ऋणों का
भुगतान करने के लिए नियुक्त किया जाता है और अंत में यदि कोई अधिशेष अनुमति बची होती है, तो उन्हें कंपनी के सदस्यों
के बीच लेखों के तहत उनके अधिकारों के अनुपात में विभाजित किया जाता है। ऐसा करने पर कंपनी अध्यादेश द्वारा
निर्धारित अपेक्षित औपचारिकताओं के अनुपालन पर कंपनी को भंग कर दिया जाता है।
समापन की प्रक्रिया:
समापन के तरीके:
अध्यादेश के तहत गठित और पंजीकृत कंपनी को अदालत द्वारा बंद किया जा सकता है। इस प्रकार के समापन को अनिवार्य
समापन भी कहा जाता है।
स्पष्टीकरण:
1) किसी कंपनी को कुछ विशिष्ट आधारों पर समापन के लिए एक विशेष प्रस्ताव पारित करने और अदालत के आदेश भी पारित करने
की आवश्यकता होती है
2) जब कंपनी अपना कर्ज चुकाने में असमर्थ हो
9) यदि कंपनी न्यायालय या रजिस्ट्रार या आयोग आदि के निर्देशों का पालन नहीं करती है।
स्वैच्छिक समापन का मुख्य उद्देश्य यह है कि कंपनी और उसके लेनदारों को अदालत में जाए बिना अपने मामलों को
निपटाने के लिए छोड़ दिया जाएगा, लेकिन यदि आवश्यक हो तो वे किसी भी निर्देश और आदेश के लिए अदालत में
आवेदन कर सकते हैं।
स्पष्टीकरण:
A) जब कंपनी की अवधि के लिए निर्धारित अवधि समाप्त हो गई हो।
बी) यदि कंपनी स्वैच्छिक रूप से अपने समापन का विशेष प्रस्ताव पारित करती है।
सी) जब घटना घटित होती है और लेख यह जानकारी प्रदान करते हैं कि जब यह घटना घटित होगी तो कंपनी को बंद करना
होगा।
जब कंपनी ने अपने परिसमापन या समापन के लिए विशेष या असाधारण प्रस्ताव पारित किया है, तो
अदालत अदालत की देखरेख में कंपनी के परिसमापन या समापन के लिए लेनदारों, योगदानकर्ताओं या
अन्य व्यक्तियों के आवेदन पर आदेश पारित कर सकती है।
प्र.1. किसी कंपनी का परिसमापन या किसी कंपनी के समापन का अर्थ बताइए। उत्तर: किसी
जाता है और अधिशेष, यदि कोई हो, सदस्यों के बीच उनकी हिस्सेदारी के अनुपात में
विधियाँ हैं:

स्वैच्छिक समापन:
o सदस्य का स्वैच्छिक समापन
उत्तर: जब किसी कंपनी का परिसमापन होता है, तो कंपनी के परिसमापन या समापन की कार्यवाही
के संचालन के लिए एक या अधिक व्यक्तियों को विशेष रूप से नियुक्त करने की आवश्यकता होती है।
ऐसे व्यक्ति को लिक्विडेटर कहा जाता है। उसे परिसंपत्तियों का एहसास करना, देनदारियों का
निर्वहन करना और अधिशेष, यदि कोई हो, शेयरधारकों के बीच वितरित करना आवश्यक है।
उत्तर: अंशदायी कंपनी के सभी वर्तमान और पूर्व सदस्य हैं जो कंपनी की परिसंपत्तियों में संयुक्त रूप से
उसके ऋणों और देनदारियों के भुगतान के लिए पर्याप्त राशि का योगदान करने के लिए उत्तरदायी हैं,
परिसमापन की लागत को पूरा करने और अंशदाताओं के अधिकारों को आपस में समायोजित करने के लिए। ,
परिसमापन हैं:
> कंपनी अधिनियम के नियम 329 के अनुसार संपत्ति की बिक्री से प्राप्त राशि और अंशदान से प्राप्त
> स्वैच्छिक समापन के मामले में सदस्यों को और अनिवार्य समापन के मामले में अदालत में
उत्तर: परिसमापक को भुगतान की गई एक निश्चित राशि या इसका भुगतान परिसमापक द्वारा प्राप्त संपत्तियों और/
या असुरक्षित लेनदारों को भुगतान की गई राशि पर प्रतिशत के रूप में किया जाता है।
उत्तर: किसी कंपनी के परिसमापन के समय, परिसमापक सभी परिसंपत्तियों का एहसास करता है
करने के लिए तैयार किए गए विवरण को परिसमापक के खाते का अंतिम विवरण कहा जाता है।
यह बयान कंपनी के मामले पूरी तरह से ख़त्म हो जाने के बाद तैयार किया गया है।
प्र.8.
✔ प्रासंगिक तिथि पर कंपनी की ओर से केंद्र या राज्य सरकार या स्थानीय प्राधिकारी को देय सभी
राजस्व, कर, उपकर और दरें और उस तिथि से अगले बारह महीनों के भीतर देय हो गए हैं:
कंपनी को प्रदान की गई सेवाओं के संबंध में और चार महीने से अधिक की अवधि के लिए
देय किसी भी कर्मचारी के सभी वेतन या वेतन (समय या टुकड़े के काम के लिए देय मजदूरी
किसी भी प्रावधान के तहत किसी भी कामगार को देय कोई मुआवजा, बशर्ते कि किसी एक दावेदार को
जांच का खर्च

उत्तर:
(ए) कंपनी के कर्मचारी, जिनका अवैतनिक वेतन सर्वोच्च प्राथमिकता माना जाता
विलायक नहीं है। इसमें अर्जित कोई भी अवकाश वेतन शामिल है।
(बी) टॉर्ट पीड़ित - ऐसी स्थिति में जहां दिवालिया कंपनी ने किसी अन्य के खिलाफ गलत
कार्रवाई के लिए मुकदमा दायर किया है, पीड़ित को अक्सर अधिमान्य लेनदार का पद
उत्तर: एक सुरक्षित ऋणदाता आम तौर पर एक बैंक या अन्य परिसंपत्ति-आधारित ऋणदाता होता है जो किसी
व्यावसायिक परिसंपत्ति या संपत्ति पर एक निश्चित या फ्लोटिंग चार्ज रखता है। जब कोई व्यवसाय दिवालिया हो
जाता है, तो उस विशिष्ट परिसंपत्ति की बिक्री जिस पर सुरक्षा रखी जाती है, इस श्रेणी के लेनदार के लिए

सुरक्षित लेनदार के पास परिसमापन के बाद भुगतान प्राप्त करने की अधिक संभावना होती है। सुरक्षित
सुरक्षित लेनदारों को फिर दो उप-श्रेणियों में विभाजित किया जाता है, एक निश्चित शुल्क वाले और एक

> जहां लेखों में किसी घटना के घटित होने पर समापन के लिए प्रावधान किया
गया है और निर्दिष्ट घटना घटित हो चुकी है।
✔ एक विशेष संकल्प द्वारा:
जब अन्य सभी मामलों में सदस्यों द्वारा स्वैच्छिक समापन के लिए एक प्रस्ताव पारित किया जाता है,
तो इसे आधिकारिक राजपत्र और समाचार पत्रों में एक विज्ञापन द्वारा जनता को सूचित किया
जाना चाहिए।
अपने ऋणों का भुगतान करने में सक्षम है और निदेशक इस आशय की घोषणा करते हैं, तो इसे
कंपनी दिवालिया है। उस स्थिति में, कंपनी को समापन के प्रस्ताव को पारित करने के
