1. TECHNICAL PROPOSAL
The Shri Tirupati Steel Cast Ltd is a diversified trading company. The group has interests in Steel,
Engineering and Commodities. President TMT Fe-550 TMT bars are forged by Shri Tirupati Steel Cast
Ltd (STSCL at their fully automated state-of-the-art plant at Hindupur. Client now wish to install solar
Ground mount plant on their land parcel and utilize the solar power for captive consumption. We
welcome the green initiative taken by STSCL and propose 25MWp-DC ground mounted solar power
plant on the identified Land area.

TERMINATION, EQUIPMENT LOCATIONS & CABLE ROUTING (INDICATIVE)

Below are the assumed locations for the inverters, ACDB panels, Transformers, ICOG panels, main HT
panel, Metering cubicle, Double pole structure and termination point for the project.

▪ Estimated capacity of total 25011.14 KWp will be installed on the allocated ground area as in
PV layout and will have injection point at the HT side.
▪ For ground mount installation, inverters will be placed along MMS on ground area as indicated
in PV layout. The installation will be of outdoor type.
▪ ACDB panels, Transformers, ICOG’s and Main HT switchgear panel will be installed along the
internal roads of Land parcel as shown in PV layout. Installation will be of outdoor type on
ground area with suitable civil foundation & footing arrangement.
▪ 33KV switchyard yard will be installed very near to main control room which is in north-west
corner of PV plant area as indicated in PV layout.
▪ Power output from Inverter at is stepped up to 33KV using inverter duty transformers.
▪ 33KV HT cables shall be laid from inverter duty transformer secondary winding to ICOG, From
ICOG to Main HT panel and Main HT panel to 33KV Switchyard.
▪ 33kV transmission line with HSG / RSJ poles with ACSR panther conductor shall be installed up
to 33/220KV, 22.5MVA power transformer. ROW is in customer scope
▪ Power transformer shall be installed very near to existing 220KV substation located near to
banukota village.
▪ 220kV substation consists of 33/220KV,22.5 MVA power transformer, isolators, LA, CT metering
and protection, PT metering and protection, SF6 breaker, control, and relay panel
▪ The distance between solar side Main control room to 220kV substation is approx. 7 KMs.
▪ Any further change in cable route or change in termination point location will modify the
quantity of HT cable. Hence any further additional requirement will be as extra.

ASSUMPTIONS AND CONDITIONS

• It is assumed that solar modules would remain in the shadow-free area with limited
soiling loss
• The slopes of modules are considered as 15 Deg for ground mount type and oriented
towards true south direction.
• The specific energy generation of the solar system is estimated with PVsyst V 7 .2
software with P90 probability consideration.
• The guaranteed energy generation mentioned above is subject to availability of average
Global Inclined Irradiation of 2085.2 kWh/m2/year. The source of GII is from SolarGIS.
• Performance Ratio (%) would be computed every year only.
• It is recommended to always use soft module cleaning kit for module cleaning or do
cleaning with soft cloth (Water Hardness- should be less than 75Mg/Lt, and Ph=7 and
water pressure should not exceed 3.5 bar at the nozzle,). Cleaning can be performed by
Wet Cleaning, Soft Cleaning, Compressed Air cleaning, rotating brush, Dry Brush
cleaning.
• Estimated energy and PR are based on the condition that connected load would be
continuously available during the sun hours, it would always be greater than the solar
installed capacity and it would consume entire energy generated from solar.
• All external factors like irradiation level, temperature, soiling, grid outages, and other
external product failures shall affect the overall generation of the plant. Generation shall
vary in direct relation with these external factors.

CONSIDERATIONS & EXCLUSIONS

This proposal is based on the requirement from client. The assumptions made are as
mentioned below.
▪ Land identification, acquisition, and handing over clear land parcel excluding all the
valleys and rocky area for project construction is in scope of clien t.
▪ Client shall Remove all trees, rocks, boulders, existing structures, construction wastage,
dumped material in the land parcel and shall clear all the undulations. The proposal is
assuming installation of solar plant on land parcel with minimum undulati ons and clear
of plants and shrubs.
▪ The total capacity of 25MWp is distributed on indicated Land parcel however the
capacity distribution on land parcel may modify during detailed engineering stage.
▪ Combination of HDG & Galvalume MS structure for ground mounted installation is
considered in proposal.
▪ Equipment locations are as mentioned above. All cable sizing and routing and lengths
are arrived basis to these equipment locations. Hence any further modifications of the
equipment locations may lead to additional scope and cost.
▪ Presently all road formations required (internal and Peripheral roads) will be in
Panasonic scope.
▪ Construction of open type rainstorm water drainage will be in Panasonic scope.
▪ Street lighting are included in Panasonic scope.
▪ Supply and installation of CCTV is included in Panasonic scope.
▪ It is assumed that the total generated power from solar plant shall be consumed by the
loads and all the time loads are more than the solar power generation.
▪ Approvals for laying HT cable in the cable trenches will be in scope of client.
▪ SLDC communication (including hardware) if required is in scope of Panasonic
▪ Solar inverters are designed to deliver unity power factor, however, due to nature and
type of load, connected load, grid quality the power factor at customer panel may vary.
Hence the reactive power management with filters (IF REQUIRED) shall be in scope of
customer.
▪ Monitoring software license charges for first year is included in scope. Renewal charges
or data/server charges from 2nd year onwards shall be to client account and to be
charged extra.
▪ It is recommended to always use soft module cleaning kit for module cleaning (Water Hardness-
should be less than 500 PPM and Ph=7 and water pressure should not exceed 3.5 bar at the
nozzle,).
▪ Any other items/requirement not mentioned in the above offer & bill of supply is
outside the scope of Panasonic unless otherwise mutually agreed by both the parties.
3. COMMERCIAL PROSPECT

▪ Price quoted is based on exchange rate 1 USD = Rs.82 for the imported components. In case of
fluctuation in the exchange rate the same will be applicable to above mentioned price.
3.2 VALIDITY OF OFFER

The offer is valid for 15 days from the date of submission of this proposal and thereafter
subject to written confirmation from by Panasonic

3.3 DELIVERY

The project will be commissioning within 8 / 9 months from the date of PO / advance / opening
of LC whichever is later.

All warranties shall start from date of supply.
Solar Inverter Standard Warranty Period for String Inverters is 5 years from Date of
Supply.
Balance of System 1 year from the Date of supply

WARRANTY IS VOID UNDER THE CONDITIONS

• If the equipment or part thereof is failed/affected due to poor grid conditions, deliberate
damage to the system by community, improper operation, unauthorized attempts to
repair/maintenance by a non- Panasonic authorized / certified personnel.
• Any change in the construction of the project by client or any other party after site hand
over, then Panasonic will not be responsible for performance of the Project.
• Force Majeure, including but not limited to earthquakes, lightning, acts of vandalism,
network over voltages and power surges, fire, flood and any other event beyond the control
of Panasonic. Relocation of equipment without the supervision of Panasonic.

DEFECT LIABILITY PERIOD-DLP (OPTIONAL- ONLY APPLICABLE WITH O & M SCOPE)

• The DLP will be for 1 (one) year from date of commissioning


• The DLP will be applicable only if O & M scope is with Panasonic
• During the DLP, Panasonic shall be liable to repair and replace, correct the defects arising
from faulty design, materials, or workmanship as per the agreed scope at its own costs and
risks within the defined SLA timeframe.
• SLA would be defined as a part of O&M agreement

PAYMENT TERMS

Supply • 20% advance along with the Purchase Order


& Services • 70% against LC at site and submission of Invoices and proof of shipping
documents (packing list / LR / DC / BL) for supply of materials at site on pro rata
basis.
• 5 % against readiness of site for commissioning.
• 5% against commissioning and site handover

▪ Price split in Supply portion and services portion would be provided post finalization.
▪ Commissioning means deemed commissioning or readiness for commissioning with respect to
the scope of work.
▪ Project handover means, complete commissioning, handover of as build drawings, O&M
manual and warranty certificates

STANDARD TERMS & CONDITIONS

Major Terms Panasonic Life Solutions India Private Limited (PLSIND)

Scope of Work -
According to the Scope of Work clause of the proposal.
Boundary limit for EPC

Engineering Document
7 days from the submission of the engineering document.
Approval

Excise duty exemption and customs duty as applicable will be extra.


Customs / Excise Duty
Exemption If at a future date, there is any change in the MNRE exemptions, the same as
per applicable customs duty and excise duty taxes have to be borne by client.

Standard BCD duty is applicable on solar system components as per Policy


Basic Customer Duty from Government of India, this BCD is included in quoted price, however if at
(BCD) a later stage there is increase in applicable BCD, the additional charges shall
be borne by the client under change in law

In case of delays from the client or Government Authorities on any of the

In the event of purchase order cancellation, the customer is liable to Panasonic Life Solutions India
Private Limited as follows:

➢ After the receipt of the purchase order, 20% of the purchase order value including all taxes
and duties
➢ After the detailed engineering, 30% of the purchase order value including all taxes and duties
➢ After submission of drawings, 80% of the purchase order value including all taxes and duties
➢ Before commissioning of the project, 100% of the purchase order value including all taxes and
duties.

ANNEX 4

LEGAL TERMS

CONFIDENTIALITY

▪ This proposal / agreement is strictly confidential, and CLIENT agrees that at any point in time, the
prices, terms and conditions will not be disclosed to any company, its subsidiaries and group
companies also.

CHANGE IN LAW

▪ PLSIND quotes the price and commercial terms based on the present Laws and Statute taxes and
duties applicable from the Indian Govt. During the process of execution of the project till the
completion and handing over of the project, if the Govt. of India imposes any new taxes, duties,
or any cess other than what is applicable on the offer date are considered to be variation of
statutory norms and laws which is beyond the control of PLSIND and shall the compensated extra
to PLSIND by the client/purchaser.
GENERAL INDEMNITY

▪ Each party shall indemnify the other party forever from and against any and all claims, costs,
liabilities (financial or otherwise), demands, litigations, compensations, judgments, expenses or
damages (including attorney’s fees and other related expenses) arising out of any breach or
alleged breach of any of the conditions of this Agreement, performance of the obligations
hereunder, or any representation or misrepresentation made by each party to any third party
with regard to the subject of this Agreement. The said indemnification shall also include losses
or damages to property of any third party or injury or death to any third party caused whether
by accidents or by acts of torts by each party or its representatives in performance of its
obligations under this Agreement.
▪ Notwithstanding any stated in this Proposal, the total liability of Panasonic shall be limited to 5
% of the total value of the contract.

ARBITRATION

▪ This proposal/agreement shall be governed in accordance to the laws of India.


▪ All disputes arising in connection with this Agreement / Purchaser Order shall be finally settled
and governed by the provisions of Indian Laws. The place of arbitration shall be Laws of Mumbai
(neutral location). The proceedings shall be conducted in English language.

FORCE MAJURE

▪ The following circumstances shall be regarded as cases of force majeure if they occur after
acknowledging of order and if they are beyond Panasonic reasonable control such as but not
limited to any act of God beyond human control, War, Wind storm, Hail storm, Floods, Fire,
Cyclone, Tornado, Public riots, Riots in client Building/ factory, civil commotion, industrial
disputes and any other circumstances beyond reasonable control of Panasonic and client.
▪ Upon occurrence of a Force Majeure event, the obligations of Panasonic shall be suspended
during the subsistence of such event and Panasonic shall be entitled to suitable time extension
not less than the period for which Panasonic is prevented from or delayed in complying with its
obligation due to such force majeure, including a reasonable time required for de-mobilization/
re- mobilization. The demobilization and re-mobilization cost shall be mutually agreed between
the parties and such cost shall be solely borne by Client.
ANNEX 5

AMC SCOPE OF WORK

Panasonic proposes Annual Maintenance Contract (AMC) Services for ground mount solar power
plants, which will include the following:
• Cleaning of PV up to 2 cycles per month
• Mounting structures and fixing arrangement- once in a year
• Visual inspection of PV Modules / Inverters / ACDB panel for any damage once in a month
• Cleaning of inverter filters once in a month
• Preventive maintenance checks once in month:-
a) Healthiness of string (string current checking)
b) Inspecting MCB / MCCB in ACDB panel
c) Checking proper tightness of cable termination
d) Data logger inspection
• Checking earthing resistance for solar plant once in a year
• Performance Test of the plant PR once in year
• Coordination with third party vendors / manufacturers for warranty claims as per the
requirement.
• Maintenance of consumable spares as per requirement.
• Submitting documentation and reports of system performance once in a month

Following activities will be in Client’s scope:


• Supply of auxiliary power during O&M period
• Insurance of Plant and Equipment during O&M period
• Internet Connection at Site for Remote Monitoring
• Monitoring software license charges after first year onwards
