2.6. Warranty
 One year against manufacturing defects from the day of Receiving
of material at site. The warranty will be limited to changing or
replacing defective parts free of charge, subject to the materials /
equipment being regularly serviced by an authorized systems
maintenance company. The warranty does not cover misuse or
mishandling of the equipment.
 OEM supplied equipment warranty should be as per manufacturer
standard terms & Conditions.
2.11. Cancellation
(1) On termination of the Contract for any reason:
a. Buyer will immediately pay our outstanding unpaid, in respect of
Work done for which no invoice has been submitted, we may
submit an invoice which will be payable immediately on receipt.
b. Buyer will return all of our equipment and materials and if you fail
to do so, we may enter the premises where any such equipment
and materials are located and take possession of them.
c. Buyer will return all the submitted document & information
shared during the submittal stage by hard or soft copy.
2.12. Confidential ity

 Materials received on the site before installation is the responsibility
of the client and should be inspected for any defects or faults.
 Warranty claims can be raised and accepted only before the
materials installation.
2.7. Exclusions/ Deviations
 As mentioned in the Technical offers
(1) Buyer shall keep in strict confidence all technical or commercial
know-how, specifications, inventions, processes or initiatives which
are of a confidential nature and have been disclosed to you by us.
2.13. Variation
 No variation of the Contract or these Conditions shall be valid
unless it is in writing.

2.8. Certification 2.14. Force Majeure

 REDA shall not be liable for any failure or delay in performance if:

 Such failure or delay is caused by Force Majeure as

defined below and/or by (case) law.
 Any modification or change in design is performed
without written consent of REDA.
 In case of such a failure as set forth above, the performance of the
relevant part(s) of the Agreement will be suspended for the period
such failure continues, without REDA being responsible or liable to
Buyer for any damage resulting there from.
The expression "Force Majeure" shall mean and include any
circumstances or occurrences beyond REDAs' reasonable control -
whether or not foreseeable at the time of the Agreement - as a
result of which REDA cannot reasonably be required to execute its
obligations including force majeure and/or default by one of
REDAs' suppliers.

2.15. Prices

 The Quotation is based on the costs of labor, equipment, materials,

transport, Government taxes, customs duty and conformity with
statutory obligations prevailing at the date of the Quotation; in the
event of any increase in any of the costs aforesaid between the date
of Quotation and the date of delivery or, the date of installation or
provision of services under the Contract, the labor, equipment,
materials, transport will be invoiced upon the basis of the prices
prevailing on the date of delivery, installation or provision of the
services

2.16. Assign men t

 You will not, without our prior written consent, assign, transfer,
charge, sub-contract or deal in any other manner with all or any of
your rights or obligations under the Contract. We may at any time
assign, transfer, charge, sub-contract or deal in any other manner
with all or any of our rights or obligations under the Contract.

2.17. Governing law

 Any Contract shall be subject to and in all respect be governed by

the laws of Kingdom of Saudi Arabia
