የንግድ ምዝገባ እና የንግድ ሥራ ፈቃድ
አገልግሎት አሰጣጥ ሥርዓትን ፍትሀዊ፣ ዘመናዊ፣
ቀልጣፋ እና ተደራሽ በማድረግ የንግዱን ማህበረሰብ
እና ህብረተሰቡ ከንግዱ ሥርዓት የሚጠብቀውን
አገልግሎት እንዲያገኝ የሕግና የአሠራር ክፍተቶችን
በመድፈንና እርካታን በማሳደግ በአገሪቱ ሁለንተናዊ
ኢኮኖሚ ውስጥ የበኩሉን ሚና እንዲጫወት ማድረግ
በማስፈለጉ፤
የንግድ ምዝገባ እና የንግድ ፈቃድ አሰጣጥን
በዘመናዊ ቴክኖሎጂ እንዲደገፍ በማድረግ የንግድ
ሥርዓቱ ለመረጃ አያያዝ አመቺ እንዲሆን፣ ሕገወጥ
እንቅስቃሴ ለመግታት የሚያስችል፣ ለመንግስት፣
ለህብረተሰብ እና የሚመለከታቸው አካላት ተገቢውን
መረጃ እንዲያገኙ ማድረግ በማስፈለጉ፤
የንግድ ሥርዓቱ ግልፅነት፣ ተጠያቂነት እና መልካም
አስተዳደር የሰፈነበት በማድረግ የአገሪቱን ራዕይ
ለማሳካት እንዲቻል አገሪቱ ዘመናዊ የንግድ
ምዝገባና ፈቃድ ሕግ እንዲኖራት ማድረግ አስፈላጊ
ሆኖ በመገኘቱ፤

COMMERCIAL REGISTRATION AND
BUSINESS LICENSING PROCLAMATION
WHEREAS, it has become necessary to
put in place a fair, modern, fast and accessible system
of commercial registration and business licensing
services; to close loopholes in legislation and working
procedures and, hence, enable the business
community and the society obtain the services they
require and expect from the commercial system, to
increase the societies satisfaction and contribute to the
comprehensive economic changes in the nation;
WHEREAS, It is found necessary to
support commercial registration and licensing
activities with modern technology in order to make
them suitable for data management, to combat
illegality and make data accessible to the government,
the society and concerned authorities;
It is found imperative that the commercial
system maintains principles of transparency,
accountability and good governance and, in so doing,
realize the nation’s vision;
NOW, THEREFORE, this Proclamation
has been promulgated in pursuance of Article 55/1/ of
the Federal Democratic Republic of Ethiopia.
PART ONE
GENERAL
1. Short Title
This Proclamation may be cited as the
“Commercial Registration and Licensing
Proclamation No. 980/2016”.

፪. ትርጓሜ 2. Definitions
በዚህ አዋጅ ውስጥ የቃሉ አግባብ ሌላ ትርጉም In this Proclamation unless the context requires
የሚያሰጠው ካልሆነ በስተቀር፦ otherwise:
፩/ “የንግድ ሕግ” ማለት የኢትዮጵያ የንግድ 1/ “Commercial Code” means the Commercial
ሕግ ነው፤ Code of Ethiopia;
፪/ “ነጋዴ” ማለት ንግድን የሙያ ሥራው 2/ “business person” means any person who
አድርጎ ተገቢ ጥቅም ለማግኘት በንግድ ሕግ professionally and for gain carries on any of

፫/ “የንግድ ሥራ” ማለት በዚህ አንቀጽ ንዑስ 3/ “commercial activity” means any activity
አንቀጽ (፪) በተተረጎመው መሠረት ነጋዴ carried on by a business person as defined
የሚሰራው ማንኛውንም ሥራ ነው፤ under sub-article (2) of this Article;
፬/ “አገልግሎት” ማለት ደመወዝ ወይም የቀን 4/ “service” means any commercial dispensing
ሙያተኛ ክፍያ ያልሆነ ገቢ የሚያስገኝ of services for consideration other than salary
ማንኛውም አገልግሎት የመስጠት ንግድ ሥራ or wages;
ነው፤
፭/ “የአገር ውስጥ ንግድ” ማለት እንደአግባቡ 5/ “domestic trade” includes wholesale or retail
በኢትዮጵያ ውስጥ የንግድ ዕቃ በጅምላ ወይም of goods or the dispensing of services or the
በችርቻሮ መሸጥን ወይም አገልግሎት supply of live animal to the market after
መስጠትን ወይም ቁም እንስሳትን ከአምራች buying from producer or directly after

፮/ “የውጭ ንግድ” ማለት ለሽያጭ የሚሆኑትን 6/ “foreign trade” means the exporting from or

importing into Ethiopia of goods and services

ከኢትዮጵያ ወደ ውጭ መላክ ወይም ከውጭ
አገር ወደ ሀገር ውስጥ የማስመጣት ንግድ
ሥራ ነው፤
፯/ “የንግድ ወኪል” ማለት ከነጋዴው ጋር 7/ “commercial agents” means a person not bound
እንዲሠራ በውል የተቀጠረ ሳይሆን ነጋዴ to a business person by a contract of
ሆኖ ራሱን የቻለ ሥራ ሊሠራ በተወሰነ employment and carrying out independent
business activity, who is entrusted by a business
ሥፍራ በነጋዴው ስምና ምትክ ውል
person to represent him permanently in a
እንዲዋዋል ውክልና የተሰጠው ሰው ነው፤ specified area and to make agreements in the
name and on behalf of the business person;
፰/ “የንግድ ዕቃዎች” ማለት ገንዘብና ገንዘብነት 8/ “goods” means any moveable goods that are
ካላቸው ሰነዶች በስተቀር ማናቸውም የሚገዙ being purchased or sold or leased or by
ወይም የሚሸጡ ወይም የሚከራዩ ወይም which any commercial activity is conducted
በሌላ ሁኔታ በሰዎች መካከል የንግድ ሥራ between persons, except monies in any form
and securities;
የሚከናወንባቸው የሚንቀሳቀሱ ዕቃዎች
ናቸው፤
፱/ “የንግድ እንደራሴ” ማለት መኖሪያው የወካዩ 9/ “commercial representative” means any person
who is not domiciled in the country where the
የንግድ ማህበር ወይም ነጋዴ ጽሕፈት ቤት
head office of the business organization or the
ባለበት አገር ያልሆነና ከንግድ ማህበሩ business person he represents is situate, bound
ወይም ከነጋዴው ጋር በተዋዋለው የሥራ to such business organization or business

፲/ “የንግድ ስም” ማለት አንድ ነጋዴ ለንግድ 10/ “Trade Name” means a name that a given
ሥራው የሚጠቀምበት እና በህብረተሰቡ business person uses for his business or
ዘንድ በግልጽ የሚታወቅበት ስም ነው፤ known by the society as such;

፲፩/ “የንግድ ድርጅት ስም” ማለት አንድ የንግድ 11/ “name of business” means a name that is

፲፪/ “የፀና የንግድ ሥራ ፍቃድ" ማለት በዚህ 12/ “valid business license” means a business
አዋጅ መሰረት በበጀት ዓመቱ የተሰጠ license issued or renewed in the budget year
pursuant to this Proclamation or a valid
ወይም የታደሰ ወይም በዚህ አዋጅ መሠረት
business license which may be renewed

፲፫/ “ኢንዱስትሪ” ማለት ማንኛውም የንግድ 13/ “industry” means being any commercial
ተግባር ሆኖ በሞተር ኃይል የሚንቀሳቀሱ activity, includes the manufacturing of goods
and inputs used to produce goods using
ወይም በሌሎች መሣሪያዎች የንግድ
motor-power-driven equipments or other
ዕቃዎችን ወይም የንግድ ዕቃዎችን ለማምረት
equipments, engineering services, any other
የሚያገለግሉ ግብአቶችን የማምረት ሥራን፣ service provision activity and research and
የኢንጂነሪንግ አገልግሎትን፣ ሌላ ማንኛውም dissemination activities;
የአገልግሎት መስጠት ሥራን እና የምርምር
ሥርጸት ሥራን ያጠቃልላል፤

፲፬/ “የማምረት ሥራ" ማለት በኢንዱስትሪ 14/ “manufacturing” includes any formulation,
የሚከናወን የመቀመም፣የመለወጥ፣የመገጣጠም alteration, assembling or processing or
ወይም የማሰናዳት ሥራን ወይም የግብርና agricultural development or mine exploration
and development or operation activity carried
ልማት ወይም የማዕድን ፍለጋና ልማት
out by using industry;
ወይም የማምረት ሥራን ያካትታል፤

፲፭/ “የኢንጂነሪንግ አገልግሎት” ማለት 15/ “engineering service” means repairing or

ለኢንዱስትሪ የሚያገለግሉ መሣሪያዎች maintaining equipments of industrial use or
ወይም የኤሌክትሪክ ወይም የኤሌክትሮኒክስ electrical or electronic equipments or other
similar equipments, construction consultancy,
መሣሪያዎችን ወይም ሌሎች ተመሳሳይ
construction management, consultancy on the
መሳሪያዎችን መጠገን፣ ማደስ ወይም
erection of equipments, engineering
የግንባታ ማማከር፣ የግንባታ አስተዳደር፣ consultancy and predesigned services,
የመሣሪያ ተከላና ማማከር አገልግሎት፣ engineering design services, supervisory
የኢንጂነሪንግ ማማከር የቅድመ ዲዛይን services and is inclusive of the likes;
አገልግሎት፣ የኢንጂነሪንግ ዲዛይን
አገልግሎት፣ የቁጥጥር አገልግሎትን ወይም
የመሳሰሉትን ያካትታል፤

፲፮/ “የአገር ውስጥ ባለሀብት” ማለት ካፒታሉን 16/ “domestic investor” means an Ethiopian or a
በንግድ ሥራ ላይ ያዋለ ኢትዮጵያዊ ወይም foreign national permitted by the relevant
እንደ ሀገር ውስጥ ባለሀብት እንዲቆጠር organ to be deemed as domestic investor,
who invests his capital in business activities;

፲፯/ “የውጭ ባለሀብት” ማለት ካፒታሉን ወደ 17/ “foreign investor” means a foreign national
ኢትዮጵያ በማስገባት በኢንቨስትመንት or a business organization who brings capital
into the country and invested in a business
አዋጁ መሠረት በተፈቀደለት የንግድ ሥራ
sector permitted in accordance with the

ዜጋ ወይም ሙሉ በሙሉ በውጭ ሀገር ዜጋ

ባለቤትነት የተያዘ ድርጅት ወይም ከሀገር business sector entirely owned by a foreign
ውስጥ ባለሀብት ጋር በቅንጅት ኢትዮጵያ national or, in a business established in
ውስጥ በተቋቋመ ድርጅት ኢንቨስት ያደረገ partnership with Ethiopian national;
የውጭ ሀገር ዜጋ ወይም ድርጅት ነው፤
፲፰/ “ተገቢ ያልሆነ የንግድ ሥራ” ማለት 18/ “unfair trade practice” means any act of
ማንኛውንም ንግድን የሚመለከት የሕግ violation of any provision of trade related
ድንጋጌዎችን የሚጥስ ድርጊት ነው፤ laws;

፲፱/ “የግብርና ልማት” ማለት ማንኛዉንም 19/ “agricultural development” means a business
የዕፅዋት ልማት ወይም የእንስሳትና ዓሣ activity engages in the production of any
ልማት ወይም እንስሳት ተዋፅኦ የማልማት plant or animal or fisheries development or
animal by-products;
ንግድ ሥራ ነዉ፤
፳/ “የንግድ ምዝገባ” ማለት በንግድ ሕጉ እና 20/ “commercial registration” means registration
በዚህ አዋጅ መሠረት የሚደረግ ምዝገባ to be made pursuant to the Commercial Code
ነው፤ and this Proclamation;

፳፩/ “መዝጋቢ መሥሪያ ቤት” ማለት የንግድ 21/ “registering office” means the relevant
ምዝገባ እና የንግድ ስም ምዝገባን authority that undertakes commercial
የሚያከናውን አግባብ ያለው ባለሥልጣን registration and trade name registration;
ነዉ፤
፳፪/ “አስመጪ” ማለት የንግድ ዕቃዎችን እና 22/ “importer” means any person who imports
አገልግሎቶችን ከውጭ ሀገር ወደ ኢትዮጵያ goods or services from abroad into Ethiopia;
የሚያስመጣ ሰው ነው፤
፳፫/ “ላኪ” ማለት የንግድ ዕቃዎችን እና 23/ “exporter” means any person who exports
አገልግሎቶችን ከኢትዮጵያ ወደ ውጭ ሀገር goods and services from Ethiopia to abroad;
የሚልክ ሰው ነው፤
፳፬/ “ልዩ የምዝገባ መለያ ቁጥር” ማለት ለግለሰብ 24/ “special identification number of
ነጋዴ፣ ለንግድ ማኅበር ወይም ለእንደራሴ registration” means taxpayer’s identification
በሚመለከተው አካል የሚሰጥ የግብር ከፋይ number issued by the concerned government
office to a business persons, business
መለያ ቁጥር ነው፤
organization or commercial representative;

፳፭/ “ጅምላ ነጋዴ” ማለት የንግድ ዕቃዎችን 25/ “wholesaler” means any person who sells
ከአምራች ወይም ከአስመጭ ገዝቶ ለቸርቻሪ goods to retailers or governmental and non-
ወይም ለመንግስታዊ እና መንግስታዊ ላልሆኑ governmental organizations or cooperatives
ተቋማት ወይም ለህብረት ሥራ ማህበራት by wholesale after having bought such goods
በጅምላ የሚሸጥ ማንኛዉም ሰዉ ነዉ፤ from producers or importers;

፳፮/ “ችርቻሮ ነጋዴ” ማለት የንግድ ዕቃዎችን 26/ “retailer” means any person who sells goods
ከአምራች፣ ከአስመጭ ወይም ከጅምላ ሻጭ to consumers or end users after buying such
goods from producers, importers or
ገዝቶ ለሸማች ወይም ለተጠቃሚ የሚሸጥ
wholesaler;
ማንኛዉም ሰው ነዉ፤
፳፯/ “የፌደራል መንግስት የልማት ድርጅት” ማለት 27/ “federal public enterprise” means an

፳፱/ “መሠረታዊ የንግድ ዕቃ ወይም አገልግሎት” 29/ “basic goods or services” means goods or

፴/ “የብቃት ማረጋገጫ የምስክር ወረቀት” 30/ “certificate of competence” means a

associations” means chambers established at

ወይም በአገልግሎት ሰጪነት በአንድ ዓይነት established by business persons engaged as
የንግድ ዘርፍ ላይ የተሰማሩ ነጋዴዎችን manufacturers or service providers in the
ወይም ፆታን መሠረት በማድረግ ወይም same commercial activity or based on the
same gender or in any other manner to
በማንኛውም ሁኔታ ንግድን ለመደገፍ
support commercial activities;
የተደራጁ ማህበራት ናቸው፤
፴፫/ “የፍራንቻይዝ ስምምነት” ማለት ዕዉቅና 33/ “franchise agreement” means an agreement
ባገኘዉ ምርት ወይም አገልግሎት ንግድ concluded for consideration between the
franchiser and the franchisee in order to

undertake business activities by using the

፴፬/ “የኢትዮጵያ ንግድ ሥራ ፈቃድ መስጫ 34/ “Ethiopian Business License Issuing
መደብ" ማለት በሀገር አቀፍ ደረጃ የንግድ Category” means a business license issuing
ሥራ የሚካሄድባቸው የግብርና፣ የኢንዱስትሪ category incorporating agricultural and
ምርቶችና የተለያዩ የአገልግሎት ንግድ industrial products and various service
ሥራ መስኮችን ያቀፈ መደብ ነው፤ business sectors in which commercial
activities are undertaken at the national level;
፴፭/ “ንብረት" ማለት የሚንቀሳቀስና የማይንቀሳ 35/ “property” means movable and immovable
ቀስ ንብረት ሆኖ የአዕምሯዊ ፈጠራ ንብረት property and includes intellectual property
መብትን ይጨምራል፤ rights;
36/ “administrative measure” includes measures
፴፮/ “አስተዳደራዊ እርምጃ” ማለት አግባብ ባለው
such as written reprimand, sealing,
ባለሥልጣን የሚወሰድ የጽሁፍ ማስጠንቀቂያ
cancelation, suspension or other similar
፣እሸጋ ፣ እገዳ ፣ ስረዛ ወይም መሰል measures to be taken by the relevant
እርምጃዎችን ያካትታል፤ authority;

፴፯/ “በተመሳሳይ ደረጃ የሚደረግ ግብይት” ማለት 37/ “transaction at similar level” means a type of

የሚያደርገው የግብይት ዓይነት ነው፤
፴፰/ “አግባብ ያለው የሴክተር መሥሪያ ቤት” 38/ “relevant sector office” means executive
ማለት የብቃት ማረጋገጫ የምስክር ወረቀት office empowered to issue certificate of
competence or carry out other similar
የሚሰጥ ወይም ተመሳሳይ ተግባራትን
activities;
የሚያከናውን አስፈጻሚ መሥሪያ ቤት ነው፤
፴፱/ “ኩባንያ” ማለት ኃላፊነቱ የተወሰነ የንግድ 39/ “company” means a limited liability
ማህበር ነው፤ business organization;

፵/ “ሆልዲንግ ኩባንያ” ማለት ሁለትና ከዚያ 40/ “holding company” means a company
በላይ የሆኑ ኃላፊነታቸዉ የተወሰነ የንግድ incorporating two or more limited liability
ማህበራትን ያቀፈ፣ ልዩ የምዝገባ የምስክር companies and issued with a special
ወረቀት የተሰጠው እና በሆልደሩ የሚመራ registration certificate and managed by the
holder;
ኩባንያ ነዉ፤
፵፩/ “የጠረፍ ንግድ” ማለት ከኢትዮጵያ ድንበር 41/ “boarder trade” means a type of commercial
አዋሳኝ በሆኑ ሀገሮች በሁለትዮሽ ስምምነት activity through which a persons or business
ወይም በተናጠል ውሳኔ በድንበር አካባቢ persons residing at boarder areas undertake
their commercial activities through bilateral
የሚኖሩ ሰዎች ወይም ነጋዴዎች ሚኒስቴሩ
agreements or unilateral decisions of the
በጠረፍ ንግድ መመሪያ በሚወስነው
countries sharing border with Ethiopia
መሠረት ከሀገሪቱ ድንበር ባሻገር ጭምር pursuant to the border trade directive issued
በልዩ ሁኔታ የሚነግዱበት የንግድ ሥራ by the Ministry, including crossing the border
ዓይነት ነው፤ of the country;

፵፪/ “የበጀት ዓመት” ማለት በኢትዮጵያ የዘመን 42/ “budget year” means the period from Hamle
አቆጣጠር ከሐምሌ ፩ ቀን እስከ ሰኔ ፴ ቀን 01 to Sene 30, according to the Ethiopian
calendar or a period on the basis of the

፵፫/ “ተቆጣጣሪ” ማለት የንግድ ሥራዎች ሕግን 43/ “inspector” means an officer designated by

፵፭/ “ሚኒስቴር ወይም ሚኒስትር” ማለት የንግድ 45/ “Ministry or Minister” means the Ministry of
Trade or the Minister of Trade;
ሚኒስቴር ወይም የንግድ ሚኒስትር ነው፤
፵፮/ “ክልል” ማለት በኢትዮጵያ ፌደራላዊ 46/ “region” means any of those regions
ዲሞክራሲያዊ ሪፐብሊክ ሕገመንግስት specified under Article 47(1) of the
Constitution of the Federal Democratic
አንቀጽ ፵፯ (፩) የተመለከተ ማንኛውም

፵፯/ “ሰው” ማለት ማንኛውም የተፈጥሮ ሰው ወይም 47/ “person” means any natural person or

፫. የተፈፃሚነት ወሰን 3. Scope of application

ይህ አዋጅ በአንቀጽ ፳፩ (፬) ከተመለከቱት This Proclamation shall be applicable to any

፬. አግባብ ያለው ባለሥልጣን ተግባር እና ኃላፊነቶች 4. Powers and duties of the relevant authority
፩/ ሚኒስቴሩ ሀገር አቀፍ ተፈፃሚነት ያለው 1/ The Ministry shall, pursuant to this
ማዕከላዊ የንግድ መዝገብ እና የንግድ ስም Proclamation, establish and administer a

፬/ ሚኒስቴሩ የመዘገበውን የንግድ ምዝገባ እና 4/ The Ministry shall enter the commercial

፯/ ሚኒስቴሩ በፌደራል ደረጃ ፈቃድ 7/ The Ministry shall issue licenses for those

፱/ ሚኒስቴሩ የኢትዮጵያ የንግድ ሥራ ፈቃድ 9/ The Ministry shall prepare directives for

ይሰጣል፡፡
፲፩/ አግባብ ያለው ባለስልጣን አዋጁን፣ ይህንን 11/ The relevant authority shall take

ስለንግድ መዝገብ COMMERCIAL REGISTER
፭. በንግድ መዝገብ ስለመመዝገብ 5. Registration in the Commercial Register
፩/ ማንኛውም ሰው በንግድ መዝገብ ላይ 1/ No person shall obtain any kind of business
ሳይመዘገብ ማንኛውንም ዓይነት የንግድ license without being registered in

፪/ ማንኛውም ሰው በንግድ መዝገብ የሚመዘገበው 2/ Any person shall be registered in the

head office of his business is situated;
፫/ ማንኛውም ሰው በተለያዩ ክልሎች የተለያዩ 3/ Any person shall register in the commercial

የመመስረቻ ጽሁፎቻቸውን ወይም መተዳደሪያ organization shall, before signing the

፰/ በንግድ ሥራ ተሰማርቶ የነበረ ግለሰብ ነጋዴ 8/ Where the successors and the spouse of a

፱/ በንግድ ማህበር ውስጥ በዓይነት የሚደረግ 9/ The agreement of founders or members of the

፮. የንግድ ምዝገባ ስለማከናወን 6. Conducting Commercial Registration

፩/ ለንግድ ምዝገባ የሚቀርብ ማመልከቻ ለዚሁ 1/ An application for commercial registration
ዓላማ የተዘጋጀውን ቅጽ በመሙላትና shall be submitted before the commencement
አዋጁን ለማስፈጸም በሚወጡ ደንብና date of commercial activity by filling a

፫/ በማዕድን ዘርፍ የሚሰማሩ የውጭ ነጋዴዎች፣ 3/ Foreign business persons engaging in mining
sector, federal public enterprises, commercial
የፌደራል መንግስት ልማት ድርጅቶች፣
representatives, foreign business persons,
የንግድ እንደራሴዎች፤ የውጭ አገር
foreign business persons that engage in
ነጋዴዎች፣ በዓለም አቀፍ ጨረታ አሸናፊ business by winning international bids,
ሆነው የሚገቡ የውጭ አገር ነጋዴዎች፣ foreign business person desirous of acquiring
ተቋቁሞ የሚገኝ የንግድ ድርጅቶችን ገዝቶ a local business in its present condition and
ባለበት ሁኔታ ንግድ ለማካሄድ የሚፈልግ engage in business, associations authorized
የውጭ አገር ነጋዴ፣ በሌሎች ሕጎች የንግድ to engage in business under other laws, and

በሚያስተዳድሩ የክልል አካላት ይመዘገባሉ፡፡
፭/ ሚኒስቴሩ ፈቃድ በሚሰጥባቸው የንግድ ሥራ 5/ Any person who wants to engage in business
መስክ መሰማራት የሚፈልግ ማንኛውም ሰው category to which the license is issued by the
በንግድ መዝገብ ለመመዝገብ በቀጥታ Ministry, may directly apply to the Ministry

፮/ ግለሰብ ነጋዴ ወይም የንግድ ማህበር በንግድ 6/ An objection filed in accordance with law
መዝገብ እንዳይመዘገብ በሕግ መሠረት shall bar a sole proprietor or a business

commercial register.

፯. የንግድ ምዝገባ ስለሚፀናበት እና የንግድ 7. Validity of Commercial Registration and

ማህበራት ሕጋዊ ሰውነት Legal Personality of Business Organizations

፩/ የንግድ ማህበራት የሕግ ሰውነት የሚያገኙት 1/ Business organizations shall attain legal

፪/ የንግድ ማህበራት ሲቋቋሙ በሀገር አቀፍ 2/ Business organizations shall be publicized on

ስርጭት ባለው ጋዜጣ ለሕዝብ ይፋ መደረግ a newspaper having nationwide circulation at
አለባቸው፡፡ the time of their establishment.

፫/ የንግድ ማህበራት መዝገብ ለሕዝብ ክፍት 3/ The commercial register shall be open to the
መሆን ይኖርበታል፤ ሦስተኛ ወገኖችም public at large; third parties are also entitled
መዝገቡን መመልከት ይችላሉ፡፡ to look into the register.

፬/ ማንኛውም የንግድ ምዝገባ የሚፀናው በዚህ 4/ Any commercial registration shall be valid as
አዋጅ ድንጋጌዎች መሠረት አመልካቹ of the date of the applicant’s registration in
the commercial register in accordance with
በንግድ መዝገብ ከተመዘገበበት ዕለት ጀምሮ
the provisions of this Proclamation.
ነው፡፡
፰. የምዝገባ መረጃዎችና ሰነዶችን ስለማስተላለፍ 8. Forwarding of Information and Documents
Relating to Registration
፩/ ንግድን የሚያስተዳድሩ የክልል አካላት ወይም 1/ The regional organs administering commercial
የኢትዮጵያ ኢንቨስትመንት ኮሚሽን በዚህ activities or the Ethiopian Investment
Commission, upon conducting commercial
አዋጅ መሠረት የንግድ ምዝገባ እንዳከናወኑ
registration pursuant to this Proclamation
የምዝገባ መረጃዎችን ሚኒስቴሩ ለዚሁ ዓላማ shall immediately forward the documents of
በሚያዘጋጀው የመረጃ ቋት አማካይነት the registration to the data base of the
ወዲያዉኑ ማስተላለፍ ይኖርባቸዋል፡፡ Ministry.
፪/ ሚኒስቴሩ በዚህ አንቀጽ ንዑስ አንቀጽ (፩) 2/ The Ministry shall immediately enter into the
መሠረት የተላለፈለትን እና ራሱ Central Commercial Register the data
የመዘገባቸውን መረጃዎች ወዲያዉኑ forwarded to it pursuant to sub-article (1) of
this Article and documents of registration
በማዕከላዊ የንግድ መዝገብ ማስገባት
conducted by itself.
ይኖርበታል፡፡
፱. የግብር ከፋይ መለያ ቁጥር 9. Taxpayer’s Identification Number

፩/ መዝጋቢው መሥሪያ ቤት ለምዝገባ 1/ The registering office, before entering into

የቀረበው የንግድ ማህበር እና የንግድ the commercial register the business
organization or the commercial representative
እንደራሴ በንግድ መዝገብ ከመግባቱ በፊት applying for registration, shall request in
የግብር ከፋይ መለያ ቁጥር እንዲሰጠው writing the tax collecting authority to assign
ግብር አስከፋዩን አካል በደብዳቤ ይጠይቃል፡፡ taxpayer’s identification number.

፪/ ግብር አስከፋዩ አካል በምስረታ ላይ ላለው
የንግድ ማህበር ወይም የንግድ እንደራሴ
የሰጠውን የግብር ከፋይ መለያ ቁጥር
ለመዝጋቢው ያሳውቃል፡፡
፫/ መዝጋቢው መሥሪያ ቤት ከግብር አስከፋዩ
አካል የሚሰጠውን የግብር ከፋይ መለያ
ቁጥር የምዝገባ ማመልከቻ ላቀረበው ነጋዴ
ወይም የንግድ እንደራሴ በልዩ የምዝገባ
መለያ ቁጥርነት በመዝገብ ያስገባል፡፡
፲. የንግድ ምዝገባ ለውጥ ወይም ማሻሻያ
፩/ ማንኛዉም የንግድ ማህበር ምዝገባ ለውጥ
ወይም ማሻሻያ በሚመለከተው የሰነድ
አረጋጋጭ አካል በተረጋገጠ በ ፷ ቀናት ውስጥ
ለመዝጋቢው አካል ቀርቦ መመዝገብ አለበት፡፡
2/ The tax collecting authority shall notify the
registering office the taxpayer’s identification
number assigned to a business organization
under establishment or a commercial
representative.
3/ The registering office shall enter into the
commercial register the taxpayer’s
identification number assigned by the tax
collecting authority to the business person or
the commercial representative applying for
registration as special identification number
of registration.
10. Alterations or Amendments to a Commercial
Registration
1/ Any alternation or amendment on
commercial organization registration shall be
registered with the registering office within
60 days after its authentication by a notary.

፪/ የንግድ ምዝገባ ለውጥ ወይም ማሻሻያ 2/ Where the application for registration of
ለማስመዝገብ የቀረበው ማመልከቻ alternation or amendment on commercial
ተቀባይነት ካገኘ መዝጋቢው አካል registration is accepted, the registering office
ተቀባይነት ያገኘበትን ቀንና በንግድ shall issue confirmation of acceptance of the
መዝገብ ስለገባው ለውጥ ወይም ማሻሻያ alteration or amendment to the commercial
registration and notify the applicant and
በዝርዝር በመግለፅ ለአመልካቹና
concerned entities in writing details of the
ለሚመለከታቸው አካላት በጽሁፍ ማረጋገጫ alteration or amendment entered into the
መስጠት አለበት፤ ይህ የጽሁፍ ማረጋገጫ commercial register. Until written
ካልተሰጠ በስተቀር የቀረበው የምዝገባ ለውጥ confirmation is issued, it shall not be
ወይም ማሻሻያ በንግድ መዝገብ እንደገባ recognized that the alteration or amendment
አይቆጠርም፡፡ submitted is entered in the commercial
register.
፫/ መዝጋቢው አካል ያለአግባብ ተለውጧል 3/ The registering office may cancel any
ወይም ተሻሽሏል ብሎ የሚያምንበትን alteration or amendment already entered in
የንግድ ምዝገባ ለውጥ ወይም ማሻሻያ the commercial register if it believes that it
መሰረዝና ይህንኑ አመልካቹ እንዲያውቀው was registered inappropriate and shall notify
the applicant in writing the detail grounds of

፬/ በዚህ አዋጅ ለንግድ ምዝገባ የተቀመጡ 4/ Requirements stated in this Proclamation for
መስፈርቶች እንዳስፈላጊነቱ በንግድ ምዝገባ commercial registration shall be applicable
ለውጥ ወይም ማሻሻያ ተፈፃሚ ይሆናሉ፡፡ for alternations or amendments to a
commercial registration, as appropriate.
፭/ በዚህ አዋጅ መሠረት ለምዝገባ የሚቀርቡ 5/ Original copies of memorandum and articles
የንግድ ማህበራት መመስረቻ ጽሁፎች እና of associations of business organizations to
መተዳደሪያ ደንቦች ለውጦችና ማሻሻያዎች which amendments and alterations are made
ዋና ቅጅዎች በሰነድ አረጋጋጭ የተረጋገጡ shall be authenticated by the notary when

pursuant to this Proclamation.
፲፩. የንግድ ምዝገባን ስለመሰረዝ 11. Cancellation of Commercial Registration
፩/ በንግድ ሕጉ ምዝገባን ስለመሰረዝ 1/ Without prejudice to the provisions of the
የተደነገጉት እንደተጠበቁ ሆነው፦ Commercial Code, the registering office may
cancel a commercial registration, without any
precondition, where:

ሀ) ነጋዴው የንግድ ሥራውን በማናቸውም a) the business person abandons his

ለ) ነጋዴው ንግዱን መነገድ እንደማይችል b) an administrative measure is taken or

አስተዳደራዊ እርምጃ ሲወሰድበት ወይም court decision is passed on the business
በፍርድ ቤት ሲወሰን፣ person not to continue with his business;

ሐ) ነጋዴው ሀሰተኛ መረጃ ወይም ሰነድ c) the business person was registered by
submitting false information or document;
አቅርቦ የተመዘገበ እንደሆነ፣

መ) ነጋዴው ይህንን አዋጅ ወይም አዋጁን d) the business person is found to have
violated this Proclamation or regulations
ለማስፈፀም የሚወጡ ደንቦችንና
and directives issued for the
መመሪያዎችን የጣሰ እንደሆነ፣ implementation of this Proclamation;
ሠ) ነጋዴው በንግድ መዝገብ ተመዝግቦ e) the business person fails to obtain a
የንግድ ፈቃድ ሳያወጣ ለአንድ ዓመት business license within one year after
being entered in the commercial register.
የቆየ ከሆነ፣
መዝጋቢው መሥሪያ ቤት የንግድ ምዝገባውን

፪/ በዚህ አንቀጽ ንዑስ አንቀጽ (፩)(ሠ) 2/ Where a business person engaged in

መሠረት የተመዘገበ ሰው በማምረት፣ manufacturing or engineering or other similar
ወይም በኢንጂነሪንግ፣ ወይም በተመሳሳይ investment commercial activities after getting
የኢንቨስትመንት ንግድ ሥራዎች ላይ registered pursuant to paragraph (e) of sub-
የተሰማራ ከሆነ የኢንቨስትመንት ሥራዎችን article (1) of this Article is able to produce
sufficient and acceptable evidence to justify

the causes of incompletion of investment
ሊያወጣ ያልቻለበትን በቂና አሳማኝ ማስረጃ activities and for not obtaining business
በማቅረብ በየሁለት ዓመቱ በንግድ ሥራ license, his registration may remain valid if
ፍቃድ ማሳደሻ ጊዜ ዉስጥ እየቀረበ he applies within two years during which
ሲጠይቅና ሲፈቀድለት ብቻ ምዝገባዉ business license renewal period runs and gets
ሳይሰረዝ እንዲቆይ ሊደረግ ይችላል፡፡ approval.

፫/ በዚህ አንቀጽ ንዑስ አንቀጽ (፩) (ሀ) 3/ Any business person whose commercial

article (1)(a) of this Article may conduct the

፭/ ነጋዴው ደብዳቤው በደረሰው በ ፴ ቀናት 5/ Where the business person, within 30 days
ውስጥ መቃወሚያ ሀሳብ ካላቀረበ ወይም after receipt of the letter, fails to submit his
ነጋዴው ያቀረበው መቃወሚያ ሀሳብ የሕግ objection or his objection is not legally valid,
or it is not possible to find the business
መሠረት የሌለው ከሆነ ወይም በተመዘገበው
person at his registered address, the
አድራሻ ሊገኝ ካልቻለ የንግድ ምዝገባው commercial registration shall be cancelled
ይሰረዛል፡፡ from the register.
፮/ በዚህ አንቀጽ ንዑስ አንቀጽ (፩) ፊደል ተራ 6/ The business person whose registration is
(ለ)፣ (ሐ) ወይም (መ) ምክንያት የንግድ cancelled pursuant to paragraph (b), (c) and
ምዝገባ የተሰረዘበት ነጋዴ እንደገና (d) of sub-article (1) of this Article may be
እንዳይመዘገብ የሚከለከል አስተዳደራዊ reregistered after one year to be counted from
the date of cancellation of his registration,

unless there is administrative measure or

፯/ የንግድ ማህበራት ምዝገባ ስረዛ የሚፀናው 7/ Cancellation of registration of business
የስረዛው ማስታወቂያ በአመልካቹ ወጪ ሰፊ organization shall come into force one month
ሥርጭት ባለው ጋዜጣ ታትሞ ከወጣ after publication of notice of cancellation on
ከአንድ ወር በኋላ ይሆናል፤ ግለሰብ ነጋዴ a newspaper having wider circulation at the

፲፪. ምትክ የንግድ ምዝገባ ምስክር ወረቀት ስለመስጠት
የንግድ ምዝገባ ምስክር ወረቀት የጠፋበት
ወይም የተበላሸበት ማንኛውም ነጋዴ ይህንን
አዋጅ ለማስፈፀም በወጣው ደንብ በተመለከተው
መስፈርት መሠረት ምትክ የንግድ ምዝገባ
የምስክር ወረቀት ማግኘት ይችላል፡፡
፲፫. የመረጃ ቅጅ ስለመስጠት
፩/ በንግድ መዝገብ ውስጥ የሰፈረው ዝርዝር ቅጅ፣
ከመዝገቡ የሚውጣጣ ማስረጃ፣ ተፈላጊው
ማስረጃ ዝርዝር መዝገቡ ላይ አለመኖሩን
የሚያረጋግጥ ማስረጃ ወይም የንግድ ምዝገባው
የተሰረዘ ስለመሆኑ ማስረጃ እንዲሰጠው
የሚጠይቅ ሰው ጥያቄውን ለመዝጋቢው አካል
በጽሁፍ ማመልከት አለበት፡፡
፪/ መዝጋቢው አካል በዚህ አንቀጽ ንዑስ
አንቀጽ (፩) መሠረት ለቀረበ ማመልከቻ
አግባብ ያለውን ክፍያ በማስከፈል መሰጠት
ያለበትን መረጃ ወዲያውኑ መስጠት
አለበት፡፡
ክፍል ሦስት
ስለንግድ ስም ምዝገባ
፲፬. ስለንግድ ስም
፩/ የግለሰብ ነጋዴ የሕግ ስም የግለሰቡን ስም
የአባቱን እና የአያቱን ስም የሚያካትት
ይሆናል፤ ስሙ ቀደም ብሎ በሌላ ተመሳሳይ
ስም ባለው ግለሰብ የተመዘገበ ሲሆን፣
የቅድመ አያትን ስም በመጨመር፣ እስከ
ቅድመ አያት ስም ድረስ በሌላ ተመሳሳይ
ስም ባለው ግለሰብ የተያዘ ሲሆን፣ የእናት
ስም ተጨምሮ ይመዘገባል፤ የእናት ስም
በሌላ ተመሳሳይ ስም ባለው ግለሰብ የተያዘ
ከሆነ ሌላ መለያ እንዲጨምር ይደረጋል፡፡
፪/ የህብረት የሽርክና ማህበር ስም የንግድ ሥራ
ዘርፉን በማመልከት በንግድ ሕጉ መሠረት
ይሰየማል፡፡
፫/ ሁለት ዓይነት ኃላፊነት ያለበት ሽርክና
ማህበር ስም የንግድ ሥራ ዘርፉን በማመልከት
በንግድ ሕጉ መሠረት ይሰየማል፡፡
፬/ የአክሲዮን ማህበር ስም የንግድ ሥራ ዘርፉን
በማመልከት በንግድ ሕጉ መሠረት በአባላቱ
የሚወሰን ይሆናል፡፡
፭/ የኃላፊነቱ የተወሰነ የግል ማህበር ስም
የንግድ ሥራ ዘርፉን በማመልከት በንግድ
ሕጉ መሠረት በአባላቱ የሚወሰን ይሆናል፡፡

12. Issuance of Substitute Certificate of Commercial
Registration
Any business person whose certificate of
commercial registration is lost or damaged may
obtain a substitute certificate of registration
pursuant to the criteria set forth in the regulations
issued for the implementation of this
Proclamation.
13. Issuance of Copies of Entries
1/ Any person or business person requesting a
copy of entry made in commercial register, a
copy of an extract of entry, a certificate of no
entry or a certificate of cancellation or
registration shall submit a written application
to the registering office.
2/ For the application lodged pursuant to sub-
article (1) of this Article, the registering
office shall, upon payment of the prescribed
service fee, immediately provide the
information if it is subject to disclosure.
PART THREE
REGISTRATION OF TRADE NAME
14. Trade Name
1/ Trade name of a sole proprietor shall include
the individual’s first name, his father’s and
grand-father’s names; where the a sole
proprietor’s name has already been
registered, his great grandfather’s name shall
be added; if the great-grand father’s name
already registered, the individual’s mother’s
name shall be added; if the mother’s name is
also found to have been occupied by other
sole proprietor, a different identification shall
be used.
2/ Trade name of a general partnership shall be
given pursuant to the Commercial Code by
specifying the commercial sector of
engagement.
3/ Trade name of a limited partnership shall be
given pursuant to the Commercial Code by
specifying the commercial sector of
engagement.
4/ Trade name of a share company shall be
decided by the shareholders pursuant to the
Commercial Code by specifying the
commercial sector of engagement.
5/ The trade name of a private limited company
shall be decided by the shareholders pursuant
to the Commercial Code by specifying the
commercial sector of engagement.

፲፭. የንግድ ስምን ስለማስመዝገብ 15. Registration of Trade Name

፩/ ማንኛውም ነጋዴ የንግድ ምዝገባ 1/ Any business person shall cause registration
በሚያደርግበት ቦታ የንግድ ስሙን of his trade name at the place where his
ማስመዝገብ አለበት፡፡ commercial registration is conducted.

፪/ ማንኛውም ነጋዴ የንግድ ሥራ ፈቃድ 2/ Any business person shall cause registration
በሚያወጣበት ቦታ የንግድ ስሙን ማስመዝገብ of his trade name at the place where he
obtains a business license.
አለበት፡፡
፫/ የንግድ ድርጅት ስም በዚህ አዋጅ ለንግድ 3/ Name of a business organization may be
ስም የተደነገጉትን መስፈርቶች እስካሟላ registered as trade name if it meets the
ድረስ በንግድ ስምነት ሊመዘገብ ይችላል፡፡ requirements provided in this Proclamation

፬/ አመልካቹ የውጭ አገር የንግድ ማህበር ከሆነ 4/ Where the applicant is a foreign business
በተመዘገበበት አገር የተረጋገጠ የንግድ organization, such applicant shall submit to
ምዝገባ እና የንግድ ስም ምዝገባ የምስክር the registering office, accompanied with his
ወረቀት ወይም ይህንኑ የሚያረጋግጥ ሌላ application, notarized certificates of
ሕጋዊ ማስረጃ ከማመልከቻው ጋር commercial and trade name registrations or
other legally acceptable evidence issued from
ለመዝጋቢው መሥሪያ ቤት ማቅረብ
the country where the business organization
አለበት፡፡ is registered.
፭/ የንግድ ድርጅት ስም በንግድ ምዝገባ 5/ The name of business organization shall
ምስክር ወረቀት ላይ የሚመዘገብ ሲሆን appear on the certificate of commercial
የንግድ ስም የራሱ የምስክር ወረቀት ያለው registration; whereas the trade name shall
ሆኖ በንግድ ፈቃድ የምስክር ወረቀት ላይ appear on a separate certificate of the
business license.
የሚመዘገብ ነው፡፡
፮/ የንግድ ስም ምዝገባ ማመልከቻ ለዚሁ 6/ Application for registration of trade name
የተዘጋጀውን ቅጽ በመሙላት እና በደንቡ shall be submitted by filling the form
prepared for the same purpose and be
የተገለፁትን ሰነዶች በማካተት መቅረብ
accompanied by documents specified in the
ይኖርበታል፡፡
regulations.

፲፮. የንግድ ስም እንዳይመዘገብ የሚያደርጉ 16. Causes Preventing Registration of Trade Name
ምክንያቶች
፩/ መዝጋቢው አካል በሚከተሉት ምክንያቶች 1/ The registering office shall refuse registration
of trade name on the following grounds:
የንግድ ስም እንዳይመዘገብ ያደርጋል፦
a) where the trade name requested for
ሀ) እንዲመዘገብ የተጠየቀው የንግድ ስም
registration is identical to a trade name
ቀደም ብሎ ከተመዘገበ፣ ሌላ የንግድ or name of business organization
ስም ወይም የንግድ ድርጅት ስም ጋር previously registered or has misleading
አንድ ዓይነት ወይም በሚያሳስት ደረጃ similarity to such name;
ተመሳሳይ ከሆነ፤
ለ) እንዲመዘገብ የተጠየቀው የንግድ ስም b) where the trade name requested for
ከመንግሥት ተቋማት፣ ከሃይማኖት registration is identical or misleadingly
similar to the name of government
ተቋማት፤ ከፖለቲካ ፓርቲ፣ ከብሔሮች፣
institution, religious institution, a
ብሔረሰቦች፣ ሕዝቦች፣ ነገዶች እና
political party, a nation, nationality,
ጎሳዎች መጠሪያ፣ ከሌላ ማንኛውም peoples, tribes and clans, any other
ዓይነት ማህበር፣ ከመንግሥታት ህብረት business organization or association,
ድርጅቶች ተቋማት ወይም ከበጎ organizations of nations or states,
አድራጎት ድርጅቶች እና ማህበራት charities and societies;
ስሞች ጋር አንድ ዓይነት ወይም
በሚያሳስት ሁኔታ ተመሳሳይ ከሆነ፤

ሐ) እንዲመዘገብ የተጠየቀው የንግድ ስም
ታዋቂነትን ያተረፈ ሰው ስምን ያካተተ
ሲሆንና ስሙን ለመጠቀም የጽሁፍ
ፈቃድ ያልቀረበ ከሆነ፤
መ) እንዲመዘገብ የተጠየቀው የንግድ ስም
የንግዱን ዘርፍ ዓይነት የማያመለክት
ከሆነ፤
ሠ) እንዲመዘገብ የተጠየቀው የንግድ ስም
ኢትዮጵያ ውስጥ ቀደም ብሎ
ያልተመዘገበ ቢሆንም እንኳን ኢትዮጵያ
ውስጥ የሚታወቅ ወይም ዓለም አቀፍ
እውቅና ያለው ሆኖ ስሙን ለመጠቀም
የተሰጠ ፈቃድ የሌለ ከሆነ፤
ረ) እንዲመዘገብ የተጠየቀው የንግድ ስም
ከመልካም ፀባይ ወይም ሥነ- ምግባር
ጋር ተቃራኒ መሆኑ ሲረጋገጥ፡፡
፪/ ይህ አዋጅ ከመውጣቱ በፊት ነጋዴው
በንግድ ስምነት ለረዥም ጊዜ ሲታወቅበት
የኖረ ሆኖ በዚህ አዋጅ ድንጋጌ መሠረት
የንግድ ስሙ እንዳይመዘገብ የተከለከለ እና
ያልተመዘገበ ከሆነ አግባብ ያለው ባለስልጣን
በሚወስነው መሠረት ሊመዘገብ ይችላል፤
፫/ ለዚህ አንቀጽ ድንጋጌዎች ዝርዝር አፈፃፀም
ሚኒስቴሩ መመሪያ ያወጣል፡፡
፲፯. የንግድ ስም በንግድ ስም መዝገብ የመግባት
ውጤት
፩/ የንግድ ስም በመዝገብ መግባት የንግድ
ስሙን ለመጠቀም መብት የሚሰጥ ተቀዳሚ
ማስረጃ ነው፡፡
፪/ አንድ የንግድ ድርጅት ስም ወይም የንግድ
ስም ቀድሞ የተመዘገበ መሆኑ ብቻ በንግድ
ሥራ ጠባዩ ፈፅሞ ለማይመሳሰል የንግድ
ሥራ እንዳይመዘገብ ሊከለከል አይችልም፡፡
፲፰. የንግድ ስም ምዝገባ ስረዛ
፩/ መዝጋቢው መሥሪያ ቤት የንግድ ስም
ምዝገባን በሚከተሉት ምክንያቶች ሊሰረዝ
ይችላል፦
ሀ) የንግድ ስሙን ያስመዘገበው ነጋዴ
እንዲሰረዝ ሲጠይቅ፤
ለ) የንግድ ስሙ በማታለል ወይም በስህተት
የተመዘገበ መሆኑ ሲረጋገጥ፤
ሐ) የነጋዴው የንግድ ምዝገባ እና የንግድ
ሥራ ፈቃድ በዚህ አዋጅ መሠረት
ሲሰረዝ፤

c) where the trade name includes the name
of a celebrity and no written consent of
such celebrity is submitted along;
d) where the trade name requested for
registration does not include the sector of
business;
e) where the trade name requested for
registration is renowned in Ethiopia or
around the world even though it is not
registered in Ethiopia and no written
permission issued to use the name;
f) where the trade name is contrary to
commendable conduct or ethical values;
2/ Where the trade name has been used by the
business person for a long time, but is not
permitted for registration pursuant to this
Proclamation and was not registered, the
registration of such trade name may be
effected by the decision of the relevant
authority.
3/ The Ministry shall issue directive for the
implementation of the provisions of this
Article.
17. Effect of Entry of a Trade Name in the Trade
Name Register
1/ The registration of a trade name shall be a
prima facie evidence of entitlement to use
that trade name.
2/ The mere prior registration of name of
business organization or a trade name shall
not prevent the registration of the same trade
name for a business with an entirely different
nature.
18. Cancellation of a trade name
1/ The registering office may cancel a trade
name registration on the following grounds:
a) where the business person that has
caused the registration applies for its
cancelation;
b) where it is proven that the trade name was
fraudulently or erroneously registered;
c) where the commercial registration and
business license of the business person is
cancelled in accordance this Proclamation;

መ) የንግድ ስም ምዝገባው በፍርድ ቤት
ውድቅ መሆኑ ሲወሰን፣
ሠ) በዚህ አዋጅ መሠረት በንግድ ስሙ ላይ
ለውጥ ሲደረግበት፤
ረ) የንግድ ማህበሩ ሕጋዊ ሰውነቱን ሲያጣ
ወይም ሲፈርስ፡፡
፪/ በዚህ አንቀጽ ንዑስ አንቀጽ (፩) (ለ)
መሠረት የንግድ ስም ስረዛ ከመደረጉ በፊት
መዝጋቢው መስሪያ ቤት ነጋዴው
መቃወሚያ ሐሳብ ካለው እንዲያቀርብ
በተመዘገበው አድራሻው በደብዳቤ ማሳወቅ
አለበት፡፡
፫/ ነጋዴው ደብዳቤው በደረሰው በ ፴ ቀናት
ውስጥ መቃወሚያ ሀሳብ ካላቀረበ ወይም
ነጋዴው ያቀረበው መቃወሚያ ሀሳብ የሕግ
መሠረት የሌለው ከሆነ ወይም በተመዘገበው
አድራሻ ሊገኝ ካልቻለ የንግድ ስሙ
ከመዝገብ ይሰረዛል፡፡
፬/ የንግድ ስም መዝገቡ በሚሰረዝበት ጊዜ
የቀድሞው የንግድ ስም ተጠቃሚ የስረዛ
ማስረጃ እንዲሰጠው ካመለከተ መዝጋቢው
መስሪያ ቤት ተገቢውን የአገልግሎት ክፍያ
በማስከፈል ይሰጠዋል፡፡
፭/ በዚህ አንቀጽ ንዑስ አንቀጽ (፩)(ሀ) መሰረት
የንግድ ስም ምዝገባው የተሰረዘበት ነጋዴ
በማንኛውም ጊዜ ያንኑ የንግድ ስም መልሶ
ማስመዝገብ ይችላል፡፡
፮/ በዚህ አንቀጽ ንዑስ አንቀጽ (፩) ፊደል ተራ
(ለ) ወይም (ሐ) መሠረት የንግድ ስም ምዝገባ
የተሰረዘበት ነጋዴ እንደገና እንዳይመዘገብ
የሚከለከል አስተዳደራዊ ቅጣት ወይም የፍርድ
ቤት ውሳኔ ከሌለ በስተቀር የተሰረዘውን የንግድ
ስም ምዝገባ እንደገና ሊመዘገብ የሚችለው
ከተሰረዘበት ቀን ጀምሮ በሚታሰብ ከአንድ
ዓመት በኋላ ይሆናል፡፡
፲፱. የንግድ ስም ለውጥ ወይም ማሻሻያ ስለማድረግ
ቀደም ብሎ ያስመዘገበውን የንግድ ስም ለመለወጥ
ወይም ለማሻሻል ማመልከቻ ለሚያቀርብ
ማንኛውም ሰው የዚህ አዋጅ አንቀጽ ፲፭
ድንጋጌዎች ተፈፃሚ ይሆናሉ፡፡
፳. ምትክ የንግድ ስም ምዝገባ የምስክር ወረቀት
ምትክ የንግድ ስም ምስክር ወረቀት ለማግኘት
ማመልከቻ ለሚያቀርብ ማንኛውም ነጋዴ በዚህ
አዋጅ መሠረት በወጣው ደንብ ስለምትክ የንግድ
ምዝገባ የተመለከተው ድንጋጌ ተፈፃሚ ይሆናል፡፡

d) where a court of law renders decision by
nullifying the registration of a trade
name ;
e) where alteration or amendment are
introduced into the trade name in
accordance with the provisions of this
Proclamation;
f) where a business organization is
dissolved and wound-up.
2/ The registering office shall, before cancelling
the registration of the trade name pursuant to
paragraph (b) of sub-article (1) of this
Article, send a written letter to a business
person at his registered address and give him
opportunity to submit his objection, if any.
3/ Where the business person, within 30 days
after receipt of the letter, fails to submit his
objection or his objection is not legally valid,
or it is not possible to find the business
person at his registered address, the trade
name shall be cancelled from the register.
4/ Where the former user of the trade name
whose registration is cancelled applies to
obtain evidence of prove of the cancellation,
the registering office shall issue such
evidence upon payment of appropriate
service fees.
5/ The business person may reclaim the trade
name registration cancelled pursuant to
paragraph (a) of sub-article (1) of this
Article.
6/ The business person whose trade name
registration is cancelled pursuant to
paragraphs (b) and (c) of sub-articles (1) of
this Article may be reregistered after one year
to be counted from the date of cancellation of
his registration, unless there is administrative
penalty or court decision which prevents such
re-registration.
19. Alternations or changes to a trade name
The provisions of Article 15 of this Proclamation
shall apply for a business person who applies to
alter or amend his trade name.
20. Substitute Certificate of Trade Name
Registration
The provisions of the regulations issued pursuant
to this Proclamation shall apply for any business
person who applies to obtain a substitute
certificate of trade name registration.

ስለንግድ ሥራ ፈቃድ BUSINESS LICENSE
፳፩. የንግድ ሥራ ፈቃድ የመስጠት ሥልጣን 21. Power of Issuing Business license

፩/ በሌሎች አግባብነት ባላቸው ሕጎችና በዚህ 1/ Notwithstanding the provisions of this

፪/ የዚህ አንቀጽ ንዑስ አንቀጽ (፩) አጠቃላይ 2/ Without prejudice to the generality of sub-

መደቦች መሰረት ይሆናል፡፡
፫/ አግባብ ያለዉ ባለሥልጣን እና ሌሎች 3/ The relevant authority and other organs
ፈቃድ ለመስጠት ሥልጣን የተሰጣቸዉ authorized to issue licenses shall specifically
state the business category under which the
አካላት የንግድ ሥራ ፈቃድ ሲሰጡ በፈቃዱ
license is issued and its identification number
ላይ የንግድ ሥራ ፈቃድ መስጫ መደቡን
while issuing business license.
ስያሜና መለያ ቁጥር በግልጽ መጥቀስ
ይኖርባቸዋል፡፡
፬/ በዚህ አንቀጽ ንዑስ አንቀጽ (፩) የተደነገገው 4/ Notwithstanding the provision of sub-article
(1) of this Article, relevant government
ቢኖርም አግባብነት ያላቸው የመንግሥት
organs shall issue business licenses in
አካላት በዚህ አዋጅ እና በሌሎች አግባብ
compliance with this Proclamation and other
ባላቸው ሕጎች መሠረት ለሚከተሉት የንግድ relevant laws for the following businesses:
ሥራዎች የንግድ ሥራ ፈቃድ ይሰጣሉ፦
a) prospecting and mining of minerals;
ሀ) የማዕድን ፍለጋ እና ልማት ሥራዎች፤
ለ) የውሃ ነክ ሥራዎች ግንባታ አገልግሎትን b) various water works services, excluding
water works construction services;
ሳይጨምር በልዩ ልዩ ውሃ ነክ አገልግሎት
ሥራዎች፤
c) banking, insurance and micro finance
ሐ) የባንክ፣ የመድን እና የማይክሮ ፋይናንስ
services;
ንግድ ሥራዎች፤
መ) የአየር ትራንስፖርት አገልግሎቶች/ d) air transport services and other aviation
services;
ሥራ እና ሌሎች የበረራ ሥራዎች፤
ሠ) የሬድዮ አክቲቭ ቁሶችና የጨረር e) commercial activities involving the use
አመንጪ መሣሪያዎችን የመጠቀም of radioactive materials and radiation
የንግድ ሥራ፤ emitting equipment;
f) telecommunication services;
ረ) የቴሌኮምዩኒኬሽን አገልግሎት፤
g) the business or generating or
ሰ) የኤሌክትሪክ ማመንጨት፣ ማስተላለፍ transmitting or distributing or selling
ወይም መሸጥ የንግድ ሥራ፤ electricity;
ሸ) የጦርና ተኩስ መሣሪያዎች ጥገና፣ h) repairing and maintain of arms and
ዕድሳትና የፈንጂዎች ሽያጭ ሥራ፤ firearms and sale of explosives;

ቀ) የባህርና የሀገር ውስጥ የውሃ i) sea and inland water ways transportation
ትራንስፖርት የንግድ ሥራ፤ services;

በ) የመልቲ ሞዳል ትራንስፖርት ንግድ j) multimodal transport services;

ሥራ፤
ተ) የብሮድካስቲንግ አገልግሎት ሥራ፡፡ k) broadcasting services.

፭/ በዚህ አንቀጽ ንዑስ አንቀጽ (፬) መሠረት
የንግድ ሥራ ፈቃድ የመስጠት ሥልጣን
ያላቸው የመንግሥት አካላት፣ የንግድ ፈቃድ
ሲሰጡ እና ሲያድሱ በዚህ አዋጅ እና
አዋጁን ለማስፈጸም በወጡ ደንቦችና
መመሪያዎች የተቀመጡት መስፈርቶች
መሟላታቸውን ማረጋገጥ አለባቸው፡፡
፳፪. የንግድ ሥራ ፈቃድ ስለማውጣት
፩/ ማንኛውም ሰው የፀና የንግድ ሥራ ፈቃድ
ሳይኖረው የንግድ ሥራ መሥራት
አይችልም፡፡
፪/ በዚህ አዋጅ መሠረት የንግድ ሥራ
ለመስራት የፀና የንግድ ሥራ ፍቃድ ያወጣ
ሰው ለተመሳሳይ የንግድ ሥራ ለሚከፍተው
ቅርንጫፍ ተጨማሪ የንግድ ሥራ ፈቃድ
እንዲያወጣ አይገደድም፡፡
፫/ የማምረት የንግድ ሥራ ፍቃድ ያለው ነጋዴ
ያመረታቸውን ምርቶች ብቻ በሚያመርት
በት አድራሻ ወይም በሌላ ባስመዘገበበት
አድራሻ በጅምላ ለመሸጥ ተጨማሪ የንግድ
ፈቃድ እንዲያወጣ አይገደድም፡፡
፬/ የማምረት የንግድ ሥራ ፍቃድ ያለው ነጋዴ
ያመረታቸውን ምርቶች በችርቻሮ መነገድ
አይችልም፤ ሆኖም በልዩ ሁኔታ በችርቻሮ
የሚነግድባቸውን ምርቶች ዓይነት
በተመለከተ የሚኒስትሮች ምክር ቤት
በሚያወጣው ደንብ ይወሰናል፡፡
፭/ ማንኛውም የአስመጪነት የንግድ ፈቃድ
ያለው ነጋዴ ያስመጣቸውን ምርቶች
ለአስመጪነት የንግድ ፈቃዱን ሲያወጣ
ባስመዘገበበት አድራሻ በጅምላ ለመሸጥ
ተጨማሪ የንግድ ሥራ ፈቃድ እንዲያወጣ
አይገደድም፡፡
፮/ ማንኛውም የአስመጪነት ንግድ ሥራ
ፈቃድ ያለው ነጋዴ ያስመጣቸውን ምርቶች
በችርቻሮ መነገድ አይችልም፤ ሆኖም
ከንግዱ ባሕሪይ እና ከአገር ጥቅም አንጻር
በልዩ ሁኔታ በችርቻሮ የሚነግድባቸውን
ምርቶች በተመለከተ የሚኒስትሮች ምክር
ቤት በሚያወጣው ደንብ ይወሰናል፡፡
፳፫. የንግድ ሥራ ፈቃድ ለማውጣት
ማመልከቻ
በንግድ ሥራ መሰማራት የሚፈልግ ማንኛውም
ሰው ለዚሁ ዓላማ የተዘጋጀውን የማመልከቻ ቅጽ
በመሙላትና የሚኒስትሮች ምክር ቤት በሚያወጣው
ደንብ የተመለከቱትን አስፈላጊ ሰነዶች በማያያዝ
የንግድ ሥራ ፈቃድ እንዲሰጠው አግባብ ላለው
ባለሥልጣን ማመልከት ይኖርበታል፡፡

5/ Government organs authorized to issue
business licenses for the types of businesses
listed under sub-article (4) of this Article
shall, when issuing and renewing business
license, make sure that the requirements
provided for in this Proclamation and the
regulation and directives issued hereunder are
met.
22. Obtainment of Business license
1/ No person shall engage in a business activity
without having a valid business license.
2/ A business person having a valid business
license pursuance to this Proclamation shall
not be required to obtain additional business
license for branches he open for the same
type of business activity.
3/ A business person licensed to engage in
manufacturing business shall not be required
to obtain a business license to wholesale his
products only at the same address of his
manufacturing facility or at such other
address of his registration.
4/ A business person licensed to engage in a
manufacturing business shall not be
permitted to sell his products on retail;
provided, however, that types of products in
respect of which retail sales is permitted shall
be determined by a regulations to be issued
by the Council of Ministers.
5/ A licensed importer shall not be required to
obtain a separate business license to
wholesale products he import at his address
of business registered at the time of
commercial registration.
6/ No licensed importer shall retail goods he
import; provided, however, based on type of
business and national significance, types of
products in respect of which retail sales is
permitted under special condition shall be
determined in a regulations to be issued by
the Council of Ministers.
ስለሚቀርብ 23. Application for business license
Any person desiring to engage in a commercial
activity shall submit to the appropriate authority
an application for business license by completing
application form prepared for this purpose
accompanied with important documents
prescribed in the regulations issued by the
Council of Ministers.

፳፬. የንግድ ሥራ ፈቃድ ስለመስጠት 24. Issuance of Business license

፩/ አግባብ ያለው ባለሥልጣን በዚህ አዋጅ እና 1/ Where an application for business license is

፫/ በንግድ ስራ ተሰማርቶ የነበረ ግለሰብ ነጋዴ 3/ Where the successors and the spouse of a
ወራሾች እና/ወይም የትዳር ጓደኛ በንግድ sole proprietor person who was engaged in a

business license can be issued in the name of

፳፭.የንግድ ሥራ ፈቃድ የተሰጠው ነጋዴ መብት 25. Rights of a Business Person Issued Business
license
ማንኛውም የንግድ ሥራ ፈቃድ የተሰጠው ነጋዴ Any person issued with a business license shall
የሚከተሉት መብቶች ይኖሩታል፦ have the following rights:

፩/ ይህን አዋጅ፣ አዋጁን ለማስፈጸም የወጡ 1/ to engage in a business activity within the

፫/ ስለ ንግድ ምዝገባና ፈቃድ አገልግሎት 3/ to obtain information on commercial

፬/ በዚህ አዋጅ መሠረት የንግድ ምዝገባን፣ 4/ to alter or amend commercial registration,
የንግድ ስምን እና የንግድ ፈቃድን trade name and business in accordance with

፭/ በአዋጁ፣ አዋጁን ለማስፈጸም በወጡ ደንብ 5/ to carry out other similar activities that are

፳፮. የንግድ ሥራ ፈቃድ የተሰጠው ነጋዴ ግዴታዎች 26. Obligations of a Business Person Issued
Business license
የንግድ ሥራ ፈቃድ የተሰጠው ነጋዴ Any person issued with a business license shall
የሚከተሉት ግዴታዎች ይኖሩታል፦ have the following obligations:

፩/ የንግድ ፈቃድ የተሰጠባቸውን የተለያዩ 1/ carry on the various business activities for
የንግድ ሥራዎችን በአንድ ሥፍራ ወይም which business licenses have been issued in a
separate places or premises, where carrying
ግቢ ውስጥ አጣምሮ መሥራት በተጠቃሚው
on such activities at the same place or
ሕዝብ ጤንነትና ደህንነት ወይም ንብረት
premises endangers public health and safety
ላይ ጉዳት የሚያደርስ ከሆነ እነዚህን or property;
ሥራዎች በተለያዩ ሥፍራዎች ወይም
ግቢዎች በተናጠል የማካሄድ፤
፪/ የንግድ ዕቃዎቹንና የአገልግሎቶቹን የዋጋ 2/ display a price list for his goods and services
ዝርዝር በንግድ ቤቱ በግልጽ ሥፍራ by posting such list in a clearly noticeable
በሚታይ ቦታ የማመልከት ወይም በንግድ place in his business premise or by affixing
price tags on the goods;
ዕቃዎች ላይ የመለጠፍ፤
፫/ የንግድ ሥራው ጠባይ የሚጠይቃቸውን 3/ comply with the obligation that the nature of
ግዴታዎች የማክበር፣ ደረጃዎችን የማሟላት the business activity demands, fulfill
እና የመሥራት፤ standards and render service;

፬/ የንግድ ሥራ ፍቃዱን በንግድ ቤቱ ውስጥ 4/ display his business license in clearly

በግልጽ በሚታይ ቦታ የማስቀመጥ፣ ወይም noticeable places within the business
የንግድ ቤቱ ቅርንጫፍ ከሆነ የመዝጋቢው premises, or in case of branch business
አካል ማህተም የተደረገበት የንግድ ሥራ offices display copies of business license
ፍቃድ ፎቶ ኮፒ በንግድ ቤቱ ውስጥ በግልጽ affixed with seal of the licensing authority;
በሚታይ ቦታ ማስቀመጥ፤
፭/ የንግድ ፈቃዱን ለሌላ ለማንኛውም ሰው 5/ shall not assign his business license to the
እንዲገለገልበት ወይም በመያዣነት benefit of any person, pledge or lease it out;
እንዲይዘው ወይም እንዲያከራየው አሳልፎ
ያለመስጠት፤
፮/ በአስተዳደራዊ ወይም በፍርድ ቤት ውሳኔ 6/ shall not make use of his business license,
የንግድ ድርጅቱ እንዲፈርስ ወይም የግለሰብ where administrative or court decision is
passed to dissolve a business organization or
ነጋዴ ንግዱን እንዳያካሂድ ሲወሰንበት
to ban a sole proprietor;
የተሰጠውን የንግድ ሥራ ፈቃድ በሥራ ላይ
ያለማዋል፤
፯/ የአድራሻ ለውጥ ሲያደርግ ለውጡን በአንድ 7/ shall notify to the registering office within
ወር ጊዜ ውሰጥ ለመዝጋቢው መሥሪያ ቤት one month in case of change of his business
የማሳወቅ፤ address;
፰/ አክስዮን ማህበር እና ኃላፊነቱ የተወሰነ 8/ if it is a share company or private limited
የግል ማህበር ከሆነ በየበጀት ዓመቱ company shall cause audit of his financial
በኦዲተር ሂሳቡን የማስመርመር እና statements by auditor every fiscal year and
ሪፖርት የማቅረብ፤ submit reports;

፱/ ስለንግዱ በሚመለከታቸው አካላት የሚጠየቀ 9/ shall provide information requested by

ውን ማንኛውንም መረጃ የመስጠት፤ concerned offices with respect to his
business;
፲/ በተመሳሳይ ደረጃ ግብይት ያለመፈፀም፤እና 10/ shall not transact at similar level; and

፲፩/ አግባብ ባለው ባለስልጣን የተወሰዱ 11/ shall comply with administrative measures
አስተዳደራዊ እርምጃዎችን እና በሕግ taken by concerned authorities and other
obligations provided for in other laws.
የተደነገጉ ሌሎች ግዴታዎችን የማክበር፡፡

፳፯.የንግድ ሥራ ፈቃድን ስለማሳደስ
፩/ የንግድ ሥራ ፍቃድ በየበጀት ዓመቱ
ከሐምሌ ፩ቀን እስከ ታህሳስ ፴ ቀን ወይም
ካስመዘገበው የበጀት ዓመት መጨረሻ ጀምሮ
ባሉት ፮ ወራት ዉስጥ መታደስ አለበት፡፡
፪/ ኃላፊነታቸዉ የተወሰኑ የንግድ ማህበራት
ካስመዘገቡት ካፒታል ሦስት አራተኛውን የበሉ
ከሆነ የንግድ ሥራ ፍቃዳቸዉ አይታደስም፤
ሆኖም ማህበሩ ያስመዘገበውን ኪሳራ ሃምሳ
በመቶ በሰነድ አረጋጋጭ በፀደቀ ቃለ ጉባኤ
የማህበሩ አባላት ወደ ንግድ ድርጅቱ ሂሳብ
ያስገቡበት ማረጋገጫ ሰነድ ከቀረበ የንግድ
ሥራ ፍቃዱ ሊታደስ ይችላል፡፡
፫/ የንግድ ሥራ ፈቃድን ለማሳደስ የሚፈልግ
ነጋዴ ለዕድሳት የተዘጋጀውን ማመልከቻ
ቅጽ በመሙላት አዋጁን ለማስፈጸም
በወጣው ደንብ ከተመለከቱት ሰነዶች ጋር
አያይዞ ማቅረብ ይኖርበታል፡፡
፬/ በዚህ አንቀጽ ንዑስ አንቀጽ (፩) በተጠቀሰው
የፍቃድ ማሳደሻ ጊዜ ውስጥ ነጋዴው የንግድ
ፈቃዱን ካላሳደሰ ከጥር ፩ ቀን እስከ ሰኔ ፴
ቀን ላለው ጊዜ ከፍቃድ ማሳደሻው
በተጨማሪ ፈቃድ ማሳደሱ ለዘገየበት ለጥር
ወር ብር ፪ሺ፭፻(ሁለት ሺህ አምስት መቶ
ብር) እና ለሚቀጥለው እያንዳንዱ ወር ብር
፩ሺ፭፻ (አንድ ሺህ አምስት መቶ ብር)
ቅጣት በመክፈል ፈቃዱን ያሳድሳል፡፡
፭/ በዚህ አንቀጽ ንዑስ አንቀጽ (፬) በተደነገገው
መሠረት በቅጣት የማሳደሻ ጊዜ ውስጥ
ያልታደሰ የንግድ ሥራ ፈቃድ አግባብ
ባለው ባለስልጣን ይሰረዛል፡፡
፮/ በዚህ አንቀጽ ንዑስ አንቀጽ (፭) መሠረት
የንግድ ፈቃዱ የተሰረዘ ከሆነ፣ ነጋዴው
ፈቃዱን በወቅቱ ላለማሳደሱ ያቀረበው
ከአቅም በላይ የሆነ ምክንያት አግባብ ባለው
ባለሥልጣን ተቀባይነት ካገኘ በዚህ አንቀጽ
ንዑስ አንቀጽ (፬) የተደነገገውን ቅጣት
በመክፈል ፈቃዱ ከተሰረዘበት እስከ አንድ
ዓመት ባለው ጊዜ ውስጥ የተሰረዘውን
የንግድ ፈቃድ እንደገና ማውጣት ይችላል፡፡
፯/ በዚህ አንቀጽ ንዑስ አንቀፅ (፬) መሠረት
የንግድ ስራ ፈቃዱ እንዲታደስ ካልተፈቀደ
ነጋዴው ያንኑ የንግድ ሥራ ፈቃዱን
የሚያወጣው የንግድ ፈቃዱ ከተሰረዘበት
ከአንድ ዓመት በኋላ ያለቅጣት ይሆናል፡፡
፳፰. የንግድ ሥራ ፈቃድ ፀንቶ የሚቆይበት ጊዜ
፩/ በዚህ አዋጅ መሠረት የተሰጠ የንግድ ሥራ
ፈቃድ ወቅቱን ጠብቆ በዚህ አዋጅ መሠረት
ከታደሰ እና እስካልተሰረዘ ድረስ የፀና
ይሆናል፡፡

27. Renewal of Business license
1/ A business license shall be renewed in six
months period within the fiscal year between
from Hamle 01 until Tahsas 30 or in his
registered budget year.
2/ The business license of private limited
companies three forth of whose registered
capital is lost shall not be renewed; provided,
however, the license may be renewed upon
presentation of authenticated minutes to
prove that 50 % of the registered loss has
been deposited by the shareholders.
3/ A business person desirous to renew his
business license shall fill the form prepared
for the same purpose and submit
accompanied with documents specified in the
regulations issued hereunder.
4/ The holder of a business license who has
failed to have it renewed within the time
specified in sub-article (1) of this Article
shall have it renewed within the time from
Tir 01 to Sene 30 by paying, in addition to
renewal fee, Birr 2,500 (two thousand five
hundred) for the month of Tir and Birr 1,500
(one thousand five hundred) for each
subsequent month of delay.
5/ A business license not renewed within the
period of renewal with penalty as determined
in sub-article (4) of this Article shall be
cancelled by the relevant authority.
6/ Where a business license is cancelled
pursuant to sub-article (5) of this Article and
the justification presented by business person
as force majeure that prevented him from
renewing his license is accepted by the
relevant authority, he can obtain his business
license upon payment of the penalties
prescribed under sub-article (4) of this
Article within one year after the cancellation.
7/ Where renewal of the business license is not
permitted pursuant to sub-article (4) of this
Article, the business person may obtain the
same business license without penalty one
year after cancellation of the business license.
28. Period of Validity of a Business license
1/ A business license issued pursuant to this
Proclamation shall remain valid provided that
it is renewed and is not cancelled pursuant to
the provisions of the Proclamation.

፪/ በዚህ አዋጅ በአንቀጽ ፳፯ (፮) የተደነገገው
እንደተጠበቀ ሆኖ የንግድ ሥራ ፈቃዱ
የተሰጠበት ወይም የታደሰበት የበጀት ዓመት
ካበቃ በኋላ ባሉት ስድስት ወራት ጊዜ ውስጥ
ተገቢው ክፍያ ተፈጽሞ ያልታደሰ የንግድ
ሥራ ፈቃድ የፀና አይሆንም፡፡
፳፱.የንግድ ሥራ ፈቃድን ስለማገድ
፩/ የንግድ ሥራ ፈቃድ የተሰጠው ነጋዴ፦
ሀ) የንግድ ሥራውን የጤናና የጽዳት
አጠባበቅ፣ የአካባቢ እንክብካቤ፣ የአደጋ
መከላከያና የንግድ ዕቃውን ወይም
የአገልግሎቱን የጥራት ደረጃ ካጓደለ፣
ለ) በዚህ አዋጅ የነጋዴ ግዴታዎች በሚል
የተቀመጡትን የጣሰ ከሆነ፣
ሐ) በዚህ አዋጅ መሠረት አግባብ ያለው
ባለሥልጣን የሚጠይቃቸውን መረጃዎች
በትክክልና በወቅቱ ያላቀረበ ከሆነ፣
መ) የተሰጠው ወይም የታደሰው የንግድ ሥራ
ፈቃድ በሀሰተኛ ሰነድ ወይም ማስረጃ
ተደግፎ መሆኑ ከተረጋገጠ፣ ወይም
ሠ) ፈቃዱን ከተሰጠበት ዓላማ
ሲገለገልበት ከተገኘ፣ ወይም
ረ) ባስመዘገበዉ የንግድ ፈቃድ
ያልተገኘ ከሆነ፣
ሰ) የንግድ ሕጉን፣ የአዋጁን፣ አዋጁን
ለማስፈጸም የወጡ የደንብና የመመሪያ
ድንጋጌዎችን የጣሰ ከሆነ፣
አግባብ ያለው ባለሥልጣን የንግድ
ፈቃዱን ሊያግድ ይችላል፡፡
፪/ የንግድ ሕጉን፣ የአዋጁን፣ በአዋጁ መሠረት
የወጡ ደንብና የመመሪያዎችን ድንጋጌ
በመጣስ የንግድ ፈቃዱ የታገደ ከሆነ ወይም
በማናቸውም ምክንያት አግባብ ያለው አካል
የንግድ ሕግ ድንጋጌዎች መጣሳቸውን
ሲያረጋግጥ ወይም በፍርድ ቤት ትዕዛዝ
የንግድ ፈቃድ ሲታገድ የንግድ ድርጅቱ
ወዲያውኑ አግባብ ባለው አካል ይታሸጋል፡፡
፫/ በዚህ አዋጅ፣ በአዋጁ መሠረት በወጡ
ደንብና መመሪያዎች መሠረት ሲታገድ
አግባብ ያለው ባለሥልጣን ፈቃዱ
የታገደበትን ምክንያት እና አሳማኝ በሆነ
ጊዜ ውስጥ ጉድለቶቹን እንዲያስተካክል
ሊወስድ ስለሚገባው እርምጃ ለባለፈቃዱ
በጽሁፍ ያሳውቀዋል፡፡

2/ Without prejudice to Article 27(6) of this
Proclamation, the business license shall be
invalid, if not renewed within six months
after the expiry of the budget year in which it
has been issued or renewed upon payment of
the appropriate fee,.
29. Suspension of Business license
1/ A relevant authority may suspend business
license on the following grounds:
a) Where the business person fails to meet
occupational, health and sanitation,
environmental protection, accident
prevention standards and qualities of
goods and services;
b) Where the business person fails to
discharge obligations of a business
person clearly specified in this
proclamation;
c) Where the business person fails to
provide information accurately and
timely upon the request of the relevant
authority;
d) Where it is verified that the license was
issued or renewed based on falsified
document;
ዉጭ e) Where the license is used by the holder
for an unauthorized purpose;
አድራሻ f) Where the business person is unavailable
at the registered address;
g) Where the business person is found to
have violated the Commercial Code, the
Proclamation, the regulations and
directives issued hereunder,
ሥራ the license may be suspended by the
authorized official;
2/ In the case of suspension of business license
on the grounds of violation of the provisions
of this Proclamation, regulations or directives
issued hereunder; when a relevant sector
office verifies violation of provisions of the
Commercial Code or a court of law passes an
order of suspension, the business facility
shall be immediately sealed;
3/ When business license is suspended due to
violation of the provisions of this
Proclamation, regulations and directives
issued hereunder, the relevant authority shall
notify the holder of the business license in
writing the cause of the suspension and
measures that need to take within reasonable
period of time to rectify the shortcomings
that led to the suspension.
gA ፱ሺ፪፻፲፯ Ød‰L ነU¶T Uz¤È qÜ_R ፩፻፩ ሐምሌ ፳፱ qN ፪ሺ፰ ›.M
፬/ ነጋዴው በዚህ አንቀጽ ንዑስ አንቀጽ (፫)
መሠረት በተሰጠው የጊዜ ገደብ ውስጥ
ጉድለቶቹን ካስተካከለ አግባብ ያለው
ባለሥልጣን በንግድ ሥራ ፍቃዱ ላይ
የተጣለው ዕግድ ተነስቶ ሥራ ላይ እንዲውል
ያደርጋል፡፡
፭/ የብቃት አረጋጋጭ ተቋማት የብቃት
ማረጋገጫዎችን ሲያግዱና ሲያሳውቁ
ያለምንም ተጨማሪ ቅድመ ሁኔታ የንግድ
ሥራ ፈቃዱ ይታገዳል፡፡
፴. የንግድ ሥራ ፈቃድ ስለመሰረዝ
፩/ የንግድ ሥራ ፈቃድ የተሰጠው ነጋዴ፦
ሀ) የንግድ ሥራውን በራሱ ፍቃድ የተወ
እንደሆነ፣
ለ) የንግድ ሥራ ፈቃድ የተሰጠው ወይም
የታደሰው ፈቃድ በሀሰተኛ ሰነድ ወይም
ማስረጃ መሆኑ ሲረጋገጥ፣
ሐ) የንግድ ሥራ ፈቃዱን ፈቃዱ
ከተሰጠበት ዓላማ ዉጭ ሲገለገልበት
ከተገኘ፣
መ) በዚህ አዋጅ መሠረት በተሰጠው የጊዜ
ገደብ ውስጥ ለንግድ ፈቃዱ ዕገዳ
ምክንያት የሆኑትን ጉድለቶች
ያላስተካከለ ከሆነ፣
ሠ) የኪሳራ ውሳኔ የተወሰነበት ከሆነ፣
ረ) በዚህ አዋጅ መሠረት የንግድ
ፈቃዱን ያላሳደሰ ከሆነ፣ ወይም
ሰ) የንግድ ምዝገባው በዚህ አዋጅ መሠረት
የተሰረዘበት ከሆነ
አግባብ ያለው ባለሥልጣን
ፈቃዱን ይሰርዛል፡፡
፪/ በዚህ አንቀጽ ንዑስ አንቀጽ (፩)(ሀ) መሠረት
በራሱ ፍቃድ የንግድ ሥራውን የተወ እና
ፈቃዱን በማሳደሻ ጊዜ ውስጥ የመለሰ ነጋዴ
ያንኑ ፈቃድ በማንኛውም ጊዜ መልሶ
መውሰድ ይችላል፤ ሆኖም የንግድ ሥራ
ፍቃዱን በንግድ ሥራ ፈቃድ ያለቅጣት
ማሳደሻ ጊዜ ውስጥ ያልመለሰ ከሆነ ያንኑ
የንግድ ሥራ ፍቃድ መልሶ መውሰድ
የሚችለው የንግድ ሥራ ፈቃድ ያለቅጣት
የማደሻ ጊዜ ከሚያበቃበት ቀን ጀምሮ
ከአንድ ዓመት በኋላ ይሆናል፡፡
፫/ አግባብ ያለው ባለሥልጣን በዚህ አንቀጽ
ንዑስ አንቀጽ (፩) ፊደል ተራ (ለ) ፣ (ሐ)
እና (መ) በተገለፁት ምክንያቶች ፈቃዱ
እንዲሰረዝ ውሳኔ ከመስጠቱ በፊት እንደ

4/ Where the defects caused the suspension of
the business license is rectified within the
time prescribed under sub-article (3) of this
Article, the suspension shall be lifted and the
business license become valid.
5/ The suspension of certificates of competence
by relevant competence assuring institutions
shall entail suspension of the corresponding
business license without any precondition.
30. Cancellation of Business licenses
1/ A relevant authority may cancel business
license on the following grounds:
a) where the business person terminates his
business activity by his own choice;
b) where it is verified that the business
license was issued or renewed based on
falsified document;
c) where the business person has utilized
the business license for an unauthorized
purpose;
d) where the business person fails to rectify
defects that resulted in the suspension of
his business license within the time
given;
e) where the business person is declared
bankrupt;
ሥራ f) where the business person fails to have
his license renewed under the provisions
of this Proclamation;
g) where the commercial registration of the
business person is cancelled under this
Proclamation.
የንግድ ስራ
2/ A business person who had terminated his
business activities under paragraph (a) of
sub-article (1) of this Article and returned his
license within the statutory timeframe of
renewal of licenses may obtain the license
again at any time of his choice; provided,
however, if he had failed to return the
business license before expiry the period of
renewal without to pay penalty, he shall only
be allowed to obtain the business license
again after a year has elapsed since expiry of
the period of renewal without penalty.
3/ The relevant authority, before deciding to
cancel the business license pursuant to
paragraph (b), (c) and (d) of sub-article (1) of
this Article, shall notify the business person
at his registered address by a letter to submit

የንግድ ፍቃድ መልሶ ማውጣት የሚችለው
ከሁለት ዓመት በኋላ ይሆናል፡፡
፬/ የንግድ ሥራውን በፈቃዱ የተወ ነጋዴ 4/ A business person who terminates his

ከሚያበቃበት ቀን ጀምሮ ከአንድ ዓመት year of expiry of the period of renewal
በኋላ ነው፤ without penalty.
፭/ የንግድ ፈቃዱን ተመላሽ የሚያደርግ ወይም 5/ Where a business person whose business
የተሰረዘበት ነጋዴ ያንኑ የንግድ ሥራ license is returned or cancelled is desirous of
ፈቃድ እንደ አዲስ ለማውጣት ሲመጣ obtaining the same business license again he
ተመላሽ በተደረገው ወይም በተሰረዘው shall submit confirmation letter of settlement
of tax liability for the period the returned or
የንግድ ሥራ ፈቃድ ለሰራበት ጊዜ የግብር
cancelled business license was valid.
ክፍያ ስለመፈጸሙ ማረጋገጫ ደብዳቤ
ማቅረብ አለበት፤
፮/ የብቃት አረጋጋጭ ተቋማት የብቃት 6/ Cancellation of certificates of competence by
ማረጋገጫዎችን ሲሰርዙና ሲያሳውቁ competence assuring institutions shall entail
ያለምንም ተጨማሪ ቅድመ ሁኔታ የንግድ cancellation of the corresponding business
license without any precondition.
ሥራ ፈቃዱ ይሰረዛል፡፡
፴፩. ምትክ የንግድ ሥራ ፈቃድ ስለማግኘት 31. Obtainment a Substitute Business license

፩/ የንግድ ሥራ ፍቃድ የምስክር ወረቀት 1/ A business person who has his business
የጠፋበት ወይም የተበላሸበት ማንኛውም license lost or damaged may obtain a
substitute business license when he meets
ነጋዴ በአዋጁ መሠረት በወጣ ደንብ ላይ
with his application the requirements
የተመለከቱትን መስፈርቶች በማሟላት
provided for in the regulations issued
ማመልከቻ ሲያቀርብ ምትክ የንግድ ሥራ hereunder.
ፍቃድ ምስክር ወረቀት ማግኘት ይችላል፡፡
፪/ ፈቃዱ የተበላሸበት ነጋዴ ምትክ እንዲሰጠው 2/ A business person whose license is damaged
ሲያመለከት የተበላሸውን የንግድ ፈቃድ shall return such damaged when he applies
ይመልሳል፡፡ for a substitute.

፫/ በዚህ አንቀጽ ንዑስ አንቀጽ (፩) መሠረት 3/ The relevant authority to which the
ማመልከቻ የቀረበለት አግባብ ያለው application is made under sub-article (1) of

፴፪. የንግድ መደብር ሲተላለፍ የንግድ ሥራ ፈቃድ 32. Issuance of Business license Upon Transfer of
ስለሚሰጥበት ሁኔታ a Business

፩/ የንግድ መደብር ለሌላ ሰው በሽያጭ፣ 1/ A business may be transferred to another

በስጦታ፣ በውርስ ወይም በመሰል ማንኛውም person through sale, donation, inheritance or
ሁኔታ ሊተላለፍ ይችላል፡፡ in a similar manner.

፪/ በዚህ አንቀጽ ንዑስ አንቀጽ (፩) መሠረት 2/ A business may be transferred pursuant to
የንግድ መደብር ማስተላለፍ የሚችለው sub-article (1) of this Article, provided that it
በነጋዴው ወጪ አገር አቀፍ ሽፋን ባለው is published on a newspaper having
nationwide circulation by the expense of the

business person and no objection is lodged
ወይም የዕግድ ትዕዛዝ ካልወጣበት ከአንድ

፬/ አግባብ ያለው ባለሥልጣን አስፈላጊ 4/ The relevant authority shall verify

33. Commercial Representative
፴፫. ስለንግድ እንደራሴነት
፩/ የንግድ እንደራሴ ሆኖ ለመሰራት የሚፈልግ 1/ Any person interested to engage as a
ማንኛውም ሰው ሥራውን ከመጀመሩ በፊት commercial representative shall get
በሚኒስቴሩ በንግድ መዝገብ ተመዝግቦ registered on the commercial register of the

፪/ የንግድ እንደራሴነት ልዩ የምስክር ወረቀት 2/ Any person desires to obtain a special
certificate of commercial representative shall
ለማውጣት የሚፈልግ ማንኛውም ሰው በአዋጁ
meet the requirements specified in the
መሠረት በወጣ ደንብ ላይ የተመለከቱትን regulations issued hereunder and submit
መስፈርቶች በማሟላት ከማመልከቻው ጋር accompanied with his application.
በማያያዝ ማቅረብ አለበት፡፡
3/ Any person issued with the special certificate
፫/ የንግድ እንደራሴነት ልዩ የምስክር ወረቀት
of commercial representative shall:
የተሰጠው ማንኛውም ሰው፣
a) only be allowed to promote in Ethiopia
ሀ) የወካዩን ምርቶችና አገልግሎቶች the products and services of the company
በኢትዮጵያ ውስጥ የማስተዋወቅ፣ he represents;
ለ) ወደፊት ድርጅቱ ኢትዮጵያ ውስጥ b) conduct market survey and trade
ኢንቨስት ማድረግ እንዲችል የሚረዱ expansion that could help the company
የገበያ ጥናትና የንግድ የማስፋፋት ሥራ in investing in Ethiopia in the future;

ሐ) የኢትዮጵያን የውጭ ንግድ ምርቶችን c) promote Ethiopian export products in

መብት ይኖረዋል፡፡
፬/ የንግድ እንደራሴ በወካዩ ስም ለደንበኞቹ 4/ A commercial representative shall, on behalf
of company he represents, not engage in
የንግድ ዕቃ ወይም አገልግሎት ማቅረብ
supply goods or services to customers and
ወይም ከደንበኞቹ ጋር ውል መዋዋል clients or shall not enter contracts with the
አይችልም፡፡ customers.
፭/ የንግድ እንደራሴ ከወከለው ነጋዴ ውጭ 5/ A commercial representative shall not work
ለሌሎች ነጋዴዎች በማንኛውም መልኩ on behalf of other business persons, in any

፮/ ማንኛውም የንግድ እንደራሴነት የምስክር
ወረቀት የተሰጠው ሰው በአዋጁ መሠረት
በወጣ ደንብ ላይ የተመለከቱትን
መስፈርቶች በማሟላት የንግድ እንደራሴነት
ልዩ ምስክር ወረቀቱን ማሳደስ አለበት፡፡
፯/ በዚህ አዋጅ የንግድ ሥራ ፈቃድ ምትክ
ስለማግኘት፣ ስለማገድ እና ስለመሰረዝ
የተደነገጉ ድንጋጌዎች ለንግድ እንደራሴ
ነትም እንደአግባቡ ተፈፃሚ ይሆናሉ፡፡
፴፬. ስለ ሆልዲንግ ኩባንያ
6/ Any person who has been issued a special
certificate commercial representative shall
meet the requirements specified in the
regulations issued hereunder for renewal and
have his certificate renewed.
7/ The provisions of this Proclamation
regarding issuance of substitute business
license, renewal and cancellation, as
appropriate, shall be applicable on a
commercial representative.
34. Holding Company

፩/ በንግድ ሕጉ መሠረት ሆልዲንግ ኩባንያ 1/ Private limited companies intending to

manner that it would not disturb competition

and shall be registered with the Ministry.

ቀርበው መመዝገብ ይኖርባቸል፡፡
፪/ ሆልደር ኩባንያው ከሶስተኛ ወገኖች 2/ The holder company shall jointly and
severally liable with its member companies
ለሚመነጩ ማናቸውም ኃላፊነቶች
to claims of third parties.
በአንድነት እና በተናጠል ከቡድኑ ኩባንያ
አባላት ጋር ኃላፊ ነዉ፡፡
3/ The holder company shall keep annual

financial records and other information,

including that of its member companies; and

በአዋጁ መሠረት በሚወጣ ደንብ ይወሰናል፡፡
፴፭. ስለ ጠረፍ ንግድ
፩/ የጠረፍ ንግድ ልዩ የንግድ ሥራ ፍቃድ
በሚኒስቴሩ ወይም ሚኒስቴሩ ውክልና
በሚሰጣቸው አካላት ይሰጣል፡፡
፪/ የጠረፍ ንግድ ልዩ የንግድ ሥራ ፍቃድ
በሚኒስቴሩ ወይም በጠረፍ ንግድ ስምምነቶች
ወይም በተናጠል ውሳኔ በተወሰኑ ምርቶች ላይ
ብቻ የሚሰጥ ይሆናል፡፡
፫/ የጠረፍ ንግድ ልዩ የንግድ ፍቃድ አሰጣጥ
መስፈርት በአዋጁ መሠረት በሚወጣ ደንብ
ይወሰናል፡፡
፴፮. ስለ ውጭ ንግድ ትርዒት
የውጭ የንግድ ትርዒት ይሁንታ ስለሚሰጥበት
ሁኔታ ሚኒስቴሩ በሚያወጣው መመሪያ
ይወሰናል፡፡
፴፯.ስለ ፍራንቻይዝ ምዝገባ
፩/ የፍራንቻይዝ ምዝገባ መስፈርት በአዋጁ
መሠረት በሚወጣ ደንብ በተወሰነው
መሠረት ይፈፀማል፡፡
፪/ ፍራንቻይዚው በፍራንቻይዘሩ ደረጃ መሠረት
መስራት አለበት፡፡
፫/ ተገልጋዮች ከፍራንቻይዘሩ የሚያገኙትን
ዓይነት ምርት ወይም አገልግሎት
ከፍራንቻይዚው ማግኘት አለባቸው፡፡
፴፰.ስለ ብቸኛ አስመጭና አከፋፋይ
፩/ ብቸኛ አስመጭ ወይም አከፋፋይ
መስራት የተከለከለ ነዉ፡፡
፪/ በዚህ አንቀጽ ንዑስ አንቀጽ (፩) የተደነገገው
ቢኖርም ከሥራው ባሕሪ እና አገራዊ ጥቅም
አንጻር ብቸኛ አስመጭ ወይም አከፋፋይ
ሆኖ መሥራት የሚቻልባቸው የንግድ ሥራ
መስኮችን በተመለከተ የሚኒስትሮች ምክር
ቤት ደንብ ሊያወጣ ይችላል፡፡
፴፱. የንግድ ወኪል ተግባራት
የንግድ ወኪል የሚከተሉት ተግባራት ይኖሩታል ፦
፩/ የወካዩን ምርት ለገበያ የማስተወወቅ፤
፪/ የሀገራችንን ምርቶች ለዉጭ
የማስተዋወቅ፤

6/ The requirements for registration for holding
companies shall be determined in regulations
to be issued hereunder.
35. Boarder Business
1/ Special boarder business license shall be
issued by the Ministry or by offices delegated
by the Ministry.
2/ Special boarder business license shall be
issued based on boarder trade accords or by
unilateral decision pertaining to limited types
of products only.
3/ The procedures for issuance of special
boarder business licenses shall be determined
in regulations to be issued hereunder.
36. Foreign Trade Exhibition
The conditions to grant permission to hold foreign
trade exhibitions shall be determined in
regulations to be issued by the Ministry.
37. Franchise Registration
1/ The registration of the franchise shall be
conducted pursuant to the provisions of the
regulations issued hereunder.
2/ The franchisee shall function on the same
standard as the franchiser.
3/ Clients shall obtain the same product and
service from the franchisee as they would
have gotten from the franchiser.
38. Sole Importer and Distributor
ሆኖ 1/ It shall be prohibited to operate as sole
importer or distributor.
2/ Notwithstanding sub-article (1) of this
Article, based on the type of business and its
national significance, the Council of
Ministers may issue regulations on sectors of
business in which sole importation or
distribution may be allowed.
39. Duties of a Commercial Agent
Commercial Agent shall have the following
duties:
1/ promote the products of the company he
represents;

፫/ ዓለም አቀፍ ጨረታ ላይ በሕግ ተወክሎ 3/ participate in international tenders legally

በወካይ ምትክ ሆኖ በጨረታ ላይ representing the company and follow up
የመሳተፍና አፈጻጸሙን የመከታተል፤ performances;
፬/ በወካይ ነጋዴ ስም ውል የመዋዋል፡፡ 4/ execute contracts on behalf of the company
he represents.
፵. ስለዉጭ ሀገር የንግድ ምክር ቤቶች ቅርንጫፍ 40. Branch Offices of Foreign Chambers of
ጽሕፈት ቤቶች Commerce
፩/ የዉጭ ሀገር ንግድ ምክር ቤቶች የቅርንጫፍ 1/ Foreign chamber of commerce may open its
ጽሕፈት ቤቶችን ሊከፍቱ የሚችሉት branch office in Ethiopia upon presenting
በተመሰረቱበት አገር የተሰጣቸውን የሕጋዊ certificate of legal personality issued in the
country of registration, memorandum and
ሰውነት ማስረጃ፣ መተዳደሪያ ደንብና
article of association submitted there and
የመመስረቻ ጽሁፍ እንዲሁም የሚያከናው
their detailed activities in Ethiopia and upon

ጽሕፈት ቤቶች በሀገር ዉስጥ ያሉ የንግድና commerce shall be only entitled to engage in
ዘርፍ ምክር ቤቶች ከሚያከናዉኗቸዉ activities that are similar with that of the
local chambers of commerce.
ተግባራት ጋር ተመሳሳይ ተግባራትን ብቻ
ማከናወን ይችላሉ፡፡
፫/ የዉጭ ሀገር ንግድ ምክር ቤቶች ቅርንጫፍ 3/ The branch offices of foreign chamber of
ጽሕፈት ቤቶች በሀገር ዉስጥ ከተቋቋሙ commerce shall work in cooperation and
የንግድ እና ዘርፍ ማህበራት ምክር ቤቶች jointly with local chambers of commerce and
sectoral associations.
ጋር በትብብርና በጋራ መደጋገፍ ይሰራሉ፡፡
፵፩.ስለ ንግድ ማህበር ሥራአስኪያጅ 41. Managers of Business Organizations

የንግድ ማህበር ሥራ አስኪያጅ የሆነ ማንኛውም
ሰው በተመሳሳይ ወቅት ከአንድ በላይ የንግድ
ማህበር ሥራ አስኪያጅ መሆን አይችልም፡፡
፵፪. ስለ ብቃት ማረጋገጫ
No person shall be allowed to serve as manager of
more than one business organization at the same
time.
42. Certificate of Competence

፩/ ይህን አዋጅ ተከትሎ በወጣው ደንብ መሠረት 1/ The relevant sector offices shall issue
directive on criteria for issuance of certificate
የብቃት ማረጋገጫ ለሚያስፈልጋቸው የንግድ
of competence for types of business activities
ሥራዎች ሊሟሉ የሚገባቸውን የብቃት that need competence certificate as
ማረጋገጫ መስፈርቶች አግባብነት ያላቸው determined in the regulations issued pursuant

፪/ በዚህ አዋጅ ድንጋጌዎች፣ አዋጁን ተከትሎ 2/ Government offices authorized to issue

በሚወጣው ደንብ እና መመሪያ እንዲሁም certificates of competence under the

፫/ የብቃት ማረጋገጫ የተሰጠበት አድራሻ 3/ Where there is change in address or criteria

ወይም መስፈርት ለዉጥ የተደረገ ከሆነ corresponding to the certificate of

መስፈርቶችን ሲያዘጋጁ በዘርፉ የተሰማሩ business persons engaged in the sector while
determining criteria for certificates of
የነጋዴዎች አደረጃጀቶችን ማማከር
competence.
አለባቸው፡፡
፵፫. ወጪና ገቢ ዕቃዎችን ስለመወሰን 43. Determination of Export and Import Goods

፩/ ሚኒስቴሩ ለብሔራዊ ጥቅም አስፈላጊ ሆኖ 1/ The Ministry may, for the national interest
with the approval of the Council of Ministers,

ban importation into or exportation from

Ethiopia of certain goods and services.

ወይም ከሀገር እንዳይወጡ ክልከላ ለመጣል
ይችላል፡፡
፪/ የአስመጪነት ወይም የላኪነት ንግድ ፈቃድ 2/ The Ministry may, pursuant to regulations to
የሌላቸው ሰዎች ከውጭ ሀገር ዕቃ be issued hereunder, give permit for persons
እንዲያስገቡ ወይም ወደ ውጭ ሀገር ዕቃ who have no import or export licenses to

፵፬. አገልግሎቶችና መለዋወጫዎች አቅርቦትና ቁጥጥር 44. Supply and Control of Services and Spare Parts

፩/ የእርሻ፣ የኢንዱስትሪና የኮንስትራክሽን 1/ A business person or an agent engaged in the

መሣሪያዎችን በመኪና ኃይል የሚሰሩ import and sale of agricultural, industrial and
ዕቃዎችንና ተሽከርካሪዎችን ከውጭ አገር construction machineries and mechanical

ለ) በማናቸውም ጊዜ ተገቢ በሆነ ዋጋ b) provide maintenance and repair services

የተሟላ የማደስ አገልግሎት ለገዥዎች to buyers at all times and at appropriate

፪/ በዚህ አንቀጽ ንዑስ አንቀጽ (፩) በተደነገገው 2/ A business person failing to comply with the
provision of sub-article (1) of this Article

shall be liable to administrative measures and

፩/ አግባብ ያለው ባለሥልጣን የሚመድባቸው 1/ Inspectors deployed by a relevant authority

shall show their identification cards and

establishments at government working hours.
ለቁጥጥር ተግባር መሄድ ያለባቸው
በመንግስት የሥራ ሰዓት ብቻ ነው፡፡
፫/ በዚህ አንቀጽ ንዑስ አንቀጽ (፪) የተደነገገው 3/ Without prejudice to the provision of sub-

ይህን አዋጅ፣ አዋጁን ተከትለው የሚወጡ The relevant authority shall take administrative
measures provided in this Proclamation and the

፩/ በዚህ አዋጅ እና አዋጁን ተከትለው የወጡ 1/ Any person aggrieved by the decisions of

፫/ አግባብ ባለው ባለሥልጣን በዚህ አንቀጽ 3/ Any person aggrieved by the decision given

ወይም በንግድ ሥራ ፍቃዱ እንዲሰራ business person who has been engaged in a

ወይም የንግድ ሥራ ፍቃድ ወይም የንግድ or trade name registration or obtains or

ወይም የንግድ ሥራ ፍቃዱን ወይም የንግድ certificate of commercial representation upon

በሽያጭ፣ በኪራይ፣ በስጦታ ወይም
በተመሳሳይ ሁኔታ ለሦስተኛ ወገን አሳልፎ
የሰጠ ማንኛውም ነጋዴ ከብር ፶ሺ (ሃምሳ
ሺ) እስከ ብር ፻ሺ (አንድ መቶ ሺ) የገንዘብ
መቀጮ እና ከ፭ (አምስት) ዓመት እስከ ፲
(አሥር) ዓመት በሚደርስ ፅኑ እስራት
የሚቀጣ ሲሆን አሳልፎ የሰጠው ለውጭ አገር
ዜጋ በሆነ ጊዜ ከብር ፪፻ሺ (ሁለት መቶ ሺ)
እስከ ብር ፫፻ሺ (ሦስት መቶ ሺ) በሚደርስ
የገንዘብ መቀጮ እና ከ፯ (ሰባት) ዓመት
እስከ ፲፭ (አሥራ አምስት) ዓመት በሚደርስ
ጽኑ እስራት ይቀጣል፤
፭/ የንግድ ሥራ አድራሻ ለውጥ በአዋጁ
መሠረት በወጣው ደንብ በተመለከተዉ የጊዜ
ወሰን ውስጥ ለመዝጋቢው መስሪያ ቤት
ያላስታወቀ ማንኛውም ነጋዴ ከብር ፭ሺ
(አምስት ሺህ) እስከ ብር ፲ሺ (አስር ሺህ)
በሚደርስ የገንዘብ መቀጮ እና እስከ ሦስት
ወር በሚደርስ ቀላል እስራት ይቀጣል፤
፮/ በንግድ መዝገቡ ላይ ማሻሻያ ሊያስከትል
የሚችል ለውጥ አድርጎ በዚህ አዋጅ ድንጋጌ
መሰረት በ ፴ ቀናት ውስጥ ለመዝጋቢው
መሥሪያ ቤት ያላስታወቀ ማንኛውም ነጋዴ
ከብር ፭ሺ (አምስት ሺህ) እስከ ብር ፲ሺ
(አስር ሺህ) በሚደርስ የገንዘብ መቀጮ እና
ከሦስት ወር በማያንስ ቀላል እስራት
ይቀጣል፤
፯/ ይህንን አዋጅ ወይም አዋጁን ለማስፈፀም
የወጡ ደንብና መመሪያዎችን ተግባራዊ
ለማድረግ ለሚካሄድ የቁጥጥር ሥራ አግባብ
ያለው አካል የሚልካቸው ሠራተኞች ወይም
ተቆጣጣሪዎች የሚጠይቁትን መረጃ
ለመስጠት ፈቃደኛ የማይሆን ወይም
በማናቸውም ዓይነት ሁኔታ ተግባራቸውን
የሚያስተጓጉል ማንኛውም ነጋዴ ከብር ፭ሺ
(አምስት ሺህ) እስከ ብር ፲ሺ (አስር ሺህ)
በሚደርስ የገንዘብ መቀጮ እና ከሦስት ወር
በማያንስ ቀላል እስራት ይቀጣል::
፰/ የዚህን አዋጅ ሌሎች ድንጋጌዎች የተላለፈ
ማንኛውም ሰው ከብር ፲ሺ (አስር ሺ) እስከ
ብር ፴ሺ (ሠላሳ ሺ) በሚደርስ የገንዘብ
መቀጮ እና ከአንድ ዓመት እስከ ሦስት
ዓመት የሚደርስ ቀላል እስራት ይቀጣል፡፡
፶. የመሸጋገሪያ ድንጋጌ
his business license to a third party by way of
sale, lease, donation or in a similar fashion
shall be punished with fine from Birr 50,000
(fifty thousand) to Birr 100,000 (one hundred
thousand) and with rigorous imprisonment
from 5 (five) years to 10 (ten) years; if the
business license has been transferred to a
foreign national the fine shall be from Birr
200,000 (two hundred thousand) to Birr
300,000 (three hundred thousand) and the
imprisonment shall be from 7 (seven) years
to 15 (fifteen) years.
5/ Any business person who has fails to notify
change of his business address to the
registering office within the period specified
in the regulations issued hereunder shall be
punished with fine from Birr 5,000 (five
thousand) to Birr 10,000 (ten thousand) and
with simple imprisonment not exceeding
three months.
6/ Any business person who fails to notify the
registering office within 30 days changes that
warrant amendments in the commercial
registration pursuant to this Proclamation
shall be punished with fine from Birr 5,000
(five thousand) to Birr 10,000 (ten thousand)
and with simple imprisonment not exceeding
three months.
7/ Any business person who refuses to provide
information or attempts to obstruct the duties
of workers or supervisors sent by a relevant
authority as part of activities for the
enforcement of this Proclamation, regulations
or directives issued hereunder shall be
punished with fine from Birr 5,000 (five
thousand) to Birr 10,000 (ten thousand) and
with simple imprisonment not exceeding
three months.
8/ Any person who violates the other provisions
of this Proclamation shall be punished with
fine from Birr 10,000 (ten thousand) to Birr
30,000 (thirty thousand) and with simple
imprisonment from one year to three years.
50. Transitory Provision

የዚህ አዋጅ አንቀጽ ፶፩ (፩) ድንጋጌ ቢኖርም Notwithstanding Article 51(1) of this Proclamation,
administrative issues pending before the coming

፶፩. ተፈፃሚነት የማይኖራቸው ሕጎች 51. Inapplicable Laws

፩/ የንግድ ምዝገባና ፈቃድ አዋጅ ቁጥር 1/ The Business Registration and Licensing
፮፻፹፮/፪ሺ፪ (እንደተሻሻለ) በዚህ አዋጅ Proclamation No. 686/2010 (as amended) is
ተሽሯል፡፡ hereby repealed.

፪/ በዚህ አዋጅ ከተደነገጉ ጉዳዮች ጋር 2/ No, law or customary practice, inconsistent

የሚቃረን ማንኛውም ሕግ፣ ልማድ ወይም with this Proclamation, shall have effect with
respect to matters governed by this
አሰራር ተፈፃሚነት አይኖረውም፡፡

፶፪. ደንብና መመሪያ ስለማውጣት 52. Power to Issue Regulations and Directives

፩/ ይህንን አዋጅ ለማስፈፀም የሚኒስትሮች 1/ The Council of Ministers may issue

Regulations necessary for the implementation

፪/ ይህንን አዋጅ እና በዚህ አንቀጽ ንዑስ 2/ The Ministry may issue directives necessary
