ROTARACT CLUB OF MBARARA

MEMORANDUM OF UNDERSTANDING

THIS MEMORANDUM OF UNDERSTANDING entered into at free will by both parties is made
this____day of ___________2020 between the Rotaract Club of Mbarara of P. O.
Box___________Mbarara proudly sponsored by the Rotary club of Mbarara referred to as “The
First Party” on the one part;

AND

The Rotaract Club of Kampala West of P.O. Box_____,KampalaBox, Kampala proudly sponsored by
the Rotary club of Kampala West herein after referred to as “The Second Party” on the other part.

While As;

Both parties are affiliates of Rotary International an international Charity organization with registration
numbers……respectively;

Both parties are dully registered entities in Uganda as Community based organizations with registration
numbers…..respectively,

Both parties are desirous of uplifting the education standards of the under privileged pupils within
Uganda;

AND wellAND well aware that “The First Party” has been implementing the Basome Rwarire Education
Fund at Rwariire primary school in Nyakayojjo division within Mbarara Municipality in Mbarara District
with the sole purpose of upliftingof uplifting the education standards of the under privileged pupils
within the community Nyakayojjo division for now a period of ten (10) years;

NOW THAT “The First Party” is desirous of partnering with the “The Second Party” on the Basome
Rwarire Education Fund and the latter is willing and has accepted to partner with the former;

NOW THIS MEMORANDUM OF UNDERSTANDING WITNESETH AS FOLLOWS;

i. The partnership shall be for an initial period of five (5) Rotary years starting with the 2019/2020
Rotary year after which the partnership may be extended or renewed on such terms as parties
shall deem fit.

Obligations of “The First Party”

i. To prepare an annual work plan clearly indicating the project targets for each particular year for
the Basome Rwarire Education Fund within the first quarter every Rotary year while working
with “The Second Party”.

ii. To generate and share all quarterly reports about the Basome Rwarire Education Fund with “The
Second Party” not later than the 25th day of every last month of a given quarter.

iii. To notify and invite with sufficient notice “The Second Party” of/to any activities of the Basome
Rwarire Education Fund.

iv. To include with clarity and precision “The Second Party” as a partner in/on all its publications of
the Basome Rwarire Education Fund as a partner.

Obligations of “The Second Party”

i. To participate in the preparation of an annual work plan clearly indicating the project targets for
each particular year for the Basome Rwarire Education Fund within the first quarter every Rotary
year to be spearheaded by “The First Party”.

ii. To contribute a total of twenty five (25) classroom desks (three seater desks with their seats
attached) delivering five desks every year within the first month of every second quarter.

iii. The contribution in (ii) above shall be in cash as per the prevailing market price which shall be
agreed upon by both parties and shall be deposited on “The First Party’s” bank account Number
that shall be provided by “The First Party”.

iv. To attend by way of representation of at least one of their members all activities of the Basome
Rwarire Education Fund as and when notified by “The First Party”.

v. To whenever the circumstances allow, participate in all fundraising drives, campaigns and
functions of the Basome Rwarire Education Fund as and when organized by “The First Party”.

Variation clause
This memorandum of understanding may be varied / altered any time with the consent of both parties.

Termination by either party

Either party may terminate this Memorandum of understanding within the initial period of the first five
(5) years upon giving the other party a six months’ written notice and such party having cleared all their
pending obligations if any as herein stipulated.

All disputes arising from the implementation of this memorandum of understanding shall be first handled
through arbitration before the prevailing District Rotaract Representative or both District Rotaract
Representatives in case the parties herein do not belong to the same Rotary District..
