DEED OF DONATION

WITH ACCEPTANCE

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Donation with Acceptance is made and executed this 19 th day of December
2020 at [COMPLETE ADDRESS] by:

JAG PHILIPPINES INC., herein represented by its [NAME OF

REPRESENTATIVE, DESIGNATION], with official address at [COMPLETE
BUSINESS ADDRESS] (hereinafter referred to as the “DONOR”);

- in favor of -

The PASIG CITY GOVERNMENT, herein represented by its Mayor, Victor

Ma. Regis N. Sotto, with official address at Caruncho Ave, Barangay San Nicolas, Pasig
City, 1600 Metro Manila (hereinafter referred to as the “DONEE”);

WITNESSETH THAT:

WHEREAS, on March 9, 2020, President Rodrigo R. Duterte issued Proclamation No. 922,
declaring a State of Public Health Emergency throughout the Philippines due to the
Coronavirus Disease 2019 (COVID-19) pandemic, and further issued Proclamation No. 929
declaring a State of Calamity as a result of the same;

WHEREAS, the Pasig City Government welcomes with gratitude the efforts of private
parties in assisting its pandemic-related endeavors through donations which would be in line
with the Pasig City Government’s aims in providing for its constituents during this pandemic;

NOW THEREFORE, for and in consideration of the foregoing premises, the parties
hereby agree as follows:

Section 1. For and in consideration of the aim of the DONOR to support the
endeavors of the Pasig City Government in providing for its constituents during this
pandemic, the DONOR, by these present, transfers and conveys Electronic Tablet
Computers worth One Million Two Hundred Thousand Pesos (Php 1,200,000.00) for
the use of the DONEE.

Section 2. The DONOR does hereby state and affirm, for the purpose of giving full
effect to this donation, that this donation is made for gratuitous reasons and with the full
adherence to the aforestated aims, and is not made with any intent to deceive or to commit
any fraud.

Section 3. That said Electronic Tablet Computers will be transferred immediately

into the possession of Pasig City Government at Caruncho Ave, Barangay San Nicolas,

Pasig, 1600 Metro Manila. The particulars and logistics of the transportation will be decided
based on oral agreement between the parties.

Section 4. That the DONEE does hereby accept the Electronic Tablet Computers
as further embodied in this Deed’s Acceptance Clause, and does hereby express its gratitude
for the kindness and generosity of the DONOR, and further warrants that the Electronic
Tablet Computers will be used solely for the aforestated purposes.

ACCEPTANCE EMBODIED HEREIN:

Now therefore, the DONEE does hereby accept the foregoing donation from the
DONOR and for which it, through the City officials and constituents, expresses sincere
appreciation and gratitude for the kindness and liberality shown by the DONOR.

IN WITNESS WHEREOF, the parties have set their hands this 19 th day of
December, 2020 at Pasig City, Philippines.
