Subject: Non-compliance of the Method Statement for Earth works Capping layer
(Laterite Blended with sand) with the provisions of the EPC Contract
applicable to the Engineering Studies and Procurement and other deficiencies
identified requiring immediate course of action

Dear Sirs,
1 Introduction
1.1 Reference is made to:
(i) the EPC contract relating to the Permanent Anticipated Works between KP 24 to KP
105 of the Transgabonaise national road located in the Republic of Gabon dated as
amended and restated on 6 November 2020 and amended by Amendment n°1
dated 22 January 2021 (the “EPC Contract”);
(ii) the letter dated 14 July 2021 with reference AIL-SAG-L-5267-00263 whereby the
Contractor submit to the Employer the Method Statement for Earth works Capping
layer (Laterite Blended with sand).
(iii) Unless otherwise specified herein, terms used in this letter shall have the same
meaning as the one ascribed to them in the EPC Contract.

2 Provisions of the EPC Contract
2.1 Clause 3.2.3(vi) of the EPC Contract provides that the Employer’s Consultants shall notably
review and provide comments on the Engineering Studies produced by the Contractor.
2.2 Clause 5.2.4 of the EPC Contract provides that, in case of comments made by the Employer
on the Contractor’s Documents, the Contractor shall thereafter provide the revised
Contractor’s Documents within (15) days following the communication made by the
Employer.
2.3 Clause 5.2.5 of the EPC Contract provides that within twenty-one (21) days from receipt of
any Contractor’s Document, the Grantor and the Independent Engineer may notify the
Employer, who shall promptly forward them to the Contractor, of their comments on such
documents relating to non-compliance with any provision of the Concession Agreement.
Either of them may also make any reasonable request for additional time for examination,
which may not exceed ten (10) additional days. The Contractor shall revise the Contractor’s
Documents to take into account the comments of the Independent Engineer and/or the
Grantor. In the absence of comments from the Independent Engineer and/or the Grantor
within the time period referred to above, they shall be deemed to have no objection to the
Contractor’s Documents, without prejudice to the Contractor's liability for the performance of
the Works.
3 Comments from the Employer and the Independent Engineer on the Method
Statement for Earth works Capping layer (Laterite Blended with sand)
3.1 In accordance with the abovementioned provisions of the EPC Contract, the Employer and
Employer’s Consultants have reviewed the Method Statement for Earth works Capping layer
(Laterite Blended with sand) submitted by the Contractor and have provided their comments
thereon, which are appended as Schedule 1 to this letter. From a general perspective, we
take from such review that the contents of the document are incomplete and are not
compliant with the provisions of the EPC Contract.
3.2 In accordance with the abovementioned provisions of the EPC Contract, the Employer also
hereby submits to the Contractors the review sheet provided by the Independent Engineer
relating to the Method Statement for Earth works Capping layer (Laterite Blended with sand)
which are included in Schedule 2 to this letter. Considering the delay incurred in the
transmission of the Method Statement for Earth works Capping layer by the Contractor,
(which occurs after (i) the end of the Engineering Studies – Detailed Design period related
to Segment 4 as per the Contract Programme, (ii) the realization of the trial section by the
Contractor and (iii) the start of its on-site application by the Contractor, in particular on the
shoulders of the road), the review of the Method Statement for Earth works Capping layer
has been carried out simultaneously by the Employer and by the Independent Engineer and
is provided to the Contractor as schedule to this letter.

4 Non-compliance with the provisions of the EPC Contract
4.1 Non-compliance with the provisions of the EPC Contract pointed out by the Employer.
Comments made by the Employer under paragraph 3.1 above and Schedule 1 to this letter
on the Method Statement for Earth works Capping layer provided by the Contractor qualify
overall as major comments from the Employer, as further referred to as class 3 comments
in paragraph 1.8.4 of schedule 2 (Employer’s Requirements) of the EPC Contract.
4.2 Non-compliance with the provisions of the EPC Contract pointed out by the
Independent Engineer.
In addition, the Employer points out that the Method Statement for Earth works Capping
layer provided by the Contractor leads to comments from the Independent Engineer.
4.3 Furthermore, given the nature of (i) of the delay in the transmission of the Method Statement
for Earth works Capping layer by the Contractor (as per paragraph 3.2 above) and (ii) the
defaults identified, we consider that:
4.3.2 the Contractor Independent Control Officer has substantially failed to carry out its
missions, this despite the fact that the Employer has explicitly requested the
Contractor to strengthen its proposals relating to the Contractor Independent Control
Officer in the Notice to Proceed (Detailed Design) and Notice to Proceed (Other
Works) respectively issued by the Employer on 22 January 2021 and 22 March 2021
and countersigned by the Contractor.
5 Remediation measures
5.1 In accordance with clause 5.2.4 and paragraph 1.8.4 of schedule 2 (Employer’s
Requirements) of the EPC Contract, the Contractor shall make appropriate corrections
addressing the Employer’s comments within 15 days following the date of receipt of this
letter.
5.2 The Contractor shall also, as soon as possible, implement all necessary measures to:
5.2.1 Provide to the Employer the Method Statement for Earth works Capping layer within
the Engineering Studies – Detailed Design period of time (as per the Contract
Programme) and prior to any trial section and on-site application as per Contractual
Requirements;
5.2.2 correct the deficiencies relating to the Contractor Independent Control Officer
referred to in Paragraph 4.3 above.
5.2.3 It is reminded that any corrective works that may be necessary as a result of such
deficiencies shall be the sole responsibility of the Contractor and shall not entitle the
Contractor to any additional costs or extra-time to complete the Works.

For the avoidance of doubt, this letter shall not act as a waiver of any rights of the Employer under
the EPC Contract. The rights and remedies provided to the Employer under the EPC Contract and
otherwise are cumulative and not exclusive of any rights or remedies provided by law and may be
waived only in writing and specifically.

(or a design study of the laterite-sand mixture) to set
the objectives and evaluate the potential
improvement that the mixture could offer (which at
the date of this review sheet has not yet been done
to our knowledge). All the major points mentioned in
Review Sheet No. 22 sent by the Employer to the
Contractor on May 17th,2021 remained to be
addressed by the Contractor.
