3. UNIT PRICE: AS ABOVE MENTIONED CNF WUHAN PORT, CHINA – INCOTERM 2010 IN
CONTAINER BASIS. Price is included THC and EBS fee at the loading port.
Như đã đề cập ở trên, điều kiện Incoterm 2010 CNF( cost and freight) tại Cảng Wuhan-Trung
Quốc . Giá đã bao gồm phí THC (terminal handing charger: phụ phí xếp dỡ tại cảng) + EBS
(Emergency Bunker Surcharge: phụ phí xăng dầu/nhiên liệu cho tuyển Châu Á) tại cảng bốc
hàng.

4. PACKING: (đóng gói) In 50 Kgs N.W. or 50.12 Kgs G.W. in new single white PP bags at the Seller’s
account.

bì), đóng gói trong bao PP đơn màu trắng

5. SHIPPING MARK/BRAND: (nhãn hàng hóa) At the Buyer’s Brands. Buyer should inform the Seller
bags’ marks/brands 10 – 15 days before the Shipment date. The Seller shall not take any responsibility for
the trade mark or any contents on the bags.
Đóng gói bao bì có nhãn in tên thương hiệu của người mua. Người mua thông báo cho người
làm bao bĩ, nhãn mác bên bán trước 10-15 ngày trước khi giao hàng. Người bán sẽ không có
trách nhiệm đối với thương hiệu và nội dung của bao bì.

6. LOADING CONDITION: (điều kiện bốc hàng) Loading 25MTS max per 20 feet containers.

Không quá 25MTS trong một cont 20feet

8. SHIPMENT: Latest by Jan 31, 2016 and/or the delivery notice should be sent to the Buyer five (5) days
before the shipment date.
Trễ nhất vào ngày 31/01/2016 và/hoặc thông báo giao hàng nên được gửi cho người mua 5
ngày trước ngày giao hàng.

9. PARTIAL SHIPMENT: (giao hàng tận nơi) Allowed.

11. FUMIGATION (hun trùng)

Fumigation fee is at the Seller’s account. (phí hun trùng do người bán chịu)

12. PAYMENT: 100% by DP at sight 100% ngay sau khi nhìn thấy D/P (document against payment)
The payment must be effected within 05 (five) working days upon receipt of original documents at
presenting bank.
Việc thanh toán phải được thực hiện trong vòng 5 ngày làm việc sau khi nhận được nhận được
chứng từ gốc tại ngân hàng đại diện.
In the circumstance that Buyer could not collect the original documents after 05 (five) working days
upon receipt of original documents at presenting bank. The extra cost of additional USD 5.00 per
metric ton shall be incurred by the Buyer for every thirty (30) days from shipment date extension.
Trong trường hợp nếu người mua không thể cung cấp các chứng từ gốc sau 5 ngày làm việc kể
từ khi nhận được chứng từ gốc từ ngân hàng đại diện thì người mua sẽ phải chịu thêm 1 khoản
chi phí 5USD trên mỗi metric tấn trong vòng 30 ngày kể từ ngày giao hàng.

13. INSPECTION: + Inspection by independent surveyors.

+ Expenses for inspection are for the Seller’s account.

14. INSURANCE: At Buyer's account and responsibility (if any).

15. CANCELLATION OR TERMINATION:

In the absence of an event of force majeure, or other written agreement between the Buyer and the Seller
governing cancellation, this contract and any order accepted by the Seller hereunder may be canceled by
the Buyer only upon written notice to the Seller and payment of the Seller's cancellation charges. At the
Buyer request, a statement of such charges will be furnished by the Seller prior to cancellation. This
compensation must be made by the Buyer within seven (07) days from the statement receiving date.
Notwithstanding the above provisions, in case where the Buyer unilaterally terminates or cancels the
Contract, irrespective of whether there is a prior written notice or not, or the Buyer fails in performing
 any of its obligations stipulated hereof, the Buyer shall pay the Seller a sum of money equivalent to 8% of
contract value as a penalty of such termination or cancelation.

16. CLAIM：
No claim may be raised by Buyer against Seller with regard to the Goods unless Buyer notifies Seller of
its claim by registered airmail, containing full particulars of the claim and accompanied by evidence
thereof certified by an authorized surveyor within thirty (30) days after the arrival of the Goods at the port
of destination. Notwithstanding the foregoing, no claim shall be processed 6 months’ from invoice date.
All claims received by Seller shall be resolved independently of payments due, within a reasonable time
but not less than fourteen (14) days of receipt of written notice from Buyer.

17. ARBITRATION:
Any disputes arising out of or in relation to this contract shall be firstly settled by an amicable negotiation
by the parties. In case such a negotiation fails, such disputes shall then be finally settled by the Vietnam
International Arbitration Center (“VIAC”) besides at the Vietnam Chamber of Commerce and Industry in
accordance with its arbitration rules. The Arbitration's decision is to be final and binding on both of
parties. The Arbitration fees will be for the losing Party’s account.
The arbitration shall be conducted by one arbitrator. If the Parties are not able to agree upon the selection
of such an arbitrator within twenty (20) days of commencement of an arbitration proceeding, the
arbitrator shall be selected by VIAC in accordance with its arbitration rules.
Except as required by law, neither a party nor its representatives may disclose the existence, content, or
results of any arbitration hereunder without the prior written consent of both parties.
18. REMARKS :
In case the buyer re-export or transship cargo to a third country and/or territory in the category of
Vietnam Government G-G market, it must be accepted by the seller based on Vietnamese regulations in
the contract.
This contract is in two copies, fax or email sealed and signed contract is valid since being signed /sealed
by both parties.
