‫دﺑﻲ‪.‬‬
2. Restrictions: Licensee shall not directly or
indirectly sublicense, rent, loan, lease, transfer,
grant access to or otherwise distribute the
JAGGAER License to its subsidiary or affiliate
companies or any other person or entity.
3. Compliance: JAGGAER License is issued
under the terms and conditions governing the
access and use of the eSupply and is subject to
Dubai Government’s rules and regulations on
matters inherent to Public Sector provision of
goods and services.
Fees and related charges
4. JAGGAER License Fees set forth in this
License Order Form are payable annually in
advance.
5. Licensee’s usage is restricted as set forth in
the “Annual User Parameters.”
6. If the Licensee exceeds the Annual User
Parameters, the Licensor shall upgrade the
Licensee to the next available License tier and
inform the Licensee of the additional fees
payable accordingly.
7. In the event that the Licensee fails to pay the
Fees, or any part thereof, within 30 days of
receiving an invoice for such fees from
JAGGAER, JAGGAER may, entirely at its
discretion and without notice to the Licensee,
revoke this License and prevent the Licensee
from accessing eSupply.
8. License fee contained in this License Order
Form includes value added tax (VAT) in
accordance with articles (2) and (3) of UAE’s
Federal Decree-Law No. (8) of 2017 on Value
Added Tax but excludes any other taxes.
Licensee shall pay all taxes (other than VAT)
imposed, assessed or collected by any
governmental authority in connection with the
transactions contemplated hereunder exclusive
of taxes on JAGGAER’s net income. Licensee
may provide a valid exemption letter/document
to claim any exception or exemption from VAT.

‫ رسوم اﻟرخصة محتواه في استمارة طلب اﻟرخصة تشمل ضريبة‬.8

‫ مستند ﺑطلب أي‬/‫ ويجوز ﻟلمرخص ﻟه توﻓير خطاب إﻋفاء‬.‫اﻟدخل‬

Term and Termination
9. JAGGAER License is issued for a minimum
period of one year and hence this Agreement
shall be valid for the Initial Term of 1 year from
the Effective Date. After the Initial Term, this
Agreement shall automatically renew for
successive periods of 1 year each (each a
“Renewal Term”) unless it is terminated by either
party by giving the other party 1 month notice in
writing not less than 30 days prior to expiry of
Initial Term or each Renewal Term.
10. Licensee shall be required to maintain a
valid trade license issued by a Government, a
Regulatory Authority, a Free Zone or any other
competent authority during the term of its
JAGGAER’s License.
11. This License may be revoked by JAGGAER
if the Licensee breaches the provisions of this
License Order Form or the terms of use of
eSupply or becomes the subject of any
proceeding relating to insolvency, receivership,
liquidation or assignment for the benefit of
creditors.
12. In the event of termination of the agreement
by the Licensee, all indebtedness of the
Licensee to the Licensor shall become
immediately due and payable.
Governing Law and Jurisdiction
13. This agreement is governed by and shall be
construed in accordance with the terms of U.A.E
law as applied in the Emirate of Dubai.
14. Both parties agree to submit to the
jurisdiction of the Dubai courts for all purposes
relating to this agreement.

‫هذا االتفاق تلقائيا ﻟفترات متتاﻟية مدة كل منها ﻋام واﺣد (تكون‬
‫كل منها "مدة تجديد") ما ﻟم يقم أﺣد اﻟطرﻓين ﺑإنهائها ﻋن طريق‬
‫ ال يقل ﻋن‬،‫إرسال إخطار ﻛتاﺑﻲ إلى اﻟطرف اآلخر قبل شهر واﺣد‬

.‫يوما قبل اﻧتهاء املدة املبدئية أو كل مدة تجديد‬
‫ يتﻌين ﻋلى اﻟشرﻛة املرخص ﻟها أن تحتفظ ﺑرخصة جاقارة‬.10
‫ سلطة‬،‫ اﻟهيئة اﻟتنظيمية‬،‫سارية املفﻌول ﺻادرة من قبل الحكومة‬
‫املنطقة الحرة أو أي سلطة اختصاﺻية أثناء ﻓترة رخصة جاقار‬
.‫الخاﺻة بها‬
‫ يحق لجاقار إﻟغاء هذا اﻟترخيص إذا قام املرخص ﻟه ﺑخرق‬.11
‫ﺑنود ﻧموذج طلب اﻟترخيص الحالي أو شروط االستخدام الخاﺻة‬
‫ﺑبواﺑة اﻟتوريد اﻹﻟكترونﻲ أو إذا أﺻبح موضوع أي دﻋوى تتﻌلق‬
‫ أو ﻧقل امللكية‬،‫ أو اﻟتصفية‬،‫ أو اﻟوضع تحت الحراسة‬،‫ﺑاﻹﻓﻼس‬
.‫ﻟصالح اﻟدائنين‬
‫ تصبح جميع مديوﻧيات‬،‫ في ﺣاﻟة إنهاء املرخص ﻟه ﻟﻼتفاق‬.12
.‫املرخص ﻟه مستحقة وواجبة اﻟدﻓع ﻟلمرخص ﻋلى اﻟفور‬
‫القانون الحاكم لالتفاق ونطاق اختصاصه‬
‫ يخضع هذا االتفاق ويتم تفسيره طبقا ألﺣكام قاﻧون دوﻟة‬.13
