Whereas the first party will hold specialized workshops in the field of
museums in various cities of the Kingdom of Saudi Arabia, and since
the second party is specialized and has experience in the field.
Whereas the First Party wishes to enter into an agreement with the
second party to perform independently the Services mentioned in this
Agreement in accordance with the terms and conditions herein; and
Whereas the Second Party is a freelancer and wishes to provide his
services to the First Party; and whereas the Second Party’s offer was
accepted by the First Party.
Therefore, Both Parties entered into this Agreement having
acknowledged their competence according to Shariah and Law, as
follows:

The second party is committed to providing training, including but not ‫ر‬

6 Term ‫مدة االتفاقية‬ 6

1. The term of this Agreement shall commence and ends as
per the dates above however, any Services ordered by a
work order by First Party during the Term which have not
been completed by the end of the Term shall be fully and
satisfactorily performed and completed pursuant to the
terms of this Agreement.
2. All Services shall be completed no later than the date
specified on the applicable Work Order. Freelancer
acknowledges that time is of the essence.

7 Second Party’s Obligations ‫التزامات الطرف الثاني‬ 7

1. The Second Party has no right to delegate part or all services ‫ال يحق للطرف الثاب تفويض جزء او كل الخدمات اىل أي طرف ثالث‬ .1
to any Third Party without the consent of the First Party. .‫بدون موافقة الطرف األول‬
2. All deliverables and information carried out or resulting

3. Non-Compete Clause: Second Party shall not compete with ‫االتفاقية بمنافسة الطرف األول أو العمل لدى أي جهة تنافس الطرف‬

future instructions and code of conduct of the First Party at

8 Right to Terminate ‫الحق في اإلنهاء‬ 8

9 Fees ‫الرسوم‬ 9

1. First Party shall pay the Second Party SAR 300 Per Physical
Training Hour.
2. Freelancer is responsible for the payment of all taxes with
respect to the services performed for the Swiss Hospitality
Company as an independent contractor.
3. The First Party has the right to seize some of the Second
Party's dues until he completes the process of handing over
the covenant and what is considered property of the First
Party, such as documents, equipment and equipment, and
the First Party has validate its condition.
4. The Second Party shall invoice First Party for fees due and
owing at such time(s) as set forth in the applicable Work
Order.
5. Payment of any invoice is not evidence of First Party
acceptance of the Services as complete or workmanlike.

Freelancer
Freelancer represents and warrants to First Party that: :‫يتعهد مقدم الخدمات المستقل ويضمن للطرف االول بأنه‬
1. Understands the hazards and risks which are presented to

6. Preserving the money and property of the First Party as well ‫ا‬
‫الحفاظ عىل أموال الطرف األول وممتلكاته فضل عن أي أدوات وآالت‬ .6
as any tools, machines, equipment and materials that the
First Party may provide due to the nature of its work. .‫ومعدات ومواد قد يوفرها الطرف األول بسبب طبيعة عمله‬

7. Implement and respect the instructions and rules of the first
party and work in accordance with them. .‫معها‬
8. Maintaining the standards and identity of the first party and .‫الحفاظ عىل معايب وهوية الطرف األول وتمثيلها حسب اعىل المعايب‬ .8
representing it according to the highest standards.

9. Compliance with the laws, regulations, customs, traditions
and ethics in force in Saudi Arabia and the rules of conduct ‫المعمول بها ف المملكة العربية السعودية وقواعد السلوك الخاصة‬
of the First Party and its current and future instructions at ‫بالطرف األول وتعليماته الحالية والمستقبلية ف جميع األوقات‬
all times in addition to the rules, regulations and .‫باإلضافة إىل القواعد واللوائح والتعليمات المتعلقة بالطرف األول‬

11 Indemnification ‫التعويضات‬ 11

Freelancer shall indemnify, defend and hold First Party harmless from ‫يجب عىل مقدم الخدمات المستقل تعويض الطرف االول والدفاع عنها وحمايتها‬
and against any damages, judgments, final decisions, settlements, ‫من أي تعويضات وأحكام وقرارات نهائية وتسويات وغرامات وعقوبات وأتعاب‬
fines, penalties, reasonable attorneys’ fees, claims, demands, costs

and expenses, Losses incurred by First Party arising out of the Service
provided by Freelancer.
12 Intellectual Property and Copyright
If, during the Agreement Period, Second Party creates any original
work of authorship fixed in any medium of expression, such work shall
be considered a work made for hire, and First Party shall be the author
of the work and the owner of the moral and financial rights of such
work. The Second Party shall execute all formal assignment
documents requested by the First Party and execute all legal
applications for registration of copyright. this Section shall survive the
termination of this Agreement.
The Second Party acknowledges and agrees that all training materials,
including but not limited to the workshop curriculum, agenda,
handouts, slides, worksheets, evaluation forms, certificates, and any
other documents or materials created, used, or provided by the
Second Party for the workshop, are the exclusive property of the First
Party. The Second Party grants the First Party a perpetual, irrevocable,
royalty-free, worldwide, non-exclusive license to use, reproduce,
modify, adapt, publish, distribute, and display the training materials
for any purpose related to the workshop or the First Party's mission.
The Second Party further acknowledges and agrees that all data,
information, or feedback collected, generated, or obtained by the
Second Party from the workshop participants, the local partners, or
any other sources in connection with the workshop, are the exclusive
property of the First Party. The Second Party shall not use, disclose,
or transfer any such data, information, or feedback for any purpose
other than the workshop evaluation, monitoring, and reporting,
without the prior written consent of the First Party. The Second Party
shall deliver all such data, information, or feedback to the First Party
along with the workshop report and shall not retain any copies or
backups thereof.
The Second Party shall not claim or assert any ownership, right, title,
or interest in or to the training materials or the data, information, or
feedback, or any part thereof, or register, apply for, or attempt to
register or apply for any intellectual property rights in respect of the
training materials or the data, information, or feedback, or any part
thereof, in any jurisdiction, without the prior written consent of the
First Party .
The Second Party shall promptly notify the First Party of any actual or
potential infringement, misappropriation, or violation of the First
Party 's intellectual property rights in the training materials or the
data, information, or feedback, or any part thereof, by any third party,
and shall cooperate with the First Party in any action or proceeding to
protect or enforce such rights.
13 Confidentiality
1. In addition to any obligations for confidentiality contained in this
Agreement, Freelancer shall treat information provided from the
First Party as a confidential property and not disclose to others

‫ منهج ورشة العمل وجدول األعمال والنشرات والشرائح وأوراق العمل ونماذج‬،‫الحصر‬
‫التقييم والشهادات وأي مستندات أو مواد أخرى أنشأها الطرف الثاني أو استخدمها أو قدمها‬

ً ‫ يمنح الفريق الثاني الفريق األول ترخي‬.‫ورشة العمل هي ملكية حصرية للطرف األول‬
‫عالميًا دائ ًما وغير قابل لإللغاء وخاليًا من حقوق الملكية الستخدام وإعادة إنتاج وتعديل‬
‫وتكييف ونشر وتوزيع وعرض المواد التدريبية ألي غرض يتعلق بورشة العمل أو اعمال‬
.‫تخص الطرف األول‬
‫يقر الفريق الثاني ويوافق أيضًا على أن جميع البيانات أو المعلومات أو التعليقات التي تم‬
‫جمعها أو إنشاؤها أو الحصول عليها من قبل الطرف الثاني من المشاركين في ورشة العمل‬
‫ هي ملكية حصرية لـ الطرف‬،‫أو الشركاء المحليين أو أي مصادر أخرى تتعلق بورشة العمل‬
‫ ال يجوز للطرف الثاني استخدام أو الكشف عن أو نقل أي من هذه البيانات أو‬.‫األول‬
،‫المعلومات أو التعليقات ألي غرض آخر غير تقييم ورشة العمل والمراقبة وإعداد التقارير‬
‫ يجب على الطرف الثاني تسليم‬.‫دون الحصول على موافقة كتابية مسبقة من الفريق األول‬
،‫جميع هذه البيانات أو المعلومات أو المالحظات إلى الطرف األول مع تقرير ورشة العمل‬
.‫وال يجوز له االحتفاظ بأي نسخ أو نسخ احتياطية منها‬
‫ال يجوز للطرف الثاني المطالبة أو التأكيد على أي ملكية أو حق أو ملكية أو مصلحة في‬
‫ أو التسجيل أو التقدم‬،‫المواد التدريبية أو البيانات أو المعلومات أو التعليقات أو أي جزء منها‬
‫بطلب أو محاولة التسجيل أو التقدم بطلب للحصول أي حقوق ملكية فكرية فيما يتعلق بالمواد‬
‫ دون‬،‫ في أي والية قضائية‬،‫التدريبية أو البيانات أو المعلومات أو التعليقات أو أي جزء منها‬
.‫موافقة كتابية مسبقة من الطرف األول‬
‫يجب على الفريق الثاني إخطار الطرف األول على الفور بأي انتهاك فعلي أو محتمل أو‬
‫اختالس أو انتهاك لحقوق الملكية الفكرية للطرف األول في المواد التدريبية أو البيانات أو‬
‫ ويجب أن يتعاون مع‬.‫المعلومات أو المالحظات أو أي جزء منها من قبل أي طرف ثالث‬
.‫الطرف األول في أي إجراء أو إجراء لحماية أو إنفاذ هذه الحقوق‬

during or subsequent to the Term of this Agreement, without in ،‫دون الحصول ف كل حالة عىل موافقة خطية مسبقة من الطرف األول‬

14 Excuse of Performance ‫تعليق األداء‬ 14

Except for the payment for Services already rendered, the execution
of this Agreement may be suspended by either party in the event the
Services are prevented because of force majeure. The party asserting
a right to suspend performance hereunder shall advise the other
party when the suspending event has ended and when performance
will be resumed. First Party may, upon suspension of Services by
Freelancer, terminate this Agreement or any Services scheduled to be
performed but not yet completed by providing written notice of
termination to Freelancer.

15 Independent Freelancer ‫مقدم الخدمات املستقل‬ 15

Freelancer acknowledges that and shall perform this Agreement as an
independent Freelancer self-employed and not an Employee of First
Party, and as such, shall have and maintain complete control over all
of his delegates, agents and operations. Neither Freelancer nor
anyone employed by it shall be, represent, act, purport to act or be
deemed to be the agent or representative of First Party. As to
relationship between the Parties, Freelancer shall be solely
responsible for determining the specific techniques for completing
the Services, including providing the necessary tools for completion.

16 Failure to Perform ‫اإلخفاق في التنفيذ‬ 16

In the event the Freelancer fails to perform services required under
this Agreement, fails to meet the deadlines determined in the Work
Order of such services or performs services hereunder in an improper
manner, the Second Party acknowledges and agrees that Swiss
Hospitality Company shall be entitled to damages equal to the value
of the services subject of the Work Order without prejudice to other
damages or termination of this Agreement.

17 Notices ‫اإلخطارات‬ 17

Any notice, communication or statement required or permitted to be
given hereunder shall be in writing and deemed to have been
sufficiently given when delivered in person by registered, certified
mail or Email mentioned above.

18 Entire Agreement ‫كامل االتفاق‬ 18

This Agreement along with all its document shall constitutes the
entire understanding of the Parties relating to the subject matter of
this Agreement and supersedes, neutralizes and replaces all prior
agreements, documents and work orders between the Parties which
relate to the same subject matter whether written, oral, implied or
which would be inferred from the correspondence, oral statements
or conduct of the Parties and all such documents shall be deemed to
have been terminated by mutual consent with effect from the
commencement date. It is also agreed that this Agreement may only
be amended by an agreement in writing signed by both Parties
hereto.
‫تشكل هذه االتفاقية وملحقاتها التفاهم الكامل بي الطرفي المتعلق بموضوع هذه‬

19 Waiver ‫التنازل‬ 19

Any waiver by either party of any provision or condition of this
Agreement shall not be construed or deemed to be a waiver of any
other provision or condition of this Agreement, nor a waiver of a
subsequent breach of the same provision or condition, unless such is
expressed in writing and signed by the party to be bound.

This Agreement and any rights or obligations arising out of or in
connection with it shall be governed by and construed in accordance
with the laws of the Kingdom of Saudi Arabia. The Courts of Riyadh,
Saudi Arabia shall have exclusive jurisdiction to resolve any dispute
which has arisen or may arise out of, or in connection with this
Agreement.
