Definition of how to protect the
intellectual property of the software.
■ Intellectual property protects all those creations derived from the human intellect and is divided into
industrial property and copyright.

■ Industrial property protects intellectual creations such as inventions, utility models, industrial designs,
distinctive signs, among others. These rights are recognized from their registration with the Superintendency
of Industry and Commerce (SIC), which is the official authority for this matter in Colombia.

■ On the other hand, copyright protects works that are the product of the human intellect based on the author's
personal interests in said work. These are divided into moral and patrimonial. The former refer to the right
that protects the author's work against modifications made to said creation. The latter refer to the rights of
exclusion or authorization for the exploitation of his work and the reproduction, public communication,
distribution and transformation are protected.
Value method used to establish the price
and the reasons of the selection.
■ Income-based method: The net present value of cash flow losses over a time horizon in
the technology value measure.
■ Reasons of the selection:
– It uses the value of money over time as a fundamental principle
– Part of every investment project requires an initial investment
– Income and costs are projected in said time horizon taking into account
fundamental variables such as price and demand behavior.
– It contemplates the projection of future income generated by an initial investment
and the value of money over time.
– It takes into account the net income of the future.
General conditions of the licensing and
the negotiation.
■ License object: What do you want to obtain or grant through the license agreement?
■ The type of scope that the license confers.
■ Financial conditions: The financial terms of the license are usually the first point that is
addressed when talking about the granting of a license. However, as seen above, the
financial conditions depend on how you have defined you the object of the license and
the scope of the rights.
■ Development and evolution of the technology along weather.
One conclusion per student explaining the importance
of preparing the negotiation of a technology to achieve
the best results.
■ It is important to prepare the negotiation since with this we go one step ahead of our
clients and avoid improvisations, thanks to the adequate preparation of all the points we
are giving a solution and an effective response to the interested parties.
