Vn chuyn hng ha ng mt vai tr trng yu ca cc khu phn phi v lu
thng hng ha. Nu coi ton b nn kinh t l mt c th sng, trong h thng giao
thng l cc huyt mch th vn chuyn hng ha l qu trnh a cc cht dinh dng n
nui cc t bo ca c th sng . Trong s cc phng thc vn chuyn hng ha th vn
ti bin c s dng nhiu hn c trong thng mai quc t.
Ngy nay vn ti bin c vai tr ht sc quan trng i vi giao lu kinh t - thng
mi gia cc nc trn th gii v gp phn quan trng vo s pht trin kinh t - x hi ca
quc gia ven bin. Trong thi bui hi nhp kinh t ton cu, giao thng vi cc nc trn
th gii ngy cng nhiu th vn ti bin ngy cng ng vai tr quan trng. Vn ti ng

Cc bn ca hp ng thu tu chuyn bao gm: ngi cho thu (ch tu hoc ngi
chuyn ch) v ngi thutu (c th l ngi xut khu hoc ngi nhp khu).
Trong hp ng thu tu cn ghi r tn, a ch, s in thoi, s fax ca cc bn.
Trng hp k kt hp ng thng qua i l hoc cng ty mi gii th ngoi tn, a ch,
in thoi, fax ca i l v km theo ch "ch l i l" (as agent only) cui hp ng,
cng cn phi ghi c tn, a ch ca ch tu v ca ngi thu tu. Sau ny nu c khiu ni

Thi gian tu n cng xp hng l thi gian tu phi n cng xp hng nhn hng
ch theo quy nh trong hp ng.
Theo iu khon ny ch tu phi c ngha v iu tu n cng xp hng ng thi
gian, ng a im quy nh v trong t th sn sng nhn hng xp.

Ch tu phi thng bo cho ngi thu tu bit d kin thi gian tu n cng xp
hng (Estimated Time of Arrival = ETA).
Trong trng hp tu n trc thi gian quy nh trong hp ng, ngi thu tu
khng bt buc phi xp hng lntu, nhng nu giao hng th thi gian ny s c tnh
vo thi gian lm hng. Ngc li, tu n trong khong thi gian quy nh m vn cha c
hng giao th s ngy tu phi ch i s c tnh vo thi gian lm hng.
Qu thi gian quy nh trong hp ng m tu vn cha n th ch hng c quyn
hy hp ng. Ngy tuyn b hy hp ng (Cancelling Date) c th l ngy cui cng ca
Laydays hoc vi ba ngy sau ngy tu phi n cng xp hng.
V mt php l, vic tu n mun l vi phm hp ng, mi chi ph a tu n
cng xp hng do ch tu t gnh chu. Song trn thc t khng phi c tu n mun l
ngi thu tu hy hp ng m vic c hy hp ng hay khng l cn cn c vo tng
trng hp c th. y tu c coi l n cng (arrived ship) khi thoa mn nhng iu
kin sau :
Tu n vng thng mi ca cng (l vng ni tu phi neo u ch i vo
cng) nu trong hp ng quy nh mt iu khon chung chung ch khng quy nh tu
phi cp mt cng no. Trng hp ny hp ng gi l hp ng n cng (Port
Charter).
Cn nu hp ng quy nh mt cu cng c th th tu phi cp cng . Trng hp
ny gi l hp ng cu cng. (Berth Charter).

Khi i thu tu chuyn ch mt khi lng hng ho nht nh, hai bn phi quy
nh r tn hng, loi bao b, cc c im ca hng ho. Nu ngi thu tu ch hai loi
hng ho trn cng mt chuyn tu th phi ch ghi ch "v/ hoc" (and/ or) trnh tranh
chp xy ra sau ny.

Cng c nhng trng hp khi k kt hp ng, cc bn cha xc nh c cng
xp/d, v d: cng xp hng l mt trong nhng cng Bc u; cng d nm dy A/H
(gia cng Amxtecdam v Hamburg), khi cc bn phi lit k v quy nh thm th t a
l ca cc cng xp d (Port to be in Geographitical Rotation) vi mc ch gim thi gian
v chi ph i li ca con tu, to iu kin thun li cho vic bc d. Th t a l ca cng
xp/d ph thuc vo lung tu chy v s la chn ca ch tu.
S lng cng xp/d nhiu hay t c nh hng trc tip n mc cc thu tu. V
th ngi thu tu c gng xc nh cng xp /d c th, trnh nhng quy nh chung chung
v cng xp/d. Mt khc cng nn quy nh chi ph di chuyn cu (Shifting expenses) do ai
chu.
Theo "iu kin min chi ph xp hng" (Free in = FI): ch tu c min chi ph xp
hng ln tu cng i nhng phi chu chi ph d hng ti cng n, tc l ngi thu tu
phi chu chi ph xp hng.
Theo "iu kin min ph d hng" (Free Out =FO): ch tu c min chi ph d
hng khoi tu nhng phi chu chi ph xp hng ln tu. Ngi nhn hng th ngc li phi
chu ton b chi ph d hng t hm tu ln cu cng. Trong hp ngthng ghi "Cargo to
be taken by receivers out of ship's free of expense to the vessel".
Theo "iu kin min c chi ph xp v d hng" (Free In and Out =FIO): ch tu
c min c chi ph xp hng lntu ln chi ph d hng khoi tu hai u cng, tr mt s
tp qun c th quy nh chi ph d hng do ngi nhn hng chu. Ngy nay trong mu
GENCON, phn ln ngi ta p dng iu kin FIO.
Theo "iu kin tu ch" (Liner Terms/ Gross Terms/ Berth Terms): ch tu phi chu
ton b chi ph xp, d v thm c chi ph sp t, san co hng trong hm tu, tc l ging
nh trong phng thc thu tu ch. Thc cht l chi ph xp d c tnh gp c vo
cc ph thu tu. Trong trng hp ny, hp ng thng khng quy nh thng pht xp
d nhanh chm, m cng vic xp d hng c tin hnh theo nguyn tc "nhanh theo mc
tuc th nhn hoc giao" (as fast as ship can receive or deliver) hoc l "theo tp qun
nhanh ca cng" (arcording to the Custom of the Port).
V chi ph sp t (Stowage) i vi hng bao gi v chi ph san co hng
(Trimming) i vi hng ri, phn nh tnh chnh xc hn ai s phi chu, ta phi ghi
thm vo. V d: "FIO.s.t": ch tu c min chi ph xp hng, d hng v c min c
chi ph sp t hng v san co hng.
Vic quy nh theo iu kin v chi ph xp d no ph thuc vo iu kin c s
giao hng trong hp ng mua bnngoi thng. Mc ch ca vic la chn ny l nhm
phn tch r rng trch nhim ca cc bn nhm trnh cho ngi chuyn ch v ngi bn
hng phi tr chi ph xp d hng 2 ln, trnh phi tr nhng chi phkhng thuc trch nhim
ca mnh, ng thi to iu kin d dng, thun tin cho vic t chc d hng.

Nu ngi thu ch khng c hng ho xp ln tu nh hp ng quy nh m
l li ca ngi thu ch th anh ta vn phi tr tin cc khng (Dead Freight) cho s hng
thiu .
Thi gian thanh ton cc: c th quy nh theo 3 cch:

Thi gian xp d hay thi gian lm hng (Laytime) l thi gian tu phi lu ti cng
tin hnh vic xp hng lntu hay d hng khoi tu, cn gi l thi gian cho php
(Allowed Time).
Hai bn tho thun trong hp ng: Thi gian xp l bao lu, thi gian d l bao lu,
hoc c th quy nh theo li b tr l thi gian c xp v d l bao lu. Quy nh nh vy
ngi i thu tu c trch nhim trong vic xp d hng ho. Nu ngi i thu tu hon
thnh cng vic xp hng hoc d hng sm hn thi gian cho php quy nh trong hp
ng th c thng tin xp hng hoc d hng nhanh (Despatch Money). Ngc li, nu
ht thi gian cho php m ngi thu tu vn cha hon thnh vic xp hng hay d hng th
s b pht xp d hng chm (Demurrage Money).

+ Ngy ch nht (Sundays) l ngy ngh cui tun do lut php ca tng nc quy
nh. Ngy ch nht thng l ngy ngh lm vic nhng cng c th tin hnh xp d hng
tu theo quy nh ca tng hp ng.
+ Ngy l (Holidays) bao gm nhng ngy l quc gia v nhng ngy l quc t. C
tnh vo thi gian xp d hng trong ngy ny hay khng l do hp ng quy nh.
T nhng khi nim v "ngy" trn, ta thy thi gian tnh lm hng khc hn so vi
thi gian l ngy tnh trn lch thng thng. Trong phng thc thu tu chuyn, c th p
dng mt s quy nh thi gian xp hng v d hng nh sau:
+ Thi gian cho php xp hng l 7 ngy thi tit tt 24 gi lin tc, khng k ngy l
v ch nht (Cargo to be Loaded in 7 Weather Working Days of 24 Consecutive Hours,
Sundays and Holidays Excepted = 7 WWD,S.H.EX.).
+ Thi gian cho php d hng l 7 ngy lm vic thi tit tt 24 gi lin tc khng k
ngy l v ch nht, d c lm cng khng tnh (Cargo to be Discharged in 7 Weather
Working Days of 24 Consecutive Hours, Sundays Holidays Excepted, Even if Used =
7WWD,S.H.EX.E.U). Cch quy nh ny ging nh cch trn nhng r rng hn v rt c
li cho ngi thu tu.
+ Thi gian cho php xp v d hng l 15 ngy lm vic thi tit tt 24 gi lin tc,
tnh c ch nht v ngy l (Cargo be Loaded and Discharged in 15 Weather Working Days
of 24 Consecutive Hour, Sunday and Holidays Inclue = 15 WWD,S.H.Inc).

Trong cc mu hp ng thu tu chuyn c iu khon quy nh rng nu c
nhng tranh chp pht sinh ngoi hp ng th s tham chiu n lut Hng hi ca mt
nc no . Vic tham chiu n lut hng hi no v x ti hi ng trng ti no l do hai
bn tho thun. Lut php cc nc u cho php cc nc k kt hp ng thu tu chuyn
c quyn chn lut p dng cho hp ng . Trong trng hp cc bn khng chn lut
lc k kt hp ng th lut p dng cho hp ng: theo lut Balan l ni ng tr s ca
ngi chuyn ch; theo lut Nga l ni k kt hp ng; theo lut M l lut nc to n;
theo lut Hng hi Vit Nam l lut ni ng tr s ca ngi chuyn ch.
Ta thng bt gp trong cc mu hp ng thu tu chuyn c iu khon lut iu
chnh thng dn chiu n lut Hng hi ca Anh hoc M v a ra xt x ti Trng ti
London hoc Trng ti New York.

the vessel and her hull, machinery, boilers, tanks, equipment and facilities are in
good order and condition and in every way equipped and fit for the service required; and

equipment in this Charter shall include but not be limited to computers and computer
systems, and such equipment shall (inter alia) be required (i) to continue to function, and not
suffer a loss of functionality and accuracy (whether logical or mathematical) as a result of
the run date or dates being processed, irrespective of the century in which the dates fall, and
(ii) to recognize the year 2000 as a leap year and accept 29 February 2000 as a valid date.

Cleanliness 2. Whilst loading, carrying and discharging cargo the master shall at all
times use due diligence to keep Of tanks the tanks, lines and pumps of the vessel clean for
the cargo specified in Part I(F). It shall be for the master alone to decide whether the vessel's
tanks, lines and pumps are suitably clean. However, the decision of the master shall be
without prejudice to the right of Charterers, should any contamination or damage
subsequently be found, to contend that the same was caused by inadequate cleaning and/or
some breach of this or any other Clause of this charter.
2. Whilst loading, carrying and discharging the cargo the Master shall at all times
keep the tanks, lines and pumps of the vessel always clean for the cargo. Unless otherwise
agreed between Owners and Charterers the vessel shall present for loading with cargo tanks
ready and subject to following paragraphs, if vessel fitted with Inert Gas System (IGS), fully
inerted.

TIME/EXPENSE and the vessel shall abide by Charterers instructions with regard to tank
or tanks which the vessel is required to present ready for entry and inspection. If Charterers
inspector is not satisfied with the cleanliness of the vessels tanks, Owners shall clean them
in their time and at their expense to the satisfaction of Charterers inspector, provided that
nothing herein shall effect the responsibilities and obligations of the Master and Owners in
respect of the loading, carriage and care of cargo under this Charter nor prejudice the rights
of Charterers, should any contamination or damage subsequently be found, to contend that
the same was caused by inadequate cleaning and/or some breach of this or any other clause
of this Charter.

Notwithstanding that the vessel, if equipped with IGS, shall present for loading with
all cargo tanks fully inerted, any time used for de-inerting (provided that such de-inerting
takes place after laytime or demurrage time has commenced or would, but for this clause,
have commenced) and/or re-inerting those tanks that at Charterers specific request were gas
freed for inspection, shall count as laytime or if on demurrage for demurrage AND ALL
BUNKERS CONSUMED SHALL BE FOR CHARTERERS ACCOUNT, provided the tank
or tanks inspected found to be suitable.

If the vessels tanks are inspected and rejected, time used for de-inerting shall not
count towards laytime or demurrage, and laytime or demurrage time shall not commence or

provided in Worldscale, such fixed differential shall be payable without applying the
percentage referred to in Part I(G).

6. Dues and other charges upon the vessel, including those assessed by reference to
the quantity of cargo charges upon the cargo shall be paid by Charterers. However,
notwithstanding the foregoing, where under a provision of Worldscale a due or charge is
expressly for the account of Owners or Charterers then such due or charge shall be
payable in accordance with such provision.

discharging.

8. Charterers need not supply a full cargo, but if they do not freight shall nevertheless
be paid as if the vessel had been loaded with a full cargo. Ngi thu tu khng cn cung

The term "full cargo" as used throughout this charter means a cargo which, together

capacity stated in Part I(A) (iii), whichever is less, while leaving sufficient space in the tanks
for the expansion of cargo. If under Part 1(F) vessel is chartered for a minimum quantity and
the vessel is unable to load such quantity due to having reached her capacity as stated in
Part 1(A) 1 (iii), always leaving sufficient space for expansion of cargo, then without
prejudice to any claims which Charterers may have against Owners, no deadfreight between
the quantity loaded and the quantity shown in Part 1(F) shall be due. HOWEVER IF
VESSEL IS RESTRICTED DUE TO DRAFT RESTRICTIONS FREIGHT IS PAYABLE

Periods of delay hereunder shall be cumulative for each port, and Owners may
demand compensation after the vessel has been delayed for a total of 20 running days, and
thereafter after each succeeding 5 running days of delay and at the end of any delay. Each
such demand shall show the period in respect of which compensation is claimed and the
amount due. Charterers shall pay the full amount due within 14 days after receipt of Owners'
demand. Should Charterers fail to make any such payments Owners shall have the right to
terminate this charter by giving written notice to Charterers or their agents, without prejudice
to any claims which Charterers or Owners may have against each other under this charter or

Time at each loading or discharging port shall commence to run 6 hours after
the vessel is in all respects ready to load or discharge and written notice thereof has been
tendered by the master or Owners' agents to Charterers or their agents and the vessel is
securely moored at the specified loading or discharging berth. However, if the vessel does
not proceed immediately to such berth time shall commence to run 6 hours after (i) the
vessel is lying in the area where she was ordered to wait or, in the absence of any such
specific order, in a usual waiting area and (ii) written notice of readiness has been tendered
and (iii) the specified berth is accessible. A loading or discharging berth shall be deemed
inaccessible only for so long as the vessel is or would be prevented from proceeding
to it by bad weather, tidal conditions, ice, awaiting daylight, pilot or tugs, or port traffic
control requirements (except those requirements resulting from the unavailability of such

If Charterers fail to specify a berth at any port, the first berth at which the
vessel loads or discharges the cargo or any part thereof shall be deemed to be the specified

Recommence two hours after disconnection of hoses if the vessel is delayed for
Charterers purposes, for documentation and shall continue until the termination of such

(2) If, however, all or part of such demurrage arises out of or results from fire or
explosion or strike or failure/breakdown of plant and/or machinery at ports of loading and/or
discharging in or about the plant of Charterers, shippers or consignees of the cargo (not
being a fire or explosion caused by the negligence or willful act or omission of Charterers,
shippers or consignees of the cargo or their respective servants or agents), act of God, act of
war, riot, civil commotion, or arrest or restraint of princes rulers or peoples, the rate of

9. Letter of Protest / Deficiencies Clause
It is a condition of this Charter that from the time the vessel sails to the first load port
there will be no Letter(s) of Protest (L.O.P.s) or deficiencies outstanding against the vessel
to the best of Owners knowledge. This refers specifically to L.O.P.s or deficiencies issued
by Terminal Inspectorate or similar Port or Terminal Authorities. This applies specifically to
any Saudi Arabian port and also to any other port Charterers may order the vessel to under
this Charter. Without prejudice to Charterersother rights under this clause all time, cost and
expenses as a result of Owners failure to comply with the foregoing shall be for Owners
account.

10. Documentation Clause
Owners shall ensure that the Master and Agents produce documentation and provide
Charterers with copies of all such documentation relevant to each port and berth call and all
transshipments at sea, including but not limited to:- Notice of Readiness / Statement of

Facts / Shell Form 19x / Time sheet(s) / Letter(s) of Protest (LOP) / Hourly pumping logs /
COW performance logs; by facsimile (to number advised in the voyage instructions). These
documents to be faxed within 48 hours from sailing from each load or discharge port or
transshipment area. If the vessel is described in attached questionnaire as not having a
facsimile machine onboard the Master shall advise Charterers, within 48 hours from sailing
from each port under this Charter, of the documents he has available and ensures copies of
such documents are faxed by agents to Charterers from the relevant port of call or at latest
from the next port of call. Complying with this clause does not affect the terms of Clause
15(3) as amended of Shellvoy 5 with regard to notification and submission of a fully
documented claim for demurrage or additional Clause 6 hereof. If any actions or facilities of
Suppliers / Receivers / Terminal or Charterers, as applicable, impinge on the vessels ability
to perform the warranties and/or guarantees of performance under this Charter the Master
must issue a LOP to such effect. If the Master fails to issue such LOP then Owners shall
waive any rights to claim. Master and Agents shall ensure that all documents concerning port
/ berth and cargo activities at all ports/berths and transshipment at sea places are signed by
both an officer of the vessel and a representative of either Suppliers / Receivers / Terminal or
Charterers, as applicable.
If such a signature from Suppliers / Receivers / Terminal or Charterers, as applicable
is not obtainable, the Master or his Agents should issue a LOP to such effect.
All LOPs issued by Master or his Agents or received by Master or his agents must be
forwarded to Charterers as per the terms of this clause.

13. Questionnaire(s)
Owners warrant that any information provided on any Questionnaire(s) requested by
Charterers or any other vessel information / details provided by Owners to Charterers is
always complete and correct as at the date hereof, and from the time when the obligation to
proceed to the load port attaches and throughout the Charter service. This information is an
integral part of this Charter but if there is any conflict between the contents of the

22. Clearance Clause
If Owners fail
A. to obtain Customs clearance; and/or
B. free pratique, IF FREE PRATIQUE IS NOT GRANTED WITHIN 6 HOURS OF
THE MASTER TENDERING NOR, THROUGH NO FAULT OF OWNERS, AGENTS OR
THOSE
ONBOARD THE VESSEL, THE MASTER SHALL ISSUE A PROTEST IN
WRITING (NOP) TO THE PORT AUTHORITY AND THE FACILIT AT THE PORT
(TERMINAL) FAILING WHICH LAYTIME OR IF THE VESSEL IS ON DEMURRAGE,
DEMURRAGE SHALL ONLY COMMENCE WHEN FREE PRATIQUE IS GRANTED.

28. Speed Clause
The vessel shall perform the ballast passage with utmost despatch and the laden
passage at ABOUT 13 knots weather and safe navigation permitting.
Charterers shall have the option to instruct the vessel to increase speed with
Charterers reimbursing
Owners for the additional bunkers consumed, at replacement cost.
Charterers shall also have the option to instruct the vessel to reduce speed on laden
passage.

applicable U.S. Coast Guard (USCG) Regulations in effect as of the date vessel is tendered

times costs and expenses as a result of Owners failure to comply with the foregoing shall be

(ii) Except as otherwise provided in this Charter Party, loss, damage, expense or
delay, excluding consequential loss, caused by failure on the part of the Owners or the
Company to comply with the requirements of the ISPS Code or this Clause shall be for the
Owners account.

Notwithstanding anything to the contrary provided in this Charter Party, the Vessel shall be
entitled to tender Notice of Readiness even if not cleared due to applicable security
regulations or measures imposed by a port facility or any relevant authority under the ISPS
Code.

demurrage rate.

(D) Notwithstanding anything to the contrary provided in this Charter Party, any
additional costs or expenses whatsoever solely arising out of or related to security
regulations or measures required by the port facility or any relevant authority in accordance
with the ISPS Code including, but not limited to, security guards, launch services, tug
escorts, port security fees or taxes and inspections, shall be for the Charterers account,
unless such costs or expenses result solely from the Owners negligence. All measures
required by the Owners to comply with the Ship Security Plan shall be for the Owners
account.

Charterers to provide and pay for all STS equipment, including but not limited to

with the latest OCIMF STS transfer guide (petroleum), and charteres to insure that lightering
vessel also complies to same OCIMF guidelines.
