Vn chuyn hng ha ng mt vai tr trng yu ca cc khu phn phi v lu
thng hng ha. Nu coi ton b nn kinh t l mt c th sng, trong h thng giao
thng l cc huyt mch th vn chuyn hng ha l qu trnh a cc cht dinh dng n
nui cc t bo ca c th sng . Trong s cc phng thc vn chuyn hng ha th vn
ti bin c s dng nhiu hn c trong thng mai quc t.
Ngy nay vn ti bin c vai tr ht sc quan trng i vi giao lu kinh t - thng
mi gia cc nc trn th gii v gp phn quan trng vo s pht trin kinh t - x hi ca
quc gia ven bin. Trong thi bui hi nhp kinh t ton cu, giao thng vi cc nc trn
th gii ngy cng nhiu th vn ti bin ngy cng ng vai tr quan trng. Vn ti ng
bin thch hp vi chuyn ch hng ho trong bun bn quc t v chuyn ch hng ho c
khi lng ln, chuyn ch trn c ly di nhng khng i hi thi gian giao hng nhanh
chng.

Trong qu trnh thc hi n nhm chng em cn nhiu thiu st, mong c c v bo
qua cho nhm chng em.

1. Khi nim v c im ca tu chuyn


a. Khi nim tu chuyn:
- Tu chuyn (Tramps) l loi tu hot ng theo kiu chy rng, khng theo tuyn
c nh, khng c lch trnh cng b t trc m theo yu cu ca ngi thu tu trn c s
ca hp ng thu tu chuyn

- Hnh thc khai thc tu chuyn l mt trong nhng hnh thc ph bin nht hin nay
vn chuyn hng ha bng ng bin. Hnh thc ny c bit c ngha i vi cc
nc ang pht trin c i tu cn nho b, h thng cng cha pht trin, ngun hng
khng n nh
b. c im ca tu chuyn:

Trong phng thc thu tu chuyn ngoi vn n, hai bn s n phn vi nhau v
iu kin chuyn ch v gi cc k kt hp ng thu tu chuyn (Charter Party C/P),
vn n c s dng trong trng hp ny gi l vn n theo hp ng thu
tu
(Charet party Bill of Lading) c gi tr nh mt bin nhn, l vn kin php
l b sung cho hp ng thu tu nhng khng c tc dng nh B/L trong phng thc
thu tu ch.

Trong phng thc thu tu chuyn thng c mi gii (Charterer Broker),
ngi thu tu s y thc cho mi gii i tm tu, gp g vi ch tu m phn, tr gi ri
k hp ng.

2. Phng thc thu tu chuyn


a. Khi nim phng thc thu tu chuyn:
Thu tu chuyn (Voyage) l ch tu (Ship-owner) cho ngi thu tu (Charterer)
thu ton b hay mt phn chic tu chuyn ch hng ha t cng ny n cng khc.
Trong phng thc thu tu chuyn, mi quan h gia ngi thu tu (ch hng) vi ngi

cho thu tu (ch tu) c iu chnh bng mt vn bn gi l hp ng thu tu chuyn


(Voyage charter party) vit tt l C/P. Hp ng thu tu do hai bn tho thun k kt.
Trong thu tu chuyn c th p dng nhiu hnh thc thu khc nhau nh:
Thu chuyn mt (single voyage) tc l thu tu ch chuyn ch mt ln hng
gia cc cng nht nh. Sau khi hon thnh vic d hng cng n cui
cng th hp ng thu tu cng ht hiu lc.
Thu chuyn kh hi (round voyage) tc l thu tu chuyn ch hng ho lt
i ln lt v theo hp ng.
Thu lin tc (connective voyage) c th l mt chuyn lin tc hay kh hi
lin tc, tc l thu tu chuyn ch hng ho nhiu chuyn lin tc cho mt
lt hoc cho c lt i ln lt v.
Ngoi ra cn c hnh thc thu bao (Lumpsum) tc l tin cc thu tu tnh
v tr theo n v trng ti hoc dung tch ca tu (trong hp ng thu tu
khng quy nh c th tn, s lng hng ho v hnh thc thu, tc l cc
ph thu tu tnh v tr theo n v trng lng hoc mt n v khc ca hng
ho)
b. Phng thc thu tu chuyn c nhng u nhc im sau.

xuyn, tuc c hi tn dng c ht trng ti trong tng chuyn i. Nu ngun hng n

Loi tu v trch nhim

Loi tu thng l cc tu hng kh tng hp (MPP) hoc cc tu ch hng ri (Bulk


Carrier) nhng vn chuyn khng theo tuyn c nh hoc khng thng xuyn do cung cu
ca th trng vn ti. Cc tu chuyn thng c tc thp, c trng ti khc nhau ph
thuc vo h ng thu tu. Cc tu hot ng c lp khng cn c tu cng kiu d tr
thay th khi cn thit. i tu a dng v kiu loi tu. Ngi vn chuyn khng c quyn
ty thay th tu khc vi hp ng. Hp ng mu thng dng l "GENCON" hoc cc
hp ng chuyn dng khc

Loi hng vn chuyn

Hng ha mc d n iu v s lng mt hng nhng a dng v bao gi. Hng


ha c th vn chuyn dng c hoc khng bao gi, nu c th bao gi cng khng c
quy chun,do vy tr nn phc tp cho cng tc xp d. Hng ha vn chuyn bng tu
chuyn thng l hng ri (than, qung, ng cc), b kin (st, thp, g x, giy cun), hng
long(du mo v sn phm du mo), hng thng(my mc thit b), hng qu c, hng
nng(phng tin, thit b)

S lng cng gh trong mi chuyn i

S lng cng gh gia cc chuyn i ca tu chuyn khng ging nhau, ty thuc


vo hp ng thu tu m s lng cng c th hai hoc nhiu hn, tr khi thu nhiu
chuyn lin tc (consecutive Voyage) hoc hp ng C.O.A (contract of affreightment). Do
vy ngi khai thc tu phi nm r s lng cng gh hoc s lng cu tu a ra gi
cc cho ph hp vi cc khon chi ph bo ra trong tng chuyn i

Thi gian chuyn i

- Thi gian chuyn i ca tu chuyn khng c nh, ph thuc vo iu kin hnh


hi, tc ca tu, mc gii phng tu v thoa thun v thi gian di nht gia ch tu v
ngi thutu. Thi gian chuyn i ca tu chuyn c xc nh k t khi hon thnh vic
d tr hng ti cng ch. Quan trng nht l tu phi c mt ti cng xp hng ng thi
gian quy nh ca hp ng vn chuyn. Thi gian tu cng thng cha cc loi thi gian
ch con nc, ch hp ng v thi gian cc tc nghip ph khc. y l vn cn lu
trong cng tc khai thc tu chuyn, n lin quan n vic quyt nh k kt v thc hin cc
hp ng

Khi lng hng yu cu vn chuyn

Khi lng hng gia cc chuyn i khng n nh, ph thuc vo cc hp ng hay


cc n hng. Tu c th tn dng ti a hoc lng ph sc ch ty thuc vo tnh hnh c
th. Chtu c th xem xt nhiu phng din ra quyt nh nn hay khng k kt cc

hp ng vn chuyn. Cc tu c th ch i mt c hi thch hp hn v ngun hng v gi

Khi cc thu nhp c cc nhu cu thu tu ca cc ch hng (cc n cho hng),
chtu/ngi vn chuyn phi xut cc phng n b tr tu theo cc yu cu vn chuyn,

Sau khi la chn c phng n c li, ch tu phi nhanh chng m phn v
k kt hp ng vn chuyn vi ngi thu tu ginh hng vn chuyn. c th t chc
thc hin hp ng k th ch tu phi tin hnh lp k hoch tc nghip chuyn i cho
cc tu. Cc thnh phn thi gian ny c xc nh da vo nh mc v cht ti, hao ph
thi gian. nh mc cht ti da vo s xp hng

Kt qu kinh doanh ca chuyn i bao gm: chi ph, gi thnh, li nhun

B1: Ngi thu tu trc tip hoc thng qua ngi mi gii (Broker) i tm tu
vn chuyn hng ha cho mnh, bc ny ngi thu tu phi cung cp tt c thng tin cn
thit v hng ha nh: tn hng, bao b ng gi, s lng hng, hnh trnh ca hng...

thu tu phi r sot li ton b cc iu khon ca hp ng. Hai bn s gch bo hoc b
sung nhng iu thoa thun cho ph hp, v hp ng mu thu tu chuyn mi ch nu
nhng nt chung

- Ngi thu tu vn chuyn hng ha ra cng xp ln tu, ch tu hoc i l ca
tu s cp vn n cho ngi thu tu, vn n ny c gi l vn n theo hp ng thu
tu (bill of lading to charter party)
- Ngi thu tu s tr cc vn chuyn trc khi k pht B/L hoc trc khi nhn
hng ty theo thoa thun, ng thi phi tr tin pht lm hng chm (nu c)

3. Hp ng thu tu chuyn
Hp ng thu tu chuyn - Voyage Chater Party (C/P)
a.

Khi nim v hp ng thu tu chuyn

Trc y, khi vic thu tu chuyn ch l s cam kt tho thun bng ming gia
ngi i thu v ngi cho thu, rt d ny sinh nhng mu thun trong qu trnh thc hin
bi l vic tho thun bng ming khng th l bng chng y rng buc trch nhim

ca cc bn. Chnh v vy, mt vn bn ghi nhn s cam kt trong thu tu ra i, gi l


hp ng thu tu. Cm t "Charter Party - Hp ng thu tu" c ngun gc ting Latinh l
"Carta partita" tc l "Vn bn chia i". S d c ngha nh th l v lc ngi ta ch
k hp ng mt bn gc ri sau ct ra lm i, mi bn gi mt na lm bng chng
php l.
Hp ng thu tu chuyn l mt dng ca hp ng chuyn ch. Chng ta c th
a ra khi nim v hp ng thu tu chuyn nh sau:
Hp ng thu tu chuyn l mt loi hp ng chuyn ch hng ho bng ng
bin, trong ngi chuyn ch cam kt chuyn ch hng ho t mt hay nhiu cng ny v
giao cho ngi nhn mt hay nhiu cng khc, cn ngi i thu tu cam kt tr tin cc
thu tu ng nh hai bn tho thun trong hp ng.
Nh vy, hp ng thu tu chuyn l mt vn bn cam kt gia ngi i thu v
ngi cho thu tu. S cam kt l kt qu ca mt qu trnh hai bn t do, t nguyn tho
thun. Do vy hp ng thu tu chuyn l vn bn php l iu chnh trc tip quyn v
ngha v ca ngi chuyn ch v ngi thu ch.
Ngi chuyn ch (Carrier) trong hp ng thu tu c th l ch tu (Shipowner)
hoc ngi kinh doanh chuyn ch bng tu thu ca ngi khc. Cn ngi i thu tu c
th l ngi xut khu hoc l ngi nhp khu tu thuc iu kin c s giao hng quy
nh trong hp ng mua bn ngoi thng.
Trong thc t ngi i thu tu v ngi cho thu tu rt t khi giao dch k hp ng
trc tip vi nhau, m thng thng qua cc i l hoc ngi mi gii ca mnh. Ngi i
l v ngi mi gii thng l nhng ngi c chuyn mn, nghip v, rt thng tho v th
trng thu tu, lut Hng hi, tp qun ca cc cng. Chnh v vy khi ngi i l, mi
gii thng c ngi i thu tu v ngi cho thu tu u thc k kt hp ng chuyn
ch iu ny s m bo quyn li cho ngi u thc tt hn.
Hp ng thu tu chuyn quy nh rt r v c th quyn li v ngha v ca cc bn
k kt bng nhng iu khon, buc cc bn phi thc hin ng nh ni dung ca n. Nu

c bn no thc hin khng ng nhng tho thhun cam kt trong hp ng s b coi l


vi phm hp ng. Khi ng nhin bn vi phm phi hon ton chu trch nhim i vi
nhng hu qu do hnh ng vi phm ca mnh gy ra.
b.

Cc mu hp ng thu tu chuyn.

Mc d hp ng thu tu chuyn l kt qu ca mt qu trnh thng lng tho


thun gia hai bn ri sau c ghi chp li, song tit kim thi gian m phn v c
c s khi m phn, cc t chc hng hi quc gia, quc t... son tho cc hp ng mu
(Standard Charter Party) v khuyn co cc nh kinh doanh nn dng cc mu ny trong
thu tu chuyn.
Trn th gii hin nay c trn 60 loi hp ng thu tu chuyn mu v c phn
chia thnh 2 nhm:

Mu hp ng thu tu chuyn mang tnh cht tng hp

Mu hp ng ny thng c dng cho vic thu tu chuyn chuyn ch cc loi


hng bch ho (general cargo). Ph bin l cc loi mu sau:
- Mu hp ng GENCON
Hp ng thu tu chuyn GENCON l hp ng mu c s dng t nhiu nm
p dng cho nhng tuchuyn ch hng bch ho do Hi ng hng hi quc t Baltic
(BIMCO) son tho nm 1922 v qua nhiu ln sa i, tu chnh vo nhng nm 1974,
1976, 1994. Mc ch ca vic pht hnh loi hp ng ny l c gng loi tr ti a nhng
ch mp m, nc i d dn n tranh chp bo v quyn li cc bn mt cch tt hn.
- Mu hp ng NUVOY
Hp ng thu tu chuyn NUVOY l hp ng mu do Hi ngh i din cc c
quan thu tu v ch tu cc nc hi ng tng tr kinh t (trc y) pht hnh nm
1964.
- Mu hp ng SCANCON

Mu hp ng thu tu chuyn mang tnh cht chuyn dng

Mu hp ng ny c s dng khi thu hng ho c khi lng ln nh: than,


qung, xi mng, ng cc, g trn mt lung hng nht nh. C cc mu chuyn dng nh:
- Mu hp ng NOGRAIN 89 ca Hip hi mi gii v i l M dng thu ch
ng cc.
- Mu hp ng SOVCOAL ca Lin X (c) pht hnh nm 1962, mu hp ng
POLCOAL ca Ba Lan pht hnh nm 1971 dng thu tu ch than v mu AMWELSH
pht hnh nm 1993 dng ch than.
- Mu hp ng SOVORECON ca Lin X (c) pht hnh nm 1950 thu tu
chuyn ch qung.
- Mu hp ng CEMENCO ca M pht hnh nm 1922 dng thu tu ch xi
mng.
- Mu hp ng CUBASUGAR ca Cuba pht hnh dng ch ng.
- Mu hp ng EXONVOY, MOBIVOY 96, SHELLVOY do M pht hnh dng
thu tu ch du.
- Mu hp ng RUSSWOOD ca Lin X (c) pht hnh nm 1933 dng thu
tu ch g t Lin X i cc nc.
Trong kinh doanh hng hi, vic tiu chun ha v thng nht mu hp ng thu tu
chuyn vn ang tip tc theo hai hng:
+ Thng nht ni dung hp ng trn phm vi th gii.
+ n gin ha ni dung hp ng.

Hp ng thu tu chuyn mu thng rt phong ph v a dng, do ty thuc vo


tng mt hng c th m ngi i thu tu c th chn mu hp ng cho ph hp. Mi mu
hp ng u c cc iu khon ring. V vy ngi thu tu cn phi tnh ton k tng iu
khon, khng nn bo qua mt iu khon no. C nh vy qu trnh thc hin hp ng mi
hn ch c nhng tranh chp pht sinh trnh c nhng tn tht do s sut v nghip v
gy ra.

Ni dung ca hp ng thu tu chuyn thng rt phc tp, bao gm nhiu iu


khon khc nhau, song nhn chung thng c nhng iu khon ch yu sau y:

iu khon v ch th ca hp ng

Cc bn ca hp ng thu tu chuyn bao gm: ngi cho thu (ch tu hoc ngi
chuyn ch) v ngi thutu (c th l ngi xut khu hoc ngi nhp khu).
Trong hp ng thu tu cn ghi r tn, a ch, s in thoi, s fax ca cc bn.
Trng hp k kt hp ng thng qua i l hoc cng ty mi gii th ngoi tn, a ch,
in thoi, fax ca i l v km theo ch "ch l i l" (as agent only) cui hp ng,
cng cn phi ghi c tn, a ch ca ch tu v ca ngi thu tu. Sau ny nu c khiu ni
v hng ha, th ch hng phi lin h vi ch tu (ch khng phi l i l hay cng ty mi
gii ca ch tu) gii quyt.

iu khon v con tu (Ship clause)

y l iu khon rt quan trng v tu l cng c vn chuyn hng ha, do vy n


lin quan trc tip n s an ton ca hng ha ni ring v s an ton, n nh trong kinh
doanh ni chung. Di gc l ch hng, cn quan tm n vic phi thu mt con tu va
thch hp vi vic vn chuyn hng ha v m bo vn chuyn hng ha an ton, va tit
kim c chi ph thu tu.
Hai bn thoa thun thu v cho thu mt chic tu nht nh. iu khon ny ngi
ta quy nh mt cch c th cc c trng c bn ca con tu nh: tn tu, quc tch tu,

nm ng, ni ng, c tu, trng ti ton phn, dung tch ng k ton phn, dung tch
ng k tnh, dung tch cha hng ri, hng bao kin, mn nc, chiu ditu, chiu ngang
tu, vn tc, h hiu, cu trc ca tu (mt boong hay nhiu boong), s lng thuyn vin, v
tr ca con tu lc k hp ng, s lng cn cu v sc nng
Trng hp ch tu mun ginh quyn thay th tu, th bn cnh tn con tu thu nn
ghi thm on "hoc mt con tu thay th khc" (Ship name and/or Substitute Sister Ship).
Khi thay th con tu bng mt con tu khc, chtu phi bo trc cho ngi thu bit v
phi m bo rng con tu thay th cng c nhng c im k thut tng t nh con
tu quy nh trong hp ng.

iu khon v thi gian tu n cng xp hng (Laydays Clause)

Thi gian tu n cng xp hng l thi gian tu phi n cng xp hng nhn hng
ch theo quy nh trong hp ng.
Theo iu khon ny ch tu phi c ngha v iu tu n cng xp hng ng thi
gian, ng a im quy nh v trong t th sn sng nhn hng xp.

Ch tu phi thng bo cho ngi thu tu bit d kin thi gian tu n cng xp
hng (Estimated Time of Arrival = ETA).
Trong trng hp tu n trc thi gian quy nh trong hp ng, ngi thu tu
khng bt buc phi xp hng lntu, nhng nu giao hng th thi gian ny s c tnh
vo thi gian lm hng. Ngc li, tu n trong khong thi gian quy nh m vn cha c
hng giao th s ngy tu phi ch i s c tnh vo thi gian lm hng.
Qu thi gian quy nh trong hp ng m tu vn cha n th ch hng c quyn
hy hp ng. Ngy tuyn b hy hp ng (Cancelling Date) c th l ngy cui cng ca
Laydays hoc vi ba ngy sau ngy tu phi n cng xp hng.
V mt php l, vic tu n mun l vi phm hp ng, mi chi ph a tu n
cng xp hng do ch tu t gnh chu. Song trn thc t khng phi c tu n mun l
ngi thu tu hy hp ng m vic c hy hp ng hay khng l cn cn c vo tng
trng hp c th. y tu c coi l n cng (arrived ship) khi thoa mn nhng iu
kin sau :
Tu n vng thng mi ca cng (l vng ni tu phi neo u ch i vo
cng) nu trong hp ng quy nh mt iu khon chung chung ch khng quy nh tu
phi cp mt cng no. Trng hp ny hp ng gi l hp ng n cng (Port
Charter).
Cn nu hp ng quy nh mt cu cng c th th tu phi cp cng . Trng hp
ny gi l hp ng cu cng. (Berth Charter).

tu hay ngi nhn hng ti nitu sn sng xp/d hng. C th trao NOR bng th, fax,
in tn...
y cng chnh l iu kin tnh thi gian lm hng (Laytime).
V mt l do c bit nm ngoi s kim sot ca ch tu m tu khng th n cng
xp hng ng thi gian quy nh, ch tu phi thng bo cho ngi i thu tu bit l do v
d kin ngy tu n cng xp hng. Khi nhn c thng bo ngi i thu tu cng
phi c trch nhim thng bo cho ch tu bit quyt nh ca mnh l tip tc thc hin hp
ng hay hu hp ng.

iu khon v hng ho (Cargo Clause)

Khi i thu tu chuyn ch mt khi lng hng ho nht nh, hai bn phi quy
nh r tn hng, loi bao b, cc c im ca hng ho. Nu ngi thu tu ch hai loi
hng ho trn cng mt chuyn tu th phi ch ghi ch "v/ hoc" (and/ or) trnh tranh
chp xy ra sau ny.

V d: "than v/hoc xi mng" (coal and/or ciment), "cao su v/hoc bt k mt hng


ho hp php no khc" (rubber and/or any lawful goods).
Quy nh nh vy c ngha l ngi i thu tu mun ginh quyn la chn hng
(Cargo Option).
Khi quy nh s lng hng ho, tu theo c im ca tng mt hng c th quy
nh ch theo trng lng hay th tch. Tuy nhin, khng nn quy nh s trng lng mt
cch cng nhc, m nn ghi km theo mt t l hn km, gi l dung sai.
C nhiu cch quy nh s lng hng ho, v d:
"Ti thiu 9000 MT, ti a 10000 MT " (Min 9000 MT/Max 10000 MT).
"Khong 10000 MT" (About 10000 MT).

"10000 MT hn km 5% do thuyn trng la chn"(10000 MT more or less 5 % at


Master's option - MOLMO).
Khi gi thng bo sn sng xp hng, thuyn trng s chnh thc tuyn b s lng
hng chuyn ch. Ngi thutu c trch nhim xp y s hng c thng bo (Full
and Complete Cargo). Cn nu ngi thu tu giao v xp ln tu t hn s lng hng quy
nh, anh ta vn phi np tin cc khng cho s hng thiu (Dead Freight). Ngc li,
khi ngi chuyn ch khng nhn ht s lng hng quy nh th ngi thu tu c quyn
i bi thng nhng chi ph lin quan n vic tu bo li hng.
Trong trng hp thu bao tu (Lumpsum) th hp ng thu tu khng nht thit
phi ghi tn hng. Nhng phi quy nh r ch tu cam oan cung cp y trng ti hoc
dung tch ng k ca tu. Trong trng hp ny, cc ph thu tu c tnh theo n v
trng ti hoc dung tch ng k ca tu.

iu khon v cng xp/d (loading/Discharging Port Clause)

Trong hp ng, c hai bn quy nh tn mt cng hoc mt vi cng xp hng


(Loading Port) v tn mt vi cng d hng (DischargingPort). C hai cch quy nh:
-

Quy nh chung chung, v d: "mt cu cng an ton cng Hi

Phng" (one safe berth, Haiphong port).


Quy nh c th cu cng s my, khu vc no.
Nhng cng xp v d quy nh trong hp ng phi l cng an ton (safe port), tc
l cng phi m bo:

V mt an ton hng hi (nautical conditions): su, mn nc

(and/or safely aground). Quy nh nh vy s thun li hn cho cc bn, c bit khi cng
xp d chu nh hng ca bn long, ph sa bi lp v thu triu, khi thu triu rt i, tu
tuy chm t nhng vn an ton.
Cng c nhng trng hp khi k kt hp ng, cc bn cha xc nh c cng
xp/d, v d: cng xp hng l mt trong nhng cng Bc u; cng d nm dy A/H
(gia cng Amxtecdam v Hamburg), khi cc bn phi lit k v quy nh thm th t a
l ca cc cng xp d (Port to be in Geographitical Rotation) vi mc ch gim thi gian
v chi ph i li ca con tu, to iu kin thun li cho vic bc d. Th t a l ca cng
xp/d ph thuc vo lung tu chy v s la chn ca ch tu.
S lng cng xp/d nhiu hay t c nh hng trc tip n mc cc thu tu. V
th ngi thu tu c gng xc nh cng xp /d c th, trnh nhng quy nh chung chung
v cng xp/d. Mt khc cng nn quy nh chi ph di chuyn cu (Shifting expenses) do ai
chu.

iu khon v chi ph xp d (Loanding/ Discharging Charges Clause):

Nu trong phng thc thu tu ch, chi ph xp d do ch tu chu th trong phng


thc thu tu chuyn, ai phi chu chi ph ny l do cc bn tho thun v quy nh trong hp
ng.
Trong tng gi cc chuyn ch hng ho th chi ph xp d chim mt t trng ng
k. Trong trng hp thu tuchuyn bao gi cng c iu khon quy nh v vic phn chia
chi ph xp d gia ch tu v ngi i thu tu. Thc tin i thu tu cho thy c kh nhiu
nhng cng thc mu khc nhau v phn chia chi ph xp d. V c p dng ph bin
nht l cc iu kin chi ph xp d di y:

Theo "iu kin min chi ph xp hng" (Free in = FI): ch tu c min chi ph xp
hng ln tu cng i nhng phi chu chi ph d hng ti cng n, tc l ngi thu tu
phi chu chi ph xp hng.
Theo "iu kin min ph d hng" (Free Out =FO): ch tu c min chi ph d
hng khoi tu nhng phi chu chi ph xp hng ln tu. Ngi nhn hng th ngc li phi
chu ton b chi ph d hng t hm tu ln cu cng. Trong hp ngthng ghi "Cargo to
be taken by receivers out of ship's free of expense to the vessel".
Theo "iu kin min c chi ph xp v d hng" (Free In and Out =FIO): ch tu
c min c chi ph xp hng lntu ln chi ph d hng khoi tu hai u cng, tr mt s
tp qun c th quy nh chi ph d hng do ngi nhn hng chu. Ngy nay trong mu
GENCON, phn ln ngi ta p dng iu kin FIO.
Theo "iu kin tu ch" (Liner Terms/ Gross Terms/ Berth Terms): ch tu phi chu
ton b chi ph xp, d v thm c chi ph sp t, san co hng trong hm tu, tc l ging
nh trong phng thc thu tu ch. Thc cht l chi ph xp d c tnh gp c vo
cc ph thu tu. Trong trng hp ny, hp ng thng khng quy nh thng pht xp
d nhanh chm, m cng vic xp d hng c tin hnh theo nguyn tc "nhanh theo mc
tuc th nhn hoc giao" (as fast as ship can receive or deliver) hoc l "theo tp qun
nhanh ca cng" (arcording to the Custom of the Port).
V chi ph sp t (Stowage) i vi hng bao gi v chi ph san co hng
(Trimming) i vi hng ri, phn nh tnh chnh xc hn ai s phi chu, ta phi ghi
thm vo. V d: "FIO.s.t": ch tu c min chi ph xp hng, d hng v c min c
chi ph sp t hng v san co hng.
Vic quy nh theo iu kin v chi ph xp d no ph thuc vo iu kin c s
giao hng trong hp ng mua bnngoi thng. Mc ch ca vic la chn ny l nhm
phn tch r rng trch nhim ca cc bn nhm trnh cho ngi chuyn ch v ngi bn
hng phi tr chi ph xp d hng 2 ln, trnh phi tr nhng chi phkhng thuc trch nhim
ca mnh, ng thi to iu kin d dng, thun tin cho vic t chc d hng.

V d: Nu ta l ngi mua hng nhp khu theo iu kin FOB, tc l chi ph xp d


hng cng i l thuc v ngi bn, th trong hp ng thu tu chuyn, ta c th quy nh
chi ph xp d theo iu kin FI hoc FIO (ch khng th l FO).
Ngc li, nu ta bn hng theo iu kin CIF, chi ph d hng do ngi mua chu,
nn ta c th quy nh trong hp ng thu tu chuyn chi ph xp d theo iu kin FO
hoc FIO.

iu khon v cc ph thu tu (Freight Clause)

Cc ph (Freight) l s tin m ngi thu tu phi tr cho vic vn chuyn hng ho


hoc nhng dch v lin quan n vic vn chuyn.
Cc ph thu tu chuyn do ch tu v ngi i thu tu thng lng v quy nh
r trong hp ng thu tu. Trong nghip v thu tu, cc bn u rt quan tm n cc ph
v n nh hng khng nho ti hiu qu kinh doanh v cc ph thng chim t 5-10% tr
gi ca ton b l hng. Do y l mt iu khon rt quan trng ca hp ng thu tu
chuyn. Trong qu trnh thng lng, cc bn thng quan tm v ghi trong hp ng
nhng ni dung sau:
-

Mc cc (Rate of Freight): l s tin tnh trn mi n v tnh cc

(Freight Unit). i vi hng nng (weight cargo), n v tnh cc c th l n v


trng lng (tn ph thng, tn Anh, tn M). i vi hng cng knh (Measurement
cargo), ly n v tnh cc l n v th tch (mt khi, cubic feet). Hoc cng c th
ly nhng n v tnh cc khc nh: standard (i vi hng g), gallon (i vi du
mo), bushels (i vi la m). Tuy nhin, trong hp ng thu tu th mc tnh cc
thu bao (Lumpsum Freight) khng ph thuc vo loi hng v s lng hng chuyn
ch m c tnh theo n v trng ti hoc dung tch ng k ca tu.
Ngoi mc cc, hai bn cn phi tho thun chi ph xp d do ai chu, tng ng
vi iu kin chi ph xp d no.V d: 18USD/MT.FIO; 20USD/MT FO.s.
S lng hng ho tnh cc (Quantity). Tin cc c th tnh theo nhng cch sau:

Tnh theo s lng hng ho xp ln tu cng gi hng (Intaken

Quantity) hay cn gi l tin cc tnh theo s lng hng ho ghi trn vn n (Bill
of Lading Quantity).
Tnh theo s lng hng khi giao ti cng d (Delivery Quantity)
Khi chuyn ch hng ri c gi tr thp nh than , qung st, vic cn li hng
cng d l rt tn km, cho nn trong trng hp ny, tit kim thi gian v chi ph cn
o, hai bn thng quy nh trong hp ng cc ph tnh theo s lng ghi trn vn n
nhng khu tr t 1 n 2% tng tin cc thay cho vic khng cn li hng (2%
Discount in Lieu of Weighting).
Nu ngi thu ch khng c hng ho xp ln tu nh hp ng quy nh m
l li ca ngi thu ch th anh ta vn phi tr tin cc khng (Dead Freight) cho s hng
thiu .
Thi gian thanh ton cc: c th quy nh theo 3 cch:
-

Tin cc tr trc (Freight Prepaid) hoc cc ph thanh ton ti cng

xp hng (Freight payable at port of loading), tc l ton b tin cc ph phi thanh


ton khi k vn n (on signing Bill of Lading) hay sau khi k vn n mt vi ngy.
V d: Tin cc tr trong vng 5 ngy ngn hng hoc k t ngy k vn n
(Freight Payable Within 5 banking days or on signing B/L).
Tin cc c tr sau (Freight to Collect) hay cc ph thanh ton li
cng d hng (Freight payable at port of destination), tc l tr ti cng n, cng d
hng. Thi gian tr c th c quy nh c th hn theo nhng cch sau:
+ Tr khi bt u d hng (Freight payable on commencement of discharge).
+ Tr ng thi vi vic d hng (Freight payable concurrent with discharge).
Cch ny c p dng vi nhng chuyn hng c khi lng ln.
+ Tr khi d hng xong (Freight payable on completion of discharge)
+ Tr khi hng ho c trao thc s v ng n (Freight payable on
actual and proper completion of discharge). Cch ny ch c li cho ngi thu tu
m khng c li cho ch tu.
Tin cc c tr trc mt phn ti cng xp hng sau mt s ngy
k vn n, phn cn li c tr khi d hng xong.

V d: 40% tr sau khi k vn n mt vi ngy, 40% tr khi tu n cng d hng,


20% s tr nt khi hon thnh vic d hng. Vi cch qui nh ny, ngi thu tu c th gi
li mt phn cc ph trang tri cho chi ph ra vo cng hay b tr vo vic tin
thng pht xp d nhanh hay chm nu c. y l cch quy nh tt nht trong thanh ton
cc ph thu tu.
V nguyn tc, ngi chuyn ch ch c thanh ton cc ph thu tu khi hng ho
thc s c chuyn ch ti cng d hng quy nh. Nhng m bo quyn li cho ngi
chuyn ch, trong vn n hay hp ng thu tuthng c cu: "cc ph c coi nh tin
thu nhp v chuyn ch khi bc hng ln tu v tr khng ph thuc vo vic tu hoc hng
b mt hay khng b mt "Freight to be considered as earned upon shipment and must be
paid and non returnable ship and/or cargo lost or not lost).
Ngoi ra vic tho thun ng tin thanh ton, t gi hi oi ca ng tin thanh
ton, a im, phng thc thanh ton, tin cc ph ng trc (Advance Freight) cng rt
quan trng nhm trnh nhng tranh chp xy ra sau ny. Do vy, cc bn cng cn quy nh
y , r rng trong hp ng thu tu chuyn.

iu khon v thi gian xp d v thng pht xp d (Laytime and

Despatch/Demurrage)
Thi gian xp d hay thi gian lm hng (Laytime) l thi gian tu phi lu ti cng
tin hnh vic xp hng lntu hay d hng khoi tu, cn gi l thi gian cho php
(Allowed Time).
Hai bn tho thun trong hp ng: Thi gian xp l bao lu, thi gian d l bao lu,
hoc c th quy nh theo li b tr l thi gian c xp v d l bao lu. Quy nh nh vy
ngi i thu tu c trch nhim trong vic xp d hng ho. Nu ngi i thu tu hon
thnh cng vic xp hng hoc d hng sm hn thi gian cho php quy nh trong hp
ng th c thng tin xp hng hoc d hng nhanh (Despatch Money). Ngc li, nu
ht thi gian cho php m ngi thu tu vn cha hon thnh vic xp hng hay d hng th
s b pht xp d hng chm (Demurrage Money).

C th quy nh thi gian lm hng theo 2 cch:


-

Cch 1: Quy nh mt s ngy c th:

V d : "thi gian xp l 5 ngy, thi gian d l 6 ngy", hoc "thi gian c xp c d


l 11 ngy".
y, khi nim "ngy" d gy ra tranh chp, do phi quy nh r hn trong hp
ng thu tu l "ngy" y c hiu theo ngha no:
+ Ngy (Days): l ngy theo lch.
+ Ngy lin tc (Running Days hoc Consecutive Days): nhng ngy k tip nhau
trn lch k c ngy l v ch nht.
+ Ngy lm vic (Working Days): l nhng ngy lm vic chnh thc m chnh ph
quy nh ti cc nc hay cc cng c lin quan. V d: Vit Nam: 6 ngy/tun; cc nc
phng ty: 5 ngy/tun. Khi nim "ngy lm vic" ch ni n tnh cht ca ngy l
ngy lm vic m khng quan tm n vic c tin hnh xp d hay khng, nn chng hn
ch xp d 2 ting mt ngy th vn c c tnh l 1 ngy.
+ Ngy lm vic 24 gi (Working Days of 24 hours): l ngy lm vic 24 gi, ch
khng phi l ngy lm vic 8 gi mt ngy c tnh t na m hm trc n na m
hm sau. iu ny c ngha l c 24 gi lm vic c tnh l 1 ngy d mt nhiu ngy
mi lm c tng 24 gi.
+ Ngy lm vic thi tit tt (Weather Working Day = WWD): l ngy lm vic chnh
thc ti cng c lin quan m trong ngy thi tit tt cho php tin hnh cng vic xp d
hng. Ngy ma, bo, c gi to l thi tit xu khng th tin hnh xp hay d hng nn
khng c tnh vo thi gian lm hng.
Trong hng hi quc t, ngy lm vic 24 gi thi tit tt c p dng ph bin nht.
Trong hp ng cng cn ni r ch nht, ngy l c lm hay khng lm, nu lm th
tnh nh th no khoi tranh chp.

+ Ngy ch nht (Sundays) l ngy ngh cui tun do lut php ca tng nc quy
nh. Ngy ch nht thng l ngy ngh lm vic nhng cng c th tin hnh xp d hng
tu theo quy nh ca tng hp ng.
+ Ngy l (Holidays) bao gm nhng ngy l quc gia v nhng ngy l quc t. C
tnh vo thi gian xp d hng trong ngy ny hay khng l do hp ng quy nh.
T nhng khi nim v "ngy" trn, ta thy thi gian tnh lm hng khc hn so vi
thi gian l ngy tnh trn lch thng thng. Trong phng thc thu tu chuyn, c th p
dng mt s quy nh thi gian xp hng v d hng nh sau:
+ Thi gian cho php xp hng l 7 ngy thi tit tt 24 gi lin tc, khng k ngy l
v ch nht (Cargo to be Loaded in 7 Weather Working Days of 24 Consecutive Hours,
Sundays and Holidays Excepted = 7 WWD,S.H.EX.).
+ Thi gian cho php d hng l 7 ngy lm vic thi tit tt 24 gi lin tc khng k
ngy l v ch nht, d c lm cng khng tnh (Cargo to be Discharged in 7 Weather
Working Days of 24 Consecutive Hours, Sundays Holidays Excepted, Even if Used =
7WWD,S.H.EX.E.U). Cch quy nh ny ging nh cch trn nhng r rng hn v rt c
li cho ngi thu tu.
+ Thi gian cho php xp v d hng l 15 ngy lm vic thi tit tt 24 gi lin tc,
tnh c ch nht v ngy l (Cargo be Loaded and Discharged in 15 Weather Working Days
of 24 Consecutive Hour, Sunday and Holidays Inclue = 15 WWD,S.H.Inc).

Cch 2: Quy nh mc xp d hng ha cho ton tu hoc cho mt

mng trong ngy. iu ny c p dng c bit cho hng ri.

+ Mc xp d cho ton tu l 1500 MT mi ngy lm vic thi tit tt 24 gi lin tc,

Mc tnh thi gian lm hng c quy nh ph thuc vo vic thuyn trng trao
thng bo sn sng xp d (Notice of Readines = NOR) v vic ch hng nhn thng bo
sn sng xp d. V d: Hp ng mu GENCON quy inh: "Thi gian cho php xp/d bt
u tnh t 13 gi nu NOR c trao v chp nhn trc hoc ng 12 gi tra cng ngy

Trong hp ng cng phi quy nh r: thi gian tu phi ch bn u (Time lost in
waiting for berth), tu cha vo cu, vo cng, cha lm xong th tc y t, hi quan c c
tnh vo thi gian lm hng hay khng. m bo quyn li cho mnh, ch tu thng quy
nh "W,W,W,W", ngha l: "thi gian lm hng vn tnh d tu vo cng, vo cu, lm
th tc hi quan, th tc v sinh dch t hay cha".

Nguyn tc ca pht xp d chm l: khi pht th lun lun b pht (One on

Theo lut php Hng hi th gii, quyn cm gi (Lien) c ngha l quyn ca ch


tu c php chi phi kim sot ti sn ca ngi khc cho ti khi khon n lin quan c
hon tr. Trong cc hp ng thu tu chuyn thng c iu khon cm gi n cho php
ch tu c quyn cm gi hng cho ti khi tin cc, cc khng hoc tin pht c thanh
ton.
Theo lut Hng hi Anh, ch tu ch c th cm gi hng i tin cc, tin pht,
phn ng gp tn tht chung v chi ph cu h.

iu 8 trong hp ng mu GENCON 1994 quy nh:


"Ch tu c quyn cm gi hng ho v cc khon thu ca ngi thu tu khu tr
tin cc, tin cc khng, tin pht v nhng thit hi khc cng nh tt c cc khon tin
phi tr cho hp ng, k c chi ph pht sinh t vic khiu ni i bi thng cc khon
tin trn".
Trong trng hp c tn tht chung ch ch tu mi c quyn cm gi hng i
ng gp cho tn tht chung d cho l i cho chnh ch tu hay cho ch hng. Tt nhin,
trong trng hp c tn tht chung, ch tu c ngha v i vi cc ch hng l phi bo v
quyn li ca h trong vic thc hin quyn cm gi hng. Thng thng vic cm gi hng
i ng gp tn tht chung khng phi l cch c li nht cho ch tu bi v ngay vo
lc thc hin vic cm gi hng, ch tu cha th bit c cc phn s phi ng. V vy
tt hn ht l cc ch tunn giao hng vi iu kin l ngi nhn phi cam kt:

Ch tu khng c quyn cm gi hng thay cho tin pht (Demurrage) nu trong


hp ng thu tu khng c mt iu khon quy nh r rng cho php lm vic .

hng ho chuyn ch trn tul ca ngi th ba tc l ca ngi gi hng, rt t trng hp

cc thu chuyn (Voyage Freight) m ngi thu chuyn cn n ngi thu nh hn nu
tin cc c quy nh tr cng n (Freight Payable at Destination) nhng iu ny
thng khng th thc hin c v ngi thu nh hn thu tin cc ri v pht hnh
vn ti n "cc tr trc". BIMCO nhn xt v vn ny i nh sau: "iu khon
ghi trong hp ng thu tu nh hn quy nh cho chtu c quyn cm gi hng ho to
r trong thc t n ch l iu o tng (illussion)". V vy i vi nhng trng hp ny,
tt nht phi tham kho kin ca lut s trc khi thc hin. Lut ca cc nc u cho
php cm gi hng ho c thc hin ngay c khi hp ng v vn n khng quy nh.

Trong mi trng hp, ngi chuyn ch u phi m bo l s thu c tin cc


v cc khon tin pht khc t ngi thu tu, c bit l khi ngi thu tu thanh ton cc
ph tr sau. Suy cho cng ngi thu tu phi gnh chu mi hu qu pht sinh t vic cm
gi hng.

Trong cc hp ng thu tu chuyn, iu khon v ri ro chin tranh, nh cng


c quy nh thng c nhng im chung ging nhau. Chng hn trong hp ng mu
GENCON 1994 c ghi:

Nu c nh cng hay cm xng c nh hng hay cn tr thc s ti vic xp hng
hoc mt phn hng ha khitu sn sng xut pht t cng cui cng hay bt k thi
gian no ca hnh trnh ti cng hoc sau khi tu ti , thuyn trng hoc ch tu c th
yu cu ngi thu tu tuyn b rng h ng tnh thi gian tu n cng xp hng nh l
khng c nh cng hay cm xng tr phi ngi thu tu gi mt tuyn b bng vn bn
trong vng 24 gi, ch tu c quyn hy hp ng ny. Phn hng ha no sn sng
xp, ch hng phi tin hnh xp s hng ha v c ty tin hnh i vi s hng ha
khc theo cch tnh ring ca h.
Nu c nh cng hoc cm xng nh hng hay cn tr thc s n vic d hng
v iu khng c gii quyt trong vng 48 ting, th ngi thu tu c quyn c yu
cu tu ch i cho n khi cuc nh cng hay cm xng kt thc khng phi tr
mt na tin pht sau khi ht thi hn quy nh i vi vic d hng cho ti khi nh cng
hay cm xng c kt thc v sau ton b tin pht phi c thanh ton cho ti khi
hon thnh vic d hng hoc a tu ti mt cng ni tu c th d hng mt cch an ton

Hp ng thu tu chuyn l kt qu m phn gia ngi i thu tu v ngi cho


thu tu. Trong hp ng ngi ta quy nh rt r v c th quyn li v ngha v ca ngi
thu tu v cho thu tu bng cc iu khon ghi trn hp ng. Chnh v th trong qu trnh

thc hin hp ng nu c tranh chp xy ra trong gia ngi chuyn ch v ngi thu
ch, hp ng thu tu s l c s gii quyt tranh chp. Tt c cc iu khon quy
nh trong hp ng u c gi tr php l iu chnh hnh vi gia cc bn. Cc iu
khon buc cc bn k kt phi thc hin ng nh ni dung ca n. Nu c bn no thc
hin khng ng nhng quy nh ca hp ng th c ngha l anh ta vi phm hp ng.
Khi vi phm nhng iu khon c thoa thun, bn vi phm s phi chu hon ton trch
nhim i vi nhng hu qu xy ra do hnh ng vi phm ca mnh gy nn.
Nu i vi vn n, ngun lut iu chnh cc quy tc quc t th i vi hp ng
thu tu chuyn ngun lut iu chnh li l lut quc gia, cc tp qun hng hi v cc n l.

Trong cc mu hp ng thu tu chuyn c iu khon quy nh rng nu c
nhng tranh chp pht sinh ngoi hp ng th s tham chiu n lut Hng hi ca mt
nc no . Vic tham chiu n lut hng hi no v x ti hi ng trng ti no l do hai
bn tho thun. Lut php cc nc u cho php cc nc k kt hp ng thu tu chuyn
c quyn chn lut p dng cho hp ng . Trong trng hp cc bn khng chn lut
lc k kt hp ng th lut p dng cho hp ng: theo lut Balan l ni ng tr s ca
ngi chuyn ch; theo lut Nga l ni k kt hp ng; theo lut M l lut nc to n;
theo lut Hng hi Vit Nam l lut ni ng tr s ca ngi chuyn ch.

the cargo or particular grade(s) then the discharge guarantee shall continue to apply to all
other cargo /grades.

1. Owners shall exercise due diligence to ensure that from the time when the

the vessel and her hull, machinery, boilers, tanks, equipment and facilities are in

good order and condition and in every way equipped and fit for the service required; and

respects fit to carry the cargo specified in Part I(F). For the avoidance of doubt, references to
equipment in this Charter shall include but not be limited to computers and computer
systems, and such equipment shall (inter alia) be required (i) to continue to function, and not
suffer a loss of functionality and accuracy (whether logical or mathematical) as a result of
the run date or dates being processed, irrespective of the century in which the dates fall, and
(ii) to recognize the year 2000 as a leap year and accept 29 February 2000 as a valid date.

Cleanliness 2. Whilst loading, carrying and discharging cargo the master shall at all
times use due diligence to keep Of tanks the tanks, lines and pumps of the vessel clean for
the cargo specified in Part I(F). It shall be for the master alone to decide whether the vessel's
tanks, lines and pumps are suitably clean. However, the decision of the master shall be
without prejudice to the right of Charterers, should any contamination or damage
subsequently be found, to contend that the same was caused by inadequate cleaning and/or
some breach of this or any other Clause of this charter.
2. Whilst loading, carrying and discharging the cargo the Master shall at all times
keep the tanks, lines and pumps of the vessel always clean for the cargo. Unless otherwise
agreed between Owners and Charterers the vessel shall present for loading with cargo tanks
ready and subject to following paragraphs, if vessel fitted with Inert Gas System (IGS), fully
inerted.

TIME/EXPENSE and the vessel shall abide by Charterers instructions with regard to tank
or tanks which the vessel is required to present ready for entry and inspection. If Charterers
inspector is not satisfied with the cleanliness of the vessels tanks, Owners shall clean them
in their time and at their expense to the satisfaction of Charterers inspector, provided that
nothing herein shall effect the responsibilities and obligations of the Master and Owners in
respect of the loading, carriage and care of cargo under this Charter nor prejudice the rights
of Charterers, should any contamination or damage subsequently be found, to contend that
the same was caused by inadequate cleaning and/or some breach of this or any other clause
of this Charter.

Notwithstanding that the vessel, if equipped with IGS, shall present for loading with
all cargo tanks fully inerted, any time used for de-inerting (provided that such de-inerting
takes place after laytime or demurrage time has commenced or would, but for this clause,
have commenced) and/or re-inerting those tanks that at Charterers specific request were gas
freed for inspection, shall count as laytime or if on demurrage for demurrage AND ALL
BUNKERS CONSUMED SHALL BE FOR CHARTERERS ACCOUNT, provided the tank
or tanks inspected found to be suitable.

count towards laytime or demurrage, and laytime or demurrage time shall not commence or
recommence, as the case may be, until the tanks have been re-inspected SUCH REINSPECTION NOT TO BE UNREASONABLY DELAYED, approved by Charterers

3. Subject to the provisions of this charter the vessel shall perform her service
with utmost despatch and shall proceed to such berths as Charterers may specify, in any port
or ports within Part I(D) nominated by Charterers, or so near thereunto as she may safely get
and there, always safely afloat, load a full cargo, but not in excess of the maximum quantity
consistent with the International Load Line Convention for the time being in force and,
being so loaded, proceed as ordered on signing bills of lading to such berths as Charterers
may specify, in any port or ports within Part I(E) nominated by Charterers, or so near
thereunto as she may safely get and there, always safely afloat, discharge the cargo.

Charterers shall nominate loading and discharging ports, and shall specify loading
and discharging berths in sufficient time to avoid delay or deviation to the vessel. Subject to
the foregoing, and provided it does not cause delay or deviation to the vessel, In addition
Charterers shall have the option at any time of ordering the vessel to safe areas at sea for
wireless orders. Any delay or deviation arising as a result of the exercise of such option shall
be compensated by Charterers in accordance with terms of Clause 26 (1)

In this charter, "berth" means any berth, wharf, dock, anchorage, submarine

whatsoever to which Charterers are entitled to order the vessel hereunder, and "port" means
any port or location at sea to which the vessel may proceed in accordance with the terms of
this charter.

4. Charterers shall exercise due diligence to order the vessel only to ports and
berths which are safe for the vessel and to ensure that transhipment operations conform to
standards not less than those set out in the latest edition of ICS / OCIMF Ship-to-Ship
Transfer Guide (Petroleum). Notwithstanding anything contained in this charter, Charterers
do not warrant the safety of any port, berth or transhipment operation and Charterers
shall not be liable for loss or damage arising from any unsafety if they can prove that due
diligence was exercised in the giving of the order, or if such loss or damage was caused by
an act of war or civil commotion within the trading areas defined in Part 1 (D/E).

provided in Worldscale, such fixed differential shall be payable without applying the

Save in respect of the time when freight is earned, the location of any

6. Dues and other charges upon the vessel, including those assessed by reference to

payable in accordance with such provision.

7. The cargo shall be loaded into the vessel at the expense of Charterers and,
upto the vessel's permanent hose connections, at Charterers' risk. The cargo shall be

discharged from the vessel at the expense of Owners Cargo and, upto the vessel's permanent
hose connections, at Owners' risk. Owners shall, unless otherwise notified by Charterers or
their agents, supply at Owners' expense all hands, equipment and facilities required on board
for mooring and unmooring and connecting and disconnecting hoses for loading and
discharging.

8. Charterers need not supply a full cargo, but if they do not freight shall nevertheless
be paid as if the vessel had been loaded with a full cargo. Ngi thu tu khng cn cung

The term "full cargo" as used throughout this charter means a cargo which, together

capacity stated in Part I(A) (iii), whichever is less, while leaving sufficient space in the tanks
for the expansion of cargo. If under Part 1(F) vessel is chartered for a minimum quantity and
the vessel is unable to load such quantity due to having reached her capacity as stated in
Part 1(A) 1 (iii), always leaving sufficient space for expansion of cargo, then without
prejudice to any claims which Charterers may have against Owners, no deadfreight between
the quantity loaded and the quantity shown in Part 1(F) shall be due. HOWEVER IF

14. Any period of delay in respect of which Charterers pay compensation pursuant to this
Clause 10 shall be excluded from any calculation of time for laytime or demurrage made

Periods of delay hereunder shall be cumulative for each port, and Owners may
demand compensation after the vessel has been delayed for a total of 20 running days, and
thereafter after each succeeding 5 running days of delay and at the end of any delay. Each
such demand shall show the period in respect of which compensation is claimed and the
amount due. Charterers shall pay the full amount due within 14 days after receipt of Owners'
demand. Should Charterers fail to make any such payments Owners shall have the right to
terminate this charter by giving written notice to Charterers or their agents, without prejudice
to any claims which Charterers or Owners may have against each other under this charter or

11. Should the vessel not be ready to load by noon 2359 HRS local time on the

Time at each loading or discharging port shall commence to run 6 hours after

the vessel is in all respects ready to load or discharge and written notice thereof has been

not proceed immediately to such berth time shall commence to run 6 hours after (i) the
vessel is lying in the area where she was ordered to wait or, in the absence of any such
specific order, in a usual waiting area and (ii) written notice of readiness has been tendered
and (iii) the specified berth is accessible. A loading or discharging berth shall be deemed
inaccessible only for so long as the vessel is or would be prevented from proceeding
to it by bad weather, tidal conditions, ice, awaiting daylight, pilot or tugs, or port traffic
control requirements (except those requirements resulting from the unavailability of such

Charterers purposes, for documentation and shall continue until the termination of such
delay provided that if the vessel waits at any place other than the berth, any time or part of
the time on passage to such other place that occurs after two hours from disconnection of

(2) If the vessel loads or discharges cargo by transshipment at sea time shall
commence in accordance with Clause 13 (I) (a) as amended, and run until transshipment has

explosion or strike or failure/breakdown of plant and/or machinery at ports of loading and/or
discharging in or about the plant of Charterers, shippers or consignees of the cargo (not

5. Drug and Alcohol Clause
Owner is aware of the problem of the Drug and Alcohol abuse and warrants that it has
an active written policy in force, covering the vessel, which meets or exceeds the standards
set out in the Guidelines for the Control of Drugs and Alcohol onboard Ship as published
by the Oil Companies International Marine Forum (OCIMF) dated June, 1995. Owner
further warrants that this policy shall remain in force during the period of this Charter and
such policy shall be adhered to throughout this Charter.

6. Charges / Claims Clause
Charterers shall be discharged and released from all liability in respect of any
charges/ claims (other than Demurrage) including but not limited to:- detention, deviation,
shifting, heating, dead-freight, speed up, slow down, port costs, additional freight, indemnity
claims, insurance, Worldscale charges / dues; Owner may send to Charterers under this
Charter unless any such charges / claims have been received by Charterer in writing, fully
and correctly documented within ninety (90) 120(ONE HUNDRED AND TWENTY) days
from completion of discharge of the cargo concerned under this Charter. Clause 15(3) as

amended of Shellvoy 5 covers the notification and fully documented claim procedure for
demurrage.Claims arising out of the BL(s) or LOI(s) are not subject to this time bar

comply with foregoing shall be for Owners account.

9. Letter of Protest / Deficiencies Clause
It is a condition of this Charter that from the time the vessel sails to the first load port
there will be no Letter(s) of Protest (L.O.P.s) or deficiencies outstanding against the vessel
to the best of Owners knowledge. This refers specifically to L.O.P.s or deficiencies issued
by Terminal Inspectorate or similar Port or Terminal Authorities. This applies specifically to
any Saudi Arabian port and also to any other port Charterers may order the vessel to under
this Charter. Without prejudice to Charterersother rights under this clause all time, cost and
expenses as a result of Owners failure to comply with the foregoing shall be for Owners
account.

10. Documentation Clause
Owners shall ensure that the Master and Agents produce documentation and provide
Charterers with copies of all such documentation relevant to each port and berth call and all
transshipments at sea, including but not limited to:- Notice of Readiness / Statement of

Facts / Shell Form 19x / Time sheet(s) / Letter(s) of Protest (LOP) / Hourly pumping logs /
COW performance logs; by facsimile (to number advised in the voyage instructions). These
documents to be faxed within 48 hours from sailing from each load or discharge port or
transshipment area. If the vessel is described in attached questionnaire as not having a
facsimile machine onboard the Master shall advise Charterers, within 48 hours from sailing
from each port under this Charter, of the documents he has available and ensures copies of
such documents are faxed by agents to Charterers from the relevant port of call or at latest
from the next port of call. Complying with this clause does not affect the terms of Clause
15(3) as amended of Shellvoy 5 with regard to notification and submission of a fully
documented claim for demurrage or additional Clause 6 hereof. If any actions or facilities of
Suppliers / Receivers / Terminal or Charterers, as applicable, impinge on the vessels ability
to perform the warranties and/or guarantees of performance under this Charter the Master
must issue a LOP to such effect. If the Master fails to issue such LOP then Owners shall
waive any rights to claim. Master and Agents shall ensure that all documents concerning port
/ berth and cargo activities at all ports/berths and transshipment at sea places are signed by
both an officer of the vessel and a representative of either Suppliers / Receivers / Terminal or
Charterers, as applicable.
If such a signature from Suppliers / Receivers / Terminal or Charterers, as applicable
is not obtainable, the Master or his Agents should issue a LOP to such effect.
All LOPs issued by Master or his Agents or received by Master or his agents must be
forwarded to Charterers as per the terms of this clause.

11. Adherence to Voyage Instruction Clause
A) Owners shall be responsible and indemnify Charterers for any time, costs, delays
or loss including but not limited to use of laytime, demurrage, deviation expenses, lightening
costs and associated fees and expenses, due to any failure whatsoever to comply fully with
Charterers voyage instructions PROVIDED SAME ARE IN FULL COMPLIANCE WITH
C/P TERMS AND CONDITIONS, including, without limitation to the generality of the
foregoing, loading more cargo than permitted under the International Load Line Convention,
for the time being in force, or for not leaving sufficient space for expansion of cargo or
loading more or less cargo than Charterers specified.
This clause shall have effect notwithstanding the provision of Clause 32(a) of Part II
of Shellvoy 5 or Owners defenses under the Hague-Visby Rules.
B) Without prejudice to the provisions of sub-clause (A) of this clause, if a conflict
arises between terminal orders and Charterers voyage instructions, the Master shall stop
cargo operations and contact Charterers immediately. Terminal orders shall never supersede
Charterers voyage instructions and any conflict shall be resolved prior to resumption of
cargo operations. The vessel shall not resume cargo operations until Charterers have directed
vessel to do so. Failure of Owners to comply with the procedure set forth above shall result

in the deduction from laytime or demurrage time of the time used in resolving the
vessel/terminal instruction conflict. And provided such voyage orders are given timely

13. Questionnaire(s)
Owners warrant that any information provided on any Questionnaire(s) requested by
Charterers or any other vessel information / details provided by Owners to Charterers is
always complete and correct as at the date hereof, and from the time when the obligation to
proceed to the load port attaches and throughout the Charter service. This information is an
integral part of this Charter but if there is any conflict between the contents of the

If on completion of discharge any liquid cargo of pumpable nature WHICH IS
REACHABLE BY SHIPS MEANS remains on board (the presence and quantity of such
cargo having been established, by application of the wedge formula in respect of any tank
the contents of which do not reach the forward bulkhead, by an independent surveyor,
appointed by Charterers and paid jointly by Owners and Charterers), AS DETERMINED
BY TWO SURVEYORS,ONE APPOINTED AND PAID BY CHARTERERS AND ONE
BY OWNERS. IN CASE FINDINGS OF CHRTSR AND OWNERS SURVOYOR DIFFER,

15. Slops Clause
Owners shall provide Charterers with a slops certificate to be made up and signed by
Master and independent surveyor/terminal representative. The certificate shall indicate:Origin and composition of slops, Volume, Free water and API measured in barrels at 60 deg.

17. Closed Loading Clause
Owners warrant that the vessel is equipped for and able to carry out closed loading
operations in full compliance with ISGOTT Guidelines (Fourth Edition - Chapters 6.2, 7.2
and 7.6) and any amendments. And costs and delays incurred by a failure to comply with
this clause shall be for Owners account and time shall not count against laytime or
demurrage, if on demurrage.

18. Segregation Clause
Owners guarantee to give complete segregation to the cargo specified in Part I of
Shellvoy 5 during loading, transit and discharge, and to use a separate pump and line for

19. Hydrogen Sulphide (H2S) Clause.
Owners shall comply with the requirements in ISGOTT (as amended from time to
time) concerning Hydrogen Sulphide and ensuring that the Hydrogen Sulphide level is
always below the threshold limit value (TLV).
If on arrival at the loading terminal, the loading authorities, inspectors or other
authorised and qualified personnel declare that the Hydrogen Sulphide levels exceed the
TLV and request the vessel to reduce the said level to within the TLV then the Original
Notice of Readiness (NOR) shall not be valid. A valid NOR can only be tendered and
laytime, or demurrage time, if on demurrage, start to run in accordance with Clause 13 (as
amended) of SHELLVOY 5 when the TLV is acceptable to the relevant authorities.
All time costs and expense as a result of Owners failure to comply with the foregoing
shall be for Owners account.
If the vessel is unable to reduce the levels of Hydrogen Sulphide within a reasonable
time Charterers shall have the option of canceling this Charter without penalty and without
prejudice to any claims which Charterers may have against Owners under this Charter.

22. Clearance Clause
If Owners fail
A. to obtain Customs clearance; and/or
B. free pratique, IF FREE PRATIQUE IS NOT GRANTED WITHIN 6 HOURS OF
THE MASTER TENDERING NOR, THROUGH NO FAULT OF OWNERS, AGENTS OR
THOSE
ONBOARD THE VESSEL, THE MASTER SHALL ISSUE A PROTEST IN
WRITING (NOP) TO THE PORT AUTHORITY AND THE FACILIT AT THE PORT
(TERMINAL) FAILING WHICH LAYTIME OR IF THE VESSEL IS ON DEMURRAGE,
DEMURRAGE SHALL ONLY COMMENCE WHEN FREE PRATIQUE IS GRANTED.

C. to have obtained onboard all papers/certificates required to perform this Charter,


either within the 6 hours after Notice of Readiness originally tendered or when time would
otherwise normally commence under this Charter, then the Original Notice of Readiness
shall not be valid. A notice of Readiness may only be tendered when Customs clearance
and/or free pratique has been granted and/or all papers/certificates required are in order in
accordance with relevant authorities requirements. Laytime or demurrage, if on demurrage,
would then commence in accordance with the terms of this Charter. All time, costs and
expenses as a result of delays due to any of the foregoing shall be for Owners
account.HOWEVER THE TIME TO COUNT IN FULL AT LOAD PORTS AS GIVEN IN
PRECEDING PARAGRAPHS EVEN IF THE ABOVE CLEARANCES ARE GRANTED

23. Port Regulations Clause
Owners warrant that the vessel will fully comply with all port and terminal
regulations at
A) Any named port in this Charter, and
B) Any ports to which Charterers may order the vessel to under the Charter in
accordance with Part I (D/E) of Shellvoy 5 provided that Owners have a reasonable
opportunity to become aware of the egulations at such ports.
All time, costs and expense as a result of Owners failure to comply with the
foregoing shall be forOwners account.

Owners shall always employ pilots for berthing and un berthing of vessels at all ports
and / or berths under this Charter unless prior exemption given by correct and authorised
personnel. Owners to onfirm in writing that either pilotage is being arranged or they have
obtained exemption.

25. Excess Berth Occupancy Clause
If, after disconnection of hoses, the vessel remains at berth for vessels purposes,
Owners shall be sponsible for all direct and indirect costs whether advised to Owners in
advance or not, and including charges by Terminal / Suppliers / Receivers.

Owners warrant that the vessel complies with OCIMF Recommendations for
equipment employed n the moorings of ships at single point mooring 3rd Edition, 1993,

amendments.

27. Single Buoy Mooring (SBM) Line Clearance Clause
If requested by Charterers, the vessel shall pump sea water, either directly from the
sea or from vessels clean ballast tanks, to flush Single Buoy Moorings (SBMs) floating
hoses prior to, during or after loading and / or discharge of the cargo; this operation to be

carried out at Charterers expense and with time counting against laytime, or demurrage, if
on demurrage. Subject to Owners exercising due diligence in carrying out such an operation
Charterers hereby indemnify Owners for any cargo loss or contamination directly resulting
from this request. If Master or Owners are approached by Suppliers / Receivers or Terminal
Operators to undertake such an operation Owners shall obtain Charterers agreement before

28. Speed Clause
The vessel shall perform the ballast passage with utmost despatch and the laden
passage at ABOUT 13 knots weather and safe navigation permitting.
Charterers shall have the option to instruct the vessel to increase speed with
Charterers reimbursing
Owners for the additional bunkers consumed, at replacement cost.
Charterers shall also have the option to instruct the vessel to reduce speed on laden
passage.

Additional voyage time shall count against laytime or demurrage, if on demurrage,


and the value of any bunkers saved shall be deducted from any demurrage claim Owners
may have under this Charter with the value being calculated at original purchase price.
Owners shall provide documentation to fully support the claims and calculations
under this clause.

30. Ship to Ship Transfer Clause

Officers and crew are and shall remain during this Charter, capable of safely carrying out all
the procedures in the current edition of the International Chamber of Shipping, Oil

Companies International Marine Forum, Ship to Ship Transfer Guide (Petroleum). Owners
further warrant that when instructed to perform a ship to ship transfer the Master, Officers
and crew shall, at all times, comply with such procedures. Charterers shall provide the
necessary equipment and, if necessary Mooring Master, for such a ship to ship operation.

times costs and expenses as a result of Owners failure to comply with the foregoing shall be

Any costs incurred by Charterers for garbage or in vessel deballasting at Sidi Kerir
shall be for Owners account and Charterers shall deduct such costs from freight.

The vessel shall not transit the Great Barrier Reef Inner Passage, whether in ballast en
route to a loadport or laden, between the Torres Strait and Cairns, Australia. If the vessel

transits the Torres Strait, the vessel shall use the outer reef passage as approved by the

and departure through the Reef for ports North of Brisbane.

have the option to order the vessel to call at Okinawa to tender notice of readiness for crude
oil stock piling purposes.

preamble. Any modifications and/or expenses to comply with regulations or change of
existing regulations coming into force after the beginning of this Charter Party to be for
Owners account. However, if new regulations involve structural changes necessary to
continue with Charterers normal trade, Charterers and Owners shall consult how to solve
such new circumstances, including distribution of cash, and if no agreement is reached, both
parties shall have the option to cancel the Charter Party.

differences and disputes of whatsoever nature arising out of this charter shall be put to
arbitration in the City of London pursuant to the law relating to arbitration there in force,
before a board of three persons, consisting of one Arbitrator to be appointed by the Owners,
one by the Charterers, and one by the two so chosen. The decision of any two of three on
any point or points shall be final. Either party hereto may call for such arbitration by service
upon any officer of the other wherever he may be found, of a written notice specifying the
name and address of the Arbitrator chosen by the first moving party and a brief description
of the disputes or differences which such party desires to put to arbitration. If the other party
shall not, by notice served upon an officer of the first moving party within 20 days of the
service of such first notice, appoint its Arbitrator to arbitrate the dispute of differences
specified, then the first moving party shall have the right without further notice to appoint a
second Arbitrator, who shall be disinterested person, with precisely the same force and effect
as if said second Arbitrator has been appointed by the other party. In the event that the two
Arbitrators fail to appoint a third Arbitrator within 20 days of appointment of the second
Arbitrator either Arbitrator may apply to a Judge of any Court of Maritime Jurisdiction in the
City of above mentioned for the appointment of a third Arbitrator, and the appointment such
Arbitrator by such judge on such application shall have precisely the force and effect as if
such arbitrator have been appointed by the two Arbitrators until such time as the arbitrator
finally close the hearings of differences under this Charter for hearing and determination

awards made in pursuant to this clause may include cost, including a reasonable allowance
for Attorneys fees, and judgement may be entered upon any award made hereunder in any
court having jurisdiction in the premises.

18. CLINGAGE NOT APPLICABLE FOR THIS CHARTER
Owners and charterer recognise that the vessel has been positioned for loading after
Drydock / Shipyard or has water washed all her cargo tanks, clingage of a greater degree
than normal can be anticipated. Therefore value of crude as well as freight for any shore
outturn quantity shall be deducted from freight to the extent such quantity exceeds 0. 2 % of
Bill of lading quantity as determined by the difference between Gross B/L and Gross outturn
figure. Crude value for this purpose to be the FOB loading port value plus freight and
insurance. This clause does not alter the provisions of the cargo retention clause. Any
deductions made under the cargo retention clause shall be taken into account in calculations
made under this clause and shall not be charged for twice.

The definition of such quantity exceeding the 0,2% shall be determined by an
independent surveyor jointly agreed to by both owners and charters. Such surveyor shall
have full access to the shore facilities. The findings of the independent surveyor will be final

19. BIMCO ISPS CLAUSE FOR VOYAGE CHARTERS iu khon BIMCO

(A) (i) From the date of coming into force of the International Code for the Security
of Ships and of Port Facilities and the relevant amendments to Chapter XI of SOLAS (ISPS
Code) in relation to the Vessel, the Owners shall procure that both the Vessel and "the
Company" (as defined by the ISPS Code) shall comply with the requirements of the ISPS
Code relating to the Vessel and the Company. Upon request the Owners shall provide a
copy of the relevant International Ship Security Certificate (or the Interim International Ship
Security Certificate) to the Charterers. The Owners shall provide the Charterers with the full
style contact details of the Company Security Officer (CSO).

(ii) Except as otherwise provided in this Charter Party, loss, damage, expense or
delay, excluding consequential loss, caused by failure on the part of the Owners or the
Company to comply with the requirements of the ISPS Code or this Clause shall be for the
Owners account.

Notwithstanding anything to the contrary provided in this Charter Party, the Vessel shall be
entitled to tender Notice of Readiness even if not cleared due to applicable security
regulations or measures imposed by a port facility or any relevant authority under the ISPS
Code.

time on demurrage has ceased to count, it shall be compensated by the Charterers at the
demurrage rate.

(D) Notwithstanding anything to the contrary provided in this Charter Party, any
additional costs or expenses whatsoever solely arising out of or related to security
regulations or measures required by the port facility or any relevant authority in accordance
with the ISPS Code including, but not limited to, security guards, launch services, tug
escorts, port security fees or taxes and inspections, shall be for the Charterers account,
unless such costs or expenses result solely from the Owners negligence. All measures
required by the Owners to comply with the Ship Security Plan shall be for the Owners
account.

(E) If either party makes any payment which is for the other partys account
according to this Clause, the other party shall indemnify the paying party.

20. STS TRANSFER CLAUSE iu khon trung chuyn STS
Charterers to provide and pay for all STS equipment, including but not limited to
fenders, hoses and mooring master. All such STS transfer to be performed in accordance
with the latest OCIMF STS transfer guide (petroleum), and charteres to insure that lightering
vessel also complies to same OCIMF guidelines.
