DEED OF ASSIGNMENT and TRANSFER OF RIGHTS

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Assignment and Transfer of Rights, made and entered this ____ day of
______________, in Naga City, Cebu, Philippines, by and between:

RICARDO VILLANUEVA, Filipino, of legal age, and a resident of Bulacao, Talisay

City, Cebu, hereinafter referred to as the ASSIGNOR;

-and-

VALLE HINDERYCKX, of legal age, single and a resident of Basdiot, Moalboal,

Cebu, hereinafter referred to as the ASSIGNEE;

WITNESSETH: THAT

WHEREAS, the ASSIGNOR is the share holder and incorporator of ASIAN-

BELGIAN CORPORATION with 1,500 shares of stock, a corporation exeisting under
the laws of the Republic of the Philippines;

WHEREAS, the ASSIGNOR had offerred to assign his rights, title, interests, and
ownership over his share in the aforesaid corporation in favor of the ASSIGNEE of about
100 share subject to the following terms and condition herein setforth;;

NOW, THEREFORE, for valuable consideration, the ASSIGNOR hereby assign,

cede, transfer and convey in a manner that is absolute and irrevocable his rights over his
100 share on the aforesaid corporation, free from all liens and encumbrances.

  IN WITNESS WHEREOF, the parties have hereunto signed this DEED OF

ASSIGNMENT and TRANSFER OF RIGHTS on the date and place first above written.
