DEED OF SALE WITH ASSUMPTION

OF MORTGAGE
KNOW ALL MEN BY THESE PRESENTS:

This DEED OF SALE WITH ASSUMPTION OF MORTGAGE is

made and executed on this _ day of _______, 2023 by the following parties,
namely:

NERECEL TANQUE RALOTA, of legal age, Filipino and a resident of

Brgy. Tambulilid, Ormoc City, Leyte, Philippines, hereinafter referred to as the
VENDOR; and TATSUYA LAROYA ONODA, of legal age, Filipino, married
and a resident of Purok 2, Brgy. Alta Vista, Ormoc City, Leyte, hereinafter
referred to as the VENDEE;

W I T N E S S E T H:

WHEREAS, the VENDOR is the registered owner of that certain one (1)
unit MITSUBISHI-SEDAN, more particularly described as follows:

MAKE/TYPE - MITSUBISHI-SEDAN
ENGINE NO. - 3A92ULK6045
CHASSIS NO. - PAEA13TJPPA006973
SERIES - MIRAGE GA GLX 1
PLATE NO. - GAK7234

WHEREAS, the above-described vehicle was acquired through installment

basis from Rizal Commercial Banking Corporation (RCBC) with a monthly
payment of Seventeen Thousand Nine Hundred Thirty-Two (Php17,932.00)
PESOS for fifty (52) months commencing on November 21, 2023 and ends on
February 21, 2028;

WHEREAS, the VENDOR has offered to sell aforesaid vehicle and the
VENDEE have agreed to buy the same in the amount of FIFTY THOUSAND
(Php50,000.00) PESOS;

NOW, THEREFORE, for and in consideration of the sum of FIFTY

THOUSAND (Php50,000.00) PESOS, Philippine Currency, the VENDOR do
hereby SELL, TRANSFER and CONVEY in a manner absolute and irrevocable
unto the VENDEE, his heirs and assigns, the above-described vehicle free and
clear of all liens and encumbrances except the monthly installment subsisting in
favor of Rizal Commercial Banking Corporation (RCBC) and that the VENDEE
do hereby accept this sale and binds himself to assume as he hereby assumes the
payment of the monthly amortization payable every 21 st day of the month
commencing on November 21, 2023 and ends on February 21, 2028 and whatever
interest for the extended months of the contract indebtedness of the VENDOR in
favor of the aforementioned bank and do hereby further agree to be bound by the
precise terms and conditions therein contained.

The VENDEE shall not sell, transfer or convey the subject vehicle, not
until the full payment of the indebtedness mentioned above with Rizal
Commercial Banking Corporation (RCBC) is being made.
