AUTHORITY TO SELL

KNOW ALL MEN BY THESE PRESENTS:

This authority to sell made in Quezon City this 2nd day of October 2023 by CATALINA PEROL, a Filipino
Citizen of Legal Age with residence address at 3 Saint Michael Street, Mt. Crest Executive Village, Banlat
Road, Tandang Sora, Quezon City herein referred to as the OWNER of 4 parcels of land located in Bo.
Kisluyan/ Villa Cerveza, Naujan, Oriental Mindoro with the following Titles:

JOVERT VIDA LITERAL of legal age and Filipino Citizen with residence addresses at Ordovilla, Victoria,
Oriental Mindoro herein referred to as AGENT.

WITNESSETH

That the AGENT is given AUTHORITY by the OWNER to offer, sell, advertise, promote, mediate, or
negotiate the meeting of the minds of both parties, property BUYER and OWNER for 4 parcels of land
located in Bo. Kisluyan/ Villa Cerveza, Naujan, Oriental Mindoro with the following Titles:

3. TCT No. T-12316
4. TCT No. T-12317
 Total Land Area 285.1309 Hectares more or less
 Registered Owner: CATALINA PEROL

1. DURATION
This authority shall take effect upon signing and shall expire six (6) months thereafter or until
otherwise sooner cancelled by the OWNER for justifiable or valid reason/s.

2. SELLING PRICE
The selling price shall be _______________________ per _______________.

3. PAYMENT ACCEPTANCE & TERMS AND CONDITIONS


The payment for the sale with its terms and conditions shall be agreed upon and signed
between the OWNER, and the property BUYER or AGENT.
Payment acceptance, processing, and all other related activities with relation to the payment of
this sale shall be facilitated, negotiated to, approved, and processed solely by the OWNER.

4. CAPITAL GAINS TAX, DOCUMENTARY TAX, ESTATE TAX


The payment and settlement of these and others related to Government requirements shall be
paid for and settled by the property BUYER.

5. REGISTRATION AND TRANSFER TAX FOR THE NEW TITLE


The payment and settlement of these and any other payment/settlement related to the
transaction shall be paid for and settled by the property BUYER.

6. COMMISSIONS
The AGENT shall receive from the OWNER the commission equivalent to five percent (5%) of the
final selling price. If the group of agents has overpriced, the totality of the exceeding amount

shall belong to the agents. The terms and conditions of this commission including changes with
the rate if needed shall be agreed upon between the OWNER and the AGENT.

7. REPORTING/ PROGRESS UPDATES


The Agent will be reporting current transactions/ negotiations progress and status, new buyer
details, and any concerns/ issues with any transactions/ negotiations two (2) times in a month,
every month for the duration of this Authority To Sell.

That the agent will report directly the current transactions/ negotiations progress and status,
new buyer details, and any concerns/ issues with any transactions/ negotiations two (2) times in
a month, every month for the duration of this Authority To Sell to Mr. Marcelo S. Bugawan Sr.

The consolidated report of the agent and Mr. Marcelo S. Bugawan will be forwarded to Mr.
Marcus P. Tee and Mr. Edwin Justo two (2) times in a month, every month for the duration of
this Authority To Sell.

8. VIOLATION OF THESE TERMS AND CONDITIONS


Violation by the AGENT and/or any of its representatives of any of the condition as provided
herein shall constitute a ground for the automatic cancellation of this authority without the
need of a prior written notice. In case of misrepresentation of the AGENT or its representatives
in the sale, the AGENT shall hold the OWNER free from any claim for damages and refund arising
therefrom.
Any payment of any damage, refund, or expense to be made by the OWNER by reason of
misrepresentation by AGENT, the latter shall answer or reimburse the OWNER or for whatever
amount that was paid or spent.
