 1.0 INTRODUCTION

1.1 Saudi Manufacturing

VEOLIA water has wide experience in the design, installation and operation of this type
of treatment plant, particularly in the Kingdom of Saudi Arabia and the Middle East.

VEOLIA water is a licensed Saudi Arabian manufacturers of these and other

complimentary water treatment systems. This enables the benefits of local manufacturing
and engineering facilities to be passed on to all our clients and users.

The Ministry of Industry licenses VEOLIA as a specialized water treatment equipment

manufacturer. In this connection, the equipment offered herein will be essentially a
Saudi product in which we endeavor to have an increasing Saudi component as available
in order to promote local industry.

The VEOLIA license is by Ministerial Decree Number 401 which covers the manufacture
of both water and sewage treatment systems.

VEOLIA has extensive engineering resources throughout the Kingdom, which enable the
provision of service to meet customer demand covering everything from specialist
engineering design through to full operation and maintenance contracts and the supply of
spare parts.

VEOLIA has offices and warehouses located in Riyadh, Jeddah and Dammam in addition
to its manufacturing facilities.

An extensive range of spares for VEOLIA systems is maintained, enabling efficient

service throughout the Kingdom.

This level of back up is unequaled by any other water and sewage treatment company
operating in Saudi Arabia.
1.2 ISO 9001 Certification

VEOLIA is registered with BVQI Quality Assurance, UK and is certified by them to ISO
9001:2008 International Quality Assurance Standard and covering the Scope of Design,
Assembly and Installation of Water and Waste Water Plants and Desalination Plants.

1.3 Scope of Offer

The scope of the offer shall be supply, delivery to site, installation, testing and
commissioning of the mechanical and electrical equipment within the room only for the
station as detailed hereinafter.

3.0 CONTRACT ENGINEERING SERVICES

3.1 Introduction

VEOLIA water will be responsible for the design, manufacture, procurement and
delivery to site of equipment specified herein. Installation, testing, and commissioning of
the mechanical and electrical items of equipment is also included within the plant room
only.

3.2 Authority

At the time of placing the order, the client shall define to VEOLIA water his resident
engineer and his immediate responsibilities. VEOLIA will define to the client their
appointed Contract Engineer to whom all correspondence shall be addressed.

At all times, only the appointed VEOLIA water Contract Engineer shall be in a position
to authorize any action on site. The VEOLIA Contract Engineer may well authorize
other members of Veolia to act on his behalf. If and when this takes place, only members
of staff with written instructions from the Contract Engineer shall be authorized to make
decisions.
3.3 Design and Civil Works requirements

There is no civil work under Veolia’s scope for this job.

3.4 Planning

Where approval is required, submittals for approval not returned within thirty (30) days
of submission will be deemed to be approved. In the event of major changes being
received on submittals, VEOLIA water reserves the right to review the delivery and
contract price.

3.5 Inspection

The client will have facilities made available to him for full inspection of the
manufactured items. Should this facility be required, a request shall be made in writing
to VEOLIA water within twenty eight (28) days from the placing of order.

Should the client require inspection facilities, then all expenses involved shall be the
responsibility of the client.

3.6 Installation of Equipment

Once the civil works are complete and the equipment delivered to site, VEOLIA water
will send in their supervisor and installation team. The VEOLIA installation team will
include pipe-fitters, electricians and laborers as required by site progress.

We assume that you shall provide a small fenced compound for storage of equipment,
plus necessary site facilities including wash room, toilet, and office services as required.

We also assume that you shall provide necessary craneage for off-loading and installation
of equipment, plus scaffolding and temporary support structures and temporary power
and light facilities for installation equipment.

Furthermore, VEOLIA water does not include for any civil construction work, Buildings,
trenches, plinths, breaking out and making good shall be done by others except what is
mentioned. .
3.7 Delays on Site

Work shall be in accordance with the agreed program. Should VEOLIA water find that
they are impeded in carrying out the necessary work for any reason, then VEOLIA water
reserve the right to charge waiting time.

If the stoppage means that the VEOLIA water personnel will be idle for greater than three
(3) days, then VEOLIA reserve the right to remove from site and the client will have to
allow seven (7) days notice prior to the return of personnel at site. All costs in leaving
site and returning shall be fully borne by the client.

3.8 Start-up, Testing, Training of Operators and Hand Over of Plant

Once the unit is installed, VEOLIA water will supervise the checkout of the installation
including necessary leakage and continuity tests prior to start up.

Once the unit has been demonstrated to operate satisfactorily, the client's representative
will be asked to sign the hand over document to formally accept the unit.

Beneficial use shall constitute acceptance.

3.9 Warranty

VEOLIA will replace any part proven to be faulty due to manufacturing defects within a
period of twelve (12) months from delivery or readiness to delivery.

3.10 Plant Wiring

This shall be provided where VEOLIA water scope includes installation.

Cables are suitably sized for the appropriate duty. PVC sheathed, and extend only
between the local VEOLIA panel and the individual drives and controls included in the
scope of this offer within the plant room only.

3.11 Pipe work

The process and interconnecting pipework for the Filtration Plant will generally be Saudi
Arabian manufactured as described in the various selections of these specifications and
shall be limited to the room only.
 4.0 COMMERCIAL SECTION

4.1 Price

VEOLIA water solutions and technologies contracting offers to supply, deliver to site,
install (within the room only), test and commissioning of the filtration unit, described
herein section 2.0 for the total price of:

4.2 Delivery

The equipment & works offered above will be completed in 18-20 weeks from the date of
receipt of your order and written approval and completion of financial arrangements.
Installation needs further 2 weeks from date of delivery payment.

4.3 Validity

This offer is valid for a period of Thirty (30) days from the date of this tender.

4.4 Conditions of Contract

These will be subject to Saudi Arabian Law and conducted in the English language.
Terms will be as defined by INCO and the attached General Conditions will apply.

4.5 Terms of Payment

The following terms of payment are major part of the proposal:

40 % as down payment along with Purchase order

50 % upon delivery of offer listed equipment or 30 days from date of
readiness of delivery in case site not ready.
10 % against Installation and commissioning or 45 days from date of
readiness of delivery in case site not ready.
4.6 Exclusions

The following items and services are excluded from the scope of this offer:

- Any civil works and designs.

- Any site lighting, fencing and guarding.
- Excavation, backfilling, trenching and making good.
- Any consumables, spare parts, water, power, chemicals,.
- All cranes, lifting tackles and scaffoldings.
- Operation and maintenance after commissioning.
- Any pipe work or cabling outside the room.
- Offloading and shifting material to room in site.
- Client's standard conditions of purchase.
- Any handrail, platforms, ladders, duct and duct covers of any kind unless specified in
this offer.
- Air conditioning and other utilities for the plant room.
- Anything not mentioned in this offer.
