1- The head office and legal domicile of the company shall be in the city of Addis Ababa, Ethiopia. By
agreement of the partners, it may establish branches, offices or agencies for it in the State of Ethiopia or in
foreign countries.
2- The period specified for the partnership is ten years, starting from (1/9/2022) and ending on (31/12/2032),
considering that the number of months remaining in the year (22) is the founding period, the partnership
period is renewable for similar periods by agreement of the two parties. Unless one of the partners informs
the other partner in writing of his desire to separate at least three months before the end of the partnership
term.

The two parties shall manage the work in the company and have the right to sign jointly or severally,
provided that the works issued by them are to achieve the purpose of the company, within its purposes and
with its title. As for transactions that are worth more than ten thousand US dollars, and any other legal
acts such as mortgaging or selling the company's real estate or obtaining loans to the company, they must
be issued under the combined signature of the two parties. As follows:
1- The second party undertakes the management and activity of the company in Ethiopia in his capacity
as the company’s general manager in return for a monthly salary of (1,000 US dollars) one thousand
US dollars included in the company’s expenses.
2- The first party undertakes all the tasks of external transactions in addition to the tasks of an
executive director in return for a monthly salary of (1,000 US dollars) one thousand US dollars
included in the company’s expenses.

Seventh: Accounts and the fiscal year ‫ الحسابات والسنة المالية‬/ً‫سابعا‬

monitored. The company’s financial year begins on the first of January (1/1/2023) and ends on (31/12/2023), and
the accounts for the remaining months of the year (22) are included in the accounts the new Year. Provided that an
inventory of the company’s assets and liabilities and the profit and loss account shall be made within the framework
of the company’s balance sheet and shall be effective in the right of both parties as soon as they sign it or after
fifteen days have passed from the date of sending a copy of it to each of them by a written letter registered with
acknowledgment of receipt, and each partner shall have the right to review the books of The company and its
balance in person, by proxy, or by delegating an expert.

3- Profits shall be distributed according to the share of each partner. In the event of a loss in the budget of one year,
it shall be carried forward to the following year, and profits shall not be distributed until after covering the loss of
previous years.

Eighth: Prohibition of Competition: :‫ حظر المنافسة‬/ً‫ثامنا‬

Ninth / Withdrawal and assignment of quotas: :‫ االنسحاب والتنازل عن الحصص‬/ً‫تاسعا‬

.‫أ – ال يحق ألي شريك أن ينسحب من الشركة قبل نهاية مدتها‬
.‫ إال بموافقة الشريك اآلخر كتابة‬.‫ ال يحق ألي شريك أن يبيع حصة أو رهنها أو يتنازل عنها أو جزء منها‬-‫ب‬
.‫ج – وفى حالة مخالفة أي شريك لما جاء بالبند السابق ال ينفذ هذا التصرف في حق الشريك اآلخر مع االحتفاظ بجميع حقوقه بسائر أنواعها‬
A- No partner has the right to withdraw from the company before the end of its term.
b- No partner has the right to sell, mortgage, or assign a share or part of it. Only with the written consent
of the other partner.
C - In the event that any partner violates the provisions of the previous clause, this disposition shall not be
implemented against the other partner, while preserving all his rights of all kinds.

Tenth: Death or incapacity of one of the :‫ وفاة أحد الشركاء أو فقدان أهليته‬/ً‫عاشرا‬

The partnership contract does not end with the death or incapacity of one of the partners; Rather, he is replaced by
his heirs or representatives under the same conditions as the company’s contract, and they are not entitled to put
seals on the company or its division, and they do not interfere in its management and it continues until the end of its
term. The rights of the deceased’s heirs are limited to claiming their share in the profits that have not been
accounted for, and the company is considered dissolved and the deceased partner is considered separated, unless the
other partner agrees to continue it with the presence of the deceased’s heirs or those who have lost their capacity.

In the event of the termination of the company’s contract, the partners may continue with it or liquidate it in the
manner they agree upon. In the event of disagreement, it shall be liquidated by a liquidator chosen by the two
parties. In case of disagreement, the two parties resort to commercial arbitration to liquidate the company and
resolve the dispute amicably.

Thirteenth: Every dispute arising from the partners, heirs, or those who have lost their capacity to
