AGREEMENT

This Agreement is made and entered into this January 1, 2022, in Makati City by and between:

Switch Red Corporation, a stock corporation duly existing and registered under the laws of the Republic of the Philippines
with principal office at 17th Floor, Empire Building, 2104 Ayala Ave., Makati City, and represented by its Authorized
representative, Ricardo Roces, hereinafter referred to as the HR Director of the Company.

George V. Solomon, of legal age, Filipino, Resident of 25 N. Guevarra St., Mandaluyong City, has 20 years of IT experience
and is an expert in the field of IT, hereinafter referred to as the IT Manager.

WITNESSETH THAT:

WHEREAS the Switch Red Corporation wishes to procure the services of Employee under the terms and conditions set
forth and Employee wishes to be employed on these terms and conditions.

WHEREAS the parties to this Employee Agreement wish to enter into written expression of their relationship as Employer
and Employee.

NOW, THEREFORE, for and in consideration of the foregoing premises, the Parties hereby agree as follows:

1. TERMS AND CONDITIONS

1.1. That the term of this lease shall be for a period of six (6) months to starting on January 1, 2022, until May 31,
2022, and thereafter renewable upon mutual agreement of the parties.

1.2. That the monthly rental on the leased premises above-mentioned shall be ONE HUNDRED
THOUSAND(P100,000.00), Philippine Currency per month. The rental shall be paid by the Employer to the
Employee exclusive of tax payable at 15th and 30th day of each month.

1.8. The EMPLOYEE recognizes the right and prerogative of the EMPLOYER to, without limitation, assign and reassign
him/her to perform such other tasks within the organization.
1.9. MEDICAL/DRUG TESTS the EMPLOYEE consent and agree, upon request from the EMPLOYER, to undergo a
medical/drug tests at the expense of the EMPLOYER. This is to be carried out for purposes of determining the
physical and mental fitness of the EMPLOYEE to perform the functions of the job.
1.10. Employee is prohibited from working for competing companies or competing with the employer if they
leave, including misusing confidential information within one year of separation from the Company except with
written permission.
1.11. Employee may not recruit other co-workers to join them when they leave the company. Furthermore, the
employee is not allowed to ask the company’s clients or customers to follow them to their new company

2. CONFIDENTIAL INFORMATION. The Parties shall not divulge any information to third parties that it may have access
to, and any such information will only be used for the purposes related to this Agreement.

3. DATA PRIVACY. Personal Data disclosed by either part shall not be shared with third parties and/or sold and/or used for
purpose other than for this agreement without the written permission/consent of the disclosing party. Both parties shall
exercise at least the same degree of care it uses with its own personal data and confidential information on personal
data Personal data disclosed or shared by BENILDE that it is no longer needed by either party shall be securely disposed
or erased. Each party shall notify the other party if it has knowledge of any data breach or security incident involving
personal data shared or disclosed by the other party.

4. PARTIAL INVALIDITY. The invalidity of unenforceability of any particular provision of this agreement shall not affect
the other provisions hereto and the agreement shall be construed in all respects as though such invalid or
unenforceable provisions were omitted.

5. This Agreement shall be governed by, construed, enforced, and performed in accordance with the laws of the
Philippines.
