At Cosmic Space Café, we offer drinks and snacks that fit our purpose at affordable and reasonable
prices. Our products are made with the finest quality brands starting from our coffee beans, into milktea
and fruit tea powders to create premium blended drinks that customers want and love to purchase.
Furthermore, we ensure that the ingredients for our snacks are of excellent quality to create snacks that
customers would truly enjoy and find eye-pleasing.

Our coffee is made by first grinding the coffee beans and getting the espresso shot before mixing it
with the preferred blend of customers depending on what they ordered. This is where milk, sugar, syrups,
etc. are being added to get the perfect blend of their drink choices. If hot, it is served with a coffee cup
and saucer for them to enjoy. If iced/cold, the coffee is packed in a plastic cup sealed with our exclusive
brand name with logo, and straw.

As for milktea and fruit tea, they have similar procedures such as scooping the right amount of flavored
powder then adding milk and sugar, and continuously blending it in a blender. The amount of flavored
powder depends on the size of their order. It is also packed in a plastic cup sealed with our exclusive brand
name with logo, and straw.

Lastly, our snacks which include fries and mojos are cooked in a deep fryer to get that extra crisp and
crunch. Nachos is prepared on a plate together with ground pork, vegetables such as onions and tomatoes,
and a dressing to finish. Grilled cheese sandwich is also popular nowadays and it is a sandwich with a
cheese filling that is grilled for an extra toast. Mini pancakes are simple to make by just making the batter
or the pancake mixture first before pan-frying it into mini sizes (bite-sized pieces). It is topped with a syrup
of choice and decorated with our special zodiac signs. Our pastries include brownies which is baked from
goodness and rich chocolatey filling that is chewy and moist when served. Another pastry that we offer is
croffles which is a croissant that is put into a waffle maker. It is also served with a syrup of choice, and it is
very trendy which customers find attractive to.

The Cosmic Space Café. is located at Bliss Road, Kalayaan village, Brgy. 201, Pasay City.

• Traffic Pattern

One of the factors that influences a customer's decision to make another purchase or engage
in repeat business is the location's accessibility. Cosmic Space Café is located at Bliss Road, Kalayaan
Village, Brgy. 201 Pasay City. If you live in Pasay, you can take a jeep going to "KANAN" Merville at the
Heritage Hotel, where the jeep makes a U-turn. It will take you about 30-45 minutes to get there.
However, if you have a car or motorcycle, you can travel faster by using the Tramo Pasay bypass, which
will take you there in 25 to 30 minutes.

• Legal Structure

Cosmic Space Café is formed through partnership specifically limited liability company since all six
owners enter an agreement to create and operate the business for a profit, and this structure protects
the owners from personal responsibility for its debts and liabilities. The owners have equal right on its
management and contribute funds, skills and labor to it meaningfully. We also share the costs and profits
from doing business which the profits are distributed evenly among ourselves specifically 16.6% of shares.

That we, Ramil P. Bastian, Angela L. Barron, Trisha Joy S. Baay, Leanna Ashley De Leon, Melchor E.
Nono Jr., Jules Anne M. Rabino, all Filipinos, of legal ages, and residents of Metro Manila, NCR,
Philippines, have on this day, covenanted to establish a partnership, in accordance with the laws of the
Republic of the Philippines;

AND WE HEREBY CERTIFY:

2. That the name of this partnership shall be Cosmic Space Café and it shall exist for three (3) years
from the execution of this instrument, unless the partners mutually agree in writing to a shorter period.
Should the partnership be terminated by unanimous vote, the assets and cash of the partnership shall
be used to pay all creditors, with the remaining amounts to be distributed to the partners according to
their proportionate share.

3. That the capital of this partnership shall be one million, six hundred thousand pesos (P1,600,000.00),
Philippine Currency, broken down, in contributions, as follows:

The partnership shall maintain a capital account record for each partner; should any partner's capital
account fall below the agreed to amount, then that partner shall (1) have his share of partnership profits
then due and payable applied instead to his capital account; and (2) pay any deficiency to the partnership
if his share of partnership profits is not yet due and payable or, if it is, his share is insufficient to cancel
the deficiency.

4. That the purpose(s) for which this partnership is established (is/are) as follows: operate a business
for a profit and are personally liable for its debts and liabilities.

5. The partners shall provide their full-time services and best efforts on behalf of the partnership. No
partner shall receive a salary for services rendered to the partnership. Each partner shall have equal
rights to manage and control the partnership and its business. Should there be differences between the
partners concerning ordinary business matters, a decision shall be made by unanimous vote.

6. That the profits and losses shall be divided among the partners pro rata, in proportion to their
respective contributions.

7. In the event a partner withdraws or retires from the partnership for any reason, including death, the
remaining partners may continue to operate the partnership using the same name.

8. No partner shall transfer interest in the partnership to any other party without the written consent of
the remaining partner(s). The remaining partner(s) shall pay the withdrawing or retiring partner, or to
the legal representative of the deceased or disabled partner, the value of his interest in the partnership,
or (a) the sum of his capital account, (b) any unpaid loans due him, (c) his proportionate share of accrued
net profits remaining undistributed in his capital account, and (d) his interest in any prior agreed
appreciation in the value of the partnership property over its book value. No value for good will shall be
included in determining the value of the partner's interest.

9. A partner who retires or withdraws from the partnership shall not directly or indirectly engage in a
business which is or which would be competitive with the existing or then anticipated business of the
partnership for a period of three (3) years within the City/Province of Metro Manila, NCR where the
partnership is currently doing or planning to do business.

LEASE CONTRACT

KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT OF LEASE is made and executed at the City of Pasay, this day of 20th day of May, 2028,
by and between:

(NAME OF LESSOR), of legal age, single/married to (Name of spouse if any), Filipino, and with
residence and postal address at (Kalayaan Brgy. 201, Pasay City), hereinafter referred to as the LESSOR.

-AND-

(RAMIL P. BASTIAN), Filipino and with residence and postal address at (Sambakai Kalayaan Brgy.
201, Pasay City), hereinafter referred to as the LESSEE.

WITNESSETH; That

WHEREAS, the LESSOR is the owner of THE LEASED PREMISES, a residential property situated at
(Address of property to be leased);

WHEREAS, the LESSOR agrees to lease-out the property to the LESSEE and the LESSEE is willing to
lease the same;

NOW THEREFORE, for and in consideration of the foregoing premises, the LESSOR leases unto the
LESSEE and the LESSEE hereby accepts from the LESSOR the LEASED premises, subject to the following:

TERMS AND CONDITIONS

1. PURPOSES: That premises hereby leased shall be used exclusively by the LESSEE for residential
purposes only and shall not be diverted to other uses. It is hereby expressly agreed that if at any time
the premises are used for other purposes, the LESSOR shall have the right to rescind this contract
without prejudice to its other rights under the law.

2. TERM: This term of lease is for ONE (1) YEAR. from (Date) to (Date) inclusive. Upon its expiration,
this lease may be renewed under such terms and conditions as me be mutually agreed upon by both
parties, written notice of intention to renew the lease shall be served to the LESSOR not later than seven
(7) days prior to the expiry date of the period herein agreed upon.

3. RENTAL RATE: The monthly rental rate for the leased premises shall be in PESOS: Forty-five thousand five
hundred pesos (P 45,500.00), Philippine Currency. All rental payments shall be payable to the LESSOR.

4. DEPOSIT: That the LESSEE shall deposit to the LESSOR upon signing of this contract and prior to
move-in an amount equivalent to the rent for THREE (3) MONTHS or the sum of PESOS: One hundred
thirty-six thousand five hundred (P 136,500.00), Philippine Currency. wherein the two (2) months deposit
shall be applied as rent for the 11th and 12th months and the remaining one (1) month deposit

shall answer partially for damages and any other obligations, for utilities such as Water, Electricity,
CATV, Telephone, Association Dues or resulting from violation(s) of any of the provision of this contract.

5. DEFAULT PAYMENT: In case of default by the LESSEE in the payment of the rent, such as when the
checks are dishonored, the LESSOR at its option may terminate this contract and eject the LESSEE. The
LESSOR has the right to padlock the premises when the LESSEE is in default of payment for One (1)
month and may forfeit whatever rental deposit or advances have been given by the LESSEE.

6. SUB-LEASE: The LESSEE shall not directly or indirectly sublet, allow or permit the leased premises
to be occupied in whole or in part by any person, form or corporation, neither shall the LESSEE assign
its rights hereunder to any other person or entity and no right of interest thereto or therein shall be
conferred on or vested in anyone by the LESSEE without the LESSOR'S written approval.

7. PUBLIC UTILITIES: The LESSEE shall pay for its telephone, electric, cable TV, water, Internet,
association dues and other public services and utilities during the duration of the lease.

8. FORCE MAJEURE: If whole or any part of the leased premises shall be destroyed or damaged by fire,
flood, lightning, typhoon, earthquake, storm, riot or any other unforeseen disabling cause of acts of God,
as to render the leased premises during the term substantially unfit for use and occupation of the
LESSEE, then this lease contract may be terminated without compensation by the LESSOR or by the
LESSEE by notice in writing to the other.

9. LESSOR'S RIGHT OF ENTRY: The LESSOR or its authorized agent shall after giving due notice to the
LESSEE shall have the right to enter the premises in the presence of the LESSEE or its representative at
any reasonable hour to examine the same or make repairs therein or for the operation and maintenance
of the building or to exhibit the leased premises to prospective LESSEE, or for any other lawful purposes
which it may deem necessary.

10. EXPIRATION OF LEASE: At the expiration of the term of this lease or cancellation thereof, as herein
provided, the LESSEE will promptly deliver to the LESSOR the leased premises with all corresponding
keys and in as good and tenable condition as the same is now, ordinary wear and tear expected devoid
of all occupants, movable furniture, articles and effects of any kind. Non-compliance with the terms of
this clause by the LESSEE will give the LESSOR the right, at the latter's option, to refuse to accept the
delivery of the premises and compel the LESSEE to pay rent therefrom at the same rate plus Twenty-
Five (25) % thereof as penalty until the LESSEE shall have complied with the terms hereof. The same
penalty shall be imposed in case the LESSEE fails to leave the premises after the expiration of this
Contract of Lease or termination for any reason whatsoever.

11. JUDICIAL RELIEF: Should any one of the parties herein be compelled to seek judicial relief against
the other, the losing party shall pay an amount of One Hundred (100) % of the amount clamed in the
complaint as attorney's fees which shall in no case be less than P50,000.00 pesos in addition to other
cost and damages which the said party may be entitled to under the law.

12. This CONTRACT OF LEASE shall be valid and binding between the parties, their successors-in-interest
and assigns.

Cosmic Space Café’s revenue for the first year is ₱66,730,000 and the cost of goods
sold is ₱7,022,400 which makes the gross profit of ₱59,707,600. The total operating expenses
both variable and fixed costs is ₱8,767,254 so our operating profit becomes ₱50,940,346. Our
income before taxes is ₱57,962,746 and the taxes is ₱1,744,854 which makes our net income
₱56,217,892.
