4. Một bên không thế thực hiện các nghĩa vụ theo hợp đồng này sẽ ngay lập tức phải thông báo cho
bên kia thời gian bắt đầu và kết thúc những sự việc ngăn cản việc thực hiện nghĩa vụ của mình.
Ans: If either party fails to perform its obligation under this Contract, this party shall immediately
notify the other party of the time of commencement and termination of the circumstances
preventing such performance.

của các bên theo Hợp đồng này như, cháy, tình trạng đóng băng, thiên tai, chiến tranh, hoạt động
quân sự, cấm nhập khẩu hay bất kỳ một tình trạng nào đó nằm ngoài sự kiểm soát hợp lý của các
bên, thì thời gian quy định cho việc thực hiện nghĩa vụ đó sẽ được gia hạn một khoảng thời gian
bằng với khoảng thời gian mà tình trạng đó kéo dài.

by the Parties under this Contracts, namely, fire, freezing conditions, natural disasters, war, military
actions, import ban or any circumstance beyond their reasonable control, the fulfillment of the

7. Trong vòng 05 ngày sau khi xảy ra sự cố Bất khả kháng, Bên gặp Bất khả kháng sẽ phải thông
báo cho bên kia bằng fax và trong vòng 15 ngày sẽ gửi cho bên kia xác nhận chính thức bằng văn
bản do cơ quan chức năng có thẩm quyền cấp.

8. Nếu hàng hóa được giao tại cơ sở của người Bán, rủi ro tổn thất hàng hóa sẽ được chuyển sang
cho người Mua tại thời điểm người Bán thông báo cho người mua rằng hàng đã sẵn sàng để giao.
Trong trường hợp, hàng được giao tại chỗ khác thay vì tại cơ sở của người bán thì rủi ro sẽ được
chuyển giao tại thời điểm giao hàng.
Ans: Risks of damage to or loss of the Goods shall pass to the Buyer In case of Goods to be
delivered at the Seller’s premises, at the time when the Seller notifies the Buyer that the Goods are
available for dispatch or in case of Goods to be delivered otherwise than at the Seller’s premises, at

11. Bất cứ hàng hóa nào đều được đóng gói theo cách đóng gói thông thường của người Bán. Nếu
hàng hóa được đóng gói khác với cách thông thường của người bán theo yêu cầu của người Mua thì
người Mua và người Bán phải thỏa thuận riêng bằng văn bản. Trong trường hợp này, người Mua
phải chịu chi phí đóng gói phát sinh, trừ khi có thỏa thuận khác bằng văn bản.
Ans: Any goods shall be packed according to the Seller’s standard packaging practices. If goods
are packed in a way that differs from the Seller’s customary packing practices, they shall be agreed
upon separately in writing by the Buyer and the Seller. To such case, the Buyer shall bear any
additional packaging costs, unless otherwise agreed in writing.

12. Việc giao hàng được coi là hoàn thành khi hàng hóa thuộc quyền định đoạt của người chuyên
chở hoặc một người khác do người mua chỉ định.
Ans: Delivery of the Goods shall be deemed complete when the cargos are at the disposal of the
Carrier or another assigned by the Buyer.

13. Người Bán không có trách nhiệm, có thể trì hoãn thực hiện hoặc hủy Hợp đồng này vì lý do Bất
khả kháng hoặc các sự kiện nằm ngoài tầm kiểm soát của Người Bán, bao gồm nhưng không giới
hạn ở đình công, thiên tai, bất ổn chính trị, cấm vận, không có nguồn cung, hoặc thương vong.

Ans: The Seller may, without liability, delay performance or cancel this Contract on account of
force majeure events or other circumstances beyond its control, including but not limited to strikes,
acts of God, political unrest, embargo, failure of source of supply/ no supplies, or casualty.

14. Trừ khi có thỏa thuận rõ ràng khác, giao hàng sẽ được thực hiện theo điều khoản FCA từ trụ sở
của Công ty. Sự diễn giải các điều khoản giao hàng sẽ được điều chỉnh bởi phiên bản Incoterms do
Phòng Thươmg Mại quốc tế công bố, phiên bản mới nhất tại thời điểm ký kết hợp đồng.
