MEMORANDUM OF AGREEMENT

KNOW ALL BY MEN BY THESE PRESENT:

ALFREDO C. NASTOR, legal age, Filipino and a resident of 719 Rizal Street, Barangay
San Roque Alangalang Leyte, herein after referred to as the BROKER/FIRST PARTY.

Hereinafter referred to as the LANDOWNER/SECOND PARTY.

WITNESSETH

WHEREAS, the SECOND PARTY is the owner of its legal representative by virtue of the Special
Power of Attorney attached and with an area of ________________________Situated at
_________________________which is subject to be rented by DITO TELECOMMUNITY CORPORATION
for a period of Thirty (30) years.

WHEREAS, the FIRST PARTY offers his professional services to the SECOND PARTY to negotiate
with DITO TELECOMMUNITY CORPORATION to comply all necessary documents as required for
the above-stated transactions and shall conform the following terms conditions set forth below:

1. That the SECOND PARTY shall agree to voluntary give COMMISION in the amount of ONE
MILLION SIX HUNDRED SEVENTY THOUSAND (1,670,000.00) and shall be distributed in the
following manner a) legal department 25%. b) Sales and Marketing Department. 25% c)
Accounting Department 25% d) broker 25%.
2. That the payment shall be given by the SECOND PARTY to the FIRST PARTY right after the
encashment of the check.
