SPECIAL POWER OF ATTORNEY/EXCLUSIVE AUTHORITY TO SELL

KNOW ALL MEN BY THESE PRESENTS:

WE, ORLANDO M. SILVA, Filipino, of legal age, married to _________________________,


and a resident of Brgy. 7, Lipa City, BERNICE M. SILVA, Filipino, of legal age, married to
_________________________, and a resident of Brgy. 7, Lipa City, and MONINA M. SILVA,
Filipino, of legal age, married to __________________________, and a resident of Brgy. 7, Lipa
City, by these presents do hereby NAME, CONSTITUTE and APPOINT DANILO M.
MERCADO, Filipino, married, of legal age, and a resident of 430 Sinagtala Subdivision,
Barangay 7, Lipa City, Batangas, to be our true and lawful Attorney-in-fact, for us and in our
name, place and stead and for our own use and benefit, to do and perform all or any of the
following acts and things;

a. To negotiate on our behalf, sell, transfer and convey the property we own and covered by
TCT No. T-70222 at the price of at least Two Thousand Five Hundred Pesos per square
meter (P2500.00 per sq. m.) to LIMA LAND, INC., with the technical specifications of
the said property being as follows:

Area : 5,822 sq. m.

b. To sign, execute, and deliver the necessary Contract to Sell and Deed of Sale on our
behalf, including any and all documents that may be necessary or required thereto;

c. To receive the proceeds of the sale, either in cash or in check and to pay the Real
Property Taxes, if any;

d. To perform all other acts necessary to give effect to the foregoing.

HEREBY GIVING AND GRANTING unto our said Attorney-in-fact full power and authority
whatsoever requisite or necessary or proper to be done in and about the premises as fully to all
intents and purposes as we might or could do if personally present, and HEREBY RATIFYING
AND CONFIRMING all that our said Attorney-in-fact shall lawfully do or cause to be done
under and by virtue of those presents.

AUTHORITY TO SELL

and a resident of Brgy. 7, Lipa City, BERNICE M. SILVA, Filipino, of legal age, married to
_________________________, and a resident of Brgy. 7, Lipa City, and MONINA M. SILVA,
Filipino, of legal age, married to __________________________, and a resident of Brgy. 7, Lipa
City hereby authorize DANILO M. MERCADO To negotiate on our behalf, sell, transfer and
convey the property we own and covered by TCT No. T-70222 at the price of at least Two
Thousand Five Hundred Pesos per square meter (P2500.00 per sq. m.) to LIMA LAND, INC.,
with the technical specifications of the said property being as follows:

Area : 5,822 sq. m.
Other Terms:

a. The principals shall shoulder the Real Property Taxes and Broker’s Commission.
b. Any amount in additional to the preferred price of P2,500 per square meters shall be in
favor of Danilo M. Mercado which shall answer for any incidental expenses relative to
the proposed sale;
c. In case Danilo M. Mercado was able to sell the property at the price of exactly P2,500.00
per square meter, the principal shall be responsible for a commission of 5% of the total
selling price which shall immediately be given to the former. In case the sale is made in
an installment basis, the commission shall also be given in a pro rata basis;
d. Danilo M. Mercado warrants that he is the only person authorized to deal/negotiate with
Lima Land, Inc;
e. Danilo M. Mercado, however, is authorized to deal with other potential buyers in case a
better deal is on the table;
f. The principals likewise undertake to provide Danilo M. Mercado all the necessary
documents in the conduct of the sale of the property;
g. Danilo M. Mercado is hereby given the authority to transact with government offices,
both national and local, incidental to the proposed sale of the above-mentioned property.
h. When another Authority to Sell is provided to the proposed buyer as a requirement for
marketing purposes, and in case of conflict between the provisions of such Authority to
Sell and this Authority to Sell, the latter shall prevail.
