1  PREAMBLE  ‫ تمھيد‬1
  Saudi  Arabian  Mining  Company  (Ma'aden)  is  ("‫تلتزم شركة التعدين العربية السعودية )"معادن‬
committed  to  the  highest  ethical  and  legal  .‫بأعلى المعايير األخالقية والقانونية في تسيير أعمالھا‬
standards in the manner in which we conduct our 
business.  Ma'aden  expects  and  requires  that    all

parties  who    are  doing  business  with  Ma'aden   ‫ والموافقة على االلتزام‬،‫التجارية معھا اإلقرار‬

Supplier  Code  of  Ethics  and  Conduct  and  the  .(‫)القواعد‬
Ma’aden Code of Conduct (collectively  referred to 
herein as the "Code").

The Code applies to all parties who provide  goods   .("‫)ويشار إليھم إجماالً باسم "معادن‬
or  services  to  Ma’aden,    its  subsidiaries,  affiliates, 
divisions  and  operating  entities,  (collectively 
referred to herein as "Ma'aden").   
 
2  LEGAL COMPLIANCE  ‫االلتزام القانوني‬ 2
2‐1  Ma'aden's  suppliers,  vendors,  service  providers  ‫ ومقدمي‬،‫ والبائعين‬،‫يلتزم موردي شركة معادن‬ 1-2
and  contractors  including  their  respective  ‫ والمقاولين من‬،‫ والمقاولين‬،‫ والمصنعين‬،‫الخدمات‬
employees  (in  relation  to  the  contract  with  ‫الباطن ويشمل ذلك موظفيھم ووكالئھم‬
Ma’aden)  and  agents  (collectively  referred  to  ‫ في جميع األنشطة التجارية المتعلقة‬،("‫)"الموردين‬

3  ETHICS  ‫األخالق‬ 3
  Suppliers  are  to  uphold  the  highest  standards  of  ‫يلتزم الموردون بالحفاظ على أعلى المعايير‬
ethics including:

A  Conflict of Interest ‫تعارض المصالح‬ ‫أ‬
  ‫ال يقوم الموردين بالدخول في أي عقد أو اتفاقية أو‬
Suppliers  shall  not  enter  into  a  contract  or 
‫يتحملوا أي التزام من شأنه أن يعارض بأي شكل من‬
agreement or assume an obligation that will, in any 
manner, interfere or represent a conflict of interest  ‫ أو يمثل تعارض للمصالح مع مھامھم‬،‫األشكال‬

favors, discounts.   

B  Bribery and Anti‐Corruption  ‫الرشوة ومكافحة الفساد‬ ‫ب‬

all business interactions. Suppliers shall abide by all

  Suppliers shall not offer to any Ma'aden employee  ‫ أن يقدم ألي‬،‫ أو ممثليه أو موظفيه‬،‫ال يجوز ألي مورد‬ ‫ج‬

C  Gifts  ‫الھدايا‬

Depending  on  their  size,  frequency  and  the 
circumstances  in  which  they  are  given,  gifts  or

Ma'aden employees are allowed  to give or accept  ‫ على أالﱠ تزيد القيمة السوقية لھا في‬،‫على معاملة تفضيلية‬
modest gifts or entertainment (which are provided 
or given with no intention of gaining favor).  Such  ‫ ﷼ سعودي )ألف‬1.000 ‫أي حال من األحوال عن‬
gifts  must  have  a  market  value  under  SAR  1,000  ‫﷼ سعودي أو ما يعادلھا( )في المجمل( وأالﱠ يتم تقديمھا‬
(one  thousand  Saudi  Riyals)  in  aggregate  in  any  ‫ يتوجب على المورد‬.‫أو إعطائھا على أساس متكرر‬
financial    year.  Gifts  must  not  be    given  on  a 
frequent or recurring basis.

Any  gifts  and  entertainment  offered  during  the  .‫قيمتھا المالية تعتبر ممنوعة وتخالف ھذه القواعد‬
contract  bidding  and  negotiation  phases, 
regardless  of  the  value,  are  prohibited  and  are 
considered as a violation of this Code. 
 
 
D  Intellectual Property  ‫الحقوق الفكرية‬ ‫و‬
Intellectual  property  rights  are  to  be  respected;

E  Anti‐Trust  ‫مكافحة االحتكار‬ ‫ز‬

Anti‐Trust  and  believes  that  the  highest  standards

of fair business and competition are to be upheld. 
Suppliers  shall  not  engage  in  collusive  bidding,  ‫ ويجب أن تتوفر الوسائل المناسبة‬.‫والمنافسة العادلة‬
price  fixing,  price  discrimination  or  other  unfair  ‫ وأن ال يقوم الموردين‬.‫لحماية معلومات العمالء‬
trade  practices  in  violation  of  antitrust  laws  and  ‫ والتمييز‬،‫ وتثبيت األسعار‬،‫بالتواطؤ في تقديم العطاءات‬

F  Document Retention  ‫االحتفاظ بالوثائق‬ ‫ح‬

Suppliers  are  to  keep  records  of  their  business  ‫الموردين مطالبين باالحتفاظ بالوثائق لمدة ال تقل عن‬
dealings  with Ma’aden for a period of 10 years or  ً‫عشر سنوات أو بحسب المدة المنصوص عليھا صراحة‬
for  a  period    explicitly  stated  in  the  contract  with

G  Insider Trading  ‫ك التداول بنا ًء على معلومة داخلية‬
Due to the nature of their contract with Ma’aden,  ‫قد يكون بعض الموردين مطلعين على معلومات سرية‬
Suppliers,  from  time  to  time,  may  be  privy  to 
information that is not publicly available that may 
‫ وھذه المعلومات قد يكون لھا‬،‫غير معلن عنھا للجميع‬
affect  the  price  of  Ma’aden’s  publicly  traded  ‫ لذلك فأن‬.‫أثر على سعر السھم المتداول في السوق‬

For  the  purposes  of  this  Code,  "Insider 
Information" is defined as information obtained by

4  ENVIRONMENT, HEALTH AND SAFETY PRACTICES  :‫ممارسات الصحة والسالمة والبيئية‬ 4
4‐1  Suppliers will conduct their business in compliance  ‫يلتزم الموردون بإجراء أعمالھم وفقا لقوانين ولوائح‬ 1-4
  with the applicable environment, health and safety  ‫الصحة والسالمة والبيئة وسياسات ومعايير شركة‬
(“EHS”)  laws  and  regulations  in  the  country  and 
jurisdiction  in  which  they  operate  and  must  also

abide  by  all  applicable  Ma'aden  EHS  policies  and 
standards.  
 
  Suppliers  will  ordinarily  be  provided  with  the  ‫سيتم تزويد الموردين بالسياسات ذات العالقة بالصحة‬

  Suppliers  must  uphold  the  basic  human  rights  of  ‫يجب على الموردين احترام حقوق اإلنسان الخاصة‬

respect and promote equal opportunities  and fair

Suppliers shall not discriminate against any worker

B  Harassment   ‫التحرش‬ ‫ب‬
Suppliers  acknowledge  that  insulting,  harassing  or  ‫يقر الموردين بأن سلوك اإلھانة أو المضايقة أو‬
offensive conduct is unacceptable, whether verbal, 
physical  or  visual.  Examples  include  derogatory

comments based on racial or ethnic characteristics,  ‫ ويشمل ذلك على سبيل المثال التعليقات‬.‫المرئي‬
sexual  harassment,   sexual  abuse,  corporal  ،‫المھينة العنصرية او القائمة على أساس عرقي‬
punishment,  mental  coercion,  physical  coercion,  ‫ والعقاب البدني أو القسر‬،‫والتحرش واالعتداء الجنسي‬
religious beliefs or deprecating remarks concerning  ‫ واإلكراه البدني أو المعتقدات الدينية أو‬،‫المعنوي‬
a person's disability. Threats or acts of violence or 
physical  intimidation  are  prohibited,  as  is

retaliatory treatment in response to any complaint  ‫العنف أو الترھيب الجسدي باعتباره كوسيلة انتقام‬

C  Minimum Wages  ‫الحد األدنى لألجور‬ ‫ج‬
Suppliers  must  compensate  their  workers  in  line  ‫يلتزم الموردين بتعويض العاملين بما يتماشى مع‬
with all applicable local wage laws and regulations, 
including  those  relating  to  minimum  wages,
