EMPLOYMENT CONTRACT IAMHE BUSTOS

KNOWN ALL MEN BY THESE PRESENTS:

This Contract of Probationary Employment is entered into by and between:

ZAGANA INC., a domestic corporation duly organized and registered with the laws of the
Republic of the Philippines, with principal place of business at 3rd Floor Rear Side Ablaza
Building, 117 E. Rodriguez Sr. Avenue, Tatalon, Quezon City, as herein represented by its CEO
MR. JOSHUA ARAGON, hereafter known as EMPLOYER;

- and -

IAMHE BUSTOS, of legal age, and a resident of 62 Dagupan St., Brgy. Paraiso, S.F.D.M.,
Q.C., hereinafter known as the EMPLOYEE.

P 20,000 / month

SCOPE OF WORK
The ability of the Supply and Logistics Coordinator is to successfully plan, manage and oversee
the effective and efficient supply chain management of goods and services for ZAGANA though
procurement, Logistics and operations management driven by data manipulation and anomaly-
based analytics. Cuts costs and improves efficiency through effective management, strategic
scheduling and streamlined operations.

Summary of key functions/accountabilities:

1. Development of Logistics and Supply chain strategies, work processes and SOPs.

2. Procurement planning and implementation of warehouse-related supplies including spend


analysis, contract management, market assessment to ensure sustainability while
diversifying supplier base and gaurantee best value of money.

3. Logistics management (pipeline monitoring, warehousing, in coutry distribution -


distribution network design, fleet scheduling, load optimization and goods in transit
tracking, fleet management including fuels/lubricants/parts, workshop administration,
acquisition and disposals and personnel involed)

4. In house and Partner capacity building procurement and Logistics to ensure compliance
to rules and procedures and acceptable practices

5. Team management including recruitment, performance appraisals, coaching and training


to enhance performance and prepare individuals for increased responsibilities

6. Audit of implementing partners and lead in house audit preparations

WITNESSETH THAT:

1. DATE OF COMMENCEMENT. The effectivity of this Contract shall be on December


26, 2020.
2. WORKING SCHEDULE AND PLACE OF POSTING. The Employee shall report for
work for 6 days a week (equivalent to a minimum of 48 hrs). The Employee is directed
to report at 3rd Floor Rear Side Ablaza Building, 117 E. Rodriguez Sr. Avenue,
Tatalon, Quezon City. However, the Employee agrees to be assigned to another
department, section, branch, etc., anywhere in the Philippines when the exigencies of
business require or when required by the project secured by the Employer

3. EMPLOYMENT STATUS. The Employee shall be under a probationary period for


SIX (6) months commencing from the date specified on Paragraph 1. During such time,
the Employee shall perform tasks and services as indicated in the job description of the
Employee's designation and shall comply with the policies that the Employer has set for
all its employees.

4. WORK DESCRIPTION. The Employee being a Supplies & Logistics Coordinator


shall perform the duties and responsibilities in accordance with the job description
attached with this Contract. APPENDIX 1

5. EVALUATION. On the Second (2nd) and Fifth (5th) month of the Employee's
probationary period, the Employee shall be evaluated in accordance with the standards
laid down by the Employer to determine if the Employee meets the requirement to
become a regular employee.

The standards for evaluation, which are made known to the Employee, shall be the following:

o Knowledge of work;

o Efficiency;

o Productivity;

o Quality of work;

o Initiative;

o Interpersonal relationship;

o Attendance and Punctuality

o Professionalism.
6. REGULAR STATUS. If the Employee passes all evaluations, the Employee shall be
deemed a regular employee after the expiration of the six-month period or upon fixing
signatures of both parties in a Regularization Contract, whichever comes first.

7. SALARY AND BENEFITS. The Employee's gross monthly compensation shall be


PESOS: TWENTY THOUSAND PESOS ONLY (PhP 20,000.00 ), subject to all
withholdings required by law. The Employee's compensation shall be payable semi-
monthly, every 3rd and 18th day of a calendar month.

The EMPLOYEE is also entitled to the following benefit:

o Laptop (provided by the company);

Since the Employee is under probation, the Employee is not entitled to any vacation or sick
leaves nor to any other benefit that may hereafter be granted to regular employees except those
which the Employer, as a matter of policy and discretion, extends to all employees regardless of
employment status.

Rest assured however that the Employee shall receive other benefits provided by law subject to
compliance with the requirements and guidelines stated therein.

8. MEDICAL EXAMINATION / PRE-EMPLOYMENT REQUIREMENTS

Your employment is subject to the satisfactory result of the medical examination by the company
appointed medical diagnostic clinic. Cost of this private medical examination shall by solely the
employee's responsibility.

Prior to your Orientation Seminar with your respective department, you must complete the
following pre-employment requirements:

o Duly accomplished Personal Data Sheet (201 File)

o (2) pcs 2x2 colored picture

o (2) pcs of 1x1 colored picture

o Photocopy of SSS Card/E1 Form

o NBI Clearance (For Local Employment)

o Medical Examination Results

o Police Clearance
o Health Certificate from the Loca Health Office

o Philhealth Number

o TIN

o Pag-ibig Number

o Clearance from previous immediate employer/agency

o Other requirements/clearances as ZAGANA INC may deem necessary

9. COMMUNICATION TOOLS

The Employee agrees not to use any communication tools and accounts that has been provided
by the Company for personal use within or outside work premises, during or after working hours.
The Company reserve the right to moniotor all incoming and outgoing messages from these
communication tools and to issue a penalty of a maximum of three-day suspension without pay
in case the Employee has been caught to break this agreement.

10. CONFIDENTIALITY CLAUSE

The Employee agrees and warrants that it shall keep confidential any tangible or intangible form
of information data, procedures, specifications, layout designs, design materials, diagrams,
source codes, studies, algorithms, or any techniques, which may be learned, acquired, or gained
access to, which belongs to the Company in the course of her employment and shall only use
these information as authorized by the Company in order to perform its duties as an employee.

The Employee agrees not to disclose or reveal to any person, firm or corporation, any proprietary
information concerning the business, operations, processes, plans, strategies, accounts, technical,
financial or market information, whether or not labeled as "Confidential" or "Trade Secrets",
which is not generally available to the public and that gives an advantage to the one who have
learned or gained access to it.

All confidential information must be returned to the Company or destroyed upon termination of
this Contract or as requested by the Company.

This non-disclosure agreement and secrecy protection shall continue even after the effectivity of
this Contract.

11. NON-COMPETE COVENANT

The Employee shall not engage into employment, negotations, transition or any agreement
whatsover with other companies or individual in the industry that is directly or indirectly
competing with the Company and shall set aside any obligation which may be in conflict of
interest during her term as an employee of the Company and for a period of one year after this
Contract has been terminated, regardless of the reason for such termination.

12. OWNERSHIP CLAUSE

The Employee shall not obtain rights to any form of information, data, access credentials,
materials, diagrams, layouts, source codes, and documentation otherwise utlitized or provided by
the Company in order for the Employee to perform her duties.

All Intellectual Property Rights in and to any software, application, website, documentation,
diagrams, drawings, data, product, and information produced by the Employee during her
employment term shalle be a property of the Company. The Employee hereby assigns to the
Company absolutely its whole right, title and interest, present and future in and to such
Intellectual Property Rights free from all liens, charges and encumbrances.

The Employee will, at the Company's request and expense, undertake and execute all acts, deeds,
documents and steps necessary to effectively vest such Intellectual Property Rights and will, at
the Company's request and expense, provide the Company with all reasonable assistance
required.

The provisions and requirements of this clause will survive the expiration or termination of this
Contract.

13. POLICIES. The Employee agrees to abide by the rules, regulations and policies issued
by the Employer (including, but not limited to, Annex A which is attached hereto), as the
same may be amended from time to time, and the Employee further agrees, in case of any
violations thereof, to the disciplinary sanctions, suspensions, reprimands and dismissal
contained therein.

In addition, the Employee acknowledges and agrees that the Employee may be preventively
suspended by the Employer should the latter find that the former's continued employment poses
a serious and imminent threat to the life and/or property of the Employer, including the latter's
directors and officers and/or the life and/or property of other employees.

14. DISCIPLINARY ACTION. The Employer shall inform the Employee of any violations
of the company's rules and regulations that the Employee may commit in accordance with
the price set out in the Company Handbook.

15. VOLUNTARY RESIGNATION.


Should an employee decide to sever his employment for any reason whatsoever, he shall give a
written notice of his resignation at least 30 days before the effectively date of the resignation. In
event that he fails to serve said 30-day notice for any reason whatsoever, the employee agree that
he shall be liable to pay, on or before his last day of work a penalty equivalent to one month's
gross compensation (computed as of the immediately proceeding payroll month).

16. TERMINATION OF CONTRACT.

Notwithstanding paragraph 2 hereof, Employee's employment may be terminated for any of the
just or authorized causes provided by law. Furthermore, it is herein agreed that Employee's
employment may be terminated prior to completion of the agreed probationary period in any of
the following cases:

 Any misrepresentation with respect to previous employment, qualification, educational


attainment, personality or character, medical findings, and/or submission of falsified
documents to which may pose a threat to the health or safety of other employees;

 Failure to attain the required performance rating or unsatisfactory performance during the
probationary period;

 If found to be physically or medically unfit to perform your duties and functions as stated
above;

 Violation or breach of any of the terms and conditions of this contract;

 Intentional or unintentional Violation of Company policies, rules and regulations;

 Your commission of any act or omission, causing or tending to cause any loss or damage
to the Company's properties or business reputation;

 Commission of an act which effects a loss of confidence on the part of the Company with
regard to your ability to satisfactorily perform the duties and requirements of your
position;

 Serious misuse or abuse of the Company's property, facilities and/or resources;

 Intentional or unintentional disregard of the disciplinary measures or sanctions imposed


by the Company;

 Directly or indirectly participating, engaging, and/or entering into personal business


arrangement involving the Company's products and/or services or the products and/or
services of the Company's competitors; and

 Other similar acts or omissions.


Any of the foregoing cases shall be considered as a just cause for termination of employment
under the law. Considering the nature of Employee's employment, the Employee shall not, upon
termination of employment for any of the causes specified in above, be entitled to separation
pay.

Upon termination of employment for any cause, the undertake to turn over to the Company all its
property including equipment, correspondence, documents, records, data software, disks and
other information-storing medium, specifications, models and all copies, summaries notes and
reproductions thereof, and any other property belonging to or relating to the business of the
Company (including but not limited to mobile telephones, credit cards, keys and passes) which
are in your possession or under your control.

17. OTHER TERMS AND CONDITIONS. It is expressly agreed and understood that no
verbal agreements or understandings between you and the Company affecting this
Agreement and that no alterations or variations of the terms hereof shall be binding upon
either party to this agreement unless the same are reduced in writing and signed by you
and the Company.

18. APPLICABLE LAW AND VENUE OF ACTION

This Contract shall be governed by and construed in accordance with the laws of the Republic of
the Philippines, and the parties hereto exressly submit to the jurisdiction of th regional trial court
of Quezon City, Philippines, in all matters relating to this contract.
