SITE OF THE PROJECT EXPRESSWAY AND ROAD
1. The Site
1.3 An inventory of the Site including the land, buildings, structures, road works, trees,
overhead and underground utility services, well, borewell, pipelines, etc. and any
other immovable property on, or attached to, the Site inventory shall be prepared
jointly by the Authority Representative and the Contractor, and such inventory shall
form part of the memorandum referred to in Clause 8.2.1 of this Agreement.
1.4 The alignment plans of the Project Expressway and road are specified in Annex-V. The
proposed profile of the project Expressway and road to be improved shall be followed
by the contractor with minimum FRL as indicated in the alignment plan. The
contractor, however, improves / upgrades the Road Profile as indicated in Annexure-V
based on site / design requirement. In any condition the contractor is not allowed to
deviate from codal provision of various relevant & applicable IRC Codes and Special
Publications and relevant applicable international codes & Publications.
1.5 The status of the environmental clearances obtained or awaited is given in AnnexIII.

Note: - The total ROW given in above table is for the proposed expressway except at

construction of the Access controlled Greenfield Expressway Connector to Hindu
Hrudaysamrat Balasaheb Thackeray Maharashtra Samruddhi Mahamarg from Nagpur to
Chandrapur in the State of Maharashtra on PACKAGE NC - 02 from km 33+300 Lonhar
Tq. Samudrapur Dist. Wardha to km 63+150 Borgaon Deshmuk Tq. Warora Dist.
Chandrapur having length of 29.850 Km as described in this Schedule-B and
Schedule-C
2. Greenfield Expressway

1. Width of Carriageway
The paved carriageway including paved shoulders and edge strips of Four Lane project
Expressway shall be 31m (carriageway width- 2x7.50m, paved shoulders- 2x3.00m,
earthen Shoulder- 2X 2.00 m, edge strip-2x0.75m and Median-4.5m) wide in entire
stretch. The Paved Carriageway for main carriageway shall be as indicated in TCS
schedule of this Schedule B. The paved carriageway in the approaches shall match with
carriageway width on structures.

The design speed shall be of 150 km/hr. The design speed for Ramps shall be a of 70
km/hr.
Acceleration and deceleration lanes proposed for entry/exit ramp on interchanges are
770 m and 280 m respectively.
2. 5 Type of Shoulder
Type of shoulder will be as per paragraph 2.6 of the IRC: SP: 99-2013 and as shown in
para 2.11 of Annexure I of Schedule B.
2.6.1 Minimum Lateral clearance: The width of the opening at the underpasses shall be as
given in para 2.10.3 and 2.10.4 of Annex I of schedule B
Lateral clearance: The width of the opening at the overpasses shall be as mentioned
in para 2.10.5 of Annex 1 of schedule B. B.

diversion of nala for easy flow of water which shall be deemed to be included
in the scope of work.
ii) The above lengths are indicative and minimum specified. The actual lengths
shall be determined by the Contractor in accordance with IRC:SP:99-2023 and
actual site requirements with approval from the Independent Engineer. Any
variations in the length specified in this Clause of Schedule-B shall not
constitute a Change of Scope, save and except any variations in the length
arising out of a Change of Scope expressly undertaken in accordance with the
provisions of Article 16.
iii) The realignment of existing track to the underpass outside the PROW and
connecting roads between consecutive underpasses wherever required as per
plan & profile uploaded with bid document and specified in this schedule shall
be constructed by the Contractor as per site requirement in consultation with
Independent Engineer. Any variations in the length specified in this Clause of
Schedule-B shall not constitute a Change of Scope, save and except any
variations in the length arising out of a Change of Scope expressly undertaken
in accordance with the provisions of Article 13.
Grade separated structures shall be provided as per paragraph 2.13 of the IRC: SP:
99 - 2023. The requisite particulars are given below:

Vertical clearance of VUP, VOP & Flyovers shall be 5.5m, wherever applicable as per
the above table, shall be maintained at between at-grade cross roads at extreme
ends.

The width of elevated structure mentioned is the outer width including crash
barrier.
The width of underpass/LVUP/VUP is clear width excluding the wall thickness. The
width is typical and shall cater to adequate set back distance to ensure stopping
sight distance corresponding to the design speed.
Vertical and Horizontal clearance of ROB shall be provided as per requirement of
the Railway authorities.
The Contractor shall be responsible for obtaining approval of all designs and
drawings from the concerned Railway Authorities, in accordance with relevant
Railway Codes.
Any Changes in GAD, span arrangement or any other features due to
comments/observations or approval of the Indian Railways, Authority Engineer,
Independent Engineer & other agencies shall not be considered as “change in scope
of works”.
Any change in Structure Design arising due to a change of structuring including span
length, skewness of LVUP/VUP/VOP/ROB/Flyovers/ CUP shall not be considered as
change of scope.
The length of Slip Roads/ Service Roads required as per IRC:92-2017 for
Merging/Demerging with Interchange Ramps & grade separators approaches shall be
included in the scope of works of the Contractor.
If structure length is increased due to Skew angle as per site requirement, it shall
not be considered as change of scope.

2.12. 3 Improvement of Minor Junctions at VUP, VOP and LVUP locations with existing
crossroads
All minor junctions as provided in Schedule A need to be improved to integrate
them with the at VUP, VOP and LVUP locations with existing crossroad as per the
requirements of Schedule D.

Cross Drainage Pipe of adequate capacity Class NP4 Pipe shall be provided

2. 13 Pavement Design
Pavement design shall be carried out in accordance with IRC: 58-2015 for Rigid
Pavement.
Type of pavement
Wearing courses of Total 75mm thick laid in layers of comprising dense bituminous
macadam of 50mm and Mastic Asphalt of 25mm shall be provided on all grade
separated structures and bridges.
Design requirements
Design Period and strategy
Rigid pavement for main carriageway and interchange ramps for new pavement shall
be designed for a minimum design period of 30 years. Stage construction shall not be
permitted. The minimum thickness of rigid pavement for shall be 300 mm.
The rigid pavement is proposed for the interchange ramps, toll plaza, connecting
and crossing roads.
Design Traffic
Notwithstanding anything to the contrary contained in this Agreement or the Manual,
the Contractor shall design the pavement for minimum Design traffic of 1971 CVPD
for the main carriageway.
For new rigid pavement of main carriageway, interchange ramps, connecting roads
and cross roads, following minimum thickness in mm of the different layers of rigid
pavement shall be maintained.

Note: Above mentioned pavement thicknesses are minimum. The contractor shall do the
detailed pavement design and adopt design thickness if more than the minimum thickness
provided above. An increase in pavement thickness shall not be considered as a change of
scope.
2. 14 Roadside Drainage
Drainage system including surface and subsurface drains for the Project Highway
shall be provided as per IRC-SP: 42-2014. Detail design of entire drainage
components including the outfall shall be in the scope of works.

Note:
Detail design of outfall arrangement of all the drains is in the scope of
contractor.
Connection to the existing drains, to the proposed culverts & bridges and
connection to the nearest stream/drain/rivers is in the scope of the
contractor.
The drain along all underpasses and their approaches shall be constructed 1.2
m wide RCC covered drain on one side of the service road.
The drains along the interchanges at-grade ramps & elevated ramps and along
the connecting roads are in the scope of the contractor.
The contactor shall perform the detailed design of drains, outfalls, and energy
dissipation structures as per the relevant IRC & IS Codes and shall obtain the
Authority Engineers approvals prior to execution.
The total length of interchange drain includes LHS side, RHS side and Both side.
2. 15 Design Structures
General
All bridges, culverts and structures shall be designed and constructed in accordance
with section 6 of IRC: SP: 99 – 2023 and shall conform to the cross-sectional features
and other details specified therein.
2.15. 1 Culverts

The RCC box culverts shall be constructed as per particulars given in the table
below for full formation width. The length of RCC Box Culverts shall be

2. 17 Roadside Furniture:
Traffic signs include roadside signs, overhead signs, and curb mounted signs along
the entire Project Highway. Roadside furniture shall be provided in accordance with
the provisions of Section 10 of the IRC: SP:99 -2013. Advance Traffic Management
System shall be provided as per Schedule D.
As the Highway is a completely access controlled facility, compound wall is its
integral part to help enforcing of the acquired access rights. Access control extends
to the limits of legal access control on the ramps i.e., along the ramps to the
beginning of the taper on the local road. RCC compound wall shall be provided along
the entire length on either side (including transverse requirements at structure
locations). The expressway signages must be installed in accordance with NHAI
Circular No. RT-25035/07/2023-RS (Part) (221534) Dated 20th July 2023 for

The contractor shall construct pre cast RCC Panel on either of the project highway
for entire length except the crossing length of rivers/stream crossing and road/rail

2. 25 Rainwater Harvesting
Rainwater harvesting system for ground water recharge shall be provided at open
areas within interchange locations of the project highway, in the landscaping areas
and open areas beneath the viaducts. The drainage arrangement of the viaducts
shall be integrated with the rainwater harvesting structures. Suitable rainwater
harvesting structures shall also be provided in the Underpasses to take care of
drainage & prevent flooding. Grading of the landscape and open areas shall be done
to facilitate ground water recharge through the rainwater harvesting system with
due approval of the Authority Engineer. Rainwater harvesting shall be done as per
IRC: SP: 50 – 2023 and as per Ministry Circular no. NHAI/TIC/VIP Ref/ 2012 dated
26th October 2015. 1 Rainwater harvesting pit shall be provided every 500 m of the
Project highway based on Feasibility and in consultation with Authority and Authority
Engineer.
2. 26 Change of Scope
Chainage of Road specified in the Schedule is based on initial assessment .The length
of structures and bridges specified hereinabove shall be treated as an initial
assessment. The actual length of Approaches to structure, tunnels, underpasses,
length of ramp, slip road, service road, RE Wall, retaining wall and length of drains
as required based on detailed investigations shall be determined by the Contractor in
accordance with the Specifications and Standards. Any variations in the lengths
specified in this Schedule B shall not constitute a Change of Scope, save and except
any variations in the length arising out of a Change of Scope expressly undertaken in
accordance with the provisions of Article 13.
2. 28 Utilites
The contractor shall relocate/raise existing utilities obstructing the construction &
operation of the project expressway as per the codal provisions and under the
supervision of respective service providers and in consultation with Authority
Engineer.
LT Electrical Lines obstructing construction & operation of the project expressway shall be
raised/lowered/relocate as pre the codal provisions. The table below shows the locations
of LT lines crossing the project corridor is to be Shifted/Lowering (UG) /Raising as per
respective norms, standards and specification of related Departments.

2. 30 Digital Monitoring
The contractor must engage a competent agency for conducting Aerial survey,
monitoring of all allotted packages for entire construction period which aims to have
digital construction monitoring to track the progress of highway construction site.
This monitoring will utilize combination of GIS and Aerial technology for reporting.
Final useful digital data should be used to visualise on a compatible dashboard which
should be accessible to MSRDC. The digital progress recording shall be done at every
end of every calendar month, of critical and/or major milestones of the project
corridor and as directed by the Authority.
The scope is mentioned below:
1. Conduct an Aerial survey of all packages for creation of Base Map before
construction to make a reference layer.
3. Process the captured raw data into multi-format output as per MSRDC
Guidelines.

Engineer. The toll admin building, and other facilities must interconnect with
walkways & paths designed for fire tender loading as per the National Building
Codes with no extra cost to the Authority.
Traffic signs and pavement markings shall include roadside signs, overhead signs as
per relevant IRC standard including curb mounted signs and road markings along the
Project Expressway. The design and marking for the Project Expressway shall be as
per the design standard indicated in Schedule-D and the location for various
treatments shall be finalized in consultation with the Authority Engineer. Road Studs
shall be provided as per the table
a. Delineators with the latest design at the edges and median side of each
carriageway shall be provided as per IRC 79 - 2019. The lane markings for
all lane lines & edge lines of main carriageways, crossing roads, service
roads and interchange loops & ramps and at junctions shall be provided to
ensure safety of pedestrians & traffic as per IRC 35 -2015.
b. The road studs shall be provided to improve the visibility in night-time and
wet-weather conditions. These shall be prismatic retro-reflective type,
conforming to Clause 804 of ‘Specification for Road and Bridge Works” by
the Ministry of Road Transport & Highways (MORTH) and ASTM D4280-04
shall be referred for technical specifications of road studs.
c. Thrie Metal beam crash barrier (both sides of each carriageway, Separators
- MS Railing shall be provided) Refer Annex-II RCC Crash Barrier Refer
Annex-III , MS Railing of Refer Annex-IV Schedule C.
d. RCC Precast Boundary Wall for the entire length of the road on both sides
as per the drawing given in Annex-V of Schedule C shall be provided. Chain
link fencing as per drawing enclosed in Annex-VI of Schedule C for service
roads wherever required.
e. Traffic Safety Devices, Road Safety Devices and Roadside Furniture shall be
provided as per Section 10 of IRC: SP: 99 -2013.
k. Advance Guide sign gantries shall be provided as per clause 10.2.13 of IRC
SP 99 2023.
l. Rumble strips at appropriate as per good industial practice and past case
studies shall be provided in consultation with Authority Engineer

pathways, parking areas for cars, trucks & ambulance, landscaping, streetlights, high
mast lights, compound wall, water borewells, water fountains & children play areas

The Contractor has to provide & maintain potable drinking water facilities at every
intersection/Toll Plaza during entire contractual & Defect Liability Period for Public
use with sufficient capacity. The Capacity has to be decided in Consult with

The contractor shall install borewells, RO Plant, underground water tank of capacity
100000 Liters, overhead water tanks of capacity 100000 Liters including pumping

The energy connection & consumption charges for operating for water supply system,

H. Toilet Blocks
Separate Toilet Blocks with full facilities for public use shall be provided within the
toll plazas for public access as per NHAI Circular No: NHAI/GM/CMIISBM
Misc/2016/96855 Dated: 20.03.2017. The minimum provisions to be made are as listed
below. The contractor shall obtain approval for the layout of toilet block from
Authority Engineer prior to execution. Any improvements suggested by the Authority
Engineer shall not be considered as a change of scope of work. The details of the
typical toilet block facility are presented in Annex – IX of Schedule C.
Baby sitting and Baby feeding rooms to be provided with all necessary
facilities with prior approval of Authority Engineer.
Proper Walkway of 3.5 m wide with drainage and antiskid paver blocks to be
constructed between MCW and Toilet Block
Note: The above Toilet facility is to be provided in addition to the toilets provided in

J. Telecom System
All necessary hardware, equipment, software, optical fiber cable etc. required for the
Communication System to interconnect Toll Plaza and Ramp Plaza /Toll Booths etc.
are to be provided by the Contractor. The detailed requirements and layout of the
name shall be prepared, and approval obtained from the Authority. Any improvements
suggested by the Authority Engineer shall not be considered as a change of scope of
work.

uniform illumination level of 45 lux and as per Schedule D. IRC: SP:90-2010
and relevant IRC codes using solar power with full alternative power
backup. For at grade pedestrian crossing locations a minimum illumination
level of 50 lux to be provided and for walkways a minimum illumination
level of 20 lux to be provided. For all underpasses/LVUPs/VUP’s a minimum
lux level of 50 shall be provided.
ii. Lighting is also to be provided beneath the elevated corridor
(flyover/ROB/VOP) to illuminate the main carriageway as per Schedule D.
Power backup generator shall be placed at Ground only.
The lighting fittings (with LED features) at above mentioned locations under
“Street Lighting” shall be powered by a solar system with back-up facilities (power
and battery both) throughout the length of the project expressway. The said solar
system at interchange, toll plazas and bridges shall be grid connected whereas the
other places shall be battery backup. The electrical connection with all its
infrastructures shall be done by the contractor at his own cost. Additional battery
backup shall be provided at every location mentioned under “Street Lighting” to
ensure safety of the project expressway by the contractor at his own cost.
The Contractor shall make electrical connections from nearest supply locations
from ROW. It should include service provider connection charges, procurement &
installation of transformers, cables, poles including foundations, brackets &
necessary fixtures & fastenings, lamps, and all electrical installations at his own
cost.
The energy consumption charges for operating the lighting system shall be borne by
the Contractor during construction & entire defect liability.
L. Coordination
Wherever the project road has an interface with other projects (i.e., existing
road/highways or proposed road/highways and rail projects) in its immediate vicinity,
necessary coordination/ with the respective agencies/ contractors of those projects
and merging all necessary civil works is included in the scope of work. The agencies
with whom coordination shall be required may include but not limited to Indian
Railways/NHAI/MORT & H/PWD/ PWD - NH/Irrigation/ Water Resources Department,
Various Electrical Departments, Revenue Authorities, Police Authorities & all other
government department, etc.

future to the Authority without cost to authority.
The contractor shall procure, deploy, operate & maintain the Bridge Inspection
Unit/Machine (BIM) of standard make as directed the authority at his own cost for
checking the health of the bridges & long structures such as flyovers/viaducts & Road
Over Bridges (ROB) during construction & Defects Liability Period. Upon completion of
Defects Liability Period, the contractor shall handover the BIM which is operational &
in good conditions to be operatable in future to the Authority.
The contractor shall procure, deploy, operate & maintain the the following

cost for ensuring the project expressway is operated at the high level of services from
safety, operation & maintenance perspectives during construction & defects Liability

99 Engineer
The Manual of specification and Standards for Expressways (IRC: SP:99-2023) provides the
required guidelines for expressways of design speed 120 kmph in plain and 100 kmph in
rolling terrain. However, the design speed of Nagpur-Chandrapur Expressway is expected
to be 150 kmph. ıt would require certain deviations from IRC: SP:99-2023 specified design
parameters to accommodate the higher design speed. These deviations are as follows:
The Expressway should be designed for 150 kmph in plain and rolling terrain. However, for
hilly/mountainous terrain, lower design speed consistent with the topography may be
considered with prior approval. Adequate signage and other traffic engineering measures
should be adopted at the transition sections to make road users aware of the change.
There is no deviation in the width and construction specification of the edge strip. However,
an additional 1.25 m stabilized granular shoulder may be considered on the median side for
safe stoppage of vehicles travelling in the right most lane during emergency.
In addition to the details provided in the IRC SP: 99-2013, sections with different median
widths should have harmonious transition. A parabolic transition is preferred over the linear
transition. The transition rate of 1 in 75 may be adopted for this purpose. It may be developed
using the equations given below:

x is the interval along length of road (say, every 5 m) and varies from 0 to T/R (m). Tx is the
transition at x m interval.
In addition to the details provided in the IRC: SP:99-2023, following particulars may be
adopted:
Short straight sections (typically less than 400m) between two curve sections in the same
direction shall be avoided. It would help to mitigate the effect of broken back curve
configuration.
Maximum length of straight or tangent section is recommended to be 2500 m. It would help
to break monotony in driving.
Alignments with larger transition and circular curves flanked by longer straight or tangent
section on either side of the curve section should be preferred while developing the
alignment.
For design speed of 150 kmph, the desirable minimum radius shall be 2000 m, and absolute
minimum radius in unavoidable circumstances shall be 1050 m, the minimum radius shall be
measured for the center of innermost lane of the carriageway.
Further, horizontal curves should not be too short,
For design speed of 150 kmph, the minimum transition curve length should be 180 m.
The transition curve shall be equally distributed between tangent and curved section.
The table below (Table 1) provides the safe stopping sight distance and desirable minimum
sight distance (i.e., Intermediate sight distance) for various downward gradients. Sight
distances for 0% gradient may be adopted for upward gradients.

rural sections through which the expressway is expected to pass. For a design speed of 150
kmph, the minimum decision sight distance of 470 m may be recommended for rural areas,
540 m for suburban areas and 610 m for urban areas.
In addition to the details provided in the IRC: SP: 99-2013, the following particulars may be
adopted.
If the vertical gradient exceeds 3%, appropriate limits on the maximum length of longitudinal
section may be considered after field studies. It would depend on the maximum desired speed
drop of heavy vehicles and the adopted gradient.
Separate climbing lanes may be considered for longer stretches of roadway with steeper
gradients. In these sections, it is expected that heavier vehicles would considerably slow
down. The length of the stretch and its gradient may be ascertained from field studies.
Minimum longitudinal gradient on bridges and tunnels may be considered for drainage.
It is advisable to provide emergency escape ramps on hilly terrain where the alignment
has longer sections with steep downward gradient. Such ramps may be placed preferably
before any sharp horizontal curve.
There is no deviation in the minimum, ruling and limiting gradients for design speed of 150
kmph. However, the minimum longitudinal gradient shall be ascertained at sections where
consecutive horizontal curves in opposite direction are expected with zero crossfall in-
between. Further, vertical curve is not required for minimum grade change of 0.5%. However,
when provided, vertical curves with minimum length of 130 m should be considered.
In addition to the details provided in the IRC:S: 99-2013, following particulars may be
adopted:
Avoid short sags between two straights or shoFt straights between sags.
Tangent length in horizontal and vertical alignments shall be equal.
Avoid flat, straight-board effect (especially on bridges)
Disjointed effect (bottom of a horizontal curve hidden due to preceding sag-curve) should
be avoided.
The acceleration lane length depends on vehicle speed at the entry point of the ramp,
prevailing vehicle speed in the adjacent lane of the expressway and acceleration rate.
Whereas the deceleration lane length depends on the vehicle speed at the time of entering
the ramp, minimum vehicle speed at the end of the ramp and deceleration rate. The
acceleration and deceleration rate varies with vehicle speed and depends on its engine
characteristics. Considering the acceleration/deceleration and speed characteristics of
vehicles adopted in USA, the estimated acceleration and deceleration lane length are as
follows:

The left most lane is generally occupied by slow moving heavy vehicles traveling at 80 kmph
or less speed. In this case, the acceleration lane lengths based on the prevailing vehicle speed

MAINTENANCE REQUIREMENTS
1.0 The Contractor shall always maintain the Project Highway in accordance with the
provisions of this Agreement, Applicable Laws, and Applicable Permits.
The Contractor shall repair or rectify any Defect or deficiency set forth in Paragraph 2 of
this Schedule-E within the time limit specified therein and any failure in this behalf shall
constitute non-fulfilment of the Maintenance obligations by the Contractor. Upon
occurrence of any breach hereunder, the Authority shall be entitled to effect reduction in
monthly lump sum payment as set forth in Clause 14.6 of this Agreement, without
prejudice to the rights of the Authority under this Agreement, including Termination
thereof.
1.1 All Materials, works and construction operations shall conform to the MORTH
Specifications for Road and Bridge Works, and the relevant IRC publications. Where the
specifications for a work are not given, Good Industry Practice shall be adopted.
In respect of any Defect or deficiency not specified in Annex - I of this Schedule-E, the
Authority’s Engineer may, in conformity with Good Industry Practice, specify the
permissible limit of deviation or deterioration with reference to the Specifications and
Standards, and any deviation or deterioration beyond the permissible limit shall be
repaired or rectified by the Contractor within the time limit specified by the Authority’s
Engineer.
Notwithstanding anything to the contrary specified in this Schedule-E, if the nature and
extent of any Defect or deficiency justifies more time for its repair or rectification than the
time specified herein, the Contractor shall be entitled to additional time in conformity with
Good Industry Practice. Such additional time shall be determined by the Authority’s
Engineer and conveyed to the Contractor and the Authority with reasons thereof.
Notwithstanding anything to the contrary contained in this Schedule-E, if any Defect, deficiency,
or deterioration in the Project Highway poses a hazard to safety or risk of damage to property,
the Contractor shall promptly take all reasonable measures for eliminating or minimizing such
danger.
The Contractor shall, through its engineer, undertake a daily visual inspection of the Project
Highway and maintain a record thereof in a register to be kept in such form and manner as the
Authority’s Engineer may specify. Such record shall be kept in safe custody of the Contractor and
shall be open to inspection by the Authority and the Authority’s Engineer at any time during
office hours.
The Contractor shall carry out a detailed pre-monsoon inspection of all bridges, culverts, and
drainage system before [1st June] every year in accordance with the guidelines contained in IRC:
SP35. Report of this inspection together with details of proposed maintenance works as
required on the basis of this inspection shall be sent to the Authority’s Engineer before the
[10th June] every year. The Contractor shall complete the required repairs before the onset of
the monsoon and send to the Authority’s Engineer a compliance report. Post monsoon inspection
shall be done by the [30th September] and the inspection report together with details of any
damages observed and proposed action to remedy the same shall be sent to the Authority’s
Engineer.
All damages occurring to the Project Highway on account of a Force Majeure Event or default, or
neglect of the Authority shall be undertaken by the Authority at its own cost. The Authority may
instruct the Contractor to undertake the repairs at the rates agreed between the Parties.

and without any demur, reservation, recourse, contest or protest, and without any
reference to the Contractor, such sum or sums up to an aggregate sum of the Guarantee
Amount as the Authority shall claim, without the Authority being required to prove or to
show grounds or reasons for its demand and/or for the sum specified therein.
2. A letter from the Authority, under the hand of an officer not below the rank of [Chief
Engineer of MSRDC, Maharashtra], that the Contractor has committed default in the due
and faithful performance of all or any of its obligations under and in accordance with the
Agreement shall be conclusive, final and binding on the Bank. The Bank further agrees
that the Authority shall be the sole judge as to whether the Contractor is in default in due
and faithful performance of its obligations during and under the Agreement and its
decision that the Contractor is in default shall be final and binding on the Bank,
notwithstanding any differences between the Authority and the Contractor, or any
dispute between them pending before any court, tribunal, arbitrators or any other
authority or body, or by the discharge of the Contractor for any reason whatsoever.
3. In order to give effect to this Guarantee, the Authority shall be entitled to act as if the
Banks were the principal debtor and any change in the constitution of the Contractor
and/or the Bank, whether by their absorption with any other body or corporation or
otherwise, shall not in any way or manner affect the liability or obligation of the Bank
under this Guarantee.
4. It shall not be necessary, and the Bank hereby waives any necessity for the Authority to
proceed against the Contractor before presenting to the Bank its demand under this
Guarantee.
5. The Authority shall have the liberty, without affecting in any manner the liability of the
Bank under this Guarantee, to vary at any time, the terms and conditions of the
Agreement or to extend the time or period for the compliance with, fulfilment and/ or
performance of all or any of the obligations of the Contractor contained in the Agreement
or to postpone for any time, and from time to time, any of the rights and powers
exercisable by the Authority against the Contractor, and either to enforce or forbear from
enforcing any of the terms and conditions contained in the Agreement and/or the
securities available to the Authority, and the Bank shall not be released from its liability
and obligation under these presents by any exercise by the Authority of the liberty with
reference to the matters aforesaid or by reason of time being given to the Contractor or
any other forbearance, indulgence, act or omission on the part of the Authority or of any
other matter or thing whatsoever which under any law relating to sureties and guarantors
would but for this provision have the effect of releasing the Bank from its liability and
obligation under this Guarantee and the Bank hereby waives all of its rights under any
such law.
6. This Guarantee is in addition to and not in substitution of any other guarantee or security
now or which may hereafter be held by the Authority in respect of or relating to the
Agreement or for the fulfilment, compliance and/or performance of all or any of the
obligations of the Contractor under the Agreement.
7. Notwithstanding anything contained hereinbefore, the liability of the Bank under this
Guarantee is restricted to the Guarantee Amount and this Guarantee will remain in force
for the period specified in paragraph 8 below and unless a demand or claim in writing is
made by the Authority on the Bank under this Guarantee all rights of the Authority under
this Guarantee shall be forfeited and the Bank shall be relieved from its liabilities
hereunder.
8. The Guarantee shall cease to be in force and effect on ****$

WHEREAS:
(B) In accordance with Clause 19.2 of the Agreement, the Authority shall make to the
Contractor an interest free advance payment (herein after called “Advance Payment”) equal
to 10% (ten per cent) of the Contract Price; and that the Advance Payment shall be made in
three instalments subject to the Contractor furnishing an irrevocable and unconditional
guarantee by a scheduled bank for an amount equivalent to 110% (one hundred and ten
percent) of such instalment to remain effective till the complete and full repayment of the
instalment of the Advance Payment as security for compliance with its obligations in
accordance with the Agreement. The amount of {first/second/third} instalment of the Advance
Payment is Rs. ------ cr. (Rupees ------ Crore) and the amount of this Guarantee is Rs. -------

1. The Bank hereby unconditionally and irrevocably guarantees the due and faithful
repayment on time of the aforesaid instalment of the Advance Payment under and in
accordance with the Agreement, and agrees and undertakes to pay to the Authority,
upon its mere first written demand, and without any demur, reservation, recourse,
contest or protest, and without any reference to the Contractor, such sum or sums up
to an aggregate sum of the Guarantee Amount as the Authority shall claim, without
the Authority being required to prove or to show grounds or reasons for its demand
and/or for the sum specified therein.
NOW, THEREFORE, the Bank hereby, unconditionally and irrevocably, guarantees and
affirms as follows:
The Guarantee Amount should be equivalent to 110% of the value of the applicable
instalment.
2. A letter from the Authority, under the hand of an officer not below the rank of [Chief
Engineer of MSRDC, Maharashtra], that the Contractor has committed default in the
due and faithful performance of all or any of its obligations under and in accordance
with the Agreement shall be conclusive, final, and binding on the Bank. The Bank
further agrees that the Authority shall be the sole judge as to whether the Contractor
is in default in due and faithful performance of its obligations during and under the
Agreement and its decision that the Contractor is in default shall be final and binding
on the Bank, notwithstanding any differences between the Authority and the
Contractor, or any dispute between them pending before any court, tribunal,
arbitrators or any other authority or body, or by the discharge of the Contractor for any
reason whatsoever.
3. In order to give effect to this Guarantee, the Authority shall be entitled to act as if the
Banks were the principal debtor and any change in the constitution of the Contractor
and/or the Bank, whether by their absorption with any other body or corporation or
otherwise, shall not in any way or manner affect the liability or obligation of the Bank
under this Guarantee.
4. It shall not be necessary, and the Bank hereby waives any necessity for the Authority
to proceed against the Contractor before presenting to the Bank its demand under
this Guarantee.
5. The Authority shall have the liberty, without affecting in any manner the liability of the
Bank under this Guarantee, to vary at any time, the terms and conditions of the
Retention Money and any of the rights and powers exercisable by the Authority
against the Contractor, and either to enforce or forbear from enforcing any of the
terms and conditions contained in the Agreement and/or the securities available to
the Authority, and the Bank shall not be released from its liability and obligation under
these presents by any exercise by the Authority of the liberty with reference to the
matters aforesaid or by reason of time being given to the Contractor or any other
forbearance, indulgence, act or omission on the part of the Authority or of any other
matter or thing whatsoever which under any law relating to sureties and guarantors
would but for this provision have the effect of releasing the Bank from its liability and
obligation under this Guarantee and the Bank hereby waives all of its rights under any
such law
7. Notwithstanding anything contained hereinbefore, the liability of the Bank under this
Guarantee is restricted to the Guarantee Amount and this Guarantee will remain in
force for the period specified in paragraph 8 below and unless a demand or claim in
writing is made by the Authority on the Bank under this Guarantee all rights of the
Authority under this Guarantee shall be forfeited and the Bank shall be relieved from
its liabilities hereunder.
9. The Bank undertakes not to revoke this Guarantee during its currency, except with
the previous express consent of the Authority in writing and declares and warrants
that it has the power to issue this Guarantee and the undersigned has full powers to
do so on behalf of the Bank.
10. Any notice by way of request, demand or otherwise hereunder may be sent by post
addressed to the Bank at its above referred branch, which shall be deemed to have
been duly authorised to receive such notice and to effect payment thereof forthwith,
and if sent by post it shall be deemed to have been given at the time when it ought to
have been delivered in due course of post and in proving such notice, when given by
post, it shall be sufficient to prove that the envelope containing the notice was posted
and a certificate signed by an officer of the Authority that the envelope was so posted
shall be conclusive.
11. This Guarantee shall come into force with immediate effect and shall remain in force
and effect for up to the date specified in paragraph 8 above or until it is released
earlier by the Authority pursuant to the provisions of the Agreement.

1.1 Drawings
In compliance of the obligations set forth in Clause 10.2 of this Agreement, the
Contractor shall furnish to the Authority’s Engineer, free of cost, all Drawings listed in
Annex-I of this Schedule-I.
If the Authority’s Engineer determines that for discharging its duties and functions under
this Agreement, it requires any drawings other than those listed in Annex-I, it may by
notice require the Contractor to prepare and furnish such drawings forthwith. Upon
receiving a requisition to this effect, the Contractor shall promptly prepare and furnish
such drawings to the Authority’s Engineer, as if such drawings formed part of Annex-I of
this Schedule-I.

During the Construction period, the Contractor shall comply with the requirements set forth in this
Schedule I for each of the Project Milestones and the Scheduled Completion Date. Within 15
(fifteen) days of the date of each Project Milestone, the Contractor shall notify the Authority of
such compliance along with necessary particulars thereof.
2.1 Project Milestone-I shall occur on the date falling on the 180th (one hundred and fiftieth)] day
from the Appointed Date (the “Project Milestone-I”).
2.2 Prior to the occurrence of Project Milestone-I, the Contractor shall have commenced construction
of the Project Highway and submitted to the Authority duly and validly prepared Stage Payment
Statements completion schedule in reference to Schedule-H Items, Stages and Sub-stages
payment statements for an amount not less than 10% (ten per cent) of the Contract Price.
3.1 Project Milestone-II shall occur on the date falling on the 365th (Three hundred sixty fifth)] day
from the Appointment Date (the “Project Milestone-II”).
3.2 Prior to the occurrence of Project Milestone-II, the Contractor shall have commenced
construction of the Project Highway and submitted to the Authority duly and validly prepared
Stage Payment Statements completion schedule in reference to Schedule-H Items, Stages and
Sub-stages payment statements for an amount not less than 40% (forty per cent) of the Contract
Price.
4.1 Project Milestone-III shall occur on the date falling on the 550th (Five hundred and fiftieth)] day
from the Appointed Date (the “Project Milestone-III”).
4.2 Prior to the occurrence of Project Milestone-III, the Contractor shall have continued with
construction of the Project Highway and submitted to the Authority duly and validly prepared
completion schedule in reference to Schedule-H Items, Stages and Sub-stages payment
statements Stage Payment Statements for an amount not less than 80% (seventy per cent) of the
Contract Price.
5.1 The Scheduled Completion Date shall occur on the 720th (Seven hundred and twenty) day from
the Appointed Date.
5.2 On or before the Scheduled Completion Date, the Contractor shall have completed construction
in accordance with this Agreement.
Upon extension of any or all the aforesaid Project Milestones or the Scheduled Completion Date,
as the case may be, under and in accordance with the provisions of this Agreement, the Project
Completion Schedule shall be deemed to have been amended accordingly.

TEST ON COMPLETION
1.1 The Contractor shall, no later than 30 (thirty) days prior to the likely completion of
construction, notify the Authority’s Engineer and the Authority of its intent to subject the
Project Highway to Tests, and no later than 10 (ten) days prior to the actual date of Tests,
furnish to the Authority’s Engineer and the Authority detailed inventory and particulars of
all works and equipment forming part of Works.
1.2 The Contractor shall notify the Authority’s Engineer of its readiness to subject the Project
Highway to Tests at any time after 10 (ten) days from the date of such notice, and upon
receipt of such notice, the Authority’s Engineer shall, in consultation with the Contractor,
determine the date and time for each Test and notify the same to the Authority who may
designate its representative to witness the Tests. The Authority’s Engineer shall
thereupon conduct the Tests itself or cause any of the Tests to be conducted in
accordance with Article 12 and this Schedule K.
2.0 Tests
2.1 Visual and physical test: The Authority’s Engineer shall conduct a visual and physical
check of construction to determine that all works and equipment forming part thereof
conform to the provisions of this Agreement. The physical tests shall include [***].
2.2 Riding quality test: Riding quality of each lane of the carriageway shall be checked with
the help of a calibrated bump integrator and the maximum permissible roughness for
purposes of this Test shall be [2,000 (two thousand)] mm for each kilometer.
2.3 Tests for bridges: All major and minor bridges shall be subjected to the rebound hammer
and ultrasonic pulse velocity tests, to be conducted in accordance with the procedure
described in Special Report No. 17: 1996 of the IRC Highway Research Board on Non-
destructive Testing Techniques, at two spots in every span, to be chosen at random by
the Authority’s Engineer. Bridges with a span of 15 (fifteen) meters or more shall also be
subjected to load testing.
2.4 Other tests: The Authority’s Engineer may require the Contractor to carry out or cause to
be carried additional tests, in accordance with Good Industry Practice, for determining the
compliance of the Project Highway with Specifications and Standards.
2.5 Environmental audit: The Authority’s Engineer shall carry out a check to determine
conformity of the Project Highway with the environmental requirements set forth in
Applicable Laws and Applicable Permits.
2.6 Safety audit: The Authority’s Engineer shall carry out, or cause to be carried out, a safety
audit to determine conformity of the Project Highway with the safety requirements and
Good Industry Practice.
All Tests set forth in this Schedule-K shall be conducted by the Authority’s Engineer or
such other agency or person as it may specify in consultation with the Authority.
Upon successful completion of Tests, the Authority’s Engineer shall issue the Completion
Certificate in accordance with the provisions of Article 14.

Borgaon Deshmukh Tq.Warora Dist. Chandrapur (Length- 29.850 km).
2.0 Works that are incomplete on account of Time Extension have been specified in the
Punch List appended hereto, and the Contractor has agreed and accepted that it shall
complete all such works in the time and manner set forth in the Agreement. In addition,
certain minor works are incomplete, and these are not likely to cause material
inconvenience to the Users of the Project Highway & Reinforced earth wall or affect their
safety. The Contractor has agreed and accepted the condition of this Provisional
Certificate; it shall complete such minor works within 30 (thirty) days hereof. These minor
works have also been specified in the aforesaid Punch List.
3.0 In view of the foregoing, I am satisfied that the Project Highway from Km 0/000 to 65/373
can be safely and reliably placed in service of the Users thereof, and in terms of the
Agreement, the Project Highway is hereby provisionally declared fit for entry into operation

COMPLETION CERTIFICATE

1.1 Monthly lump sum payments for maintenance shall be reduced in the case of non-compliance
with the Maintenance Requirements set for thin Schedule-E.
1.2 Any deduction made on account of non-compliance with the Maintenance Requirements shall not
be paid even after compliance subsequently. The deductions shall continue to be made every
month until compliance is done.
1.3 The Authority’s Engineer shall calculate the amount of payment reduction on the basis of
weightage in percentage assigned to non-conforming items as given in Paragraph.

1.1 The provisions of Part II of the Standard Bidding Documents for Consultancy
Assignments: Time Based (Volume V) issued by the Ministry of Finance, GOI in July 1997
or any substitute thereof shall apply, mutatis mutandis, for invitation of bids and
evaluation thereof save as otherwise provided herein
1.2 The Authority shall invite expressions of interest from consulting engineering firms or
bodies corporate to undertake and perform the duties and functions set forth in
Schedule-Q and thereupon shortlist 10 (ten) qualified firms in accordance with pre-
determined criteria. The Authority shall convey the aforesaid list of firms to the
Contractor for scrutiny and comments, if any. The Contractor shall be entitled to
scrutinise the relevant records of the Authority to ascertain whether the selection of
firms has been undertaken in accordance with the prescribed procedure and it shall
send its comments, if any, to the Authority within 15 (fifteen) days of receiving the
aforesaid list of firms. Upon receipt of such comments, if any, the Authority shall,
after considering all relevant factors, finalise and constitute a panel of 10 (ten) firms
(the “Panel of Firms”) and convey its decision to the Contractor .
1.3 The Authority shall invite the aforesaid firms in the Panel of Firms to submit their
respective technical and financial offers, each in a separate sealed cover. All the
technical bids so received shall be opened and pursuant to the evaluation thereof, the
Authority shall shortlist 3 (three) eligible firms on the basis of their technical scores.
The financial bids in respect of such 3 (three) firms shall be opened and the order of
priority as among these firms shall be determined on the basis of a weighted evaluation
where technical and financial scores shall be assigned respective weights of 80:20.
2.1 In determining the nature and quantum of duties and services to be performed by the
Independent Engineer during the Development Period and Construction Period, the
Authority shall endeavor that payments to the Independent Engineer on account of fee
and expenses do not exceed 2% (two per cent) of the Total Project Cost. Payments not
exceeding such 2% (two per cent) shall be borne equally by the Authority and the
Contractor in accordance with the provisions of this Agreement and any payments in
excess thereof shall be borne entirely by the Authority.
2.2 The nature and quantum of duties and services to be performed by the Independent
Engineer during the Operation Period shall be determined by the Authority in
conformity with the provisions of this Agreement and with due regard for economy in
expenditure. All payments made to the Independent Engineer on account of fees and
expenses during the Operation Period, shall be borne equally by the Authority and the
Contractor .
Not later than three years from the date of this Agreement, and every three years
thereafter, the Authority shall prepare a fresh panel of firms in accordance with the
criteria set forth in this Schedule-P; provided that the Authority may, at any time,
prepare a fresh panel with prior written consent of the Contractor .

These Terms of Reference (the “TOR”) for the Authority’s Engineer are being specified
pursuant to the EPC Agreement dated........... (The “Agreement) , which has been entered into
between the I, The VC & MD Maharashtra State Road Development Corporation Bandra, Mumbai
–400050 acting as the Authority’s Engineer, under and in accordance with the Agreement
dated…………….(the “Agreement”), for Construction of Nagpur –Chandrapur Access Controlled
Super Communication Expressway in the State of Maharashtra on EPC Mode Package NC-02
from km 33+300 Lonhar Tq. Samudrapur Dist. Wardha to km 63+150 Borgaon Deshmukh
Tq.Warora Dist. Chandrapur (Length- 29.850 km) and a copy of which is annexed here to and
marked Annex-A to form part of this TOR.
1.1 The TOR shall apply to construction and maintenance of the Project Highway.
2.1 The words and expressions beginning with or in capital letters and not defined herein but
defined in the Agreement shall have, unless repugnant to the context, the meaning respectively
assigned to the mind the Agreement.
2.2 References to Articles, Clauses and Schedule in this TOR shall, except where the context
otherwise requires, be deemed to be references to the Articles, Clauses and Schedules of the
Agreement, and references to Paragraphs shall be deemed to be references to Paragraphs of this
TOR.
2.3 The rules of interpretation stated in Clauses 1.2, 1.3 and 1.4 of Agreement shall apply
mutatis mutandis, to this TOR.
3.1 The role and functions of the Independent Engineer shall include the following:
(ii) review, inspection and monitoring of Construction Works as set forth in Paragraph
5.
(vi) determining, as required under the Agreement, the costs of any works or services
and/or their reasonableness.
(vii) determining, as required under the Agreement, the period or any extension
thereof, for performing any duty or obligation.
(viii) assisting Authority in review and inspection of the books of accounts submitted
by the Contractor to the Authority and the records maintained by Contractor as
set forth in Paragraph 12
(ix) providing all requisite data on monthly basis within a period of 7 days from the
close of month, as required by Authority, for updating the project specific website
substantially in the format prescribed at Appendix – IV
(x) assisting the Parties in renomination of disputes as set forth in Paragraph 9; and
(xi) undertaking all other duties and functions in accordance with the Agreement
3.2 The Independent Engineer shall discharge its duties in a fair, impartial and efficient
manner, consistent with the highest standards of professional integrity and Good
Industry Practice.
4.1 During the Development Period, the Independent Engineer shall undertake a detailed
review of the Drawings to be furnished by the Contractor along with supporting data,
including the geo-technical and hydrological investigations, characteristics of materials
from borrow areas and quarry sites, topographical surveys and traffic surveys. The
Independent Engineer shall complete such review and send its comments/observations
to the Authority and the Contractor within 30 (thirty) days of receipt of such Drawings.
4.2 The Independent Engineer shall review any revised Drawings sent to it by the
Contractor and furnish its comments within 15 (Fifteen) days of receiving such
Drawings or Documents.
4.3 The Independent Engineer shall review the Drawings sent to it by the Safety Consultant
in accordance with Schedule-L and furnish its comments thereon to the Authority and
the Contractor within 15 (fifteen) days of receiving such Drawings. The Independent
Engineer shall also review the Safety Report and furnish its comments thereon to the
Authority within 30 (thirty) days of receiving such report.
4.4 The Independent Engineer shall review the detailed design, construction methodology,
quality assurance procedures and the procurement, engineering and construction time
schedule sent to it by the Contractor and furnish its comments within 30 (thirty) days
of receipt thereof.
4.5 Upon reference by the Authority, the Independent Engineer shall review and comment
on the EPC Contract or any other contract for construction, operation and maintenance
of the Project Highway, and furnish its comments within 15 (fifteen) days from receipt
of such reference from the Authority.
5.1 In respect of the Drawings, Documents and Safety Report received by the Independent
Engineer for its review and comments during the Construction Period, the provisions of
Paragraph 4 shall apply, mutatis mutandis.
5.2 The Independent Engineer shall review the monthly progress report furnished by the
Contractor and send its comments thereon to the Authority and the Contractor within
7 (seven) days of receipt of such report.
5.3 The Independent Engineer shall inspect the Construction Works and the Project
Highway once every month, preferably after receipt of the monthly progress report
from the Contractor , but before the 20th (twentieth) day of each month in any case,
and make out a report of such inspection (the “Inspection Report”) setting forth an
overview of the status, progress, quality and safety of construction, including the work
methodology adopted, the materials used and their sources, and conformity of
Construction Works with the Scope of the Project and the Specifications and Standards.
In a separate section of the Inspection Report, the Independent Engineer shall describe
in reasonable detail the lapses, defects or deficiencies observed by it in the
construction of the Project Highway. The Inspection Report shall also contain a review
of the maintenance of the existing lanes in conformity with the provisions of the
Agreement. The Independent Engineer shall send a copy of its Inspection Report to the
Authority and the Contractor within 7 (seven) days of the inspection.
5.4 The Independent Engineer may inspect the Project Highway more than once a month if
any lapses, defects or deficiencies require such inspections.
5.5 For determining that the Construction Works conform to Specifications and Standards,
the Independent Engineer shall require the Contractor to carry out, or cause to be
carried out, tests on a sample basis, to be specified by the Independent Engineer in
accordance with Good Industry Practice for quality assurance. For purposes of this
Paragraph 5.5, the tests specified in the IRC Special Publication-11 (Handbook of
Quality Control for Construction of Roads and Runways) and the Specifications for Road
and Bridge Works issued by MORTH (the “Quality Control Manuals”), or any
modification/substitution thereof shall be deemed to be tests conforming to Good
Industry Practice for quality assurance. The Independent Engineer shall issue necessary
directions to the Contracto to ensure that the tests are conducted in a fair and
efficient manner and shall monitor and review the results thereof.
5.6 The sample size of the tests, to be specified by the Independent Engineer under
Paragraph 5.5, shall comprise 10% (ten per cent) of the quantity or number of tests
prescribed for each category or type of tests in the Quality Control Manuals; provided
that the Independent Engineer may, for reasons to be recorded in writing, increase the
aforesaid sample size by up to 10% (ten percent) for certain categories or types of tests
5.7 The timing of tests referred to in Paragraph 5.5, and the criteria for acceptance/
rejection of their results shall be determined by the Independent Engineer in
accordance with the Quality Control Manuals. The tests shall be undertaken on a
random sample basis and shall be in addition to, and independent of, the tests that
may be carried out by the Contractor or its own quality assurance in accordance with
Good Industry Practice.
5.8 In the event that the Contractor carries out any remedial works for removal or
rectification of any defects or deficiencies, the Independent Engineer shall require the
Contractor to carry out, or cause to be carried out, tests to determine that such
remedial works have brought the Construction Works into conformity with the
Specifications and Standards, and the provisions of this Paragraph 5 shall apply to such
tests.
5.9 In the event that the Contractor fails to achieve any of the Project Milestones, the
Independent Engineer shall undertake a review of the progress of construction and
identify potential delays, if any. If the Independent Engineer shall determine that
completion of the Project Highway is not feasible within the time specified in the
Agreement, it shall require the Contractor to indicate within 15 (fifteen) days the
steps proposed to be taken to expedite progress, and the period within which the
Project Completion Date shall be achieved. Upon receipt of a report from the
Contractor, the Independent Engineer shall review the same and send its comments to
the Authority and the Contractor forthwith.
5.10 If at any time during the Construction Period, the Independent Engineer determines
that the Contractor has not made adequate arrangements for the safety of workers and
Users in the zone of construction or that any work is being carried out in a manner that
threatens the safety of the workers and the Users, it shall make a recommendation to
the Authority forthwith, identifying the whole or part of the Construction Works that
should be suspended for ensuring safety in respect thereof.
5.11 In the event that the Contractor carries out any remedial measures to secure the
safety of suspended works and Users, it may, by notice in writing, require the
Independent Engineer to inspect such works, and within 3 (three) days of receiving
such notice, the Independent Engineer shall inspect the suspended works and make a
report to the Authority forthwith, recommending whether or not such suspension may
be revoked by the Authority
5.12 If suspension of Construction Works is for reasons not attributable to the Contractor ,
the Independent Engineer shall determine the extension of dates set forth in the
Project Completion Schedule, to which the Contractor is reasonably entitled, and shall
notify the Authority and the Contractor of the same.
5.13 The Independent Engineer shall carry out, or cause to be carried out, all the Tests
specified in Schedule-I and issue a Completion Certificate or Provisional Certificate, as
the case may be. For carrying out its functions under this Paragraph 5.13 and all
matters incidental thereto, the Independent Engineer shall act under and in
accordance with the provisions of Article 14 and Schedule-I.
5.14 Upon reference from the Authority, the Independent Engineer shall make a fair and
reasonable assessment of the costs of providing information, works and services as set
forth in Article 16 and certify the reasonableness of such costs for payment by the
Authority to the Contractor
5.15 The Independent Engineer shall aid and advise the Contractor in preparing the
Maintenance Manual.
6.1 In respect of the Drawings, Documents and Safety Report received by the Independent
Engineer for its review and comments during the Operation Period, the provisions of
Paragraph 4 shall apply, mutatis mutandis.
6.2 the Independent Engineer shall review the annual Maintenance Programme furnished
by the Contractor and send its comments thereon to the Authority and the Contractor
within 15 (fifteen) days of receipt of the Maintenance Programme
6.3 The Independent Engineer shall review the monthly status report furnished by the
Contractor and send its comments thereon to the Authority and the Contractor within 7
(seven) days of receipt of such report.
6.4 The Independent Engineer shall inspect the Project Highway once every month,
preferably after receipt of the monthly status report from the Contractor , but before the
20th (twentieth) day of each month in any case and make out an O&M Inspection Report
setting forth an overview of the status, quality and safety of O&M including its conformity
with the Maintenance Requirements and Safety Requirements. In a separate section of the
O&M Inspection Report, the Independent Engineer shall describe in reasonable detail the
lapses, defects or deficiencies observed by it in O&M of the Project Highway. The
Independent Engineer shall send a copy of its O&M Inspection Report to the Authority and
the Contractor within 7 (seven) days of the inspection.
6.5 The Independent Engineer may inspect the Project Highway more than once a month, if
any lapses, defects or deficiencies require such inspections.
6.6 The Independent Engineer shall in its O&M Inspection Report specify the tests, if any, that
the Contractor shall carry out, or cause to be carried out, for the purpose of determining
that the Project Highway is in conformity with the Maintenance Requirements. It shall
monitor and review the results of such tests and the remedial measures, if any, taken by
the Contractor on this behalf.
6.8 The Independent Engineer shall determine if any delay has occurred in completion of
repair or remedial works in accordance with the Agreement, and shall also determine the
Damages, if any, payable by the Contractor to the Authority for such delay.
6.9 The Independent Engineer shall examine the request of the Contractor for closure of any
lane(s) of the carriageway for undertaking maintenance/repair thereof, keeping in view the
need to minimize disruption in traffic and the time required for completing such
maintenance/repair in accordance with Good Industry Practice. It shall grant permission for
such modifications, as it may deem necessary, within 3 (three) days of receiving a request
from the Contractor . Upon expiry of the permitted period of closure, the Independent
Engineer shall monitor the reopening of such lane(s), and in case of delay, determine the
Damages payable by the Contractor to the Authority under Clause 17.7
6.10 The Independent Engineer shall monitor and review the curing of defects and
deficiencies by the Contractor as set forth in Clause 19.4.
6.11 In the event that the Contractor notifies the Independent Engineer of any
modifications that it proposes to make to the Project Highway, the Independent Engineer
shall review the same and send its comments to the Authority and the Contractor within
15 (fifteen) days of receiving the proposal.
6.12 Deleted
7.0 Termination
7.1 At any time, not earlier than 90 (ninety) days prior to Termination but not later than 15
(fifteen) days prior to such Termination, the Independent Engineer shall, in the presence
of a representative of the Contractor , inspect the Project Highway for determining
compliance by the Contractor with the Divestment Requirements set forth in Clause 38.1
and, if required, cause tests to be carried out at the Contractor ’s cost for determining
such compliance. If the Independent Engineer determines that the status of the Project
Highway is such that its repair and rectification would require a larger amount than the
sum set forth in Clause 39.2, it shall recommend retention of the required amount in the
Escrow Account and the period of retention thereof.
7.2 The Independent Engineer shall inspect the Project Highway once in every 15(fifteen)
days during a period of 90 (ninety) days after Termination for determining the liability of
the Contractor under Article 39, in respect of the defects or deficiencies specified
therein. If any such defect or deficiency is found by the Independent Engineer, it shall
make a report in reasonable detail and send it forthwith to the Authority and the
Contractor .
8.1 The Authority’s Engineer shall determine the costs, and/or their reasonableness, which are
required to be determined by it under the Agreement.
8.2 The Authority’s Engineer shall determine the period of Time Extension that is required to be
determined by it under the Agreement.
9.1 When called upon by either Party in the event of any Dispute, the Independent Engineer shall
mediate and assist the Parties in arriving at an amicable settlement.
9.2 In the event of any disagreement between the Parties regarding the meaning, scope and nature
of Good Industry Practice, as set forth in any provision of the Agreement, the Independent
Engineer shall specify such meaning, scope and nature by issuing a reasoned written statement
relying on good industry practice and authentic literature.
The Authority’s Engineer shall perform all other duties and functions as specified in the
Agreement.
11.0 Miscellaneous
11.1 The Independent Engineer shall notify its programme of inspection to the Authority and
to the Contractor , who may, in their discretion, depute their respective
representatives to be present during the inspection.
11.3 The Independent Engineer shall obtain, and the Contractor shall furnish in two copies
thereof, all communications and reports required to be submitted, under this
Agreement, by the Contractor to the Independent Engineer, whereupon the
Independent Engineer shall send one of the copies to the Authority along with its
comments thereon. The Authority’s Engineer, if called upon by the Authority or the
Contractor or both, shall mediate and assist the Parties in arriving at an amicable
settlement of any Dispute between the Parties.
11.4 The Independent Engineer shall retain at least one copy each of all Drawings and
Documents received by it, including ‘as-built’ Drawings, and keep them in its safe
custody.
11.5 Upon completion of its assignment hereunder, the Independent Engineer shall duly
classify and list all Drawings, Documents, results of tests and other relevant records,
and hand them over to the Authority or such other person as the Authority may specify
and obtain written receipt thereof. Two copies of the said documents shall also be
furnished in microfilm form or in such other medium as may be acceptable to the
Authority.
Upon receipt of copy of books of accounts from Authority, the Independent Engineer shall
review the Escrow account statements with respect to the provisions of the Escrow agreement,
books of accounts for information pertaining (a) the traffic count (b) Fee determination thereof,
and (c) Project costs, and (d) such other information relating or resulting from other duties and
functions of Independent Engineer in accordance with the Agreement, as the Authority may
reasonably require and submit its report within 10 days.

(a) The estimated amount for the Works executed in accordance with
Clause19.3.1subsequent to the last claim.
(c) The estimated amount of each Change of Scope Order executed subsequent to the last
claim.
(d) Amounts reflecting adjustment in price, if any, for(c) above in accordance with the
provisionsofClause13.2.3 (a).
(f) Deductions:
(i) Any amount to be deducted in accordance with the provisions of the Agreement
except taxes.
(ii) Any amount towards deduction of taxes; and
(iii) Total of (i) and (ii) above.
(a) The monthly payment admissible in accordance with the provisions of the Agreement.

INSURANCE
1.1 The Contractor shall affect and maintain at its own cost, from the Appointed Date till the date
of issue of the Completion Certificate, the following insurances for any loss or damage occurring
on account of Non-Political Event of Force Majeure, malicious act, accidental damage, explosion,
fire and terrorism:
(a) Insurance of Works, Plant and Materials and an additional sum of [15 (fifteen)] percent of
such replacement cost to cover any additional costs of and incidental to the rectification of
loss or damage including professional fees and the cost of demolishing and removing any
part of the Works and of removing debris of whatsoever nature; and
(b) Insurance for the Contractor's equipment and Documents brought on to the Site by the
Contractor, for a sum sufficient to provide for their replacement at the Site.
1.2 The insurance under paragraph 1.1 (a) and (b) above shall cover the Authority and the
Contractor against all loss or damage from any cause arising under paragraph 1.1 other than
risks which are not insurable in commercial terms.
2.1 The Contractor shall affect and maintain insurance cover for the Works from the date of issue of
the Completion Certificate until the end of the Defects Liability Period for any loss or damage for
which the Contractor is liable and which arises from a cause occurring prior to the issue of the
Completion Certificate. The Contractor shall also maintain other insurances for maximum
sums as may be required under the Applicable Laws and in accordance with Good Industry
Practice.
3.1 The Contractor shall insure against its liability for any loss, damage, death or bodily injury, or
damage to any property (except things insured under Paragraphs 1 and 2 of this Schedule or to
any person (except persons in sure under Clause 20.9), which may arise out of the
Contractor's performance of this Agreement. This insurance shall be for a limit per occurrence of
not less than the amount stated below with no limit on the number of occurrences. The
insurance cover shall be not less than: Rs. [*****]
3.2 The insurance shall be extended to cover liability for all loss and damage to the Authority's
property arising out of the Contractor’s performance of this Agreement excluding:
(a) The Authority's right to have the construction works executed on, over, under, in or
through any land, and to occupy this land for the Works; and
(b) Damage which is an unavoidable result of the Contractor's obligations to execute the
Works.
The insurance under paragraphs 1 to 3 above shall be in the joint names of the
Contractor and the Authority.

Riding quality test: Riding quality of each lane of the carriageway shall be checked with the help
of a calibrated bump integrator and the maximum permissible roughness for purposes of this
Test shall be [2,200 (two thousand and two hundred only)] mm for each kilometer.
The Authority’s Engineer shall conduct a visual and physical check of construction to determine
that all works and equipment forming part thereof conform to the provisions of this Agreement.
The physical tests shall include measurement of cracking, rutting, stripping and potholes and
shall be as per the requirement of maintenance mentioned in Schedule-E.

2. The Authority hereby acknowledges compliance and fulfilment by the Contractor of the
Divestment Requirements set forth in Clause 38.1 of the Agreement on the basis that upon
issue of this Vesting Certificate, the Authority shall be deemed to have acquired, and all title
and interest of the Contractor in or about the Project Highway shall be deemed to have
vested unto the Authority, free from any encumbrances, charges and liens whatsoever.
