MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS :

This Memorandum of Agreement ( MOA ) made and entered into, by and between:

ELYSIAN TRAINING CENTER OF BATANGAS ( ETCB ), a duly registered educational institution training
center, located at Brgy. Kumintang, Batangas, represented by our Vocational Instruction Supervisor,
Mrs. JAHZEEL ANNE ORACION, hereinafter referred to as the "ETCB",

AND

Powerplant Operation Inc, a duly registered company, with its principal office at Brgy. Santa Rita
Karsada, Batangas City, represented by its Operation Head, PHYLBERT KHRYSS ABADILLA, hereinafter
referred to as the "POI",

WITNESSETH

WHEREAS, the School is committed to providing its students a quality of education with practical and
real-world experiences related to their field of study that will give them an employable technical skills
and proper work ethics;

WHEREAS, the POI is willing to provide such experiences and opportunities for the students;

NOW, THEREFORE, in consideration of the mutual covenants contained herein and for other good and
valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree
as follows:

1. SCOPE OF AGREEMENT: The POI agrees to provide practical training and real-world experiences to
the students of the ETCB, and the ETCB agrees to ensure that the students are prepared and meet the
requirements set by the POI.

2. TERM: This Agreement shall commence on April 15 and continue until May 15, unless earlier
terminated as provided in this Agreement.

3. TERMINATION: Either party may terminate this Agreement with written notice.

4. CONFIDENTIALITY: Both parties agree to maintain the confidentiality of all information obtained
during the term of this Agreement.

5. INDEMNIFICATION: Both parties agree to indemnify and hold each other harmless from any claims,
damages, or liabilities arising out of this Agreement.
6. MISCELLANEOUS PROVISIONS: Provide trainee's uniform, supplies and training consumables
necessary to ensure the successful implementation of the program; the parties pledge to cooperate with
each other and to perform their respective obligations that under the agreement; in case of injury
resulting from an accident related to the training, ETCB liability shall be limited to the school's accident
insurance plan.

IN WITNESS WHEREOF, the parties have executed and signed this Agreement on April 10,2024 at
Batangas City Philippines as of the date first above written.
