‫‪ARTICLE 3. CONTRACTOR undertakes to perform‬‬

‫‪ARTICLE 4. CONTRACTOR shall provide service‬‬
‫‪and maintain sufficient equipment, tools, parts,‬‬
‫‪materials, machinery and supplies at the site as‬‬
‫‪required to perform the WORK within the time‬‬
‫‪period specified. All risk of loss and or damage to‬‬
‫غ غ غ غ غغذذ س حغ غ غ غ غغؼ‬
‫‪machinery, equipment, and materials furnished by‬‬
‫‪CONTRACTOR shall be borne by CONTRACTOR‬‬
‫‪at all times, except as otherwise provided herein. In‬‬

‫‪the event that any of the said equipment or machinery‬‬
‫‪is unfit for WORK because of breakdowns or‬‬
‫‪interruptions for repair which, in the opinion of‬‬
‫‪COMPANY are excessive, or in the event of‬‬
‫‪continuous abnormal performance not consistent with‬‬
‫‪the‬‬ ‫‪manufacturer‟s‬‬ ‫‪specifications,‬‬
‫‪CONTRACTOR is to replace such equipment or‬‬
‫‪machinery at the site of operations at Contractor‟s‬‬
‫‪own cost even when instructed to do so by‬‬
‫‪COMPANY.‬‬

‫‪ARTICLE 5. CONTRACTOR shall provide all‬‬
‫‪personnel, including competentِ Arabic and English-‬‬
‫‪speaking supervision, required to perform the WORK‬‬
‫‪and shall ensure that all such personnel are qualified‬‬
‫‪and have the requisite training and experience to‬‬
‫‪perform such WORK.‬‬
‫‪CONTRACTOR shall promptly replace, at his own‬‬
‫‪expense, any employee who does not, in Company‟s‬‬
‫‪opinion, satisfactorily perform the WORK to which‬‬
‫‪CONTRACTOR has assigned him or whose presence‬‬
‫‪is otherwise not considered desirable by COMPANY.‬‬
‫‪CONTRACTOR shall provide good messing for his‬‬
‫‪personnel and suitable living accommodation, which‬‬
‫‪shall include but not be limited to: room, sanitary‬‬
‫‪toilet and bath facilities and laundry provision.‬‬
‫‪ARTICLE 6. Except as may be otherwise provided‬‬
‫‪CONTRACTOR shall be responsible for the‬‬
‫‪administration of, and all costs, expenses or liabilities‬‬
‫‪connected with the personnel provided by‬‬
‫‪CONTRACTOR under paragraph 5 above.‬‬
‫‪particular with respect to such personnel‬‬
‫‪CONTRACTOR shall be responsible for:‬‬
‫)‪A. Wages, salaries and living allowances (if any‬‬
‫‪including payment of applicable taxes, expenses,‬‬
‫‪insurance premiums, and benefits required by Libyan‬‬
‫‪Law or otherwise.‬‬
‫‪B. All compensation for injury, sickness, death or‬‬
‫‪disability, and all expenses relating in any way‬‬
‫‪thereto due to causes arising out of or in connection‬‬
‫‪with the WORK performed hereunder.‬‬
‫‪C. All documents required including but not limited‬‬
‫‪to, passports, visas, drivers licenses, health‬‬
‫‪certificates, and shall include all licenses and permits‬‬
‫‪required to operate Contractor‟s equipment in Libya.‬‬
‫‪D. CONTRACTOR shall comply fully with the‬‬
‫‪Social Security Law of Libya and will furnish‬‬
‫‪certificate from the Social Security Authority in‬‬
‫‪evidence of this.‬‬

‫‪ARTICLE 7. Prior to commencement of the WORK‬‬
‫‪and continuing until all WORK has been completed,‬‬

‫‪transport required by his personnel to and from the‬‬

‫‪expected and exceptional conditions and that were‬‬

‫‪and threatens him of enormous loss, but not‬‬

‫‪considered as the impossibility of implementation, In‬‬
‫‪this case, the company may compensate the‬‬ ‫ض ب دلتي ر لي ‪.‬‬ ‫ع‬ ‫دينر ب‬ ‫تو عرؿ رو ده إ ه‬
‫‪contractor with an amount that the company‬‬
‫‪considers enough to rebalance the contract cost to a‬‬
‫‪reasonable extent. If such circumstances continue to‬‬
‫‪exist with an expectation of not to disappearance, it is‬‬
‫‪possible to terminate the contract upon the‬‬
‫‪contractor‟s request‬‬
‫‪In the event of Force Majeure, CONTRACTOR‬‬ ‫وفغ غ غ غ غ غ ا غ غ غ غ غغد دح دغ غ غ غ غ غ ا سس غ غ غ غ غغتحؼ دلنغ غ غ غ غ غ وؾ أ تي غ غ غ غ غغوسص ضس غ غ غ غ غ غ سغ غ غ غ غ غذس ـ‬

1. In the event that Contractor delays in executing ‫دلو عسر دلتفؼ ع سه إستحنت ع س‬ ‫) إد ت خذ دلن وؾ عـ ت فسر دينر ف‬1
the contract in accordance to the agreed deadlines,
company shall have the right to inflict on him a fine ‫ر ديلؾ أو توذسر دلو ر عـ دليس ر‬ ‫غذل دت خسذ عـ دلرة دت ست خذ فسه إ‬

materials supplied according to the scheduled
timetable.

2. The penalty shall be entitled even if the delay did

contract and with no need for warning or taking

6. The management committee may, upon the request

delay of the execution, exempt him from all or some

are rejected because the company is not satisfied, the
fine against delay shall be paid.

ARTICLE28 . In the performance of the WORK ‫ – س غ غ غ غغوـ دلنغ غ غ غ غ وؾ ضس غ غ غ غ غ إ غ غ غ غ غ ر ديل غ غ غ غغؾ د غ غ غ غغد س غ غ غ غغل ا غ غ غ غغد‬28 ‫مـــــــــادة‬
covered by this Contract, CONTRACTOR is and
shall remain an independent CONTRACTOR and an ‫دين غ غ غ غ غغر لس غ غ غ غ غغتنال وس غ غ غ غ غغسطؾ غ غ غ غ غغددؽ فسلغ غ غ غ غ غ ستي غ غ غ غ غغؼ ب فغ غ غ غ غ غ أو غ غ غ غ غ غ ديل غ غ غ غ غغؾ‬
independent employer with respect to all the WORK, ‫واسخ غ غ غ غ غ دلذ بغ غ غ غ غ أو إ غ غ غ غغذػ د غ غ غ غغذ ب د س غ غ غ غغب إل غ غ غ غ غ ر ديل غ غ غ غغؾ ل ع غ غ غ غغر‬
free of control or supervision by COMPANY as to

the performance of such WORK, except as may be

CONTRACTOR in such WORK shall not be deemed
the agents, representatives, or employees of . ‫ر ل أو ف ألذ سرضس اد دينر‬ ‫أ‬
COMPANY in the performance of the WORK or
any part thereof or in any matter covered by this
Contract.

ARTICLE29 . All Contracts shall be governed by ‫ وس ور‬، ‫اد دينر وسفسذ وسفهؿ وفن أح ؿ دن وـ د سب‬ ‫ سخ‬. 29 ‫مادة‬
and interpreted in accordance with the laws of Libya.
In the event of executing the contract outside of ‫سذس ـ أح ؿ دن وـ أ سب‬ ‫ف ح د ت فسر دينر خ ذج دسبس أـ ستؿ إلتف ؼ ع‬
Libya, it may be agreed upon the most appropriate ‫عـ دينر‬ ‫ف دل رع ت دت ت‬ ‫د سب ب د طذ ف‬ ‫ وسختش دن‬، ‫د ينر‬
provisions of law to the contract. The Libyan courts

shall be competent in all disputes arising out of the
contract and shall be used within Libya .

The Contractor shall abide by the laws and

whether issued by him or from his representatives,

The competent courts of Libya shall have jurisdiction

obligations of both parties as set forth in this Contact

except and only when a final executor award is
issued.
CONTRACTOR shall perform the WORK specified

herein in conformance with, and shall observe and

and other rules as are in force or as may be

promulgated from time to time by the Libyan state,

indemnify and hold COMPANY harmless from . ‫دلن وؾ ف لذع ة دنو سـ و دتنسر به‬
liability or penalty which may be imposed or asserted
by reason of CONTRACTOR‟S failure to observe
and abide thereby.

The bidder undertakes , at all times, during his

regulations and the local or national decisions which

transparency laws. This is done by signing the

1. Executives shall observe and abide by, at all

or any other person associated with him and also

regulations of anti bribe and corruption in Libya and
/ or any activity that could be considered violation ‫ل فحغ غ دذ غغوة و دفسغ غ ر فغ غ ب غغر دلنغ غ وؾ وستيه غغر دلنغ غ وؾ ب غ غ د غغـ س غغتؿ‬ ‫ود غغو‬
of the laws and regulations of anti bribe and ( ‫غ غغخش‬ ‫أس غ غ لرس غ غ ل دس غ غ أو ارس غ غ أو غسذا غ غ تلثغ غغؾ ذ غ غغوة أو ل ح غ غ أ‬ ‫لغ غ‬
corruption at the Contractor‟s country. The
Contractor undertakes that no financial privileges, ‫غ غ غ و ل غ غغوطفسـ د غ غغرر د غ غغذ أو سيل غ غغوـ د غ غ غ دحه أو أ ض غ غغذػ ث د غ غغث‬ ‫س غ غغو‬
gifts or others that could be considered bribe or . ‫) بو سض أو س ب عـ دلن وؾ أو أ خ ش دلذتبضسـ ب‬
gratuity given to any person (either employees or
work on behalf of the company or any third party)
by or on behalf of the Contractor or persons related
to him.

2. Any commission, hidden profit, privilege,

on behalf of the Contractor or its agent, its
‫غ غ غغخش أخغ غ غغذ س ب غ غ غ ع غ غ غ هؿ ع غ غ غ لوطغ غ غغػ أو ع لغ غ غغؾ أو للث غ غ غغؾ‬ ‫درس غ غ غ أو أ‬
employee or any other person on their behalf to any
employee, worker, representative of the company, ‫غ غغخش س بغ غ غ عغ غ غ هؿ أو س بغ غ غ ع غ غغـ أ‬ ‫د غ غغذ أو إدغ غ غ ض غ غغذػ ث د غ غغث أو أ‬
third party or to any other person on their behalf or ‫دينغ غغر أو ت فس غغد أو أ عن غغر أخ غغذ لب غغذؿ ل غ غ‬ ‫لغ غ هؿ فسلغ غ ستي غغؼ ب دح غغوؾ ع غ غ‬
on behalf of any one of them in connection with
obtaining or execution of this contract or other ‫س غ غ غ غغر ت غ غغت عغ غغـ‬ ‫د غ غغذ سسخ غ غ دلن غ غ وؾ ب إل غ غ ف إد غ غ أس غ غ لسغ غغلودس‬
Contracts with Company shall in addition to any ‫دين غ غغر و لسغ غ غ دين غ غغور أخ غ غغذر دتغ غ غ سل غ غغـ أـ س غ غغوـ دلنغ غ غ وؾ غ غغر‬ ‫دد غ غغؽ إدرغ غ غ‬
criminal liability which may be thereby incurred,
subject the Contractor to suffer cancellation of this ‫غ غغذذ غ غغر س غ غغت‬ ‫ ب إل غ غ ف إد غ غ تحلس غ غ أ خس غ غ ذة أو‬، ‫أبذله غ غ ل غ غ د غ غغذ‬
and all other contracts which it may have been
entered into with Company and also he shall born

all charges against any loss or damage resulting
from such cancellation of the contract.

for such loses or damages occurred due to the ‫عغغـ ضذسغغؼ خ غغؿ دلبغ دغ دلسغغتحن د لنغ وؾ بلو غغب دينغغر أو أ عنغغر أخغغذ لبغغذؿ‬
cancellation by deducting such amounts from the
dues payable to the contractor as per this contract or . ‫بس وبسـ د ذ أو إستذ ظ دلب غ دلد وذ رسـ لستحؼ ده‬
any other contracts which it may have been entered
into between the contractor and the company or
retrieving the mentioned amount as debt in favor of
the company.

‫‪WORK hereunder, prior to commencement of the‬‬

‫‪the right to withdraw this check without notifying nor‬‬
