4. EXCEPTIONS ‫ استثناءات‬.4

of the Owner Party's negligence or breach of the
restrictions set out in this or any other agreement; or
(d) is independently developed by the Owner Party
without reference to the Information.
4.2. Nothing in this Agreement shall prevent the
disclosure of information by the Owner Party where
such disclosure is required by law, judicial action, the
rules or regulations of a recognised stock exchange,
government department or agency or other regulatory
authority, provided that the Owner Party shall Take all
reasonable steps to consult and take into account the
reasonable requirements of the Recipient Party in
relation to such disclosure.
5. RETURN OF INFORMATION
At the written request of the Recipient Party, the
Owner Party shall return or destroy (at the Owner
Party’s option) all Information and all copies of the
Information in its possession or in the possession of its
Representatives reasonably capable of
return/destruction, whether in written, graphic,
electromagnetic or other form, excluding Information
and all copies of the Information which the Owner
Party is required to retain for internal audit purpose or
by any law or regulations which the Owner Party or
any of its Associated Companies are subject and any
material which may be relevant to the defence of any
litigation, administrative proceedings or
investigations.
6. BREACH OF AGREEMENT
The parties agree that damages alone may not be an
adequate remedy for the breach of any of the
provisions of this Agreement and accordingly that,
without prejudice to any other rights and remedies
available, the Recipient Party shall be entitled to seek
injunctive or other equitable relief to remedy or
prevent any breach or threatened breach of this
Agreement.
7. GENERAL
7.1. The disclosure of Information by the
Recipient Party will not create an obligation on either
party to enter into any further agreement or to proceed
with any possible relationship or other transaction.
The parties do not intend that any agency or
partnership relationship be created between them by
this Agreement.
7.2. If any term of this Agreement is found to be
invalid or unenforceable, the remaining provisions
will remain effective and such term shall be replaced
with a term consistent with the purpose and intent of
this Agreement.
7.3. Failure by either party to enforce any right
conferred by this Agreement shall not be deemed to be
a waiver of any such right nor operate so as to bar the

‫بشرط أن يكون الطرف المستلم اتخاذ جميع الخطوات المعقولة‬
‫للتشاور ومراعاة المتطلبات المعقولة للطرف المفصح فيما يتعلق‬

‫ يجب على الطرف‬، ‫بنا ًء على طلب كتابي من الطرف المفصح‬
‫المستلم إعادة أو إتالف (حسب خيار الطرف المستلم) جميع‬
‫المعلومات وجميع نسخ المعلومات التي بحوزته أو في حوزة ممثليه‬
‫ سواء في شكل‬، ‫ التدمير‬/ ‫القادرين بشكل معقول على العودة‬
‫ باستثناء‬، ‫مكتوب أو رسومي أو كهرومغناطيسي أو أي شكل آخر‬
‫المعلومات وجميع نسخ المعلومات التي يتعين على الطرف المستلم‬
‫االحتفاظ بها ألغراض التدقيق الداخلي أو بموجب أي قانون أو‬
‫لوائح يخضع لها الطرف المستلم أو أي من الشركات المرتبطة به‬
‫وأي مادة التي قد تكون ذات صلة بالدفاع عن أي دعوى أو‬
.‫إجراءات إدارية أو تحقيقات‬
‫ خرق االتفاق‬.6
‫يتفق الطرفان على أن التعويضات وحدها قد ال تكون وسيلة‬
، ‫ وبنا ًء عليه‬،‫انتصاف مناسبة لخرق أي من أحكام هذه االتفاقية‬
‫ يحق‬، ‫دون المساس بأي حقوق وسبل انتصاف أخرى متاحة‬
‫للطرف المفصح طلب أمر زجري أو تعويض إنصافي آخر لعالج‬
.‫أو منع أي خرق أو التهديد بخرق هذه االتفاقية‬
‫ عام‬.7
‫ إن إفشاء المعلومات من قبل الطرف المفصح لن ينشئ التزا ًما‬.7.1
‫على أي من الطرفين للدخول في أي اتفاقية أخرى أو المضي قد ًما‬
‫ ال يعتزم الطرفان إنشاء أي‬.‫في أي عالقة محتملة أو معاملة أخرى‬
.‫وكالة أو عالقة شراكة بينهما بموجب هذه االتفاقية‬
‫ إذا تبين أن أي بند من بنود هذه االتفاقية غير صالح أو غير‬7.2
‫ فستظل األحكام المتبقية سارية ويتم استبدال هذا الشرط‬،‫قابل للتنفيذ‬
.‫بمصطلح يتوافق مع الغرض والغرض من هذه االتفاقية‬
‫ ال يعتبر فشل أي من الطرفين في إنفاذ أي حق ممنوح بموجب‬.7.3
‫هذه االتفاقية تنازالً عن أي حق من هذا القبيل وال يعمل بشكل يمنع‬
.‫ممارسته أو تنفيذه أو أي حق آخر في أي مناسبة الحقة‬

exercise or enforcement thereof or of any other right
on any later occasion.
7.4. Any notice or other communication to be
given under this Agreement shall be made in writing
by first class prepaid mail (or by airmail when the
recipient is located outside the country in which the
party gives notice) addressed to the company secretary
of the recipient at the address set out above or to such
other address as may be notified in writing by one
party to the other from time to time.
7.5. Save in respect of fraudulent
misrepresentation by either party, these terms
constitute the entire understanding and supersede all
prior communications, agreements and understandings
of the parties with regard to the disclosure of
information relating to the subject matter of this
Agreement. Any alteration, addition or modification
of this Agreement must be agreed in writing between
the parties.
7.6. The construction, validity and performance of
this Agreement shall be governed by Saudi Arabia law
and both parties agree to accept the exclusive
jurisdiction of the KSA courts.

‫ فإن هذه الشروط تشكل الفهم الكامل وتحل محل جميع‬،‫الطرفين‬
‫االتصاالت واالتفاقيات والتفاهمات السابقة لألطراف فيما يتعلق‬
