CEO and refereed hereinafter as (“8lines Company”).
WHEREAS HUED and 8lines Company (collectively
referred to as the “Parties” and each individually as a
“Party”) wish to enter into discussions for the purpose of
considering a potential business relationship and wish to
clarify the manner in which any Confidential Information
(as hereinafter defined) disclosed in the course of such
discussions is to be treated by the Parties (the
“Purpose”); and
WHEREAS the Parties desire to protect the
confidentiality of such information;

‫ و‬،)‫التي يتم اإلفصاح عنها أثناء المناقشات (الغرض‬

Definition of Confidential Information. “Confidential
Information” shall mean (i) all information disclosed in
tangible form by the any Party and marked “confidential”
or “proprietary”, and (ii) all information disclosed orally
or otherwise in intangible form by the any Party and
designated as confidential or proprietary at the time of
disclosure. Confidential Information may include any
technical and/or commercial information relating to
and/or including, without limitation, computer programs,
code, algorithms, names and expertise of employees and
consultants, know-how, formulas, processes, ideas,
inventions (whether patentable or not), schematics and
other technical, financial and product development plans,
forecasts, strategies, customers list and contacts, sales
and marketing plans and business information.

Confidentiality Obligation. Both Parties agree to
protect the Confidential Information by using the same
degree of care, but not less than a reasonable degree of
care, as both parties use to protect their own confidential
or proprietary information of a like nature; to prevent the
unauthorized use, dissemination or publication of the
Confidential Information. Both Parties shall limit the use
of and access to the Confidential Information to their
employees or independent contractors who have: (i) a
need to know and have been notified that such
information is Confidential Information for the purpose
set forth herein; and (ii) entered into binding obligations
of confidentiality no less restrictive than those of this
Agreement.
Exclusions. Confidential Information shall not include
Confidential Information that: (i) is or becomes a matter
of public knowledge through no fault of Both Parties; or
(ii) was in the any Party’s possession prior to receipt
from the each Party; or (iii) was rightfully disclosed to
any Party by another person without restriction; or (iv) is
independently developed by the any Party without access
to such Confidential Information. Each Party may
disclose Confidential Information pursuant to any
statutory or regulatory authority or court order, provided
to Both Parties, if reasonably possible, is given prompt
prior written notice of such requirement and the scope of
such disclosure is limited to the extent possible.

‫ه‬KK‫ا يتعين علي‬KK‫ كم‬.‫ه‬KK‫االستخدام أو النشر أو اإلعالن غير الُم رخص ب‬
‫ان‬K‫ة بالطرف‬K‫رية الخاص‬K‫قصر استخدام والوصول إلى المعلومات الس‬
‫) في حاجة إلى معرفتها‬i( ‫على موظفيهم أو مقاوليهم المستقلين الذين‬

‫ك‬KKK‫ول على تل‬KKK‫دون الحص‬KKK‫راف ب‬KKK‫د األط‬KKK‫ل أح‬KKK‫من ِقب‬

‫وجب أي‬KK‫رية بم‬K‫ات الس‬KK‫اح عن المعلوم‬K‫رفين اإلفص‬KK‫وز لكال الط‬K‫يج‬
‫د‬KK‫اله ألح‬KK‫ريطة إرس‬KK‫ة ش‬KK‫ر محكم‬KK‫ريعية أو أم‬KK‫ة أو تش‬KK‫لطة تنظيمي‬KK‫س‬
‫ك‬KK‫ان ذل‬KK‫رعة (إذا ك‬KK‫ه الس‬KK‫بق على وج‬KK‫ار خطي ُم س‬KK‫راف إخط‬KK‫األط‬
‫اح‬KK‫ذا اإلفص‬KK‫اق ه‬KK‫ون نط‬KK‫ذا الطلب وأن يك‬KK‫ول) به‬KK‫كل معق‬KK‫ممكن بش‬

Ownership. All Confidential Information, unless
otherwise specified in writing, (a) remains the property
of Each Party, and (b) may be used by the any Party
solely for the purpose authorized. Upon written request
by the each Party at any time, Both Parties shall: (i) turn
over to the Disclosing Party all Confidential Information
of the Disclosing Party, all documents or media
containing the Confidential Information, and any and all
copies or extracts thereof, or (ii) destroy the Confidential
Information, and any and all copies or extracts thereof,
and provide to each Party with written certification of
such destruction signed by an authorized representative
of the each Party.
1. Remedy. Both Parties acknowledge and agree that
due to the unique nature of the Disclosing Party’s
Confidential Information, there may be no adequate
remedy at law for any breach of its obligations. Both
Parties further acknowledge that any such breach
may allow the any Party or third parties to unfairly
compete with the other Party resulting in irreparable
harm to the Disclosing Party and, therefore, that
upon any such breach or any threat thereof, the Both
Parties shall be entitled to seek appropriate equitable
relief, including but not limited to injunction in
addition to whatever remedies it may have at law or
equity. Each Party will promptly notify the Each
Party in writing immediately upon the occurrence of
any such unauthorized release or other breach.

‫لمه‬KK‫) ُيس‬i( :‫رفين في أي وقت أن‬KK‫وجب طلب خطي من كال الط‬KK‫بم‬
‫تي‬KK‫ائط ال‬KK‫تندات والوس‬KK‫ه والمس‬KK‫ة ب‬KK‫رية الخاص‬KK‫ات الس‬KK‫جميع المعلوم‬
)ii( ‫ أو‬،‫ا‬KK‫ات منه‬KK‫تشتمل على المعلومات السرية وأي نسخ أو مقتطف‬
‫ه‬KK‫دم ل‬KK‫ا وأن ُيق‬KK‫ات منه‬KK‫خ أو مقتطف‬KK‫إتالف المعلومات السرية وأي نس‬
.‫شهادة خطية ُتفيد ذلك ُم وّقعة من ِقبل ُم مثل ُم فّوض له‬
‫ًر ا‬KK‫ه نظ‬KK‫ق على أن‬KK‫رف الُم تلقي ويواف‬KK‫ر الط‬KK‫ ُيق‬:‫ويض‬KK‫التع‬ .3
‫د ال‬KK‫راف ق‬KK‫د األط‬KK‫للطبيعة الفريدة للمعلومات السرية ألح‬
‫ا عن اإلخالل‬KK‫اح قانون‬KK‫ويض مالئم مت‬KK‫اك تع‬KK‫ون هن‬KK‫يك‬
‫د‬KK‫ذا اإلخالل ق‬KK‫ل ه‬KK‫أن مث‬KK‫رف ب‬KK‫ر الط‬KK‫ا ُيق‬KK‫ كم‬.‫ه‬KK‫بالتزامات‬
‫كل‬KK‫راف بش‬KK‫د األط‬KK‫ة اح‬KK‫ير من منافس‬KK‫ه أو ُيمّك ن الغ‬KK‫ُيمّك ن‬
‫غير مشروع مما يلحق به ضرر يتعذر إصالحه وبالتالي‬
‫ه‬KK‫د ل‬KK‫ذا اإلخالل أو أي تهدي‬KK‫يحق له في حالة وقوع مثل ه‬
‫ال وليس‬KK‫بيل المث‬KK‫ على س‬،‫ادل مالئم‬KK‫أن يطلب تعويض ع‬
‫اح‬KK‫ر مت‬KK‫ويض آخ‬KK‫ري أو أي تع‬KK‫ر زج‬KK‫الحصر التماس أم‬
‫رف الُم تلقي أن‬KK‫ا يتعين على الط‬KK‫ كم‬.‫اف‬KK‫ا أو إنص‬KK‫قانون‬
‫ذا‬KK‫ُيخطر أحد األطراف الُم فصحة خطًيا فور وقوع مثل ه‬

Intellectual Property Rights. Neither party acquires ‫وق‬KK‫رفين أي من حق‬KK‫ب أي من الط‬KK‫ ال يكتس‬:‫ة‬KK‫ة الفكري‬KK‫وق الملكي‬KK‫حق‬
any intellectual property rights under this Agreement or ‫اح عن أي‬K‫ة أو من خالل اإلفص‬K‫ذه االتفاقي‬K‫الملكية الفكرية بموجب ه‬
through any disclosure hereunder, except the limited ‫ذه‬KK‫تخدام ه‬KK‫دود في اس‬KK‫ق المح‬KK‫تثناء الح‬KK‫ باس‬،‫ا‬KK‫ات بموجبه‬KK‫معلوم‬
right to use such Confidential Information in accordance .‫المعلومات السرية وفقا لهذه االتفاقية‬
with this Agreement.

Terms and Termination. This Agreement shall
commence on the Effective Date and shall continue for a
period of Five (5) years, unless sooner terminated by a
party as provided for herein. Either party may terminate
this agreement upon thirty (30) days written notice to the
other. All rights and obligations accruing prior to
termination as set forth herein shall survive termination.
The Receiving Party's obligations contained in this
Agreement to keep confidential and restrict use of the
Disclosing Party's Confidential Information shall survive
termination of this Agreement for a period of five (5)
years from termination.

‫ه‬K‫ار خطي مدت‬K‫ال إخط‬K‫وجب إرس‬K‫من الطرفين إنهاء هذه االتفاقية بم‬
‫تي‬KK‫وق ال‬KK‫ات والحق‬KK‫ع االلتزام‬KK‫ل جمي‬KK‫ تظ‬.‫ر‬KK‫وم لآلخ‬KK‫) ي‬30( ‫ثالثين‬
‫تظل سارية‬،‫ كما هو منصوص عليه هنا‬،‫استحقت قبل إنهاء االتفاقية‬
‫ذه‬KK‫واردة في ه‬KK‫ تظل التزامات الطرف المتلقي ال‬. ‫بعد إنهاء اإلتفاقية‬
‫ح‬K‫رف الُم فص‬K‫رية للط‬K‫ات الس‬K‫رية المعلوم‬K‫اظ على س‬K‫ة بالحف‬K‫االتفاقي‬
)5( ‫دة خمس‬K‫ة لم‬K‫اء االتفاقي‬K‫د انته‬K‫واالستخدام المحدود لها سارية بع‬
.‫سنوات من تاريخ االنتهاء‬

Notices. All notices required or permitted to be given
under this Agreement shall be given in writing and shall
be effective from the date received by registered or
certified mail, by hand, facsimile or overnight courier to
the addresses of the parties set forth below, or such other
address as either party shall have furnished to the other
pursuant to this Section 8:
