Introduction
For the purposes of this Agreement,
disclosure means any process that leads to
disclose or reveal any data or information
which is proprietary to the company or its
customers for third party or participating in
any snooping operation directly or indirectly
in a way that harm the interests of the
company, this will be during the contractor

‫ أو المشاركة في أية عملية تجسس بطريقة مباشرة‬،‫مالئها للغير‬
‫ل‬+‫دة عم‬+‫اء م‬+‫ك أثن‬+‫ وذل‬،‫ركة‬+‫الح الش‬+‫ر بمص‬+‫رة تض‬+‫و غير مباش‬

‫رف‬++‫رية للط‬++‫ا الس‬++‫زء من معلوماته‬++‫رف األول عن ج‬++‫ف الط‬++‫ش‬
‫ا‬+‫ وهم‬،‫ا‬+‫ لذا فقد اتفق الطرفان المشار إليهم‬.‫ثاني واطالعه عليها‬

‫المعلومات السرية هي أي معلومة بأي شكل كانت يتم الكشف‬

‫رية أو تم‬+‫ا س‬+‫نيفها بأنه‬+‫ألغراض العمل بين الطرفين وتم تص‬

‫‪capacity have hereby agreed to the following‬‬
‫‪:terms and conditions‬‬

‫‪Confidential information means .1‬‬
‫‪information by the discloser or its affiliates to‬‬
‫المعلومات السرية في غير غ‪+‬رض العم‪+‬ل إال بموافق‪+‬ة خطي‪+‬ة ‪the receiver in relation to the purpose (defined‬‬
‫‪below), which is identified as confidential, or‬‬
‫‪which can reasonably be considered‬‬
‫‪confidential due to its nature or the‬‬
‫‪.circumstances surrounding disclosure‬‬
‫‪Second party agrees that retains all .2‬‬
‫‪rights to the confidential information and‬‬
‫‪no license is implied by the conveying of‬‬
‫‪confidential information hereunder. The‬‬
‫‪confidential information is disclosed “as‬‬
‫‪is” and no representation, warranty, or any‬‬
‫‪other obligation with respect to the‬‬
‫‪accuracy of the confidential information is‬‬
‫‪.provided by the discloser or its affiliates‬‬
‫‪Second party agrees to use confidential .3‬‬
‫قابل للتطبيق ألي سبب‪ ،‬فإن ه‪+‬ذا ال ي‪+‬ؤثر على أي من أحك‪+‬ام ‪information solely in the service of the current‬‬
‫‪or expected relation between the two parties‬‬
‫‪and not for any objectives other than what is‬‬
‫‪.allowed by this agreement‬‬
‫‪Second party agrees to use the .4‬‬
‫‪confidential information solely for the‬‬
‫‪purpose, and to disclose the confidential‬‬
‫‪information solely to their affiliates,‬‬
‫‪employees, directors, agent or third party‬‬
‫‪contractors who have a need to know the‬‬
‫‪confidential information and are under a‬‬
‫‪substantially similar obligation to keep‬‬
‫ويقر الطرف الثاني ب‪++‬أن جمي‪++‬ع المعلوم‪++‬ات الس‪++‬رية هي مل‪++‬ك‬
‫الطرف األول وأن الكشف عنها للطرف الث‪++‬اني ال يعطي‪++‬ه أي‬
‫ضمانات أو االلتزامات األخرى‪.‬‬
‫يلزم الط‪++‬رف الث‪++‬اني بع‪++‬دم اس‪++‬تخدام أو اس‪++‬تعمال أو اس‪++‬تغالل‬
‫صريحة من الطرف األول‪.‬‬
‫يلتزم الطرف الثاني بحصر وتقييد إفش‪+‬اء المعلوم‪++‬ات الس‪+‬رية‬
‫لموظفيه ومنسوبيه على أساس حاجة المعرف‪++‬ة‪ ،‬وع‪++‬دم إفش‪++‬اء‬
‫أي معلومات سرية ألي شخص فيما عدا ما ورد صراحة في‬
‫هذه االتفاقية‪ .‬يلتزم الطرف الثاني بحماية المعلوم‪++‬ات الس‪++‬رية‬
‫الخاص‪++‬ة وذل‪++‬ك باس‪++‬تخدام مع‪++‬ايير الحماي‪++‬ة ال‪++‬تي ال تق‪++‬ل عن‬
‫مس‪++‬توى الحماي‪++‬ة ال‪++‬تي يس‪++‬تخدمها لمحافظ‪++‬ة على المعلوم‪++‬ات‬
‫السرية الخاصة به‪ ،‬ويلزم بحفظها وتخزينه‪++‬ا والتعام‪++‬ل معه‪++‬ا‬
‫بالطريقة التي تمنع كشفها أو استخدامها بش‪++‬كل غ‪++‬ير مس‪++‬موح‬
‫به‪.‬‬
‫على ال‪++‬رغم مم‪++‬ا س‪++‬بق يج‪++‬وز للط‪++‬رف الث‪++‬اني الكش‪++‬ف عن‬
‫المعلومات بموجب قرار قضائي شرط إخط‪++‬ار الفري‪++‬ق األول‬
‫خطيا وفورا بذلك‪.‬‬
‫إذا ثبت أن بعض أو أحد أحك‪++‬ام ه‪++‬ذه االتفاقي‪++‬ة ب‪++‬اطال أو غ‪++‬ير‬
‫االتفاقية األخرى‪.‬‬
‫يجوز للطرف األول أن يطلب كتابة من الطرف الث‪++‬اني – في‬
‫أي وقت‪ -‬إع‪++‬ادة أو إتالف أي‪++‬ة معلوم‪++‬ات س‪++‬رية مكتوب‪++‬ة أو‬
‫بص‪++‬يغة إلكتروني‪++‬ة س‪++‬بق الكش‪++‬ف عنه‪++‬ا وفق‪++‬ا ألحك‪++‬ام ه‪++‬ذه‬
‫االتفاقية‪ ،‬م‪++‬ع تق‪+‬ديم تعه‪++‬د خطي بع‪++‬دم احتفاظ‪+‬ه ب‪++‬أي م‪++‬واد أو‬
‫نسخ منها في حوزته أو تحت سيطرته بش‪+‬كل مباش‪+‬ر أو غ‪+‬ير‬
‫مباشر‪ ،‬وعلى الطرف الث‪++‬اني أن يس‪++‬تجيب ألي طلب في ه‪++‬ذا‬
‫الخصوص خالل مدة ال تتجاوز سبعة أيام من ت‪++‬اريخ اس‪++‬تالم‬
‫الطلب‪.‬‬
‫يقر الطرف الثاني بأن عدم االل‪+‬تزام وأي انته‪+‬اك ألي بن‪+‬د من‬
‫بنود هذه االتفاقية ق‪++‬د يعرض‪++‬ه للمس‪++‬اءلة القض‪++‬ائية وعلي‪++‬ه ق‪++‬د‬
‫‪information confidential. The Second‬‬
‫‪party shall exercise a reasonable degree of‬‬
‫‪care to protect the confidential‬‬
‫‪.information from unauthorized disclosure‬‬
‫‪Second party may disclose confidential .5‬‬
‫‪.information to the extent required by law‬‬
‫‪The parties agree that a failure to enforce .6‬‬
‫‪any provisions of this agreement will not‬‬
‫‪.constitute a waiver‬‬
‫‪Upon demand by the discloser, the .7‬‬
‫‪confidential information and any copies‬‬
‫‪thereof will promptly destroyed or returned to‬‬
‫‪the discloser, if destroyed the receiver shall‬‬
‫‪certify in writing to the discloser that all such‬‬
‫‪information, including all copies, has been‬‬
‫‪destroyed within 7 days from the demand‬‬
‫‪.date‬‬
‫‪The Second party acknowledges that the .8‬‬
‫‪discloser of the confidential information in a‬‬
‫‪manner not authorized by this agreement may‬‬
‫‪cause irreparable damage that could not be‬‬
‫‪fully remedied by monetary damages. Each‬‬
‫‪party agrees that the other party may‬‬
‫‪specifically enforce this agreement and may‬‬
‫‪seek injunctive or other equitable relief as‬‬
‫‪.may be necessary or appropriate‬‬
‫‪The obligations of confidentially will .9‬‬
‫‪continue for period of (2) years after the‬‬
‫‪.termination of the contractual relationship‬‬
‫‪The Second Party undertakes to use the .10‬‬
‫‪resources and Information of First Party only‬‬
‫‪for performing our scope of work relating to‬‬
‫ال تفسر بنود هذه االتفاقية بأنه‪++‬ا تمنح ت‪++‬رخيص من الط‪++‬رف‬
‫يقوم بدفع تعويضات عن الخسائر الناتجة من هذا الفعل‪.‬‬
‫تبقى ه‪++‬ذه االتفاقي‪++‬ة س‪++‬ارية المفع‪++‬ول لم‪++‬دة س‪++‬نتين بع‪++‬د انته‪++‬اء‬
‫العالقة التعاقدية‪.‬‬
‫يلتزم الطرف الثاني باستخدام المص‪++‬ادر والمعلوم‪++‬ات العائ‪++‬دة‬
‫للط‪++‬رف األول بالمه‪++‬ام المنوط‪++‬ة ب‪++‬ه فق‪++‬ط وذل‪++‬ك فيم‪++‬ا يتعل‪++‬ق‬
‫بالخ‪++‬دمات ال‪++‬تي س‪++‬يتم تق‪++‬ديمها من قبل‪++‬ه أو من قب‪++‬ل ش‪++‬ركاته‬
‫التابع‪+++‬ة أو من قب‪+++‬ل الم‪+++‬دراء أو الم‪+++‬وظفين أو المستش‪+++‬ارين‬
‫التابعين له (ويشار إليهم فيما بع‪+‬د ب"الممثلين") ‪ ،‬كم‪+‬ا يل‪+‬تزم‬
‫الط‪+‬رف الث‪++‬اني باتخ‪+‬اذ كاف‪++‬ة االحتياط‪+‬ات الالزم‪++‬ة للمحافظ‪+‬ة‬
‫على أمن تلك المصادر وسرية معلوماتها ويش‪++‬مل ذل‪++‬ك إل‪++‬زام‬
‫الممثلين بتوقيع إقرار عدم اإلفصاح كم‪++‬ا ي‪++‬راه الط‪+‬رف األول‬
‫مناسبًا‪.‬‬
‫يحظر على الط‪++‬رف الث‪++‬اني أو على الممثلين إتالف أو إس‪++‬اءة‬
‫اس‪++‬تعمال أو نش‪++‬ر أو اإلفص‪++‬اح أو االحتف‪++‬اظ بأي‪++‬ة وث‪++‬ائق أو‬
‫معلومات سرية أو أجهزة خاص‪++‬ة للط‪++‬رف األول أو أي جه‪++‬ة‬
‫تابع‪++‬ة أو أط‪++‬راف عالق‪++‬ة تتعام‪++‬ل م‪++‬ع الط‪++‬رف األول‪ ،‬وعلى‬
‫الطرف الث‪++‬اني المحافظ‪+‬ة على س‪+‬رية ه‪++‬ذه المعلوم‪++‬ات وع‪++‬دم‬
‫االفصاح عنها ألي شخص أو جهة أو مؤسس‪++‬ة اخ‪++‬رى إال في‬
‫الحاالت اآلتية‪:‬‬
‫‪ -‬كانت هذه المعلومات أو أصبحت جزءًا من المعلومات العام‪++‬ة‬
‫ون خطأ أو سوء نية من الطرف الثاني‪.‬‬
‫ب‪ -‬ك‪+‬انت معروف‪+‬ة للط‪+‬رف الث‪+‬اني قب‪+‬ل اإلفص‪+‬اح عنه‪+‬ا من قب‪+‬ل‬
‫طرف األول‪.‬‬
‫ت‪ -‬قام الطرف الثاني بتطويرها أو الحصول عليها بشكل مس‪++‬تقل‬
‫ون انتهاك لهذه االتفاقية‪.‬‬
‫ث‪ -‬مطلوب اإلفصاح عنها بموجب النظام‪.‬‬
‫يل‪+++‬تزم الط‪+++‬رف الث‪+++‬اني بإع‪+++‬ادة أي معلوم‪+++‬ات أو وث‪+++‬ائق‬
‫ومس‪++‬تندات خاص‪++‬ة للط‪++‬رف األول وتحت حي‪++‬ازة الممثلين‬
‫مباش‪++‬رة عن‪++‬د انته‪++‬اء عالقت‪++‬ه أو عالق‪++‬ة الممثلين الوظيفي‪++‬ة‬
‫بالطرف األول أو في حال طلب الط‪++‬رف األول ذل‪++‬ك في أي‬
‫وقت من األوقات‪.‬‬
‫‪the services to be provided to First Party by‬‬ ‫األول للط‪+++‬رف الث‪+++‬اني (س‪+++‬واء ك‪+++‬ان ص‪+++‬ريحًا أم ض‪+++‬منيًا)‬
‫‪us, their affiliates, officers, employees,‬‬ ‫الستخدام أي حق من حق‪++‬وق الملكي‪++‬ة الفكري‪++‬ة أو ال‪++‬براءات‪،‬‬
‫‪agents, consultants, and advisers (hereinafter‬‬ ‫ويقر الط‪++‬رف الث‪++‬اني بم‪++‬وجب ه‪++‬ذا ويؤك‪++‬د أن جمي‪++‬ع حق‪++‬وق‬

Representatives undertake to return any
Information or documents concerning First
Party in their possession immediately upon
expiration or termination of the Second Party
services to First Party or the Representatives
services with the Second Party, or if
.requested by GEA at any time
Nothing in this Agreement shall be .13
deemed to grant to the Second Party a license
(expressly patent, copyright or other
intellectual property right. The Second Party
hereby acknowledges and confirms that all
existing and future intellectual property rights
relating to the Confidential Information are
the exclusive property of the First Party. The
Second Party will not apply for or obtain any
intellectual property protection in respect of
.the Confidential information
The Second Party undertakes that in case .14
of any breach or violation by them or their
Representatives to any of the provisions
contained within this Agreement, and that
may cause damages to First Party, to inform
First Party directly and urgently to protect it
.from any risk or damage
The First Party has the right to .15
immediately terminate the Agreement upon
the violation of any of the provisions by the
Second Party hereof, without any obligations
or liability on First Party as a result of that
termination. The Second Party shall also
 compensate the First Party for any damages
or costs suffered by the First Party due to the
Second Party’s violation of any of this
.Agreement’s provisions
This Agreement shall take effect on the .16
date of its signing and the obligations in this
Agreement shall continue indefinitely unless
.revoked by the First Party
This agreement will be construed in .17
accordance with the laws of Saudi Arabia and
subject to the jurisdiction of the Saudi Arabia

This Agreement was written in two .18

versions in Arabic and English and each Party
received a signed copy of the Agreement,
which was translated into English only as a
guide, and the Arabic version is the official
version in all matters of interpretation and
.dispute, including any judicial proceedings

No waiver of any provision of this .19

Agreement shall constitute a waiver of any
other provision(s). IN WITNESS
WHEREOF, and intending to be legally
bound, the Second Party have duly executed
this Agreement by their authorized
