 Preamble
WHEREAS, the parties wish to explore a business
opportunity of mutual interest regarding all supplied
information, presentations, offers and materials for
e-finance offered products or any communication
related including T&R consultancy services and in
connection with this opportunity (“Business
Opportunity”), each party may disclose to the other
certain confidential technical and business
information which the Disclosing Party desires the
Receiving Party to treat as confidential (“Confidential
Information” as defined in Article 1 hereof); and
WHEREAS each Party in possession of Confidential
Information (the “Disclosing Party”) desires to
disclose Confidential Information to the other Party
(the “Receiving Party”) and its employees, officers,
and directors, (collectively “Representatives”), for
the purpose of the Business Opportunity, subject to
the terms and condition of this Agreement;
NOW THEREFORE, in consideration of the premises
and covenants herein contained, the parties hereto
agree as follows:

(iv) is obtained by the Receiving Party from a third
party without a breach of such third party’s

such third party was not known by the
Receiving Party to be bound by any agreement
with the Disclosing Party to keep such
information confidential;
(v) is independently developed by the Receiving
Party without use of or reference to the
Disclosing Party’s Confidential Information.

Non-use and Non-disclosure

Article 4
Maintenance of Confidentiality
The Receiving Party agrees that it shall take all
reasonably possible measures to protect the secrecy
of and avoid disclosure and unauthorized use of the
Confidential Information of the Disclosing Party.
Without limiting the foregoing, the Receiving Party
shall take at least those measures that it takes to
protect its own confidential information and shall
ensure that its Representatives who have access to
Confidential Information of the Disclosing Party are
aware and abide by the provisions hereof, prior to
any disclosure of Confidential Information to such
Representatives.

entities or persons appointed by the Receiving Party

or affiliates in relation to the Business Opportunity

of these independent entities or persons of the terms
and conditions of this Agreement. In all cases, the
Receiving Party must notify the Disclosing Party prior
to any disclosure of any Confidential Information to
any independent entities or persons appointed by
the Receiving Party or to any of its affiliates and the
Disclosing Party must give its written approval prior
to such disclosure.

Article 5
Notices
The Receiving Party shall notify the Disclosing Party
immediately upon discovery of, any unauthorized
use or disclosure of Confidential Information by
Receiving Party or its Representatives, as a result of
the Receiving Party's breach of this Agreement, and
the Receiving Party shall cooperate with any and all
efforts of the Disclosing Party to help to prevent
further unauthorized use to resume.

 Article 6
No Obligation
Nothing herein shall obligate either party to proceed
with any Business Opportunity between them, and
each party reserves the right, in its sole discretion to
terminate the discussion contemplated by this
Agreement concerning the Business Opportunity.
Without prejudice to Article 8, this Agreement may
be terminated by the mutual written agreement of
both Parties.

No License
Nothing in this Agreement is intended to grant any
right to either Party under any patent, copyright, or
other intellectual property right of the other Party,
nor shall this Agreement grant any Party any rights in
or to the Confidential Information of the other Party
except as expressly set forth herein.

Parties shall appoint an arbitrator. The third
arbitrator shall be appointed by the appointed co-

CRCICA. The place of the arbitration shall be Cairo,
Egypt, and the language of the arbitration shall be
English.
