NOW THEREFORE, the Parties having full legal ‫ وهﻤﺎ ﺑ�ﺎﻣﻞ أهﻠﻴ��ﻤﺎ‬،‫ﻟﺬا ﻓﻘﺪ اﺗﻔﻖ اﻟﻄﺮﻓﺎن اﳌﺸﺎر إﻟ��ﻤﺎ‬

Article (1): :(1) ‫اﳌﺎدة‬
All Information disclosed by the GEA shall remain ،‫ﺗﺒﻘﻰ �ﺎﻓﺔ اﳌﻌﻠﻮﻣﺎت اﻟ�ي ﺗﻔ�ح ﻋ��ﺎ اﻟهﻴﺌﺔ ﺳﺮ�ﺔ وﺧﺎﺻﺔ ��ﺎ‬
confidential and proprietary to the GEA. The ‫ أﻧﻮاع‬: ‫و�ﺸﻤﻞ اﳌﻌﻠﻮﻣﺎت اﻟﺴﺮ�ﺔ ﻋ�� ﺳبﻴﻞ اﳌﺜﺎل ﻻ ا�حﺼﺮ‬
Confidential Information means and includes, but is
‫اﳌﻌﻠﻮﻣﺎت اﻟﺘﺎﻟﻴﺔ وﻏ��هﺎ ﻣﻦ اﳌﻌﻠﻮﻣﺎت ذات اﻟﻄﺒﻴﻌﺔ اﳌﺸﺎ��ﺔ‬
not limited to, the following types of Information and

other Information of a similar nature (whether in
writing or otherwise): patents, discoveries, ideas,
concepts, services, methodology, software in various
stages of development, designs, drawings,
specifications, techniques, models, data, source code,
object code, documentation, processes, procedures,
know-how, marketing techniques and materials,
strategies, marketing and development plans,
customer names and other Information related to
customers, partners and suppliers, price lists, pricing
policies and financial Information. Information also
includes any Information described above which the
GEA obtains from another third party and which it
treats it as proprietary or designates as Confidential
Information whether or not owned or developed by
the GEA. The Second Party confirms that the
regulations and internal rules of GEA relating to the use
of Information are all proprietary to GEA.

All what is stated above in this Article shall be thereon ‫ﻳﻄﻠﻖ ﻋ�� ﺟﻤﻴﻊ ﻣﺎ ورد أﻋﻼﻩ �� هﺬا اﻟﺒﻨﺪ وﺻﻒ )"اﳌﻌﻠﻮﻣﺎت‬
referred to as the (“Confidential Information”). The �� ‫ ويﺴتﺜ�ى ﻣﻦ اﳌﻌﻠﻮﻣﺎت اﻟﺴﺮ�ﺔ ا�حﺎﻻت اﻟ�ي وردت‬،("‫اﻟﺴﺮ�ﺔ‬
events stated in Article Six of this Agreement shall be

Article (2): :(2) ‫اﳌﺎدة‬

The Second Party acknowledges that the Information ‫ﻳﻘﺮ اﻟﻄﺮف اﻟﺜﺎ�ﻲ �ﻌﺪم ﺿﻤﺎن اﻟهﻴﺌﺔ ﻟﺪﻗﺔ واﻛﺘﻤﺎل اﳌﻌﻠﻮﻣﺎت‬
provided or to be provided to them hereunder in no ‫اﳌﻘﺪﻣﺔ ﻟﻠﻄﺮف اﻟﺜﺎ�ﻲ أو اﳌﻌﻠﻮﻣﺎت اﻟ�ي ﺳيﺘﻢ ﺗﻘﺪﻳﻤهﺎ ﺑﻤﻮﺟﺐ‬
way constitutes or gives rise to any representation or
‫ وﻻ �ﻌ�ي اﻟﺘﻮﻗﻴﻊ ﻋ�� هﺬا اﻻﻟ��ام اﻟﻮﻋﺪ أو‬،‫هﺬﻩ اﻹﺗﻔﺎﻗﻴﺔ‬
warranty by GEA as to the accuracy or completeness
thereof and the signature of this Agreement is not

intended to give rise to any promise or consent to enter ‫اﳌﻮاﻓﻘﺔ ﻣﻦ اﻟهﻴﺌﺔ ﺑﺘﻮﻗﻴﻊ أي اﺗﻔﺎﻗﻴﺔ أو اﻟﺪﺧﻮل �� أي ﻋﻤﻞ ﻣﻊ‬
into any agreement or arrangement with the Second .‫اﻟﻄﺮف اﻟﺜﺎ�ﻲ ﻣهﻤﺎ �ﺎن ﻧﻮﻋﮫ‬
Party in any form.

Article (3): :(3) ‫اﳌﺎدة‬

The Second Party undertakes to use the resources and
Information of GEA only for performing our scope of
work relating to the services to be provided to GEA by
us, their affiliates, their directors, officers, employees,
agents, consultants and advisers (hereinafter
“Representatives”). The Second Party undertakes to
take all the necessary measures to maintain the
security of these resources and confidentiality of any
related Information, including requiring their
Representatives to execute a non-disclosure
agreement in a form satisfactory to the GEA.
‫ﻳﻠ��م اﻟﻄﺮف اﻟﺜﺎ�ﻲ ﺑﺎﺳﺘﺨﺪام اﳌﺼﺎدر واﳌﻌﻠﻮﻣﺎت اﻟﻌﺎﺋﺪة‬
‫ﻟﻠهﻴﺌﺔ ﻷداء ﻣهﺎم اﻟﻌﻤﻞ اﳌﻨﻮﻃﺔ ﺑﮫ ﻓﻘﻂ وذﻟﻚ ﻓﻴﻤﺎ ﻳﺘﻌﻠﻖ‬
‫ﺑﺎ�خﺪﻣﺎت اﻟ�ي ﺳيﺘﻢ ﺗﻘﺪﻳﻤهﺎ ﻣﻦ ﻗﺒﻠﮫ أو ﻣﻦ ﻗﺒﻞ ﺷﺮ�ﺎﺗﮫ‬
‫اﻟﺘﺎ�ﻌﺔ أو ﻣﻦ ﻗﺒﻞ اﳌﺪراء أو اﳌﺴﺆوﻟ�ن أو اﳌﻮﻇﻔ�ن أو اﻟﻮﻛﻼء‬

‫ﻛﻤﺎ ﻳﻠ��م اﻟﻄﺮف اﻟﺜﺎ�ﻲ ﺑﺎﺗﺨﺎذ �ﺎﻓﺔ اﻻﺣﺘﻴﺎﻃﺎت اﻟﻼزﻣﺔ‬
‫ﻟﻠﻤﺤﺎﻓﻈﺔ ﻋ�� أﻣﻦ ﺗﻠﻚ اﳌﺼﺎدر وﺳﺮ�ﺔ ﻣﻌﻠﻮﻣﺎ��ﺎ ويﺸﻤﻞ ذﻟﻚ‬
‫إﻟﺰام اﳌﻤﺜﻠ�ن ﺑﺘﻮﻗﻴﻊ إﻗﺮار ﻋﺪم اﻻﻓﺼﺎح ﻛﻤﺎ ﺗﺮاﻩ اﻟهﻴﺌﺔ‬

Article (4): :(4) ‫اﳌﺎدة‬

The Second Party undertakes to keep confidential and ‫ﻳﻠ��م اﻟﻄﺮف اﻟﺜﺎ�ﻲ ﺑﺄن ﻳﺤﺎﻓﻆ ﻋ�� اﻟﺴﺮ�ﺔ وﻋﺪم اﻟﻜﺸﻒ أو‬
not to disclose, copy or take pictures or assign or ‫��خ أو ﺗﺼﻮ�ﺮ أو ﺗﺮﺧﻴﺺ أو ﺗﺰو�ﺪ اﻟﻐ�� أي ﻣﻌﻠﻮﻣﺎت ﺗﺘﻌﻠﻖ‬
license any disclosed or obtained Information relating
‫ﺑﺎﻷﻣﻮر واﳌﺼﺎ�ح اﻟ�ي ﻗﺪ اﻃﻠﻊ ﻋﻠ��ﺎ أو اﺳﺘﻠﻤهﺎ أو اﻟ�ي ﻗﺪ اﻃﻠﻊ‬
to matters and interests that the Second Party or any of
‫ﻋﻠ��ﺎ أو اﺳﺘﻤﻠهﺎ أي ﻣﻦ اﳌﻤﺜﻠ�ن �ﺸ�ﻞ ﻣﺒﺎﺷﺮ أو ﻏ�� ﻣﺒﺎﺷﺮ ﻣﻦ‬
their Representatives may be informed about or have
received, directly or indirectly from the GEA, and ‫ �ﺸﺮط أن‬،‫ وذﻟﻚ ﻣﺎﻟﻢ ﺗﻘﺘ��ي ﻣهﺎم ﻋﻤﻠﮫ اﻹﻓﺼﺎح ﻋ��ﺎ‬،‫اﻟهﻴﺌﺔ‬
refrain from making copies or taking pictures of such .‫ﻳ�ﻮن اﻹﻓﺼﺎح �ﻌﺪ أﺧﺬ اﳌﻮاﻓﻘﺔ ا�خﻄﻴﺔ اﳌﺴﺒﻘﺔ ﻣﻦ اﻟهﻴﺌﺔ‬
Information except where necessary for the provision
of their services to GEA, and only after receiving a
written consent in advance from GEA.

Article (5):
The Second Party agrees and acknowledges that any
computer hardware or software, documents and
authorities, or any substantive or technical studies,
researches or Information; concerning local or
international institutions related to GEA, whether
obtained through direct or indirect means, from
sources related to GEA, or any of its clients, or
representatives as work products; are the exclusive
property of GEA, and any use of them outside of the
framework of our scope of work is strictly prohibited.
The Second Party also undertakes not to disclose,
either directly or indirectly any of foregoing
Information to any person or entity under any
circumstances without the prior written consent issued
by GEA.

‫ أو ﻣﺴتﻨﺪات‬،‫ﻳﻘﺮ اﻟﻄﺮف اﻟﺜﺎ�ﻲ ﺑﺄن أي أﺟهﺰة و�ﺮاﻣﺞ ﺣﺎﺳﻮ�ﻴﺔ‬
‫ أو دراﺳﺎت و�ﺤﻮث وﻣﻌﻠﻮﻣﺎت ﺗﻘﻨﻴﺔ أو ﻓﻨﻴﺔ أو‬،‫ووﺛﺎﺋﻖ‬
‫ﻣﻌﻠﻮﻣﺎت ﺗﺨﺺ اﳌﺆﺳﺴﺎت اﻟﺪوﻟﻴﺔ أو ا�حﻠﻴﺔ اﳌﺮﺗﺒﻄﺔ ﺑﺎﻟهﻴﺌﺔ‬
‫ﺳﻮاء ﺗﻢ ا�حﺼﻮل ﻋﻠ��ﺎ ﺑﻄﺮ�ﻖ ﻣﺒﺎﺷﺮ أو ﻏ�� ﻣﺒﺎﺷﺮ ﻣﻦ ﻣﺼﺎدر‬
‫ﺗﺎ�ﻌﺔ ﻟﻠهﻴﺌﺔ أو أي ﻣﻦ اﳌﺘﻌﺎﻣﻠ�ن ﻣﻌهﺎ أو ﻣﻤﺜﻠ��ﺎ ﻛﻤﻨﺘﺠﺎت ﻋﻤﻞ‬

‫ ﻛﻤﺎ ﻳﻠ��م اﻟﻄﺮف اﻟﺜﺎ�ﻲ �ﻌﺪم اﻹﻓﺼﺎح اﳌﺒﺎﺷﺮ أو‬.‫ﻧﻄﺎق اﻟﻌﻤﻞ‬

‫ﻏ�� ﻣﺒﺎﺷﺮ ﻋﻦ أي ﻣﻦ اﳌﻌﻠﻮﻣﺎت اﳌﺸﺎر إﻟ��ﺎ ﻣﺴﺒﻘﺎ ﻷي �خﺺ‬
‫أو ﺟهﺔ ﺗﺤﺖ أي ﻇﺮف �ﺎن دون اﳌﻮاﻓﻘﺔ ا�خﻄﻴﺔ اﳌﺴﺒﻘﺔ ﻣﻦ‬
‫اﻟهﻴﺌﺔ‬

Article (6): :(6) ‫اﳌﺎدة‬

The Second Party agrees and acknowledges that their ‫ﻳﺤﻈﺮ ﻋ�� اﻟﻄﺮف اﻟﺜﺎ�ﻲ أو ﻋ�� اﳌﻤﺜﻠ�ن إﺗﻼف أو إﺳﺎءة‬
Representatives are prohibited to damage, misuse, ‫اﺳﺘﻌﻤﺎل أو �ﺸﺮ أو اﻹﻓﺼﺎح أو اﻻﺣﺘﻔﺎظ ﺑﺄﻳﺔ وﺛﺎﺋﻖ أو‬
publish or disclose or keep any document or
‫ﻣﻌﻠﻮﻣﺎت ﺳﺮ�ﺔ أو أﺟهﺰة ﺧﺎﺻﺔ ﻟﻠهﻴﺌﺔ أو أي ﺟهﺔ ﺣ�ﻮﻣﻴﺔ أو‬
confidential Information or special equipment of GEA
.‫ﻣﻨﻈﻤﺔ أﺧﺮى ﺗﺘﻌﺎﻣﻞ ﻣﻌهﺎ اﻟهﻴﺌﺔ‬
or of any governmental entity or other organization
working with GEA.
The Second Party shall use Information only for the ‫ﻋ�� اﻟﻄﺮف اﻟﺜﺎ�ﻲ ا�حﺎﻓﻈﺔ ﻋ�� ﺳﺮ�ﺔ هﺬﻩ اﳌﻌﻠﻮﻣﺎت وﻋﺪم‬
above stated purposes, and shall keep confidential and �� ‫اﻹﻓﺼﺎح ﻋ��ﺎ ﻷي �خﺺ آﺧﺮ أو ﺷﺮﻛﺔ أو ﻣﺆﺳﺴﺔ أﺧﺮى إﻻ‬
not disclose the Information to any other person, firm

Article (7): :(7) ‫اﳌﺎدة‬

The Second Party and their Representatives undertake ‫ﻳﻠ��م اﻟﻄﺮف اﻟﺜﺎ�ﻲ ﺑﺈﻋﺎدة أي ﻣﻌﻠﻮﻣﺎت أو وﺛﺎﺋﻖ وﻣﺴتﻨﺪات‬
ً
to return any Information or documents concerning ‫ﻣﺒﺎﺷﺮة ﻋﻨﺪ‬ ‫ﺧﺎﺻﺔ ﺑﺎﻟهﻴﺌﺔ ﺗﺤﺖ ﺣﻴﺎزﺗﮫ أو ﺗﺤﺖ ﺣﻴﺎزة اﳌﻤﺜﻠ�ن‬
GEA in their possession immediately upon expiration
‫اﻧ��ﺎء ﻋﻼﻗﺘﮫ أو ﻋﻼﻗﺔ اﳌﻤﺜﻠ�ن اﻟﻮﻇﻴﻔﻴﺔ ﺑﺎﻟهﻴﺌﺔ أو �� ﺣﺎل‬
or termination of the Second Party services to GEA or
.‫ﻃﻠﺒﺖ اﻟهﻴﺌﺔ ذﻟﻚ �� أي وﻗﺖ ﻣﻦ اﻷوﻗﺎت‬
the Representatives services with the Second Party, or
if requested by GEA at any time.

Article (8): :(8) ‫اﳌﺎدة‬

Nothing in this Agreement shall be deemed to grant to
the Second Party a licence (expressly or by
implication) under any patent, copyright or other
intellectual property right. The Second Party hereby
acknowledges and confirms that all existing and future
intellectual property rights relating to the Confidential
Information are the exclusive property of the GEA. The
Second Party will not apply for or obtain any
intellectual property protection in respect of the
Confidential Information.
‫ﻻ ﺗﻔﺴﺮ ﺑﻨﻮد هﺬﻩ اﻻﺗﻔﺎﻗﻴﺔ ﺑﺄ��ﺎ ﺗﻤﻨﺢ ﺗﺮﺧﻴﺺ ﻣﻦ اﻟهﻴﺌﺔ‬

Article (9): :(9) ‫اﳌﺎدة‬
The Second Party undertakes that in case of any breach ‫ﻳﻠ��م اﻟﻄﺮف اﻟﺜﺎ�ﻲ �� ﺣﺎﻟﺔ ﻗﻴﺎﻣﮫ أو ﻗﻴﺎم أي ﻣﻦ اﳌﻤﺜﻠ�ن ﺑﺄي‬
or violation by them or their Representatives to any of ‫إﺧﻼل أو ﻣﺨﺎﻟﻔﺔ ﻷي ﻣﻦ اﻷﺣ�ﺎم اﻟﻮاردة ﺿﻤﻦ هﺬا اﻻﺗﻔﺎﻗﻴﺔ‬
the provisions contained within this Agreement, and
‫ﺑﺈﺑﻼغ اﻟهﻴﺌﺔ ﻣﺒﺎﺷﺮة و�ﺸ�ﻞ ﻋﺎﺟﻞ �حﻤﺎﻳ��ﺎ ﻣﻦ أي ﻣﺨﺎﻃﺮ أو‬
that may cause damages to GEA, to inform GEA directly
.‫أﺿﺮار ﻗﺪ ﺗ�حﻖ ﺑﺎﻟهﻴﺌﺔ‬
and urgently to protect it from any risk or damage.

Article (10): :(10) ‫اﳌﺎدة‬

The GEA has the right to immediately terminate the ‫ﻳﺤﻖ ﻟﻠهﻴﺌﺔ ا��ﺎء هﺬﻩ اﻻﺗﻔﺎﻗﻴﺔ �ﺸ�ﻞ ﻓﻮري ﺑﺪون أي‬
Agreement upon the violation of any of the provisions ‫ �� ﺣﺎل اﺧﻼل أو ﻣﺨﺎﻟﻔﺔ اﻟﻄﺮف اﻟﺜﺎ�ﻲ ﻷي ﻣﻦ ﺑﻨﻮد‬،‫ﻣﺴﺆوﻟﻴﺔ‬
by the Second Party hereof, without any obligations or
‫ و�ﻠ��م ﺑﺘﻌﻮ�ﺾ اﻟهﻴﺌﺔ ﻋﻦ أي اﺿﺮار أو ﺗ�ﺎﻟﻴﻒ‬،‫هﺬﻩ اﻻﺗﻔﺎﻗﻴﺔ‬
liability on GEA as a result of that termination. The
.‫ﺗﺘﻜﺒﺪهﺎ ﻧتﻴﺠﺔ ﻹﺧﻼﻟﮫ ﻷي ﻣﻦ ﺑﻨﻮد هﺬﻩ اﻻﺗﻔﺎﻗﻴﺔ‬
Second Party shall also compensate GEA for any
damages or costs suffered by GEA due to the Second
Party’s violation of any of this Agreement’s provisions.

Article (11): :(11) ‫اﳌﺎدة‬

GEA shall be entitled to seek an injunction to restrain ‫ﻳﺤﻖ ﻟﻠهﻴﺌﺔ اﺳﺘﺼﺪار أﻣﺮ ﻗﻀﺎئﻲ ﳌﻨﻊ أي اﻧ��ﺎك أو اﻻﺳﺘﻤﺮار‬
any breach or the continuation of any breach of this .‫�� أي اﻧ��ﺎك ﻟهﺬﻩ اﻻﺗﻔﺎﻗﻴﺔ‬
Agreement.

Article (12): :(12) ‫اﳌﺎدة‬

This Agreement shall take effect on the date of its ‫ﻳﺒﺪأ ﺳﺮ�ﺎن هﺬﻩ اﻻﺗﻔﺎﻗﻴﺔ ﻣﻦ ﺗﺎر�ﺦ اﻟﺘﻮﻗﻴﻊ ﻋﻠ��ﺎ و�ﺴﺘﻤﺮ‬
signing and the obligations in this Agreement shall ‫اﻻﻟ��اﻣﺎت اﻟﻮاردة ﻓ��ﺎ �ﺸ�ﻞ داﺋﻢ ﻣﺎ ﻟﻢ ﻳﺘﻢ ا��ﺎ��ﺎ ﻣﻦ ﻗﺒﻞ‬
continue indefinitely unless revoked by GEA

Article (13): :(13) ‫اﳌﺎدة‬
This Agreement is governed by the laws and ‫ﺗﺨﻀﻊ هﺬﻩ اﻻﺗﻔﺎﻗﻴﺔ وﺗﻔﺴﺮ ﺑﻤﻮﺟﺐ أﻧﻈﻤﺔ وﻟﻮاﺋﺢ اﳌﻤﻠﻜﺔ‬
regulations of the Kingdom of Saudi Arabia, and any ‫ و��ﻮن ﻟﻠﻤﺤﺎﻛﻢ ا�خﺘﺼﺔ �� اﳌﻤﻠﻜﺔ اﻟﻌﺮ�ﻴﺔ‬،‫اﻟﻌﺮ�ﻴﺔ اﻟﺴﻌﻮدﻳﺔ‬
dispute arising out of or in connection with this
‫اﻟﺴﻌﻮدﻳﺔ اﻻﺧﺘﺼﺎص ا�حﺼﺮي ﺑﺄي ﻧﺰاع ﻳنﺸﺄ ﻣﻦ هﺬﻩ‬
Agreement is subject to the exclusive jurisdiction of
.‫اﻻﺗﻔﺎﻗﻴﺔ أو ﻳﺘﻌﻠﻖ ��ﺎ‬
the competent courts in the Kingdom of Saudi Arabia.

Article (14): :(14) ‫اﳌﺎدة‬

This Agreement was written in two versions in Arabic ،‫ﺣﺮرت هﺬﻩ اﻻﺗﻔﺎﻗﻴﺔ ﻣﻦ ��خﺘ�ن ﺑﺎﻟﻠﻐﺘ�ن اﻟﻌﺮ�ﻴﺔ واﻻﻧﺠﻠ��ﻳﺔ‬
and English and each Party received a signed copy of ‫ ُويﻌﺘﺪ ﺑﺎﻟﻠﻐﺔ‬،‫و�ﺴﻠﻢ �ﻞ ﻃﺮف ��خﺔ ﻣﻮﻗﻌﺔ ﻟﻠﻌﻤﻞ ﺑﻤﻮﺟ��ﺎ‬
the Agreement, which was translated into English only .‫اﻟﻌﺮ�ﻴﺔ ﻟﺘﻔﺴ�� ﺑﻨﻮدهﺎ‬
as a guide, and the Arabic version is the official version
in all matters of interpretation and dispute, including
any judicial proceedings.

Article (15): :(15) ‫اﳌﺎدة‬

No waiver of any provision of this Agreement shall ‫ﺗﻨﺎزﻻ ﻋﻦ‬ ‫ﻻ ُ�ﻌﺪ ﺗﻨﺎزل اﻟهﻴﺌﺔ ﻋﻦ اي ﺑﻨﺪ ﻣﻦ ﺑﻨﻮد هﺬﻩ اﻻﺗﻔﺎﻗﻴﺔ‬
constitute a waiver of any other provision(s).
