‫الشروط العامة لمر الشراء لشركة التصنيع الوطنية‬

1. Definitions ‫ التعريفات‬.1
“Buyer” means National Industrialization Company or
such subsidiary or associated company of Tasnee as is ‫"املش ت ت ت " يعني ش ت ت تتركة التص ت ت تتنيع الوطنية أو أ فرع أو ش ت ت تتركة‬
specifically named on the Purchase Order form. .‫تابعة لها كما هو مذكور في نموذج أمر الشراء‬

“Supplier” means the person, organization, or ‫لها‬/‫أو املؤس ت ت ت تتة أو الشت تتركة املوجه إليه‬ ‫"املورد" يعني الش ت ت‬
company to which the purchase order is ‫أمر الش ت تراء و شت تتم جميع الطراف ذات الص ت ت ة املباشت تتر والغي‬
addressed and includes all parties directly and
indirectly relationship related to the .‫مباشر واملتع قة بعم يات الشراء‬
procurement process transactional.

“Purchase Order” means the order placed by ‫"أمر الشراء" يعني ط ب يصدره املش في نموذج أمر الشراء‬
the Buyer on the Purchase Order form for the ‫لتوريد البضائع وأ خدمات يوردها املورد والتي قد تكون‬
supply of the Goods and for any Services

specifications and documents and drawings
therein referred to.

“Terms & Conditions” mean these General ‫"الحكام والشتتروط" تعني الحكام والش تتروط العامة لمر الش تراء‬

together with any special conditions or

and any warranties or conditions implied into .‫ل نظام‬
the Contract by statute.

“Contract” means the contract for the supply ‫"العقد" يعني عقد توريد البضائع وال دمات الذ انعقد‬
of the Goods formed by the Supplier’s .‫بموجب قبول املورد لمر الشراء‬
acceptance of the Purchase Order.

“Excusing Condition” means, food waste ‫"ش ت ت ت تتروط ا س ت ت ت تتت نتاء" تعني بقتتايتتا الطعتتام التي يتم التخ منهتا‬

“Goods” mean the goods referred to on the ،‫"البضت ت ت تتائع" تعني البضت ت ت تتائع املشت ت ت تتار إليها في نموذج أمر الش ت ت ت تراء‬
Purchase Order form including all packaging, ‫وتش ت ت ت تمت التغ يص والتع يمتات وص ت ت ت تتف تات البيتانتات وال ت ت ت تتالمتة‬
instructions and data and safety sheets and
other information supplied by the Supplier in ‫واملع ومت تتات الخري التي يوفرهت تتا املورد بت تتالعالقت تتة مع البضت ت ت ت ت تتائع‬
conjunction with the Goods and including but ‫و ش ت ت تتم ذلك على س ت ت تتالي املرال الاص ت ت تتر أ اس ت ت تتتش ت ت تتارات أو‬
are not limited to, any advisory, installation or ‫ختتدمتتات تركي تتب أو ختتدمتتات أخري يق تتدمه تتا املورد أو مورديتته م‬
other services provided by the Supplier or its

the Goods.

“Marine Litter and Pollutants” mean any ‫"النفتتايتات وامل وثتتات الب ريتتة" تعني أ مواد س ت ت ت ت تتائ تتة أو ص ت ت ت ت ب تتة‬
persistent, manufactured or processed solid or ‫معالجة أو مص ت ت تتنعة أو قائمة يتم التخ منها أو التخلي عنها في‬
liquid material discarded, disposed or

synthetic materials such as plastics, glass, .‫والهيدروكربون وال وائ واملواد الخري الضار بالبيئة‬
metals, rubber, hydrocarbons liquids and
environmentally hazardous substances.

“Services” mean the services or works
referred to on the Purchase Order form
including all Statement of Works (SOW) and
any data and safety sheets and other
information supplied by the Supplier in
conjunction with the Services and including
but are not limited to, any advisory, installation
or other services provided by the Supplier or
its sub-Supplier in connection with the supply
of the Services.

2.a Save as otherwise expressly stated in the ‫ فت ن‬،‫أ بخالف متتا ين ع يتته بش ت ت ت تك ت ص ت ت ت تتريو في أمر الش ت ت ت تراء‬.2
Purchase Order, these General Conditions of ‫ش تتروط أمر الش تراء العامة هذه وأ ش تتروط أو متط بات خاص تتة‬
Purchase Order together with any special
conditions or requirements of the Buyer stated ‫ل مش ت ت مذكور في أمر الش ت تراء أو أ م ت تتتندات مشت تتار إليها في‬

Order and any prior quotation or offer of the
Supplier is hereby rejected to the extent ‫يتناسب مع هذه الشروط العامة‬
inconsistent with these General Conditions.

b. Neither the Buyer nor the Supplier shall be ‫ ل يكون املشت ت ت أو املورد م يما ب ش ت تتروط ص ت تتري ة فيما‬.

on any document issued by the Supplier shall
be incorporated into the Contract.

c. The Supplier is required to acknowledge the )72( ‫ يج تتب على املورد أن يؤك تتد اس ت ت ت تتتالم أمر الش ت ت ت تراء خالل‬.‫ج‬
Purchase Order within (72) hours of receipt. If ‫ في حالة إرس ت ت تتال املورد البض ت ت تتائع أو تنفيذ‬.‫س ت ت تتاعة م ا س ت ت تتتالم‬
Supplier shall despatch the Goods or perform
work specified in the Purchase Order without ،‫العمال املادد في أمر الش تراء بدون ت كيد اس تتتالم أمر الش تراء‬
acknowledgement of this Purchase Order, this .‫فيجب اعتبار ذلك على أنه يشك قبو لهذه الشروط العامة‬
shall be deemed to constitute acceptance of
these General Conditions.

d. Nothing in these General Conditions shall
prejudice or limit any warranty or condition
implied by statue. Unless otherwise specified
all supplies to the Buyer shall be warranted for
performance and workmanship for a period of
Twelve (12) months from the Goods being put
into use/commissioning or Eighteen (18)
months from the date of delivery whichever is
the earlier.

3.a The Goods shall be of sound materials and
workmanship and confirm as to quantity,
quality and description with the particulars
stated in the Purchase Order, and be equal in
all respects to samples, patterns, specifications
or other descriptions, provided or given by the
Buyer or given by the Supplier and agreed in
writing by the Buyer.

b. The Goods shall comply with any standard ‫ يجب أن تطابق البض تتائع جميع مقاييس الداء املادد س تتواء‬.

implication in the Purchase Order.

c. The Goods shall be free from any defects of
design and shall be as durable as it is
reasonable to expect having regard to the
purposes for which Goods such as the Goods
are commonly used and shall not be subject to
any abnormal maintenance requirements.
Services should be of a standard that can be

reasonably expected from a professional and
prudent supplier.

d. The Goods shall be delivered to the Buyer ‫ يجب ت ت ت ت يم البضت ت تتائع إلى املش ت ت ت مؤمنة وم فوظة بشت ت تتك‬.‫د‬
adequately secured to any containers or ‫ وببط تتاق تتة البيتتانتتات‬،‫مالئم ل ح تتاويتتة يتم توريتتد البض ت ت ت ت تتائع فيه تتا‬
pallets in with which the Goods are delivered
and with adequate and prominent labelling ‫ وتع يمت تتات املنت تتاولت تتة طبقت تتا لتع يمت تتات املورد‬،‫املالئمت تتة والت تتدائمت تتة‬
and handling instructions, such that no loss or ‫ ويتج ت تتب عتلتتى املتتورد تصت ت ت ت تاتيتتو أ عتيتتو متتوجتتود فتتي‬.‫الت تطتي ت تتة‬
damage shall occur in the course of unloading ‫البضتتائع أو ال دمات في وقا املعاينة م جانب مندو املشت‬
and handling the Goods in accordance with
the Supplier’s written instructions. The ‫ وفي حتالتة عتدم بتدء أعمتال‬، ‫) يوم م إش ت ت ت تعتار املش ت ت ت ت‬1( ‫خالل‬
Supplier shall correct any deficiencies found ‫) يومين‬2( ‫التص ت ت ت تتايو خالل هتتذه الف أو لم يتم إكمتتالهتتا خالل‬

inspection by the Buyer’s Representative
within One (1) day of notification by Buyer.

If corrective work is not started within this
period or is not completed within Two (2)
days of notification, the Buyer shall have the
right to request others to perform the
corrective work at the Supplier’s expense.

e. In addition to the requirements set out in )‫د‬.3( ‫ باإلا ت تتافة إلى املتط بات املنص ت تتو ع يها في البند رقم‬.‫ه ت ت ت ت ت ت‬
Clause (3.d) above, Suppliers from outside the :‫ يجب على املوردي م خارج املم ة العربية ال عودية‬،‫أعاله‬
Kingdom of Saudi Arabia should:

i. Ensure that Goods shall be packed in export ‫ الت كد م تغ يص البضتائع في عبوات تصتدير مصتممة لت م‬.1
packing designed and constructed to ‫ ويجتب أن تكون‬.‫ وأخطتار النقت الي واملنتاولتة‬،‫الظروف الجويتة‬
withstand atmospheric conditions, hazards of
inland trucking and handling. Packaging must ‫ فيمت تتا عت تتدا مت تتا يت تتذكر‬. ‫العبوات مالئمت تتة ل نقت ت الجو أو الب ر‬
be suitable for ocean transport or air Except, ‫ ف ن الس ت ت تتعار تش ت ت تتم جميع رس ت ت تتوم‬،‫خالفا لذلك في أمر الش ت ت تراء‬
as otherwise provided in the Purchase Order, .‫التغ يص‬
the prices are inclusive of all packing charges.
ii. Overseas supplied Goods shall be marked
with non-removable/fixed labels indicating
the country of origin as per Kingdom of Saudi
Arabia Customs Regulations. Failure to
comply with this requirement, the supplier
shall bear all the costs including penalties
imposed to the consignee as result of
noncompliance with the regulations. In case
of confiscation related to non-compliance of
the regulations, the Supplier shall re-supply
the confiscated quantities at no extra cost to
Buyer.

‫ وفي حتتالتتة‬.‫إليتته نتيجتتة لعتتدم املطتتابقتتة مع هتتذه ال وائو الجمركيتتة‬
،‫مص ت ت تتادر البض ت ت تتائع ب ت ت تتالب عدم املطابقة مع ال وائو الجمركية‬
‫فيجتتب على املورد إعتتاد توريتتد ال ميتتات املصت ت ت ت تتادر بتتدون تك فتتة‬
. ‫إاافية على املش‬

f. The Goods shall be delivered to the location
specified on the Purchase Order; Goods
delivered to locations other than the Buyer’s
own warehouses should be accepted by the
Buyer’s authorized representative. For
deliveries to the Buyer’s designated
forwarding agent, the Supplier shall be
required to obtain Forwarder Certificate of
Receipt (FCR) and attach it to the invoice for
the Goods.

g. The Services should be of a standard that ‫توقعهتا بش ت ت ت تكت‬ ‫ يجتب أن تكون ال تدمتات بتاملقتاييس التي يم‬.‫ز‬
can be reasonably expected from a .‫مقبول م مقدم خدمة م ف‬
professional and prudent contractor.

h. The Buyer may at any time make changes ‫ يجوز ل مش ت ت ت ت في أ وقا إجراء تغيي على نطا العم م‬.‫ح‬
to the SOW by issuing a formal Order Change ‫خالل إصت ت ت ت تتدار وثيقتتة أمر تغيي رس ت ت ت تتميتتة أو تعتتديت على الي نتتام‬
document, an adjustment to program and price
for any such changes will be agreed by the .‫وال عر ل تغيي يتم ا تفا ع يه بين الطراف خطيا‬
parties in writing.
j. The Supplier shall furnish all labours, ‫ يج تتب على املورد أن يوفر جميع العم تتال تتة ومع تتدات الوق تتاي تتة‬.‫ط‬
personal protective equipment and other ‫الش ت ت صت تتية ومعدات ال ت تتالمة الخري واملواد والدوات واملعدات‬
safety equipment, materials, tools equipment
and transportation required to complete the ‫والنق ت املط و س ت ت ت تتت متتال ال تتدمتتات كمتتا هو م تتدد في نطتتا‬
Services as specified in the Scope of Work . ‫العم‬
(SOW).
 4. The Supplier shall deliver the Goods or
Services upon the date or within the time
specified in the Purchase Order or agreed
program of work, time being of the essence. If
the Goods or any portion thereof are not
delivered on the specified date or within the
time specified in the Purchase Order, the
Buyer shall be entitled at any time thereafter
to terminate the Contract in respect of the
undelivered Goods and in respect of the other
Goods already delivered under the Contract
which cannot be effectively and commercially
used by reason of the non-delivery of the
undelivered Goods. On such termination the
Buyer shall be entitled to the following:
a. To return to the Supplier at the Supplier’s
risk and expense any Goods already delivered
which cannot be effectively and commercially
used as aforesaid and to recover from the
Supplier any amounts paid by the Buyer in
respect of such Goods.

‫ وفيما يتع ق‬، ‫ذلك إنهاء العقد فيما يتع ق بالبضتائع الغي مورد‬
‫بتالبض ت ت ت تتائع الخري التي تم توريتدهتا بموجتب العقتد والتي يم‬
‫اس ت تتتخدامها تجاريا أو بش ت تتك فعال ب ت تتالب عدم توريد البض ت تتائع‬
‫ في ق ل مش ت ت ت ت في حتالتة اتختاذ القرار بتاإلنهتاء أن‬،‫التي لم تورد‬
:‫يقوم با تي‬
‫ أ‬،‫ ت ت تتا م ت ت ت تتئوليت تة وعلى نفق ت تة املورد‬،‫ أن يعيت تتد إلى املورد‬.‫أ‬
‫بضائع تم توريدها بالفع و يم استخدامها بشك تجار أو‬
‫ وأن ي ت ت ت ت د م املورد أ مبت تتال دفعه ت تتا‬،‫فع ت تتال كم ت تتا ذكر آنف ت تتا‬
.‫املش فيما يتع ق بت ك البضائع‬

b. To recover from the Supplier any loss or ‫ أن ي ت ت ت د م املورد أ خ ت تتائر أو أات ت ترار أو خ ت تتائر أخري‬.
damage or additional expenditure suffered by ‫ت م ها املش ت ت ت ت ب ت ت ت تتالب تعث املورد في ت ت ت ت ت يم البض ت ت ت تتائع طبقا‬
the Buyer by reason of Supplier’s failure to
deliver the Goods in accordance with the .‫لشروط العقد‬
Contract.

c. The Buyer in the event that the Supplier does ‫ يجوز ل مش ت ت ت ت في حالة عدم وفاء املورد ب ل ياماته في التاريخ‬.‫ج‬
not meet its obligations at the required date ‫املط و واملا تتدد في اتف تتاقي تتة ال تتدم تتات أن يط تتب م أ طرف‬
specified in the services agreement, request
any third party to complete the Goods or ‫ثتتالتتأ اس ت ت ت تتت متتال البضت ت ت ت تتائع أو ال تتدمتتات ويكون ذلتتك على نفقتتة‬
Services at the Supplier’s expense. .‫املورد‬

d. Services shall be performed as per the date ‫ وفي‬،‫ يجتب أداء ال تدمتات طبقتا ل تتاريخ املاتدد في أمر الش ت ت ت تراء‬.‫د‬
specified on the Purchase Order, in the event ،‫ح تتال تتة الت ت خي الع تتائ تتد ل مورد وال تتذ يتج تتاوز الت تتاريخ املج تتدول‬
of delay attributed to the Supplier, beyond the
scheduled date, an amount equivalent to (½%) ‫) ع ك يوم ت خي ب د أقصت‬%½( ‫ف تتيتم خصتتم مب ي تتاو‬

deducted from the Supplier’s pending invoices
by way of liquidated damages.
5.a. On the day of despatch, the Supplier ‫ يجب أن يرس ت ت ت املورد إلى املش ت ت ت‬،‫أ في يوم إرست ت تتال البضت ت تتائع‬.5

note quoting the Buyer’s Purchase Order

Goods themselves must also be marked with .‫الشراء ويرفق معها مذكر التوريد التي ت م رقم أمر الشراء‬
the Buyer’s Purchase Order number and
accompanied by a delivery note bearing the
Buyer’s Purchase Order number.

The Supplier shall promptly despatch invoices ‫ وأ‬،‫يجب على املورد أن يرس ت ت ت ت الفواتي على الفور طبقا ل عقد‬

must make an allowance equal to the carriage

d. Unless otherwise stipulated on the Purchase
Order, the price therein set forth shall be the
price payable for delivery of the
Goods/Services, subject to withholding tax
required under the tax laws of Saudi Arabia, as
applicable. Payment will be made only upon
completion and acceptance of Saudi valid
Zakat certificate, social insurance certificate,
and clearance report from the Buyer’s
Industrial Security Department.

7. In addition to the provisions set out in
Clause (3.d) above, the Buyer may give notice
in writing to the Supplier rejecting the Goods
or any part thereof if found not to be in
accordance with the Purchase Order and shall,
when giving notice of rejection, specify the
reasons, therefore. In such case the Buyer shall
be entitled at its discretion (but without the

prejudice to Buyer’s rights or remedies arising
due to Supplier’s breach of the Contract),
either to require the Supplier to replace the
rejected Goods with Goods which are in all
respects in accordance with the Contract
within such time as may be stipulated by the
Buyer or to require the Supplier to credit the
Buyer the invoice price and carriage charges in
respect of the rejected Goods or (in the case of
rejection of the whole of the Goods) to
terminate the Contract. In such case the Buyer
shall be entitled at its discretion (but without
the prejudice to Buyer’s rights or remedies
arising due to Supplier’s breach of the
Contract), either to require the Supplier to
agree at the Suppliers own expense to correct
the Goods or Services, or the Buyer may elect
to reject the Goods or Services in their entirety
and require the Supplier to credit the Buyer
with any amounts paid for works carried out
that have not provided value to the Buyer due
to the Works or Services fallings short of the
specified requirements.
8. The Supplier shall at all times remain liable
for any damage to property or injury to persons
caused by the acts or omissions of any of the
Supplier’s employees or sub- Suppliers. The
property and risk in the Goods shall remain in
the Supplier until the point of delivery
specified in the Purchase Order or the point of
entry to the Buyer’s premises where no point
of delivery is so specified, and the Supplier
will repair or replace free of charge Goods
damaged or lost in transit.
8.a For Purchase Order and Contract where the
Supplier is responsible for shipping, the
Supplier or the carrier, acting on behalf of the
Supplier, shall use its best efforts to refrain,
avoid, mitigate and/or reduce its disposal of
any Marine Litter and Pollutants (whether
directly or indirectly) unless the Supplier or
carrier is forced to dispose of such Marine
Litter or Pollutants upon the occurrence of an
Excusing Condition. The carrier hereby

9.a Unless otherwise stated in writing, and
provided that the Supplier has duly issued an
invoice in accordance with the instructions on
the Purchase Order and fulfilled all other
obligation under the Contract, payment will be
made Ninety (90) days following the delivery.
Subject to deduction of any amounts payable
under the Contract (or any other Contract
between the Buyer and the Supplier) including
but are not limited to any amount specified in
any debit note issued by Buyer relating to the
Contract or any other Contract between the
Buyer and the Supplier.

11.a Expect when the Buyer requires the
Goods to be made to its own specifications the
Supplier also warrants that the Goods do not
infringe any patent anywhere in the world, or
any trademark, trade name, registered design
or copyright or other intellectual property right
and agrees to indemnify the Buyer against any
and all claims, proceedings, losses, damages,
costs and fees suffered by the Buyer in respect
of any claim for infringement of these rights.
Should the Buyer receive notice of any claim
that the Goods infringe any of the aforesaid
rights, the Buyer shall have the right to
terminate the Contract without making any
payment whatsoever to the Supplier.

entitle the court to make a winding-up order;

incorporated company) shall breach any of the
provisions of the Contract; or

supply, to comply with the provisions of the
Purchase Order.

ii. Claims in respect of death or personal
injury, howsoever caused, to any of the
employees of the Buyer, or those of the agents
or the contractors of the Buyer or any persons,
while in or about the Buyer’s sites or works or
other places of business due to any defect of
safety of the Goods or the manner of packaging
and delivery of the Goods or the giving of
instructions with respect to the Goods,
including (without limitation) any matter
giving rise to any breach of safety legislation,
except to the extent that the death or personal
injury may be caused by the negligence of the
Buyer or its servants or agents;

iii. Loss or damage suffered by the Buyer,
arising out of or in consequence of the failure
of the Supplier to supply the Goods and
perform any associated services in accordance
with the Purchase Order. Notwithstanding
anything to the contrary contained herein, the
Buyer shall seek to directly get compensation
from the Supplier, for any damages caused by
any accidents occurring through the use of the
‫ ال ت ت ت ت تتائر أو الا ت ت ت ترار التي ت م هتتا املش ت ت ت ت وتنش ت ت ت ت ت ع أو‬.3
‫بتالعالقتة مع فشت ت ت ت ت املورد في توريتد البضت ت ت ت تتائع وتنفيتذ ال تدمتات‬
‫ وبغض النظر ع أ ش ت ت ت ت يء‬.‫ذات الص ت ت ت ت تتة طبق تتا لمر الش ت ت ت تراء‬
‫ ستيقوم املشت بالاصتول على تعويض‬،‫يتعارض مع ذلك هاهنا‬
‫ ع أ أا ت ت ترار ناجمة م أ حوادث ت دث‬،‫مباش ت ت تتر م املورد‬
‫م خالل اس ت ت تتتخدام مركبات املورد (بما في ذلك مركبات املقاول‬
‫ والتي تؤثر على أ م أص ت ت ت تتول‬،‫م البتتاط ل مورد) أو غي ذلتتك‬
Supplier’s vehicles (including the Supplier’s
subcontractors vehicles) or otherwise, that
affect any of the Buyer’s assets and properties.
The Supplier hereby agrees that the Buyer is
relieved from seeking any damages or
compensation from the Supplier’s insurers.
The Supplier further agrees that the Buyer
shall have the right to deduct from the
Supplier’s payments any amounts due to the
Buyer in that respect.
b. The Supplier’s liability to indemnify the
Buyer pursuant to (a) above shall not be
affected by any exercise by the Buyer of its
right to terminate the Purchase Order.
c. The Buyer shall not be responsible for any
act neglect or default of the Supplier or the
servants or agents of the Supplier unless at the
time of the said act, neglect or default such
servants or agents are under the direct or
indirect control of the Buyer.
d. The Supplier shall maintain and require its
carriers or other agents to maintain adequate
policies of insurance covering Workmen
Compensation/Employers’ Liability Insurance
per GOSI regulations /other applicable
Rules/Laws, Motor insurance for a limit of
liability as required by SAMA - Saudi Central
Bank and Third party and Product liability
insurance with a cumulative limit of indemnity
of at least US$ 5 million to cover including but
not limited to the liabilities arising out of
performance of the Contract, in a form
satisfactory to the Buyer.
In addition, wherever applicable the supplier
shall have a Professional Indemnity insurance
coverage, with a limit of indemnity of US$ 2
million any one claim with deductible not
exceeding USD 250,000 any claim, covering
the professional liability claims arising from

The Supplier shall from time to time based on
the Buyer’s request, present copies of all such
insurance policies/certificates, together with
the receipts of the latest premium. All such
insurance policies shall provide primary
insurance coverage, contain a provision that
the insurers shall have no rights of subrogation
against the Buyer and a cross liability clause.

14. Any dispute arising out of or in connection ‫ أ نزاع ينشت ت ت بشت ت ت ن أو بالعالقة مع أمر الشت ت تراء ست ت تت مه‬.14

Kingdom of Saudi Arabia Laws and shall be

17.a All tools, patterns, materials, drawings,
specifications and other equipment and data
loaned by the Buyer to the Supplier in
connection with the Contract will at all times
remain the Buyer’s property and be
surrendered to the Buyer on demand in good
and serviceable condition (fair wear and tear
excepted) and are to be used by the Supplier
solely for the purpose of completing the
Contract. Such items shall be at risk of the
Supplier and insured by the Supplier against
risk of loss or damage at the Supplier’s own
expense.

b. All special tooling acquired or
manufactured by the Supplier or any sub-
contractor for the performance of the Contract
shall, unless otherwise agreed in writing,
belong to the Buyer. The Supplier shall keep
tools in good order and condition. After
completion of the Supplier’s contractual
commitments for which use of the tools is
necessary, the Supplier shall deliver the tools
on request free of charge to the Buyer together
with all the drawings, plans and manuals
necessary for the operation and use thereof.

respect of such termination except as herein

supply of Goods, the Supplier undertakes that

generality of the foregoing):

a. The Supplier guarantees that all installation
Services will be carried out to the highest
standards of workmanship, and within the
installation period (if any) specified in the
Contract, and so as to comply in all respects
with all applicable safety legislation and the
Buyer’s safety rules for contractors. Such
installation services will be carried out without
giving rise to disruption of Buyer’s operations
or the incurring of any expense by Buyer (other
than as specified in the Contract).

or specified or recommended by the

provided to the Buyer.

ethical standards throughout its organization
and shall support and encourage its employees
to perform their job duties in a manner such
that acts of bribery do not occur and are not
condoned. In doing so, the Supplier agrees not
to give or receive bribes and not to facilitate
improper payments of any kind. The
Supplier’s accounting records shall accurately
reflect the true and complete nature of each and
every transaction, and the Supplier shall not
establish or maintain any unrecorded account,
fund or asset. Should the Supplier become
aware of any violation of the above by the
Supplier personnel or representatives, the
Supplier shall notify the Buyer of such breach

immediately upon discovery. The Supplier
shall indemnify and hold harmless the Buyer
of any violation of the above by its employees
or representatives.

26. (Value Added Tax (VAT) means the value
added tax amount chargeable under the Saudi
Arabian Value Added Tax Law and its
implementing regulations, as may be amended
from time to time in which it may include
increasing or decreasing the applicable VAT
percentage. The amount(s) of the invoice shall
be detailed as per the requirements of the Saudi
General Authority for Zakat & Tax (GAZT),
and as requested by the Buyer and shall, in
every case, show separately the individual
amounts in respect of each of the categories
mentioned in the Purchase Order. Each invoice
must be issued as per GAZT’s required format
and must also be issued in Arabic as the
mandatory language (with English being an
optional language for the invoices alongside
Arabic).
