There are some point the CEOs need to notice when they are too excited to search for Merger
and Acquisition targets. After a long stagnation time due to the explosion of dot-com, the
company bosses are back on track in M&A race. To increase their chances of success, first of
all, CEOs need to keep targeting good prey by focus in the true capacity of those companies.
After that, a good plans is a must to precisely approach and consume the prey. However, the
CEOs shouldn’t be over-confident or being influented by crowd effect. They need to have a
wide vision to avoid a completely failure. When forming alliances, the company bosses need
to keep those advices in mind

Dù vậy, mỗi lần có hai công ty lớn tuyên bố tuyên bố liên kết sáp nhập, các nhà giao dịch đổ
xô đi mua cổ phiếu, còn các cổ đông thì mong đợi thu về một nguồn lãi khổng lồ. Tuy nhiên
thì nhiều liên doanh đã không thành công về tài chính, thất bại trong việc tăng giá trị cổ phần
và không mang lại lợi ích cho những bên liên quan. Bất đồng văn hóa và nhân cách xảy ra
thường xuyên là một trong những lí do các mối đồng minh thất bại. Như Steven Barrett,

như ý, nghĩa là do hai nhóm quản lí chủ chốt không hòa nhập tốt với nhau”

Many people nowaday are considering if they should play golf or tennis. Similarity, both
sports can be played in by any gender and require atleast two people. Tennis can be played
indoor and outdoor, but golf only can be played outside. While tennis uses racket to hit a ball
in a cort with net, golf need different types of clubs to hit a smaller ball across large areas of
grass land. Although golf is more relaxed because it only focus on accuracy, tennis need both
accuracy and speed to hit precisely. Tennis is very cheap in prices. In constract, the money to
rent clubs and fields for golf is much more expensive. Therefore, even if they are both ball
sports, they are pretty much different from each other.
Merger and acquisition are the two most commonly applied corporate restructuring strategies,
which are often uttered in the same breath, but they are not one and the same. In definition,
merger means two companies dissolve to form a new enterprise. On the other hand, in
acquisition, the major company buy and take over another organisations. The merger is done
voluntarily by the companies while the acquisition is done either voluntarily or involuntarily.
In contrast, the cost for a merger can be much higher than acquisition due to the legal cost
involved. The transaction process for merger is also longer and more complicated. Finally,
the acquirers in an acquisition does not experience the dilution of ownership like in a merger
because they already took over all authorities. Both merger and acquisition is the joining of
two or more companies, but they are completely different from each other.
Many companies nowadays are excited to do M&A, but they need to understand the

ownership, which would never occur in acquisition. Furthermore, the process of a merger can
cost quite an amount of money and time, since it needs to maintain a lot of legal issues. In
contrast, the transaction of acquisition doesn’t cost that much and also easier to carry out. In

người nói. Ghi chú này hoàn toàn khác với biên bản cuộc họp dùng để tóm tắt lại nội dung
cuộc họp.
Việc của người kiểm giờ là quan sát và kiểm tra xem cần bao nhiêu thời gian để hoàn thành
công việc và cập nhật thường xuyên với thành viên về mức độ tận dụng thời gian của họ. Họ
hợp tác với trưởng nhóm, điều hành viên và các thành viên khác để đề ra lịch trình với nếu
cần thiết.
Mỗi thành viên đều cần phải tích cực và tận tụy với mục tiêu của nhóm. Họ phải sẵn sàng
chia sẻ trách nhiệm và có thể đảm nhiệm nhiều vai trò kể cả trưởng nhóm hay điều hành. Họ
phải chia sẻ kiến thức và chuyên môn, không giữ cho riêng mình. Mỗi thành viên đều nên tôn
trọng ý kiến và vị trí của người khác trong nhóm.
Dilemma:
Peter Drumandlaf là trưởng bộ phận lên kế hoạch tăng khả năng tiếp cận giao tiếp với khách
hàng ở tòa siêu thị Walton. Sau 3 tuần thu thập thông tin và lên kế hoạch thì họ đưa ra các đề
xuất sau:
- tăng thời gian trực điện thoại lên 1h mỗi tuần, để giải đáp thêm nhiều thắc mắc hơn
- cập nhật trang web ít nhất tuần 1 lần
- tìm hiểu thêm về ý tưởng tổ chức các cuộc hội thảo tại cửa hàng để trực tiếp giải đáp thắc
mắc của khách hàng
Peter chắc rằng đây đều là ý tưởng hay nhưng lo sợ quản lí ko chấp nhận vì giá cả tốn kém.

- Peter ko nên đưa thẳng đống ý tưởng ấy lên thành quyết định cuối cùng. Một trưởng nhóm
ko bao h được để nhóm đưa ra quyết định sai lầm. Anh nên bảo vệ nhóm và xin thêm thời
gian deadline.

nhận trách nhiệm vì ko thông báo rõ ràng cho nhóm, hoặc anh cần xin kéo dài deadline để
nhóm nghĩ ra ý tưởng khác ít tốn kém hơn
(cái này disagree vì trách nhiệm(responsibility) ko phải thuộc về 1 người, cả nhóm cùng nên
ngồi lại bàn bạc để giải quyết vấn đề thay vì đổ lỗi cho trưởng nhóm)
- Về cơ bản thì nhóm đã đưa ra các ý tưởng hợp lí và đúng trọng tâm giao tiếp với khách
hàng. Peter nên trình bày ý tưởng lên và xin tăng thêm ngân sách.

định(decide) xem ý tưởng nào (which idea) là thiết thực và tốn kém ít nhất để trình lên
- Sau khi trình lên thì xin giải thích vì sao ý tưởng hay, lợi ích đạt được nếu áp dụng là gì
( attract more customer, gain more idea from customer viewpoint, improve customer service,
reflect and react to the problem more quickly and precisely,…)

Topic 5:
Many people believe that if the technology advances, the traditional culture will fade away. However,
I totally disagree with this because I believe we can preserve the tradition while developing
technology at the same time. It is obvious that technology is developing with a rapid pace, but it
doesn’t affect tradition at all. In fact, many traditional culture now even using technology to grow
itself and expand. Take a look at Vong unriped rice village, since they use technology to harvest, their
sales have increased so much compare to the past. With technological development, people can
experience culture from everywhere. The AI memory also can preserve the artifacts of culture so they
will no longer be damaged or forgotten. From the reasons above, we can clearly see that it is possible
to have both traditional culture and technology development.
Topic 9:
Many people argued that education is a basic human right and it should be free for everyone. While I
agree that education is for everyone, I can’t accept that it should be completely free for various
reasons. In the past, education wasn’t meant for everyone because there were unfair treatments when
it came to a person’s sex, age, skin race and wealth. But it’s not the same now when the social
equality has started taking place, everyone has the right to learn basic knowledge like reading, writing
for free. In another case, when it comes to higher levels of education, people have to pay for the
studies because not just anyone could teach those complicated things. For example, anyone can teach
you to write and read, but they don’t have the qualification to teach a university program. On balance,
everyone should receive fair amount of basic education with a reasonable price despite their personal
wealth.
Topic 10:
Some people, especially the parents, think that the children should study in their free time or else it
will go to waste. In my opinion, I strongly oppose this way of thinking. Children free time should be
separated clearly with their study hours. It’s the relaxing moment for children to enjoy their hobbies
after working hard with their studies so they don’t stress out too much. Study all the times without
rest can lead to serious problem. We have seen many suicide cases of children when they are being
pressure in learning by their parents and schools. In conclusion, the children should spend they free
time to enjoy their hobbies and relax
Topic 11:
It is believed that the only way to make an assessment of student’s performance is formal exam, not
course work or projects. Personally, I don’t agree with this point of view for the following reason. The
first reason is related to their final exam because it can easily misjudge the students due to various
cases. If a student’s conditions is not very well when taking the exam, the results would mostly come
out bad. Secondly, the student mostly show their creativity and talent in presentations works or
projects. A lot of teachers found it very interesting when student made various surprising
presentations from normal boring lessons their taught. Therefore, I prefer using continual assessment
to judge the student than formal examination.

Advertising industry is facing with a serious problem in persuading their target customers
because their traditional selling methods are ineffective.
6. Litigation is time-consuming and expensive for businesses. Do you agree or
disagree with that statement?
It is argued that it takes a lot of times and money when runing litigations in
businesses. While I agree that it’s very time-consuming, I also believe that it can bring
huge compensation for the companies.
The process of litigations is very complicated:
+ Take a lot of time
+ Need money to hire lawers
+ Require clear evidences
However, if the company can achieve victory in the court, they can obtain an
enormous sum of compensation
+ Example in real life…
In conclusion, if the company can pursue the cases until the end, it will bring them
more than lost
8. While no one doubt that most celebrity endorsements do increase sales, more and
more advertisers are turning to other less risky ways. What is your opinion?
There is no doubt that signing with celebrities and using their star status to endorse a
brand can increase the company’s revenues.
However, it can be risky at the same time due to various reason:
+ The celebrity can’t project the exact image of the brand
+ The celebrity can be accused of a criminal
The advertising is inaffective or even cause losts for the company
Because of those reason above, it is reasonable for a lot of advertisers to turn to other
safer method, such as even sponsor, via social media advertisements, e.t.c…
In conclusion, it’s a hard question for advertisers to choose between profits and brand
images assurance
When it comes to advertising, many people believe that the most effective
method is embedded marketing, also known as product placement. In my opinion, I
also think that product placement is more powerful than any other forms of
advertising, since it can make us like the product unconsciously.
We can state a simple definition of product placement as when the companies
pay to have their product inserted in films, TV shows, movies or video games. One of
the reason why advertisers prefer product placement over other methods is that it has
become more challenging to reach the potential customer with traditional types of
advertising. Nowadays, with modern technologies developing rapidly, no one watches
these normal commercials anymore because they have become jaded, boring and
lacking enthusiasm. Therefore, instead of making normal video records that can be
easily skipped, the advertisers place their product together with important characters
or scenes in a movie or game.
Another reason why the method has strong influences is because how it can
naturally fit inside the plot or even add depth to the stories. There are many examples
of brands increasing their sales after putting their goods in positive movie scenes, and
also beat their competitors after they paid to put the competitor’s products in bad light.
As a result, a hundred of brands can appear in a single movie, for example, the
Superman Movie-Steel Man, and people didn’t even notice.
Some people may think this overwhelming number may cause the audience
discomfort, but it won’t be a problem. In contrast, beside influencing implicit
attitudes, product placement can also affect fans’ self-identification. This means even
if people notice it is an attempt of advertising, they still give the brand a like since it
was used by their favourite characters. For instance, a lot of fangirls will think that
they can be as beautiful as the actor if they use the same cosmetic brands in the movie.
In conclusion, product placement proved itself as the best way of advertising
and influencing the customers without much suspicion, but it will be hard for people
to protect themselves from this kind of manipulation method.
It is a common belief that Product placement outperforms all other types of
advertising. Product placement is a form of advertising in which branded goods and
services are featured in a production that targets a large audience From my
perspective, I completely agree with this view for several reasons.
Firstly, advertisers choose product placement over other tactics is that, as
current technology advances, it is becoming simpler to reach potential customers.
These ordinary commercials are no longer effective because they have become dull
and uninteresting. Rather than crafting a standard video that can be easily ignored,
advertisers pair their product with movies or TV programs.
Secondly, the approach has such a great effect is that it may easily integrate
into the storyline or even add some elements to stories. For example, if a character
from Texas in a movie drink beer, it will not raise any suspicion for the audiences.
Product placement, on the other hand, might alter fans' implicit self-identification in
addition to their implicit opinions. This implies that even if consumers are aware that
it is an advertisement, they will still favor the brand since it is associated with trends
or being used by their idols.
In conclusion, the most powerful means of promoting and marketing is product
placement because of its easiness and effectiveness
KFC, is a famous global food brand which is famous for their main product, the fried
chicken. They have been one of the first fast food brand in the world with the sloganit’s
finger lickin’ good, which means they are fast and convenient. At first, they aim to target the
hungry traveller, but now, they main client is lazy people who searching for fast food and
saving time. KFC founder became success after he found a way to fried a quantity of chicken
in less amount of time, and keep the quality of their chicken til now. But, just like any brand,
KFC also face hard time, when they being frame of using mutant chicken, or their chicken are
fake. After that, KFC insist their chicken is very much real. Their website says: “One hundred
per cent of our chicken is real and meets independently assured animal welfare and food
safety standards, all the way from farm to fingers.” So, the rumour die down after sometime,

Although raising funds through brokerages has some strong advantages, there

above, it is clear that the companies will receive less money from the investors
because of the high commission fee that companies and customers have to pay
for the investment banks. But they can’t complain about it, as long as the cartel
monopolizes the information sources, the CEOs always need to be careful of
collusion that may lead to the corruption of the businesses. It is dangerous to be
lied to in darkness, so the best solution would be finding another trusty
information network if possible.
In conclusion, entrusting the investment firms to go public may sound
favorable, but the consequences of aggressive actions can badly damage the

Is it true that holding an auction of shares is a good method when a company
decide to go public? In my opinion, I would said that it depends. Public auction might
be the good way, but not the best way.
There are various advantages we can mention about auction method. Firstly,
the company will receive more money from investors, because they don’t need to pay
commission fee for the intermediaries anymore. That extra amount of money can be
used to invest in other aspects such as marketing campaign or innovating products.
Secondly, the CEOs and shareholders court can proactively control the information of
their company stocks and shares, and avoid collusive and corrupt state.
Although raising capital through public auction can bring a huge sum of fund
for the company, it also have some disavantages and leaves some consequences.
Selling shares to public by auction is not the best choice, especially for new
companies that lack experiences, as it take much more time to raise capital without
proper clients network. Even if the firm somehow success with this method, it would
be gunned for by others and hard to make alliances, and the pressure is clearly no
jokes for a yet-powerful company.
In conclusion, public auction is a good way of launching an IPO, but it depend
on the founder experiences and abilities to make it succeed.

Some people believe that it is a good idea to rely only on their personal instinct
when making even those risky decisions. In my opinion, I completely against
this idea, since human intuition is a terrible choice when it comes to solving
problem. The reasons are simple.
One thing about human institution is the fear of failure, which make people feel
nervous when thinking too much about the final result, and the consequences of
their action. This can be a trauma for people who already experience failure in
the past, as a result, they become less confident, easy to give up, set their
restriction and rather not taking challenges. In fact, a lot of people decide to
leave the problem unsettled, or give up the perfect opportunities because they
are unsure if they can do it or not.
Another opposite case is some people never consider about the core factors of
problem or think about the consequences before they act, which is more
dangerous than thinking too much. Those people who called “simple mind” are
unlikely ever doubting their own decisions or reflecting on it, even when the
situation has gone worse. As a matter of fact, no small numbers of investors
have faced bankruptcy as being too stubborn of their investment.
Most important, a lot of people gamble on their gut since their chances of
success are fifty-fifty. It is true that there is a chance of success if they have
great luck, but it is no good not considering the matters involved. Carefully
analyzing every single minor pieces of problem and taking in others comments
can lessen the risks by a lot, which also lessen the nervous and uncertain
feelings.
In the end, handling risks and solving problem merely based on inner feelings is
