Lời đầu tiên, chúng em xin được gửi lời cảm ơn chân thành nhất đến cô Lê Trường
Diễm Trang. Trong quá trình học tập và tìm hiểu môn Kỹ thuật nghiệp vụ ngoại thương,
chúng em đã nhận được rất nhiều sự quan tâm, giúp đỡ, hưỡng dẫn tâm huyết và tận tình
của cô về các nội dung học và các trường hợp thực tế. Cô đã giúp chúng em tích lũy thêm
nhiều kiến thức và hiểu nhiều hơn không chỉ là lý thuyết trên sách vở mà còn là cách vận
hành ở thực tiễn về môn học này để chúng em có thể hoàn thành được bài tập cuối kỳ.

Bài tập lớn được tham gia xây dựng, đóng góp bởi bốn thành viên tuy nhiên kiến
thức là vô hạn và khả năng tiếp thu của mỗi người lại có giới hạn. Vì vậy, trong quá trình

The Seller agrees to sell and the Buyer agrees to buy hereinafter commodities under the
follow terms and conditions:
ARTICLE 1: COMMODITY: Vietnamese cashew nuts new crop (freshly milled stock)
ARTICLE 2: QUALITY
Moisture: 10% max
Outturn: 25% not less than MIN
Defective: 10% max
Foreign matter: 1% max
ARTICLE 3: QUANTITY
Total: 1,200.00 MT(One thousand two hundred only) Metric Tons Vietnamese
cashew nuts new crop (freshly milled stock)
Tolerance: 5% at buyer’s option
Total Gross Weitght: 1,207.20 Metric Tons
 Net Weight: 1,200.00 Metric Tons
Number of Bags: 48,000 Bags
ARTICLE 4: SHIPMENT
Shipment date: Not later than 11th December 2023
Trans-shipment: Not allowed
Partial shipment: Not allowed
Port of Loading: Hochiminh City Port, Vietnam
Port of Destination: Swinoujscie, Poland
Notice of shipment: Within 3 working day after loading the cargo, the seller
should inform the buyer of partuculasrs of the shipment by Fax: +48 (22) 5721110.
ARTICLE 5: UNIT PRICE
USD5,512.00 (US Dollars Five Thousand Five Hundred and Twelve only) per
metric ton of 1,000 kgs net shipped weight FOB Hochiminh Port (Incoterms 2020)
Total amount: USD6.614.400.00 (US Dollars Six Million Six Hundred Fourteen
Thousand Four Hundred Only)
ARTICLE 6: PAYMENT
100% Invoice value by an irrevocable letter of credit at sight in favor of Food
Company of Hochiminh City Ltd.
ARTICLE 7: PACKING AND MARKING
PACKING:
The cashew nuts is packed in PE bags weighing 25 kgs
Weight of Empty bag: 0,025 MT net/bags
% empty spare bags: z3 PCT (1200 Pieces) empty spares free of charge to be delivered
along with the shipment
MARKING: Natural top-ranking
ARTICLE 8: INSPECTION: by Vinacontrol at the seller’s warehouse or at the port of
loading .
ARTICLE 9: FUMIGATION: The cashews nut must be fumigated in container at port of
loading
ARTICLE 10: DOCUMENT REQUIRED:
Full set (3/3) original clean on board Bill of Lading
Signed commercial invoice in triplicate
Packing list in triplicate
Certificate of Fumigation issued by Vietnam government/ competent authority
Certificate of Origin to be issued bt Vietnam Chamber of Commerce and Industry
(VCCI)

ARTICLE 11: FORCE MAJEURE

Neither party to this contract shall be held responsible for breach of contract caused by an
act of god, insurrection, civil war, war, military operation or local emergency. The parties
do hereby accept the international provision of "Force Majeure" published by the
International Chamber of Commerce, Geneva, Switzerland, and as defined by I.C.C rules
uniform customs and practice.
ARTICLE 12: CLAIMS AND ARBITRATION
In case of claim on quality discrepancy against the seller, the buyer shall officially notify
the seller by fax within 2 weeks from the date of arrival of vessel at discharging port.
Thereafter, both buyer and seller mutually appoint an international reputable neutral
inspection agency and such inspection result shall be deemed as final to both buyer and
seller.
Any dispute arising under this sales contract would be settled amicablely first. In case the
dispute cannot be settled dispute will be referred to thel Vietnam International Arbitration
Center of Vietnam Chamber of Commerce and Industry (VCCI). Under rules of
commercial Law of The Socialist Repuclic of Vietnam whose awards shall be final and
binding both parties. Aribitration fees and other related charge shall be borne by the
losing party.
This contract is made infour copies each party keeps two at the same value and coming
into force friom the date of signing.
ARTICLE 13: GENERAL TERMS: Both parties undertake to execute strictly all article
of this Contract. Any amendment or addition to this Contract shall be made in writing
arter being mutually agreed both parties.
