In consideration of the mutual covenants and agreements herein, the parties agree to

Sau khi xem xét các giao ước và thỏa thuận chung, các bên đồng ý với các điều
khoản và điều kiện như sau:

Article 1: Relationship between both parties / Điều 1: Mối quan hệ hợp tác
giữa các bên

Teacher a n d Antoree agree that the relationship between both parties is a

"partnership" relationship. Teacher is engaged in an independent business. Teacher is
a partner who provides the tutoring services t o Antoree. Teacher understands that
Teacher is NOT an "employee" of Antoree, under any definitions or understandings. The
relationship between Teacher and Antoree will be governed by the terms in this
Agreement.

viên". Giáo viên có một công việc độc lập. Giáo viên cộng tác và cung cấp dịch vụ
gia sư cho Antoree. Giáo viên hiểu rằng giáo viên không phải là "nhân viên" của
Antoree, dưới bất kỳ định nghĩa hoặc cách hiểu nào. Mối quan hệ giữa giáo viên và
Antoree được quy dịnh bởi các điều khoản trong thỏa thuận này.

Article 2: Service Description / Điều 2: Mô tả dịch vụ

2.1 Teacher agrees to provide the English tutoring services to Antoree. Antoreee will
pay Teacher a service fee equivalent to 130/PHP/hour for all classes (excluding the
service management fee of 10%) and the provisions on increasing the tutoring service
fees, as well as the bonuses that are stipulated in the Appendix 1 of this Agreement, or
under a separate agreement between Teacher and Antoree which may be in various
forms.

2.1 Giáo viên đồng ý cung cấp dịch vụ gia sư tiếng Anh cho Antoree. Antoreee trả
phí dịch vụ cho giáo viên với mức tương đương 130/PHP/giờ cho tất cả các lớp
(chưa bao gồm phí dịch vụ quản lý 10%) và các điều khoản tăng phí gia sư cũng
như là các loại tiền thưởng quy định trong Phụ lục 1 của thỏa thuận này, hoặc theo
một thỏa thuận riêng lẻ giữa giáo viên và Antoree có thể dưới nhiều hình thức.

2.2 Teacher will get paid for the "official" teaching hours, which excludes "trial" hours.
Trial classes are optional and teachers can refuse to give such lessons.

2.2 Giáo viên sẽ được tính lương theo giờ dạy "chính thức" ngoài trừ những giờ "dạy
thử" các lớp dạy thử là không bắt buộc và giáo viên có thể từ chối các lớp dạy học
này.

Article 3: Payment method and timeline / Điều 3: Cách thức thanh toán và
mốc thời gian

3.1 Payment method: Antoree shall pay Teacher under the payment method as agreed
between Teacher and Antoree, which will be dependent on the country of residence of
the Teacher. For each country, Antoree will support certain possible payment methods
that can be applied. Teacher will need to be able to use one of the supported payment
methods in order to receive the payment. If Teacher anticipates any possible
difficulties in receiving payment, Teacher shall inform Antoree in advance BEFORE
providing the tutoring services.

3.1 Cách thức thanh toán: Antoree sẽ trả lương Giáo viên theo cách thức thanh
toán đã thỏa thuận giữa Giáo viên và Antoree, điều này phụ thuộc vào đất nước mà
Giáo viên đang cư trú. Với từng quốc gia, Antoree sẽ hỗ trợ một số các phương thức
thanh toán có thể áp dụng. Giáo viên phải sử dụng được một trong số các phương
thức thanh toán được hỗ trợ để nhận lương. Nếu Giáo viên dự đoán được những khó
khăn có thể có trong việc nhận lương, Giáo viên phải thông báo cho Antoree trước
khi bắt đầu dịch vụ gia sư.

3.2 Teacher shall provide complete and accurate payment information (including
personal details) as required by Antoree (depending on the country’s of residence of
the Teacher). Antoree shall NOT be responsible if the Teacher does not receive
payment due to wrong or incomplete information provided.

3.2 Giáo viên sẽ cung cấp đầy đủ và chính xác thông tin thanh toán (bao gồm chi
tiết cá nhân) cần thiết cho Antoree (phụ thuộc vào đất nước mà Giáo viên đang cư
trú). Antoree sẽ KHÔNG chịu trách nhiệm nếu Giáo viên không nhận lương vì cung
cấp thông tin sai sót.

3.3 Teacher understands that the service fee mentioned in Article 2 of this Agreement
is stipulated in US Dollar for the purpose of easy reference only. The actual payment
will be paid in the local currency of the Teacher’s country of residence, or in VNĐ, at
the applicable exchange rate set forth by Antoree (please note that this exchange rate
may differ from the market rate or the bank rate). HOWEVER, the exact exchange rate
to be applied as well as the currency paid shall always be informed by Antoree to the
Teacher in advance BEFORE Teacher starts providing the tutoring services, and when
there are changes, Antoree shall inform Teacher at least 1 month in advance.

3.3 Giáo hiểu rằng các phí gia sư nêu ở Điều 2 của thỏa thuận này được quy định
theo đồng Đô la Mỹ nhằm mục đích dễ dàng tham khảo. Tiền lương sẽ được thanh
toán dựa vào nội tệ của quốc gia nơi Giáo viên đang cư trú, hoặc theo VND, theo tỷ
giá hối đoái hiện hành đặt ra bởi Antoree (lưu ý tỷ giá này có thể khác so với tỷ giá
của thị trường hoặc ngân hàng). TUY NHIÊN, tỷ giá được áp dụng sẽ được Antoree
thông báo cho Giáo viên TRƯỚC khi Giáo viên bắt đầu dịch vụ gia sư, và khi có thay
đổi, Antoree sẽ thông báo Giáo viên trước ít nhất 1 tháng.

3.4 For many countries, Antoree’s payment to Teacher will not incur any extra third-
party fees. However, for other countries, Antoree's payment to Teacher will be through
one of Antoree's payment partners (e.g. banks, PayPal, TransferWise, Skrill, Payoneer,
Visa / MasterCard, etc.) and therefore may (or may not) incur third-party fees paid to
those payment partners. Such third-party fees will be determined by those payment
partners and deducted directly into the amount paid by Antoree to the Teacher. In case
that there may be such third-party fees, Antoree will inform Teacher in advance
BEFORE Teacher starts providing the tutoring services, and when there are changes,
Antoree shall inform Teacher at least 1 month in advance.

3.4 Với nhiều quốc gia, tiền lương Antoree phải trả cho Giáo viên sẽ không bao gồm
phí dịch vụ bên thứ ba. Tuy nhiên, đối với các nước khác, tiền lương sẽ được trả
thông qua một trong những đối tác của Antoree (vd: ngân hàng, Paypal,
TransferWise, Skrill, Payoneer, Visa/Mastercard, v.v.). Vì thế, sẽ bao gồm (hoặc
không bao gồm) phí dịch vụ cho bên thứ ba. Phí dịch vụ cho bên thứ ba này sẽ dựa
vào các đối tác thanh toán và sẽ được tính trực tiếp vào tiền lương Antoree trả cho
Giáo viên. Trong trường hợp có phí bên thứ ba, Antoree sẽ thông báo cho Giáo viên
TRƯỚC khi Giáo viên cung cấp dịch vụ gia sư, và nếu có thay đổi, Antoree sẽ thông
báo cho Giáo viên TRƯỚC khi Giáo viên cung cấp dịch vụ gia sư, và nếu có thay
đổi, Antoree sẽ thông báo trước ít nhất 1 tháng.

3.5 Teacher shall be paid monthly, after each month of tutoring services. The payment
will be made by Antoree in the first 8 working days (excluding Saturdays, Sundays and
the public holidays of Singapore, Vietnam, United Kingdom and the Teacher's country
of residence) of the subsequent month after the month of the tutoring services. Please
note that under the terms of the payment banks or the third-party payment service
providers (as mentioned in 3.4), it will take some time from the time that the payment
is made until the Teacher can receive the payment (which may range from one (1) to
four (4) working days, but sometimes may be longer, depending on the Teacher’s

country of residence, and the relevant payment banks or payment service providers).

3.5 Giáo viên sẽ được trả lương hằng tháng, sau mỗi tháng dịch vụ gia sư. Khoản
thanh toán sẽ được thực hiện bởi Antoree trong 8 ngày làm việc (trừ thứ Bảy, Chủ
nhật và các ngày lễ ở Việt Nam, Vương Quốc Anh và ngày lễ ở quốc gia Giáo viên
đang cư trú) trong tháng tiếp theo sau tháng dịch vụ gia sư. Lưu ý rằng theo các
điều khoản của ngân hàng thanh toán hoặc nhà cung cấp dịch vụ thanh toán thứ ba
(đã nêu ở 3.4), sẽ mất một khoản thời gian tính từ lúc thanh toán tới lúc Giáo viên
nhận được lương (thời gian này có thể kéo dài từ (1) đến (4) ngày làm việc, nhưng
đôi lúc có thể lâu hơn, phụ thuộc vào đất nước Giáo viên đang cư trú, các ngân
hàng thanh toán hoặc nhà cung cấp dịch vụ thanh toán có liên quan).

T h e payment will be made by Antoree under the above timeline if the following
conditions are satisfied:

Khoảng thanh toán sẽ được thực hiện bởi Antoree dưới mốc thời gian nêu trên nếu
các điều kiện sau đây được thỏa mãn:
- Teacher provides complete and accurate payment information (including personal
details) as required by Antoree BEFORE the last date of the month of tutoring
services. (In the event that the Teacher is late in providing such information,
Antoree will still try to make payment to the Teacher after receiving the
information, however, because there may be certain agreements between
Antoree with the payment banks or the payment service providers, such late
payment may not always be possible, so in those cases, the payment will be
added up together with the payment for the subsequent month.)
- Giáo viên cung cấp đầy đủ và chính xác thông tin thanh toán (bao gồm chi tiết
cá nhân) theo như yêu cầu bởi Antoree TRƯỚC ngày cuối tháng dịch vụ gia sư.
(Trong trường hợp Giáo viên cung cấp thông tin trễ, Antoree vẫn trả lương cho
Giáo viên sau khi nhận được thông tin. Tuy nhiên, bởi vì có một số thỏa thuận
giữa Antoree với các ngân hàng thanh toán và nhà cung cấp dịch vụ thanh
toán, các thanh toán trễ có thể không khả thi, vì vậy trong những trường hợp
như vậy, khoản thanh toán sẽ được thêm vào lương Giáo viên trong tháng sau).
- Information about the Teacher's number of teaching hours is provided by the
Teacher completely and accurately, and is available completely and accurately on
Antoree's online system latest by the first date of the subsequent month after the
month of tutoring services. (In the event that the Teacher fails to provide the
number of teaching hours, Antoree will still try to make payment to the Teacher

 after receiving the information, however, because there may be certain
agreements between Antoree with the payment banks or the payment service
providers, such late payment may not always be possible, so in those cases, the
payment will be added up together with the payment for the subsequent month.)
- Thông tin về số giờ dạy được cung cấp bởi Giáo viên một cách đầy đủ và chính
xác, và sẽ có sẵn đầy đủ và chính xác trên hệ thống trực tuyến của Antoree trễ
nhất vào ngày đầu tiên của tháng tiếp theo sau tháng dịch vụ gia sư. (Trong
trường hợp Giáo viên không cung cấp đúng giờ dạy, Antoree sẽ cố gắng hoàn
thành thanh toán lương cho Giáo viên sau khi nhận được thông tin. Tuy nhiên,
bởi vì có một số thỏa thuận giữa Antoree với các ngân hàng thanh toán và nhà
cung cấp dịch vụ thanh toán, các thanh toán trễ có thể không khả thi, vì vậy
trong những trường hợp như vậy, khoản thanh toán sẽ được thêm vào lương
Giáo viên trong tháng sau).
- The payment amount must be larger than the payment threshold, in order for the
amount to be paid to the Tutor. This payment threshold will depend on the
Teacher's country of residence as well as the relevant payment banks or payment
service providers and other factors that may be determined from time to time.
The payment threshold shall be informed to the Teacher in advance BEFORE
Teacher starts providing the tutoring services, and when there are changes in the
payment threshold, Antoree will inform Teacher at least 1 month in advanced. (In
case the payment amount is too small or under the payment threshold, the unpaid
amount will be added up together into the payment
- Số tiền thanh toán phải lớn hơn ngưỡng thanh toán để có thể được trả cho
Giáo viên. Ngưỡng thanh toán này sẽ phụ thuộc vào đất nước nơi Giáo viên cư
trú cũng như là các ngân hàng hoặc nhà cung cấp dịch vụ thanh toán có liên
quan cũng như là các yếu tố khác có thể xác định theo thời gian. Ngưỡng thanh
toán sẽ được báo cho Giáo viên TRƯỚC khi Giáo viên bắt đầu cung cấp dịch vụ
gia sư ở Antoree, và nếu có thay đổi về ngưỡng thanh toán, Antoree sẽ thông
báo trước cho Giáo viên ít nhất 1 tháng. (Trong trường hợp lượng tiền thanh
toán quá thấp hoặc dưới ngưỡng thanh toán, số tiền chưa trả sẽ được tính vào
lương trong tháng sau, cho đến khi tổng lượng tiền cao hơn ngưỡng thanh
toán).

I n the rare cases that there are unforeseen problems arose which are beyond the
control of Antoree, and not due to the fault of Antoree (e.g. technical problems from
the payment service providers or payment banks), the payment may be delayed, but
Antoree will make all best efforts for the payment to reach the Teacher as soon as

possible through different means.

Trong một số trường hợp hiếm khi một số vấn đề nảy sinh ngoài tầm kiểm soát của
Antoree, và không phải là sai phạm của Antoree (vd: vấn đề kỹ thuật từ nhà cung
cấp dịch vụ thanh toán hoặc ngân hàng), khoản thanh toán có thể bị trì hoãn,
nhưng Antoree sẽ dốc sức để khoản thanh toán tới tay Giáo viên sớm nhất có thể
bằng nhiều cách khác nhau.

3.6 If Teacher does not comply with the terms in this Agreement, Antoree has the
rights to deduct certain "penalty" amounts from the service fees paid to the Teacher.
The penalty amounts will be stipulated in this Agreement and/or the Appendix of this
Agreement, and/or in a separate notice from Antoree to the Teacher BEFORE the
Teacher starts providing the tutoring services, and when there are changes, Antoree
shall inform Tutor at least 1 month in advance.

3.6 Nếu Giáo viên không tuân theo với các điều khoản của thỏa thuận này,Antoree
có quyền khấu trừ một khoản "phạt" từ phí dịch vụ do Giáo viên cung cấp. Khoản
phạt này được quy định trong thỏa thuận này và/hoặc trong phụ lục của thỏa thuận
này, và/hoặc trong một thông báo ngắn từ Antoree tới Giáo viên TRƯỚC khi Giáo
viên bắt đầu cung cấp dịch vụ gia sư, và khi không có gì thay đổi, Antoree sẽ thông
báo Giáo viên ít nhất trước 1 tháng.

Article 4: Teacher's guarantees and confirmations / Điều 4: Cam kết và xác

nhận của Giáo viên

4.1 Teacher guarantees that, in the Teacher's country of residence, Teacher has the
rights to engage in an independent business and enter into this Agreement in order to
provide tutoring services to Antoree.

4.1 Giáo viên phải đảm bảo rằng, tại đất nước mà Giáo viên đang cư trú, Giáo viên
có quyền gia nhập vào một doanh nghiệp độc lập và cùng lúc đồng ý với thỏa
thuận này để cung cấp dịch vụ gia sư cho Antoree.

4.2 Teacher understands that, this tutoring service agreement is entirely based on the
personal will of the Teacher. Antoree shall not be responsible for the independent
actions of the Teacher during the time that the Teacher provides the tutoring services.

4.2 Giáo viên nên hiểu rằng thỏa thuận dịch vụ này hoàn toàn phụ thuộc vào mong
muốn của Giáo viên. Antoree không chịu trách nhiệm đối với các hành động độc lập
của Giáo viên trong suốt quá trình cung cấp dịch vụ gia sư cho Antoree.

4.3 Teacher guarantees that, Teacher has the rights to use all the documents and
teaching materials that Teacher provides to Antoree and/or Antoree's learners.

4.3 Giáo viên đảm bảo có đủ quyền sử dụng tất cả các tài liệu giảng dạy mà Giáo
viên cung cấp cho Antoree hoặc học viên của Antoree.

4.4 Teacher shall be responsible for the legitimacy and properness of the teaching
content that Teacher provides to Antoree and/or Antoree's learners.

4.4 Giáo viên phải có trách nhiệm đối với tính hợp pháp và đúng đắn của nội dung
giảng dạy mà viên cung cấp cho Antoree hoặc học viên của Antoree.

4.5 Teacher shall safeguard all the personal information of Antoree's learners that may
be made available to the Teacher during the course of providing the tutoring services.
Teacher is NOT allowed to disclose such information in any circumstances, or use such
information for any other purposes that are not related to Antoree. If violated, this
could lead to the termination of this Agreement as well as the payment of certain
penalties and fines.

4.5 Giáo viên phải bảo vệ thông tin cá nhân của học viên được cung cấp cho Giáo
viên trong suốt khóa học mà Giáo viên cung cấp dịch vụ gia sư. Giáo viên không
được phép tiết lộ các thông tin nêu trên trong bất cứ trường hợp nào hoặc nhằm bất
cứ mục đích nào không liên quan đến Antoree. Nếu vi phạm sẽ dẫn đến việc chấm
dứt hợp đồng và bị phạt tiền theo quy định.

4.6 Teacher shall NOT receive payments directly from Antoree's learners. All payments
to the Teacher will be made through Antoree. In the event that any Antoree's learners
want to pay directly to the Teacher, the Teacher shall reject that and immediately
inform Antoree about that situation. If Antoree finds out that the Teacher has collected
payments directly from the learners, this could lead to the termination of this
Agreement as well as the payment of certain penalties and fines.

4.6 Giáo viên KHÔNG được phép nhận học phí từ học viên của Antoree Tất cả các
khoản thanh toán sẽ được chi trả thông qua Antoree. Trong trường hợp học viên nào
của Antoree muốn thanh toán trực tiếp cho Giáo viên, Giáo viên phải từ chối và lập
tức thông báo cho Antoree về vấn đề này. Nếu Antoree phát hiện Giáo viên nhận
tiền trực tiếp từ học viên sẽ dẫn đến việc chấm dứt hợp đồng và bị phạt tiền theo
quy định.

4.7 The Teacher shall be responsible for the payment of personal income tax as

stipulated by the country from which the Teacher’s income accrues, and is applicable
in the Teacher's country of residence (if any). (If unsure, the Teacher shall check with
the relevant tax authorities about the matter. Additionally, the Teacher may request
Antoree to provide necessary payment documents, e.g. payment slips, so that the
Teacher can carry out the tax duties.)

4.7 Giáo viên phải chịu trách nhiệm nộp thuế thu nhập cá nhân theo đúng quy định
tại quốc gia mà Giáo viên phát sinh thu nhập, và áp dụng tại đất nước cư trú của
Giáo viên (nếu có). (Nếu không chắc chắn, Giáo viên phải kiểm tra với cơ quan thuế
liên quan về vấn đề này. Thêm vào đó, Giáo viên có thể yêu cầu Antoree cung cấp
hồ sơ thanh toán cần thiết, ví dụ như bảng lương, từ đó Giáo viên có thể thực hiện
các nghĩa vụ thuế).

4.8 Teacher shall NOT open or work at any Online English Center following Antoree’s
structure.

4.8 Giáo viên KHÔNG được mở hoặc làm việc cho bất cứ Trung tâm tiếng Anh
online nào khác cùng cơ cấu với Antorees.

4.9 Teacher shall keep confidential all information relating to all teachers and
Antoree. Teacher shall NOT disclose, use this information without permission at any
time, for personal purpose or for the benefit of any third party.

4.9 Giáo viên bảo mật tất cả thông tin liên quan đến tất cả Giáo viên vàAntoree.
Giáo viên không được tiết lộ, sử dụng thông tin mà không được phép vào bất cứ
thời điểm nào, nhằm mục đích các nhân hoặc để trục lợi cho bất kì bên thứ ba
nào khác.

4.10 Teacher shall NOT have any word or action cultivating adverse effect for Antoree.
Any disputes or disagreements shall be resolved through negotiation and mediation in
a friendly and cooperative manner.

4.10 Giáo viên KHÔNG được có lời nói hoặc hành động gây bất lợi choAntoree. Nếu
có tranh cãi hoặc không đồng tình sẽ được giải quyết thông qua đàm phán và hòa
giải một cách thân thiện và hợp tác.

Article 5: Teacher’s rights and responsibilities / Điều 5: Quyền và trách

- Get access into the online library for teaching materials provided by Antoree
Có quyền truy cập thư viện tài liệu giảng dạy trực tuyến được cung cấp

 - Get involved into the online tutor community o f Antoree as well as various
experience sharing sessions between the tutors
Được quyền tham dự vào cộng đồng gia sư trực tuyến của Antoree cũng như
những buổi chia sẻ kinh nghiệm giữa các Giáo viên.
- Receive training on teaching skills
Được đào tạo kỹ năng giảng dạy
- Get paid from Antoree in accordance to the terms as stipulated in Article 3 of this
Agreement
Được Antoree trả lương theo các điều khoản được quy định tại Điều 3 trong
Thỏa thuận này
- Have the rights to refuse performing services in a certain course (offered by
Antoree), however, this refusal shall be made BEFORE the start of the courses.

từ chối trước khi khóa học diễn ra

5.2 Teacher's responsibilities / Trách nhiệm của Giáo viên:

- Teacher shall be responsible for ensuring the teaching quality as required by
Antoree and Antoree's learners
Giáo viên có trách nhiệm đảm bảo chất lượng giảng dạy được yêu cầu bởi
Antoree và học viên.
- Teacher shall be responsible for updating the curriculum taught regularly so that
Antoree can arrange suitable learners for the Teacher
Giáo viên có trách nhiệm cập nhật lộ trình giảng dạy thường xuyên để Antoree
có thể sắp xếp học viên phù hợp cho Giáo viên
- Teacher shall be responsible for updating the class information in the online
tracking files/system so that Antoree can perform the necessary tracking and
make tutoring service payment to the Teacher
Giáo viên có trách nhiệm cập nhật thông tin lớp học trên thư mục/ hệ thống
theo dõi trực tuyến để Antoree có thể theo dõi và thực hiện thanh toán cho
Giáo viên
- Teacher shall be responsible for recording lessons when required by Antoree or
learners.
Giáo viên có trách nhiệm ghi hình buổi học khi được yêu cầu bởi Antoree và
học viên
- Teacher shall be responsible for the complete performance of the tutoring services
to Antoree's learners with the exact timeline, roadmap and curriculum as
discussed and agreed with Antoree and the learners

- Teachers must confirm the session within 10 hours after the class happened. If fail
to do so, the sessions confirmed by Antoree will be counted as 70% of the original
session.In the situation of system errors, kindly record the details and report to
CHAT BOX (CC) for the support.
Giáo viên có trách nhiệm xác nhận buổi học trong vòng 10 giờ sau khi kết
thúc buổi học đó. Nếu không, buổi học được xác nhận bởi Antoree sẽ được trả
70% lương giờ đó

5.3 Antoree's responsibilities / Trách nhiệm của Antoree:

- Antoree shall make payment to the Teacher under the payment methods, timeline
and conditions as stipulated in Article 3 of this Agreement.
Antoree phải thanh toán cho Giáo viên theo cách thức, mốc thời gian và điều
kiện được quy định tại Điều 3 trong Thỏa thuận này.
- Antoree shall be responsible in holding the classrooms, supporting the teaching
materials, as well as resolving any problems and issues between the Teacher and
the learners that may arise from time to time.
Antoree sẽ chịu trách nhiệm tổ chức lớp học, hỗ trợ tài liệu giảng dạy, cũng
như giải quyết những bất cập và khó khăn nảy sinh giữa Giáo viên và học viên
trong thời gian học tập.

Article 6: Duration of this Agreement / Điều 6: Thời hạn của thỏa thuận này

6.1 This Agreement shall be valid from the signing date.

6.1 Thỏa thuận này sẽ có hiệu lực từ ngày ký.

6.2 Teacher only has the rights to unilaterally terminate this Agreement from the
signing date of this Agreement following regulation of course cancellation in Appendix
3 in this Agreement. Teacher has to teach at least 10 teaching hours at Antoree every
month to get paid for the recent cut-off. If not, the payment will be combined for the
next month. If the teacher has not taught enough 10 hours in the cut-off before
resigning, the salary will not be paid.

6.2 Giáo viên có quyền đơn phương chấm dứt thỏa thuận này từ ngày ký hợp đồng
theo quy định hủy khóa trong phụ lục 3 của hợp đồng này. Giáo viên cần phải dạy ít
nhất 10 giờ mỗi tháng tại Antoree để được trả lương theo đợt cut-off của tháng đó.

6. 3 Antoree has the rights to unilaterally terminate this Agreement in case that
Teacher does not comply with the commitments and responsibilities of the Teacher
stipulated in Article 4 and Article 5 of this Agreement.

6. 3 Antoree có quyền đơn phương chấm dứt thỏa thuận này trong trường hợp Giáo
viên không tuân thủ cam kết và trách nhiệm của Giáo viên quy định trong mục 4 và
5 của thỏa thuận này.

Article 7: Other provisions / Điều 7: Những điều khoản khác:

7.1 Both sides agree to comply fully and properly with all the terms in this Agreement.

7.1 Cả hai bên đều đồng ý chấp hành đầy đủ và đúng đắn những điều khoản trong
thỏa thuận này.

7.2 All the changes to this Agreement must be agreed by both Teacher and Antoree.

7.2 Tất cả những thay đổi trong thỏa thuận này đều phải được chấp thuận bởi Giáo
viên và Antoree.

7.3 Teacher and Antoree agree to make all efforts to ensure the interests of both
sides, to enforce the terms of this Agreement, as well as to mutually support each
other so as to create get the most value to both sides.

7.3 Giáo viên và Antoree đồng ý nỗ lực đảm bảo lợi ích đôi bên, để thi hành các
điều khoản của thỏa thuận này, cũng như là hỗ trợ lẫn nhau nhằm mang lại giá trị
lớn nhất cho cả hai bên.

7.4 During the course of this Agreement, if there are any difficulties or issues arisen,
both sides shall inform each other as soon as possible, and quickly resolve the
situation.

7.4 Trong quá trình của thỏa thuận này, nếu có những khó khăn hay trục trặc, cả
hai bên phải thông báo cho nhau sớm nhất có thể và nhanh chóng giải quyết vấn
đề.

7.5 Any disputes or disagreements shall be resolved through negotiation and

mediation in a friendly and cooperative manner. In case of failure in reaching an

acceptable solution through negotiation and mediation, one or both sides may request
for settlement in the courts in Singapore and/or in the Teacher's country of residence.

7.5 Tất cả những tranh cãi hay bất đồng sẽ được giải quyết qua đàm phán và hòa
giải một cách thân thiện và hợp tác. Trong trường hợp không tìm được một cách giải
quyết thân thiện và hợp tác, một hoặc cả hai bên có thể yêu cầu giải quyết ở tòa án
Việt Nam và / hoặc tại tòa án nơi Giáo viên cư trú.

7.6 This Agreement is governed by the laws of Singapore and the laws of the Teacher's
country of residence. In case of different interpretations, the laws of Singapore shall
prevail.

7.6 Thỏa thuận này tuân theo luật pháp Việt Nam và luật pháp đất nước Giáo viên
đang cư trú. Trong trường hợp có sự khác biệt, luật pháp Việt Nam chiếm ưu thế.

7.7. Any changes in Terms Of Class (Appendix 2 and 3) will be updated on Antoree
website and be informed 1 week in advanced

With the continuous growth in the number of teachers as well as the classes, Antoree
would like to send out the updated version of “Terms of Teaching” with the aim of
optimizing our quality service and let all teachers be fully aware of new changes in
working regulations with Antoree. “Terms of teaching” is expected to be implemented
since January 10th 2017.

Với tốc độ tăng trưởng của số lượng Giáo viên cũng như là số lớp học, Antoree
muốn gửi phiên bản đã cập nhật của “Điều khoản dạy học” với mục tiêu tối ưu hóa

on the website. Based on the teacher’s most updated schedule, students can choose
their teachers and Antoree can match the suitable class for the teachers.

Teachers should consider the amount of classes which you apply for. Making sure that
you won’t just drop classes after a lesson, we have a just penalty for dropping classes

class. There will be penalty: no payment of that teaching hour, except for the

● The Internet connection should be stable with the minimum speed at 2 MPB/s.

● English are encouraged to be used as much as possible during the class.
Particularly, students with low English capability should be encouraged to increase
the frequency of using English in the class with Vietnamese teachers.

● If teachers does not see the students online to start a lesson, teachers must inform
Antoree (the CHATBOX (CC) on teacher's profile) within the first 15 minutes so the
ACS can help to contact the students immediately.
Nếu Giáo viên không thấy học viên online để bắt đầu buổi học, Giáo viên phải
thông báo CHAT BOX (CC) trên profile giáo viên trong vòng 15 phút, ACS sẽ
giúp Giáo viên kết nối với học viên ngay lập tức.
● If the student is absent and the teacher already informed the CHAT BOX (CC)
within the first 15 minutes, that session will be added for teacher’s payment of
that month. If the teacher fails to report the CHAT BOX (CC), that session will not
be added.

It is necessary to ensure the punctuality of the class and follow the class which
both agreed between teachers and students. Teacher is required to record all classes.
Each month, the class recording (containing the number of teaching hours) will be sent
to students and teachers via email at the same time and on Antoree website. If any
violations are identified, the teachers would Not get payment for that month.

Việc đảm bảo đúng giờ và theo sát lớp học là cần thiết và đã được đồng ý giữa
giáo viên và học viên. Giáo viên phải thu hình tất cả lớp học. Mỗi tháng, những ghi
hình lớp học (bao gồm giờ dạy của giáo viên) sẽ được gửi đến học viên và giáo viên
thông qua email và đồng thời trên website của Antoree. Nếu có vi phạm nào được
phát hiện, giáo viên sẽ Không được trả lương trong tháng đó.

I t is essential to fill out the full content of the class that the teachers have already
conducted. In addition, Antoree encourages teachers to fill in advance the content of
next classes as based on that, students can be aware of what they have learned and
easily follow the course plan.

Giáo viên cần phải điền đầy đủ nội dung bài giảng mà giáo viên đã dạy. Ngoài ra,
Antoree khuyến khích giáo viên điền trước nội dung bài giảng dựa theo tiêu chí
rằng học sinh có thể hiểu rằng mình đã học gì và dễ dàng theo kế hoạch khóa học.

In each course, students send their feedbacks about teachers at the 5th, 12th, 24th or
36th class. Besides, teachers send periodic assessment of the students at the 12th,
24th and 36th class to review the progress of students after a period of learning.
Deducting 2-teaching hours/student if the teacher fails to send thorough, precise and
detailed feedbacks.

Antoree gets feedback from students about their learning experience via mail, phone
or our website. We always ensure the transparency and integrity in rate and review
from both students and teachers. You both receive feedbacks from the other side via
email or on our website.

hoặc qua trang web. Chúng tôi luôn đảm bảo tính trong suốt, chính trực trong đánh

 APPENDIX 2: TERMS OF CLASS

PHỤ LỤC 2: CÁC ĐIỀU KHOẢN CỦA LỚP HỌC

1. Class schedule and duration / Lịch học và thời lượng lớp học

- Class schedule will be decided through discussion between a Teacher and a Learner
and will be fixed throughout the course. ACS will acknowledge this schedule to track
the course. Class schedule can be changed if both the Teacher and the Learner agree
and with notice to the ACS.

- Lịch học sẽ được quyết định thông qua thảo luận giữa Giáo viên và Học viên và sẽ
được cố định trong suốt khóa học. ACS sẽ dựa trên lịch trình này để theo dõi khóa
học. Lịch học có thể được thay đổi nếu cả Giáo viên và Học viên đều đồng ý và có
thông báo cho ACS.

- Class duration suggested by Antoree is 1 (one) hour. However, it can be flexibly

adjusted to cater for specific needs of Learner or Teacher. After each class, Teacher will
update class duration on Antoree system and Learner (or parents) will verify. Antoree
will pay teaching fee based on the actual duration of the class. There will be NO
payment for that class if Teacher fails to do research on learner's schedule and drop
class without informing ACS team a month beforehand.

- Thời lượng lớp học được đề xuất bởi Antoree là 1 (một) giờ. Tuy nhiên, nó có thể
được điều chỉnh linh hoạt để phục vụ cho các nhu cầu cụ thể của Học viên hoặc

Classes are allowed to take place no later than 30 minutes from the agreed schedule.
Any delay must be notified to Antoree before the session. Any delay more than 30
minutes will be considered as class cancellation without notice.

4. Ongoing class interruption / Gián đoạn khi lớp học đang diễn ra

Any problems relating to power outage, internet disruption, etc. which cause class
interruption, Learner and Teacher must IMMEDIATELY inform CHAT BOX (CC). The
duration for that class will be counted until CHAT BOX (CC) receive information and
confirm the problems with the other one.

Bất kỳ vấn đề nào liên quan đến mất điện, gián đoạn internet, v.v ... gây gián đoạn
lớp học, Học viên và Giáo viên phải NGAY LẬP TỨC thông báo cho các CHAT BOX
(CC). Thời lượng của lớp đó sẽ được tính cho đến khi các CHAT BOX (CC) nhận được
thông tin và xác nhận các vấn đề với lớp khác.

5. Course suspension / Đình chỉ khóa học

In case Learner or Teacher cannot attend the classes in 1 (one) month onwards, the
course will be suspended.

Trong trường hợp Học viên hoặc Giáo viên không thể tham dự các lớp học trong 1
(một) tháng trở đi, khóa học sẽ bị đình chỉ.

Learner who wants to suspend the course due to legitimate reasons need to inform
Teacher and ACS one week beforehand.

Người học muốn tạm dừng khóa học vì lý do chính đáng cần phải thông báo trước
cho Giáo viên và ACS trước một tuần.

Teacher who needs to stop teaching due to legitimate reasons need to inform Learner
and Teacher Success Team 1 month beforehand. If Teacher fails to do this, Class Rules
will be applied.

Giáo viên ngừng giảng dạy vì lý do chính đáng cần thông báo cho học viên và bộ
phận quản lý giáo viên trước 1 tháng. Nếu Giáo viên không làm điều này, Nội quy
lớp sẽ được áp dụng.

6. Course recording / Ghi hình lớp học

Course record instructions will be as follows /Dưới đây là hướng dẫn theo dõi lớp học:

Teacher will be the one who adds the number of teaching hours on Antoree website.
However, Learner needs to keep track and confirm the data added regularly. Antoree

will base on the data on website to calculate the teaching payment for Teacher.

Any updates or corrections on the total teaching hours of each period MUST be notified
to Antoree before 23:59 15th each month.

In case Antoree does not receive any concerns about payment before 14:00 on the
18th each month, the number of teaching hours in that period will be the one that
Teacher adds on Antoree website.

Giáo viên có trách nhiệm cập nhật số giờ đã dạy trên trang web của Antoree. Tuy
nhiên, học viên cần phải theo dõi và xác nhận giờ học thường xuyên. Antoree sẽ
dựa vào dữ liệu trên trang web để tính lương cuối tháng cho Giáo viên.

Các cập nhật và sửa đổi tổng số giờ dạy phải được thực hiện và hoàn thành trên
trang web của Antoree trước 23: 59 phút, ngày 15 hàng tháng.

Trong trường hợp Antoree không nhận được thắc mắc về việc thanh toán trước
14:00 phút, ngày 18 hàng tháng, tổng số giờ dạy đợt đó sẽ được tính theo số giờ
Giáo viên đã thêm vào trên trang web.

Ratings and Reviews / Xếp hạng và đánh giá

After each class, Teacher and Learner are required to rate and give reviews about that
class:

Ratings from 1 to 5 ( 5: highest, 1: lowest) based on the satisfaction of Teacher and

Learner for that class according to 4 criteria below:

lớp đó: Xếp hạng từ 1 đến 5 (5: cao nhất, 1: thấp nhất) dựa trên sự hài lòng của

7. The exempted case from penalties / Các trường hợp được miễn phạt:

Teachers are exempted from penalties if evidence for these cases is provided / Giáo
viên được miễn phạt nếu bằng chứng cho những trường hợp này được cung cấp :

8. When to receive teacher salary / Khi nào giáo viên được nhận lương?
- Teaching period will be calculated from the 16 th day of the month till the 15th day
(cut-off day) of the next month./ Thời gian giảng dạy sẽ được tính từ ngày 16
của tháng cho đến ngày thứ 15 (ngày cut-off) của tháng tiếp theo.
- Payment slip will be sent after 2 working days after the cut-off day of each
month./ Phiếu thanh toán sẽ được gửi sau 2 ngày làm việc sau ngày giới hạn
mỗi tháng.
- Payment slip feedback should be sent in the next 1 – 2 days after payment slip
was sent./ Phản hồi phiếu thanh toán phải được gửi trong 1 - 2 ngày tiếp theo
sau khi phiếu thanh toán được gửi.
- Payment will be transferred within 2 working days after the feedback./ Thanh toán
sẽ được chuyển trong vòng 2 ngày làm việc sau khi giải quyết các phản hồi.
- The time that teachers receive payment depends on payment method (Paypal,
TransferWise, Local transaction (VN), etc.) and the bank teachers are with / Thời
gian giáo viên nhận được lương phụ thuộc vào phương thức thanh toán (Paypal,
TransferWise, hoặc chuyển khoản nội địa, vv…) và tùy vào từng ngân hàng.
- All issues relating to payment will be solved after transfer day, and will be added
to the next month payment as pending amount / Tất cả các vấn đề phát sinh liên
quan đến việc thanh toán được giải quyết sau ngày chuyển lương sẽ được
thêm vào lương tháng sau.

9. Payment method / Phương thức thanh toán

Antoree makes payment to teachers using the following forms of payment / Antoree

For VND: Transferring to all kinds of bank account / Đối với VND: Chuyển vào tất cả

For other currency: Transferring via TransferWise, Paypal and OCBC. For TransferWise,
Antoree can only transfer to accounts in currency where banks are residing / Đối với
loại tiền tệ khác: Chuyển khoản qua TransferWise, Paypal và OCBC. Đối với
TransferWise, Antoree chỉ có thể chuyển vào tài khoản bằng loại tiền mà ngân hàng

Teachers are only allowed to use their own accounts for payment / Giáo viên chỉ được

Teachers are only allowed to add or change accounts for payment no later than the
cut-off date, which means the 15th day of a month./ Giáo viên chỉ được phép thêm
hoặc thay đổi tài khoản thanh toán không muộn hơn ngày cut-off, có nghĩa là ngày
15 của một tháng.

10. Rules for session adding / Các quy tắc thêm bài giảng

10.1. 24-hour session adding rule / Quy tắc thêm bài giảng trong vòng 24
giờ.

Teachers are allowed to add the sessions within 10 hours from the actual learning time
./ Giáo viên được phép thêm các buổi trong vòng 10 giờ kể từ thời gian học thực tế.

Learners have maximum 10 hours to confirm the sessions. After 10 hours, the system
will automatically confirm the sessions / Người học có tối đa 10 giờ để xác nhận lớp
học. Sau 10 giờ, hệ thống sẽ tự động xác nhận các phiên.

10.2. Penalty session adding rule / Phạt không thêm bài giảng

The system will record sessions as penalty sessions right after teachers have been
reported by Antoree staff or learners, in any circumstances teachers fail to follow the
Code of Conduct and Course of Agreement / Hệ thống sẽ ghi lại các lớp đó như một
lần bị phạt ngay sau khi giáo viên hoặc nhân viên của Antoree báo cáo, trong mọi
trường hợp giáo viên không tuân theo Quy tắc ứng xử và Thỏa thuận của khóa học.

The system will automatically record your sessions as normal sessions, after teachers
finish all the penalty sessions / Hệ thống sẽ tự động ghi lại các lớp học của bạn như
các lớp bình thường, sau khi giáo viên hoàn thành tất cả các phiên phạt.

 APPENDIX 3 / BONUS AND PENALTY POLICY

BONUS POLICY

30h-COURSE BONUS

1. Definition:

Based on the number of teaching hours, courses on Antoree.com are categorized into
different courses: 30-hour courses, 60-hour courses, 90-hour courses, 120-hour courses,
180-hour courses, and so on. ANTOREE INTERNATIONAL is from now on implementing a
“30-hour course” with the two-fold aim: first, meeting the customer demand; second,
paving the way for teachers to easily manage their teaching schedule to adapt to any
changes arising. Any type of course (except for exam preparation course, such as:
IELTS, TOEIC, etc), regardless long or short course, will be broken down into every 30-
hour course.

2. Rights and responsibilities:

After finishing 30 hours of teaching, both the teacher and the learner reserve the right
to make certain changes, as follows:

The teacher has the right to decide to or not to continue teaching the course.
The learner has the right to decide whether or not they want to change the
teacher.
If both the teacher and the learner agree to continue the course together, the
course will continue normally.

 The decision on continuation or discontinuation must be made after 25 hours of
teaching (prior to the end of the 30-hour course).
In case that there are no decisions made or no responses by both sides, the course
will continue normally. The teacher will be responsible for the next 30 hours of
teaching. Teachers inform ACS of their decision.
The teacher will be rewarded after completing 60, 120 and 180 hours of teaching.
The teacher will also be rewarded for finishing 30 hours of teaching providing that
the teacher assures the lesson plan and student’s progress, and submits the hand-
over note.

3. Appendix

The 30-hour Course should be the byproduct of at least 60 hours. For the course of 31
hours up to 59 hours which cannot be broken down into two even 30-hour courses, the
teacher in charge of the course must bear the responsibility for the whole course
completion. The teacher will be awarded a bonus for the course completion as a token
of appreciation of his/her dedication beside the retention bonus.

For example:

1. For the course of 60 hours: it will be broken down into 2 even 30-hour courses.
After completing the first 30-h course, a Vietnamese teacher has a right to choose
the continuation or discontinuation. If teachers continue to complete the 60h-hour
course, he/she will receive a bonus of 100 00 VND. If he/she stops teaching the
course and hands over the second 30-hour to another teacher, the second teacher
will receive a bonus of 30-h course for the course completion.
2. For the course of 75 hours: it will be broken down into 2 courses: one 30-hour
course and one 45-hour course. After completing the first 30-h course, a teacher
has a right to choose the continuation or discontinuation. If teachers continue to
complete the 60h-hour course, he/she will receive a bonus of 100 00 VND. If he/she
stops teaching the course and hands over the second 30-hour to another teacher,
the second teacher will receive a bonus of 30-h course for the course completion.
3. For the course of 95 hours: it will be broken down into 3 courses: two 30-hour
courses and one 35-hour course.

After the completion of course, teachers will receive the benefits as illustrated in the
table below:

RETENTION BONUS POLICY

To encourage and boost the productivity of all teachers, the retention policy, coming
into effect as of October 21, 2019, is based on the course retention. The policy is:

1. The teacher whose learner registers a new course of fewer than 108 hours on
Antoree.com will receive a bonus of 150,000 VND, or 330 PHP, or 6 USD.
2. The teacher whose learner registers a new course of more than 108 hours on
Antoree.com will receive a bonus of 300,000 VND, or 660 PHP, or 12 USD.
3. If the current course is the mixed course (co-teaching by 2 teachers), the bonus will
be divided evenly, and then awarded to both of the teachers in charge of the
course.

The bonus will be added to the salary after the periodical cut-off.

Teachers could terminate the course ahead of time if there is any force major event as

1. Health problem with certification approved by doctor or hospital.

2. Teacher who wants to take leave for more than 1 month (without reasonable
reason) will be considered resignation.

in a comprehensive manner throughout the course. If the course is declined to process,
the first session will be considered as non-paid session.

In case that Students request to change Teachers due to modification in original

requirements or any other reasons that are not related to Teachers such as changing
study schedule, teachers' gender or else, Teachers will still be paid for that teaching
hour of trial class.

lý do không xuất phát từ giáo viên: thay đổi lịch học, yêu cầu đối với giáo viên (giới

giờ học đó.

The trial classes will be recorded. Antoree will be responsible for collecting feedback
from teachers, students and the third parties (Teacher Support, Class Management and
Development, Educational Consultant) to give the fairest feedback on teachers’
performances during their teaching time.
