Day of Honor on Saturday, September
3rd. The theme of this year’s celebration is
“Representing Our Roots.” This event is free
and open to the public.
The day will begin with a free barbeque
drive-through feast at 1 p.m. Festivities
include performances by a variety of artists,
drummers, dancers and speakers. Other
activities include a variety of vendors and
local artists selling their products. Crow
Tribal Health is sponsoring a push dance
and music in the park, after Day of Honor
closing announcements.
The free drive-through barbecue
includes a brisket, corn, beans and frybread
picnic lunch. The festivities are in the lower
park where there are picnic tables spread
out. There are a limited number of tables,
so visitors are encouraged to bring a picnic
blanket for additional seating.

Owners To SMCA Board Of Directors
In response to the BUZZ full page article of
Thursday Aug. 18, 2021 the following is said:
1. Quoted: “Once the Chairperson made the
announcement that there was “no quorum” the
meeting was adjourned.” This was regarding the
annual meeting of the St. Marie Condo Association.
2. Self admittedly the Board Chairperson, Alice Hawkins
and the SMCA Administrative Assistant, DeAnn
Ketchum, did not give an answer to the question at
the meeting “if a legal quorum was official?’
3. The Board of Directors response in their BUZZ
response was “Just because you gathered up more
people or their proxy doesn’t automatically make
them count toward the quorum.” But last year’s
annual meeting it was allowed having done the same
thing and the Condo Attorney was present!
4. So why were the Owners allowed to sit for one and a
half hours in the heat while others called and drove
to other owners’ homes to get written proxies??
This could have been avoided if “No Quorum”
was repeated and the question answered to “Is this
quorum Legal?”....
5. But the Chairperson and Secretary had the time and
effort to write this full page bracketed response in the
BUZZ!!
6. Is this an example of responsibility and accountability
and trust? Is this fulfillment of fiduciary duties?
7. No meeting was official because of no quorum and
no vote was taken. Alice Hawkins resume was sent
out to all owners and she was up for re-election. So
how is she now on the Board of Directors as we were
told yesterday?

Response to St. Marie - a Current Overview #4
4. Initially there lacked enough owners and proxies to satisfy a quorum. After calling and driving to
owners homes to get attendance or proxy votes, a quorum was established. The Board Chairperson
and Secretary were asked if a legal quorum was official. NO ANSWER. Some owners spoke out
in protest. I simply said “Have the Registrars Tally” their check off lists. People starting walking out
of the meeting in disgust.
In response to your inaccurate statement that a quorum was established. I thought I would enlighten
you on what SMCA’s legal documents state. The Second Amended By-Laws of the Condominium
Association provide “Meetings and Voting” at paragraph 4, page 1, subparagraph d “Quorum:” No
meeting, regular or special, shall be convened to conduct business unless a quorum is present
in person or by proxy. A quorum shall consist of more than twenty-five percent (25%) of the total
aggregate interest of the Condominium. At any time, during any meeting that a quorum is not
present, such meeting shall be adjourned forthwith.
The Second Amended By-Laws of the Condominium Association provide For “Parliamentary Rules”
paragraph 18, page 5, subparagraph e, Robert’s Rules of Order (latest edition) shall govern the
conduct of the Association’s when not in conflict with the Act, the Declaration of these By-Laws.
Robert’s Rules of Order state in part… if it finds itself without a quorum it can do nothing but rise
and report to the assembly, which then adjourns.
Once the Chairperson made the announcement that there was “no quorum” the meeting was
adjourned.
Just because you gathered up more people or their proxy doesn’t automatically make them count
toward the quorum, the registrars have to determine if they are eligible to vote. Also, the hour and
a half that was spent trying to gather enough eligible owners for a quorum made it to where other
members became tired of waiting and left, so now you need to replace them as well. Furthermore,
the SMCA By-Laws states in part at paragraph 4, page 1, subparagraph c, “Notice:” Such notices
shall specify the date, time and place of the meeting and shall make provision to allow for the
voting of each Owner’s interest by proxy at the discretion of the owner. The proxies are to be
mailed along with the notice, thirty (30) days prior to the day of the meeting. Proxies are sent
to the address provided to the SMCA office by the owner, this helps guarantee that the owner
receives the proxy and not forged. This practice discourages association members from handing
out proxies and from soliciting proxies from fellow owners. This is standard practice in most HOA’s
and that’s precisely what Secretary Stewart and the Board of Directors did for this annual meeting.
As for the Board Chairperson, Alice Hawkins and the SMCA’s Administrative Assistant, DeAnn
Ketchum not giving you an answer to your question “if a legal quorum was official”, when you didn’t
receive an answer to your question why didn’t you ask Melinda Stewart, Secretary of the SMCA
Board of Directors and/or Tina Peabody, Treasure of the SMCA Board of Directors, not only were
they the majority of the board they were sitting right by you in the audience. At anytime, either one
of them could have asked the registrars or counted the votes themselves. Melinda Stewart made a
point of stating in her resignation letter that it wasn’t effective till after the Annual Meeting on August
11, 2022. The person whom you should have addressed with “have the registrars tally” was the one
causing chaos instead of fulfilling her duties as a board director. Chairperson, Alice Hawkins seat
was one of the two vacant seats up for election so, it wouldn’t be appropriate for her to insert herself
into the election process. Once again, the SMCA legal documents lay out all of this step by step. A
review of the documents may have prevented some of the confusion that you and Melinda Stewart
perpetrated.
