ስለመንግሥት እና የግል አጋርነት የወጣ አዋጅ A PROCLAMATION TO PROVIDE FOR THE
PUBLIC PRIVATE PARTNERSHIP
የመሠረተ ልማት ሥርዓቱን ጨምሮ የአገሪቱን WHEREAS, the participation of the private

transparency, economy and fairness in the award of

NOW, THEREFORE, in accordance with

GENERAL
ክፍል አንድ
1. Short Title
ጠቅላላ
፩. አጭር ርዕስ This Proclamation may be cited as “Public Private
Partnership Proclamation No. 1076/2018".
ይህ አዋጅ “የመንግሥት እና የግል አጋርነት አዋጅ
ቁጥር ፩ሺ፸፮/፪ሺ፲” ተብሎ ሊጠቀስ ይችላል፡፡ 2. Definitions
In this Proclamation unless the context requires
፪. ትርጓሜ
otherwise:
የቃሉ አገባብ ሌላ ትርጉም የሚያሰጠው ካልሆነ
በቀር በዚህ አዋጅ ውስጥ፦ 1. "Board" means the board established
pursuant to this Proclamation.
፩/ “ቦርድ” ማለት በዚህ አዋጅ መሠረት የሚቋቋም
ቦርድ ነው፤ 2. "Contracting Authority" means a Public
Body or a Public Enterprise which intends
፪/ “ተዋዋይ ባለስልጣን” ማለት ከግል ባለሀብት ጋር
to enter into a Public Private Partnership
የመንግሥት እና የግል አጋርነት ስምምነት
Agreement with a Private Party.
ለማድረግ የሚፈልግ የመንግሥት መሥሪያ
3. "Infrastructure Facility" means any
ቤት፣ የመንግሥት የልማት ድርጅት ነው፤
physical facility and systems that directly
፫/ “የመሠረተ-ልማት አውታር” ማለት በቀጥታም
or indirectly provide Public Service
ሆነ በተዘዋዋሪ የሕዝብ አገልግሎት ተግባራትን
Activity.
የሚያከናውኑ ግዙፋዊ ሀልወት ያላቸው
4. "Ministry" or "Minister" means the
አውታሮች እና ስርዓቶች ናቸው፤
Ministry or Minister of Finance and
፬/ “ሚኒስቴር” ወይም “ሚኒስትር” ማለት Economic Cooperation, respectively.
እንደአግባብነቱ የገንዘብና ኢኮኖሚ ትብብር 5. “Person” means any natural or juridical
ሚኒስቴር ወይም ሚኒስትር ነው፤ person.
፭/ “ሰው” ማለት የተፈጥሮ ሰው ወይም በሕግ
6. "Private Party" means a party that enters

፮/ “የግል ባለሀብት” ማለት ከተዋዋይ ባለስልጣን Agreement with a Contracting Authority.

7. "Project Agreement" means the Public
የሚያደርግ ወገን ነው፤
Private Partnership Agreement and other
፯/ “የፕሮጀክት ስምምነት” ማለት በተዋዋይ agreements entered into between the

8. "Project Company" means the legal entity
፲ሺ፪፻፴፯ incorporated under the laws of the Federal
፰/ “የፕሮጀክት ኩባንያ” ማለት በኢትዮጵያ Democratic Republic of Ethiopia by the
ፌደራላዊ ዲሞክራሲያዊ ሪፑብሊክ ሕጎች successful bidder whose sole purpose shall
be to execute and implement the Public
መሠረት በአሸናፊ ተጫራች በኢትዮጵያ ውስጥ
Private Partnership Agreement and other
የሚመሰረትና ዓላማውም የመንግሥት እና
Project Agreements, if any.
የግል አጋርነት ስምምነቱን እና
እንደአግባብነቱም ሌሎች የፕሮጀክት
ስምምነቶችን የሚተገብርና የሚያስፈጽም የሕግ 9. "Public Body" means any organ of the
ሰውነት የተሰጠው ኩባንያ ነው፤ Federal Government, which is wholly

and defined under the relevant laws of the

Federal Democratic Republic of Ethiopia.
በሙሉ በፌደራል መንግሥት ባለቤትነት ሥር
የሆነና አግባብነት ባላቸው በኢትዮጵያ
11. "Public Entity" means a Public Body or a
ፌደራላዊ ዲሞክራሲያዊ ሪፑብሊክ ሕጎች
Public Enterprise.
የተቋቋመ ድርጅት ነው፤
፲፩/ “መንግሥታዊ ተቋም” ማለት የመንግሥት
12. "Public Private Partnership" or "PPP"
መስሪያ ቤትን እና የመንግሥት የልማት
means a long-term agreement between a

Contracting Authority and a Private Party
፲፪/ “የመንግሥት እና የግል አጋርነት” ወይም
under which a Private Party:

means a contract concluded between the

means the unit established within the
፲፭/ “የመንግሥት እና የግል አጋርነት Ministry pursuant to this Proclamation;
ዳይሬክቶሬት ጄኔራል” ወይም “የመግአ
ዳይሬክቶሬት ጄኔራል” ማለት በዚህ አዋጅ
16. “Regional States” means any region
መሠረት የሚቋቋም ተጠሪነቱ ለሚኒስትሩ
referred to in Article 47(1) of the

፲፮/ “የክልል መንግሥታት” ማለት በኢትዮጵያ Republic of Ethiopia and includes the

administrations;
መንግሥት አንቀጽ ፵፯(፩) የተዘረዘሩት
የክልል መንግሥታት ሲሆኑ ለዚህ አዋጅ 17. "Unsolicited Proposal" means any proposal

3. Objective
መመዘኛዎች አንጻር የሚያስገኘው የጠቀሜታ
This Public Private Partnership Scheme shall

በግል ባለሀብቶች ፋይናንስ የሚደረጉ Money, efficiency and long-term
ፕሮጀክቶችን ለማበረታታትና ለመደገፍ sustainability;
የሚያስችል አመቺ ማዕቀፍ እንዲኖር ማድረግ፤ 3/ to improve quality of Public Service

Activity; and
፪/ ግልጽነትን፣ፍትሀዊነትን፣ ለገንዘብ ተመጣጣኝ ዋጋ
4/ to maintain macroeconomic stability by
ማስገኘትን፣ ቅልጥፍናን እና ዘላቂነትን
reducing growth in public debt.
ማበረታታት፤
፫/ የሕዝብ አገልግሎት ተግባርን የአቅርቦት መጠን

እና ጥራት ማሻሻል፤ እና
፬/ የመንግሥት ዕዳ ዕድገትን በመቀነስ የተረጋጋ

ማክሮ ኢኮኖሚእንዲኖር ማድረግ፡፡ 4. Scope of Application

1/ This Proclamation shall apply to Public
Private Partnership projects of Public
Bodies and Public Enterprises;
፲ሺ፪፻፵
2/ The following activities are expressly
፬. የተፈጻሚነት ወሰን
excluded from this Proclamation:
፩/ ይህ አዋጅ በመንግሥት መስሪያ ቤቶችና
a) oil, mines, minerals, rights of air
በመንግሥት የልማት ድርጅቶች በሚተገበሩ space; and
የመንግሥትና የግል አጋርነት ፕሮጀክቶች ላይ
b) Privatization or divestiture of public
ተፈፃሚ ይሆናል። infrastructure or public enterprises.
፪/ ይህ አዋጅ በሚከተሉት ላይ ተፈጻሚ አይሆንም፦

ሀ) ነዳጅ፣ ማዕድን፣ ሚኒራል፣ የአየር ክልል 5. Forms of Public Private Partnerships
መብት፣ እና 1/ Public private partnerships may involve

any of the following activities or any
ለ) የመንግሥት የልማት ድርጅትን ወይም
combination thereof:
በመንግሥት ባለቤትነት ሥር ያለን መሠረተ-
a) The design, construction, financing,

maintenance or operation of new

1/ The Contracting Authority for a Public

2. In the event that a Public Private

7. Authorization to grant rights for Public
ልማት አውታሮች እና/ወይም አገልግሎቶች Private Partnerships
ከአንድ በላይ በሆነ የመንግሥት ተቋም ኃላፊነት
Rights to use or operate publicly owned
ሥር የሚወድቁ በሚሆንበት ጊዜ ከእነዚህ Infrastructure Facilities and/or provide

PARTNERSHIPS
ሥር እንዲሆኑ የተደረጉትን የመንግሥት ንብረት
8. Public Private Partnership Board
የሆኑ የመሠረተ-ልማት አውታሮችን የመጠቀም
1/ It is hereby established the Public Private
ወይም የሥራ ማካሄድ መብትን እና/ወይም
Partnership Board which shall consist of:
የመንግሥት አገልግሎት ተግባራትን የማከናወን
መብትን በዚህ አዋጅ መሠረት ለግል ባለሀብት a) The Ministry of Finance and
መስጠት ይችላል፡፡ Economic Cooperation;
ክፍል ሁለት b) The National Bank of Ethiopia;

c) The Ministry of Water, Irrigation and

፩/ ከዚህ በታች የተዘረዘሩትን አካላት የያዘ d) The Ministry of Transport;
የመንግሥት እና የግል አጋርነት ቦርድ በዚህ አዋጅ e) The Ministry of Public Enterprises;
ተቋቁሟል፤ f) The National Planning Commission;
ሀ) የገንዘብ እና ኢኮኖሚ ትብብር ሚኒስቴር፤
g) The Ministry of Federal and
Pastoralist Affairs;
ለ) የኢትዮጵያ ብሔራዊ ባንክ፤
ሐ) የውሃ፣ መስኖና ኤሌክትሪክ ሚኒስቴር፤

h) Two members from the private sector
መ) የትራንስፖርት ሚኒስቴር፤ appointed by the Minister.

2/ The Minister of Finance and Economic
ሠ) የመንግሥት የልማት ድርጅቶች Cooperation shall chair the Board.
ሚኒስቴር፤
ረ) የብሔራዊ ፕላን ኮሚሽን፤ 3/ The PPP Directorate General shall act as
secretariat to the Board.
ሰ) የፌደራል እና አርብቶ አደር ጉዳዮች
9. Responsibilities of the Board
ሚኒስቴ፤
፲ሺ፪፻፵፪ 1/ The Board shall have the following
responsibilities:
ሸ) የግሉ ሴክተር ከሚወክሉ ተቋማት
a) approve the PPP project structure
በሚኒስትሩ አማካኝነት የሚመረጡ ሁለት
(including any feasibility study related

thereto) prior to the commencement of
፪/ የገንዘብ እና ኢኮኖሚ ትብብር ሚኒስቴር ሚኒስትር the tendering process;

b) approve significant changes to the risk

allocation or expected cash flow from

a Project Agreement;

13. Contracting Authority

16. Prelminiary Approval of the Board

submit an application to the Ministry for

21. Prequalification criteria

47. Government Support

1/ When duly justified and required on the

50. Operation of Infrastructure
1/ The Project Agreements shall set forth,

56. Takeover of an Infrastructure Project
by the Contracting Authority
ሀ) የግል ባለሀብቱ የሚንቀሳቅሱ ወይም
1/ Under the circumstances set forth in the

58. Termination of the Project Agreements
ፈቃዱን እንዲሰጥ የሚያስፈልጉ ቅድመ
The directive may prescribe events that

59. Compensation upon Termination of the
ሁሉንም መሥፈርቶች የሚያሟላ መሆን Project Agreements
አለበት፡፡ The Project Agreement shall stipulate how
compensation due to either party is
calculated in the event of termination of

60. Governing Law
ጋር ተያይዞ ያገኘው ገቢ ከተገመተው ገቢ ጋር The Project Agreements are governed by

Republic of Ethiopia.

61. Disputes between the Contracting

62. Disputes involving Customers or Users

63. Other Disputes

1/ The Private Party and its shareholders

64. Complaints
ይችላል፡፡
The complaints and review mechanism
፶፯. የግል ባለሀብቱን ስለመተካት provided under the Ethiopian Federal
የግል ባለሀብቱ የፕሮጀክት ስምምነቱን ከጣሰ ወይም Government Procurement and Property
Administration Proclamation, as they may be
ስምምነቱን ማቋረጥ የሚያስችሉ ሌሎች
amended or replaced, shall be applicable
ሁኔታዎች ሲያጋጥሙ ወይም ተመሳሳይ
mutatis mutandis to this Proclamation.

Directives issued in accordance with this

፶፱. ፕሮጀክቱ ስምምነት በተቋረጠ ጊዜ ስለሚከፈል ካሣ 66. Repealed and Non-Applicable Laws
1/ Except for specific provisions referred to in
የፕሮጀክቱ ስምምነት በሚቋረጥበት ጊዜ ካሣ this Proclamation, the provisions of the
ሊከፈለው የሚገባ ወገን በምን መልኩ መካስ Ethiopian Federal Government Procurement
and Property Administrat ion Proclamation,
እንዳለበት የፕሮጀክት ስምምነቱ ማመልከት አለበት፣
as may be amended, are inapplicable to
አስፈላጊ በሆነ ጊዜም ስምምነቱ በፕሮጀክት ስምምነቱ
Public Private Partnership projects.
መሰረት ለተሰሩ ስራዎች ፍትሀዊ የሆነ ዋጋ፣
ያልተከፈለ ቀሪ ዕዳ፣ በተዋዋይ ወገኖች ለወጡ
2/ No law, regulation, directive or practices
ወጪዎች ወይም ከሁለቱ በአንዱ ወገን ላይ ለደረሱ
inconsistent with this Proclamation
ኪሣራዎች፣ እንደአስፈላጊነቱም የታጣ ትርፍ በካሣ
shall have effect with respect to matters
መልክ የሚከፈልበትን ሁኔታ ለማካተት ይችላል፡፡

፷. ገዥ ሕግ 67. Transitory Provisions

የፕሮጀክቱ ስምምነት በኢትዮጵያ ፌደራላዊ
This Proclamation shall not apply to

date of its publication in the Federal Negarit

አውታሮችን የሚያስተዳድር ከሆነ፣ ተዋዋዩ
ባለስልጣን የግል ባለሀብቱ ከደንበኞች ለሚቀርቡ
ቅሬታዎች ቀላልና ውጤታማ የሆነ የቅሬታ
ማስተናገጃ ዘዴ እንዲተገብር ሊጠይቅ ይችላል፡፡

በመካከላቸው ለሚነሳው አለመግባባት

ይችላሉ፡፡
፪/ የግል ባለሀብቱ ከአበዳሪዎቹ፣ ከሥራ ተቋራጮቹ፣

ከአቅራቢዎቹ እና ከሌሎች የሥራ አጋሮቹ ጋር
የሚያጋጥሙትን አለመግባባቾች ለመፍታት
የፈለገውን የግጭት መፍቻ ዘዴ የመምረጥ ነፃነት
አለው፡፡

፷፬. አቤቱታዎች
በኢትዮጵያ ፌደራል መንግሥት የግዥና

እንደሁኔታው ማስተካከያ ታክሎበት ለዚህ አዋጅ

በተሸፈኑ ጉዳዮች ላይ ተፈፃሚነት አይኖረውም፡፡
፷፯. የመሸጋገሪያ ድንጋጌዎች

ይህ አዋጅ ከመፅናቱ በፊት በተፈረሙ ወይም
በድርድር ላይ ባሉ የመንግሥትና የግል አጋርነት
ስምምነቶች ላይ የዚህ አዋጅ ድንጋጌዎች
ተፈፃሚነት አይኖራቸውም፡፡
፷፰. አዋጁ የሚፀናበት ጊዜ

ይህ አዋጅ በፌደራል ነጋሪት ጋዜጣ ታትሞ ከወጣበት
ቀን ጀምሮ የፀና ይሆናል፡፡

WHEREAS, it has become necessary to

፲ሺ፪፻፴፮ CHAPTER ONE

፰/ “የፕሮጀክት ኩባንያ” ማለት በኢትዮጵያ Democratic Republic of Ethiopia by the

፫/ የሕዝብ አገልግሎት ተግባርን የአቅርቦት መጠን

፬/ የመንግሥት ዕዳ ዕድገትን በመቀነስ የተረጋጋ

ማክሮ ኢኮኖሚእንዲኖር ማድረግ፡፡ 4. Scope of Application

፪/ ይህ አዋጅ በሚከተሉት ላይ ተፈጻሚ አይሆንም፦

መብት፣ እና 1/ Public private partnerships may involve

ዓይነት መምረጥ ይኖርበታል፡፡

አጋርነት ፕሮጀክት የሚመለከታቸው የመሠረተ-

፩/ ከዚህ በታች የተዘረዘሩትን አካላት የያዘ d) The Ministry of Transport;

ሐ) የውሃ፣ መስኖና ኤሌክትሪክ ሚኒስቴር፤

መ) የትራንስፖርት ሚኒስቴር፤ appointed by the Minister.

፩/ ቦርዱ የሚከተሉት ኃላፊነቶች ይኖሩታል፤ the tendering process or prior to

ሀ) የጨረታው ሂደት ከመጀመሩ አስቀድሞ c) approve any significant amendment to

ያጸድቃል፤ Authority when required for specific

መ) አስፈላጊ ሆኖ ሲገኝ ለተለዩ ፕሮጀክቶች g) Recommend government support

፲. የመግአ ዳይሬክቶሬት ጄኔራል as per the provisions of this Proclamation.

እንዲፈፀም በማድረግ የአገሪቱን የልማት ግቦች 3/ make recommendations regarding the

፬/ በዚህ አዋጅ መሠረት የመንግሥት እና የግል Ministry and contracting authorities;

አጋርነትን ተግባራዊ ለማድረግ በፕሮጀክት 7/ disseminate information regarding

ሲፀድቅም ሥራ ላይ እንዲውሉ ያደርጋል፤ in accordance with the procedures

፰/ በዚህ አዋጅ በተዘረጋው ሥርዓት መሠረት DUTIES AND RESPONSBLTIES OF

በመንግሥትና በግል አጋርነት ተሳታፊ የሚሆኑ CONTRACTING AUTHORITIES

እና የግል አጋርነት ፕሮጀክቶችን በሚመለከት Ministry and the Board as provided

የመፈረምና ወሉን የማስተዳደር ጠቅላላ ኃላፊነት c) Establish a technically qualified

e) Provide information, as reasonably

ሃሳቦችን ለዳይሬክተር ጀኔራሉና ለቦርዱ Contracting Authority

፲ሺ፪፻፵፮ ያቀርባል፤ 1/ A Contracting Authority that intends to
