The LESSOR and the LESSEE, (Herein after ( ከዚህ በኋሊ በጣምራ ተዋዋይ ወገኖች በተናጠሌ ዯግሞ
collectively referred to as „the Parties‟ or ተዋዋይ ወገን ) ተብሇው በሚጠሩት መካከሌ በአዱስ አበባ
„Parties‟)

- WHEREAS, the LESSEE wishes to utilize ተፈርሟሌ::

- WHEREAS, as part of achieving the above
initiatives, engagement of LESSOR in
different means of collaboration becomes - ይህንንም የተከራይ ፍሊጎት ሇማሳካት የአከራይ
crucial. በትብብር የተዯገፈ ተሳትፎ ወሳኝ በመሆኑ፧

- WHEREAS, the LESSOR is willing and - ኣከራይም ንብረቱን በኪራይ ሇተከራይ ና ሇስራ

ኣንቀጽ 1
ARTICLE 1 የመግባቢያ ሰነደ ኣሊማ
PURPOSE OF THE MOU
1.1. የዚህ መግባቢያ ሰነዴ ኣሊማ በኣከራይና በተከራይ
መካከሌ የኣጋርነት ግንኙነት ሇመፍጠር፣ የትብብር
1.1. The purpose of this MoU is to define the

1.2. በዚህ ሰነዴ ኣከራይ ሇተከራይ በኪራይ የሚያስተሊሌፈው
1.2. The full description of the property shall be ንብረት ዝርዝር መግሇጫ በሰነደ ኣባሪ 1_ ሊይ የተገሇጸ

ARTICLE 2
ኣንቀጽ 2
SCOPE OF THE MOU
የመግባቢያ ሰነደ ወሰን
This MoU is a preliminary, non-binding and
non-exclusive statement of mutual intentions of

confidentiality, non-disclosure and warranties በፈራሚ ወገኖች መካከሌ የብቸኝነት ግንኙነት መኖሩን
are binding at all times. Any binding የማይገሌጽ ሰነዴ ነው:: ነገር ግን የሚስጥራዊነት ገዳታን፣
commitment or legal obligation with respect to ሇላልች ያሇመግሇጥ እና የዋስትና መግሇጫዎች በሚመሇከት
the implementation of this MoU other than በዚህ ሰነዴ የተካተቱ ዴንጋጌዎች በማንኛውም ጊዜ ኣስገዲጅ
confidentiality clause will require the execution of የሆነ የህግ ውጤት ኣሊቸው:: ከሚስጥራዊነት ግዳታ ውጪ

ARTICLE 3 ኣንቀጽ 3

ROLE AND RESPONSIBILITY OF THE የኣከራይ መብት እና ሀሊፊነት


LESSOR

In order to pursue the purpose of this MOU, the የዚህን የመግባቢያ ሰነዴ ኣሊማ ሇመሳካት ኣከራይ
LESSOR undertakes the following areas of የሚከተለትን የትብብር መስኮችና ሀሊፊነቶች ይወስዲሌ::
specific cooperation and responsibility.

3.1. The LESSOR warrants and agrees ; 3.1. ኣከራይ የሚከተለትን ስምምነቶች/ ዋስትናዎች ሇተከራይ
ገብቷሌ፤ ኣከራይ፡
3.1.1. He/she is the legal owner of the leased 3.1.1. ሇተከራይ የኣከራየው ንብረት ህጋዊ ባሇቤት/
property with full right to transfer the ባሇይዞታና ባሇሙለ መብት መሆኑን እንዱሁም

3.1.2. As per the request of the LESSEE, To

business partner of the LESSEE based

3.1.3. ይህ ሰነዴ ጸንቶ በሚቆይበት ጊዜ ውስጥ ንብረቱን
3.1.3. During the validity period of this MoU, ከሊይ በኣንቀጽ 3.1.2 ከተገሇጹት ኣካሊት ውጪ
Not to transfer the leased property to ሇላልች ሶስተኛ ወገኖችም ሆነ በንብረቱ ሊይ
any other third party or interested party ፍሊጎት ያሊቸው ወገኖች በማንኛውም ሁኔታ
other than the parties mentioned under ሊሇማስተሊሇፍ ተሰማምቷሌ::
article 3.1.2.

3.1.4. To Give priority and hold the property 3.1.4. በንብረቱ ሊይ የመጠቀም ፍሊጎት ያሊቸው ወገኖች
to the LESSEE and the business partners ቢኖሩ ቅዴሚያውን ሇተከራይና ሇተከራይ የስራ
of the LESSEE in the event that there ኣጋሮች ሇመስጠትና ንብረቱን ሇነሱ ጥቅም ይዞ
are more than one interests over the ሇመቆየት ተስማምቷሌ::

3.1.5. To, restrict or block any third party or


interested party claim of the property for 3.1.5. ንብረቱ ሊይ ከማንኛውም ሶስተኛ ወገን ወይም
ያገባኛሌ ባይ ማንኛውም ኣይነት የመብት ጥያቄ
any purpose.

3.1.6. Warrant that the premises and the
property have no dangerous or hidden
defects.
3.1.6. በንብረቱ ማንኛውም ኣይነት ጉዲት ወይም ተከራይ
ንብረቱን ሲረከብም ሆነ ሲፈትሽ ሉያየው የማይችሌ
ዴብቅ የሆነ ጉዴሇት/ብሌሽት የላሇበት መሆኑን
3.1.7. it is not, ያረጋግጣሌ::

3.1.7. ኣከራይ እራሱ፡


3.1.8. it is not controlled by or more than
50% owned by and
3.1.8. የኣከራይ 50% የሚሆነው ባሇቤትነት ወይም
3.1.9. it does not wholly own, partially own
ቁጥጥር
or control a legal entity a person or
legal entity that is a Restricted Party, is
headquartered in a Restricted Region or 3.1.9. የተከሇከሇ ወገን የሆነ ዴርጅት ወይም ግሇሰብ ሙለ
is organized as a legal entity in a በሙለ ወይም በከፊሌ ባሇቤት ያሌሆነ ወይም
Restricted Region1 (for example, being የማይቆጣጠር ወይም የተከሇከሇ በሆነ ክሌሌ ውስጥ
incorporated or otherwise legally ህጋዊ ሰውነቱን ያገኘ (በማንኛውም ሁኔታ
formed in a Restricted Region). that የተቋቋመ ወይም ህጋዊ ሰውነት በተከሇከሇ ክሌሌ

LESSEE Matters.

3.2. The LESSOR agrees to the following


responsibilities, which will take effect after
the signature of a lease contract. The
LESSOR undertakes to; 3.2. ኣከራዩ ዋናው የኪራይ ውሌ ከተፈረመ በኋሊ ተፈጻሚ
ሇሚሆኑ የሚከተለት ሀሊፊነቶችን ተስማምቷሌ:: ኣከራዩ፡
3.2.1. Take full and sole responsibility for the
payment of all taxes.
3.2.1. የኪራይ ውሌ መፈረሙን ተከትል ሇመንግስት
3.2.2. To Deliver and maintain the property in ሉከፈለ የሚገባቸው ግብሮችን በጠቅሊሊ የመክፈሌ
good state of repair, without any
የተናጠሌ ሙለ ግዳታ ኣሇበት::
deteriorations or legal problems that
may impair its full enjoyment by
LESSEE. 3.2.2. ሇተከራይ በኪራይ ውሌ ኣማካኝነት ያከራየው
ንብረት በጥሩ ይዘት ሊይ የሚገኝ፣ ንብረቱን

States of America or any government having
jurisdiction over the LESSEE, the LESSOR or the
performance of this Agreement.

or the use intended by the LESSEE ጉዲቶች የመጠገን ሀሊፊነት ያሇበት ሲሆን ሉያጋጥሙ የሚችለ
including but not limited to defects or ጉዲቶች በዚህ ዝርዝር ሳይወሰኑ የሚከተለትን ያካትታለ:
damage of the, foundations, cables and በንብረቱ መሰረት ( foundation), ኬብልች፣ የኤላክትሪክ
electrical equipment, conduits, sewers, ማስተሊሇፊያዎች፣ኮንዱዩቶች፣ የውሀ ማስተሊሇፊያ ቱቦዎች፣
ጉዴጓድች ያጠቃሌሊለ:: ኣከራዩ ብሌሽቶች/ ጉዲቶች በተገቢው
drains and pipes; in the event that
ፍጥነት የማይጠግን/የማያሰራ ከሆነ፣ ብሌሽቱ በፍጥነት
LESSOR fails to maintain or repair the ባሇመጠገኑ ምክንያት በንብረቱ ሊይ በማንኛውም ምክንያት
defects or damage timely, LESSOR ወዯፊት ሉዯርሱ የሚችለ ተጨማሪ ብሌሽቶች/ ጥፋቶችን
shall be solely responsible for all ጨምሮ ሇተጨማሪ ወጪዎች ሙለ ሇሙለ ሀሊፊነቱን
further loss or additional cost ይወስዲሌ::
regardless of any cause.

3.2.6. Represent that the premises have been 3.2.6. ሇተከራይ በዚህ ውሌ ኣማካኝነት ያከራየው
constructed in accordance with and in ንብረት ኣግባብነት ባሊቸው ህጎች ኣማካኝነት

approved plan.

3.2.7. The Lessor himself or his agents or others


3.2.7. ኣከራዩ ራሱ በመምጣት ፣ወኪልቹ ወይም
authorized by them respectively shall, once in በኣከራዩ ፈቃዴ የተሰጣቸው ላልች በመሊክ
every four (4) months and at reasonable times, ሇተከራዩ ከሰባ ሁሇት ( 72 ) ሰዓት በፊት

Premises and the absence of the Landlord‟s
የማየትና የማረጋገጥ መብት ኣሇው:: ኣከራዩ ይህንን
reparation notice thereafter or failure of the መብቱን ኣሇመጠቀሙ ያከራየው ንብረት በኣግባቡ
Landlord to keep this covenant shall be taken as a ሇመያዙ ማረጋገጫ እንዯሰጠ ይቆጠራሌ::
certification by the Landlord that the premises is
being kept in tenantable condition within the
period. After conduct the check and inspect of the
Demised Premises, The Landlord and The Tenant
shall sign a report to confirm the results.

የተከራይ መብትና ሀሊፊነት
THE LESSEE

In order to pursue the purpose of this MOU, the የዚህን የመግባቢያ ሰነዴ ኣሊማ ሇመሳካት ተከራይ
LESSEE has undertook the following areas of የሚከተለትን የትብብር መስኮችና ሀሊፊነቶች ይወስዲሌ::
specific cooperation and responsibility.
4.1 ተከራዩ የሚከተለት መብቶች እንዱሁም ሀሊፊነቶች
4.1. The LESSEE is entitles to/ agrees ;
ተሰጥቶታሌ:: ተከራዩ፡
4.1.1. To Reward the LESSOR for the

4.1.2. To transfer the leased property to its

LESSEE and the LESSOR keeps the የኪራይ ውሌ ኣማካኝነት የተቀበሇውን የኪራይ ክፍያ

እንዱመሌስ ኣይገዯዴም::
under this MoU.
4.1.3. ይህ ሰነዴ ወይም ወዯፊት የሚፈርመውን የኪራይ
4.1.3. To use this MoU or the future Lease
ውሌ ሇተከራይ በተከራየው ንብረት ሊይ የቅዴሚያና የሊቀ

ክርክሮች ሇመከሊከሌና የሊቀ መብቱን ሇማስረዲት ሉጠቀምበት
4.1.4. To inform the LESSOR of any claims or ይችሊሌ::
interests over the leased property by any third

party and the LESSOR undertakes to defend

this MoU or the Lease Contract which will be የሚነሱትን ጥያቄዎች መሌስ የመስጠትና የመከሊከሌ
signed by the parties in the future.

4.2. The LESSEE agrees to take the initial date of takeover of the leased

4.2.1. The LESSEE or its business
partner/s will be entitled to;

defect, design defect or ጉዴሇት ከሚመጣ ጉዲት/ ብሌሽት በስተቀር በጥሩ
LESSEE‟s. The LEESSEE shall ሁኔታ መያዝ ኣሇበት:: ተከራዩ ወይም የንግዴ
repair or compensate for ኣጋሮቹ ሙለ በሙለ በራቸው ጥፋት ኣማካኝነት
significant damage causes solely ሇሚዯርሱ ከፍተኛ ጉዲቶች ወይም ብሌሽቶች
attributable to the LESSEE‟s
ይጠግናሌ ወይም ካሳ ይከፍሊሌ::
gross negligence or willful
conduct.

4.2.5. To pay for the payment of 4.2.5. ንብረቱን ከተረከበበት ጊዜ ጀምሮ ያለ የውሀ እና
water, electricity bills, as of the የኤላክትሪክ ኣገሌግልት ክፍያዎችን ተከራዩ
ይከፍሊሌ::

GOVERNING LAW AND ኣንቀጽ 6
SETTLEMENT OF DISPUTE ውለን የሚገዛ ህግና ኣሇመግባባትን መፍቻ መንገዴ
6.1. ይህ ሰነዴ በኢትዮጵያ ህግ መሰረት የሚገዛ ይሆናሌ::
6.1. This MoU shall be governed in
accordance to the laws of Ethiopia.

arbitrator shall be final and without appeal
ዲኝነቱ ሂዯትና ውሳኔ በተዋዋይ ወገኖች
in accordance with the Ethiopian law. To the
fullest extent permitted by law, this በሚስጥራዊነት ይያዛሌ::
arbitration proceeding and the arbitrator‟s
award shall be maintained in confidence by
the parties.

ኣንቀጽ 7
ARTICLE 7

ሚስጥራዊነት
CONFIDENTIALITY
ይህንን ሰነዴ በማስፈጸም ሂዯት ውስጥ የሚገኙ ማንኛውም
Each party shall treat with utmost

confidentiality all documents, information, በከፍተኛ ሚስጥራዊነት ሉይዙት ይገባሌ::

ARTICLE 8
ኣንቀጽ 8
AMENDMENT AND RENEWAL
ማሻያያና እዴሳት
No amendment or renewal of the terms of

OTHER MATTERS ላልች ዴንጋጌዎች

TERMINATION OF MOU
10.1. ይህ ሰነዴ ጸንቶ የሚቆይበትን ጊዜ ሲያበቃ በተዋዋዮች
10.1. This MoU shall terminate upon completion ፈሊጎት ካሌተራዘመ በስተቀር የሰነደ ተፈጻሚነት
of the agreed period unless agreed by the ይቋረጣሌ::
parties to renew the terms of the MoU.
