承租人对船舶的优先权
(Charterers Lien)

“18. … and the Charterers to have a lien on the Ship for all monies paid in advance
and not earned, and any overpaid hire or excess deposit to be returned at once. Charterers
will not suffer, nor permit to be continued, any lien or encumbrance incurred by them or
their agents, which might have priority over the title and interest of the owners in the
vessel.”

41.1 承租人自己作出留置船舶的行动
41.1.1 承租人留置船舶的原因

另一种情况会是多支付租金而没有赚取的是最后一期, 根据一古老案例1, 承
租人仍要依照协议先支付半个月 (或一个月) 租金, 如租期所订明, 将来还船后,
承租人才去把多支付的租金向船东索回。 当然, 除非是租约另有规定, 而 NYPE
46 也的确另有规定在第 58-60 行, 说明最后一期租金只要支付至估计可能还船的
一刻。 当然, 这估计必须要是有合理基础才行2。
41.1.2 承租人多支付了租金但租金被转让的情况
由于在本篇谈到了承租人多支付了租金的救济, 笔者不妨去介绍一种今天
经常会发生的情况, 就是船东由于向银行借贷/融资, 所以会把租金去直接转
让给银行。

41.1.3 承租人留置船舶时仍要支付租金
“Should the vessel be arrested during the currency of this Charter party at the suit of any
persons having, or purporting to have, a claim against or any interest in the vessel, hire
under this Charter party shall not be payable in respect of any period whilst the vessel
remaining under arrest or remains unemployed as the result of such arrest. However if the
arrest is the consequence of an act or omission by Charterers and/or their agents and/or
their servants hire to continue.”。
Simon 大法官判:
“(1) cl.60 was never intended to deal with an arrest by the charterers during the currency
of the charter-party; the charterers were liable for hire under cl.60 if there was an arrest
during the currency of the charter-party and the arrest was the consequence of a deliberate
act or omission by the charterers or their agents…”。

41.2 承租人所带来第三者针对船舶行动的应对

“Any person furnishing repairs, supplies, towage, use of dry-dock or marine railway, or
other necessaries, to any vessel, whether foreign or domestic, upon the order of the owner
of such vessel, or of a person authorized by the owner, shall have a maritime lien on the
vessel, which may be enforced by suit in rem, and it shall not be necessary to allege or
prove that credit was given to the vessel.”
“The Charterers must disclose in advance to the suppliers of necessaries or services the
existence of the prohibition of lien clause in the charter party and to acknowledge same to
the Owners.”(承租人必须事先披露给供应商有关本租约的禁止产生海事优先权
条款并去向船东确认)。
这种做法并不容易, 首先船东要知道谁将会向船舶供应燃油与服务已经不是
易事。 这种事承租人在背后做, 产生债务, 是不会自动去告诉船东的。 所以船东
这种做法并不常见。 船东在没有什么理由的情况下去向供应商频频事先作出这

再说,光是警告供应商恐怕也不会足够,船东会要去证明该供应商纯粹是
去依 赖承租人的个人 信用去供应( The party opposing the lien has the burden of
negating the presumption of relying on the credit of the vessel, by establishing that the
personal credit of the Charterer was solely relied upon. 1)。船东要去举证就会需要证
据,说明供应商在提供之前是同意了去放弃对船舶的优先权2。
船东也想过其他办法, 例如在一个英国判例3,就是一家丹麦石油公司供应
燃油给名为 Mana 的船舶, 这是根据他与美国承租人的供油合同。但之后该美国
承租人倒闭,对欠下的油款,丹麦石油公司估计想在美国扣船,说这是海事优
先权。无辜的船东以供油合同有一条英国法院管辖条款,所以向英国法院提出申
请一个消极宣判 (negative declaration),也就是根本没有诉因的一方去主动要求法
院宣告在英国法下承租人所欠燃油款项并非属于海事优先权,希望比丹麦石油
公司快一步把这个争议去根据英国法判下来, 可以不必将来面对持有不同说法
的美国法院。但最终英国法院拒绝管辖,认为船东并非是供油合同的一方,无权
去引用合同中的管辖条款。
如果这一流承租人分租出去而分承租人产生这种债务, 船东在受害后也可要
这一流承租人赔偿, 反正有了这一流承租人深的口袋就是赖不掉。 亦往往为这理
由这一流承租人会自愿把处理这问题的烦恼接过来, 因为这能帮该承租人控制要
花的费用 (包括律师费) 与直接去对燃油供应商进行谈判并争取最好的和解筹码。
但如果是皮包公司的承租人, 这不只是租金收不足、 收不到, 该承租人还会留下

41.2.1.3 英国法律下对燃油供应的所有权保留
油公司于是向“侵占方”的船东要求支付船上燃油,因为承租人是皮包公
司,既付不出租金,也付不出欠下的油钱。

但问题是,这撤船所导致的船东接受了的剩余燃油并没有得到任何承租人
的同意,也不涉及船东付钱给承租人,只是去把租期内所欠的租金对冲了。另外
在船上的燃油根本没有移动,不存在有买卖双方交接,只是账目上的结算而已:
撤船前燃油属于承租人,撤船后燃油属于船东。这一来,是否符合 1979 年《货物
销售法》Section 25 (1)所讲的“… with the consent of the seller … the
delivery … of the goods … under any sale …”? 毕竟,“delivery”
(交付)一字在 1979 年《货物销售法》的 Section 61 (1)是有清楚定义说是:
“voluntary transfer of possession from one person to another”。所以,
Clarke 大法官不认为这撤船后同时也接收租船人燃油的做法符合 1979 年立法的
措辞/文字,判船东败诉。他说:
41.2.2 其他债务
除了燃油与服务的供应是皮包或发生经济困难的承租人带来债务给船东 ,
另一种债务会是承租人营运所带来的, 比如, 由承租人所签发提单引起的。
41.2.3 船东对承租人带来船舶被扣的对策

但如果当时船舶仍在租期内, 因承租人债务导致船舶被扣的延误就关系到这
段时间能否停租的问题。 如果不能, 这又关系到船东何必着急, 何必去插手, 特别
是提供诉前担保去放船? 如果船东不提供, 难道会是承租人去提供? 否则承租人
在船舶被扣期间要支付租金, 但又不能使用船舶。
但要注意笔者认为这只适用在一些明确是承租人带来的债务引致船舶被扣
的情况。 例子如因上一个分租约的航次有燃油费用欠下, 这导致了船舶在美国港
口被扣, 这是分承租人留下的烂帐, 船东应可盯住承租人 (当然会是较长期的租约
而非是 TCT), 要他去提供担保放船。

最后去一提是今天的期租合同经常会有附加条款针对船舶在租约期内被扣
的情况, 并把它列为是停租的事项之一, 不管船东是否有错 (例如是第三者扣
错船), 只要这扣船不是承租人的行为与过错所引起。 这一来, 有这种条款的
情况下, 船东更加应该为了去减少停租, 减少损失, 去尽快提供担保放船,
除非是接近百分之百明确是承租人行为或过错引起的扣船。 这种条款笔者随手
挑来会是如下的两个例子:
例子二:“Seizure/Arrest
Should the vessel be captured or seized or detained or requisitioned by any authority, or
arrested at suit of any person having or purposing to have claim against or any interest in
the vessel during the currency of this Charter for any reason attributable to Owners, the
hire shall not be paid for the period whilst the vessel remains unemployed as a result of
such seizure, detention, requisitioned, or arrest and all expenses in this connection shall be
for Owners’ account. If the vessel is off-hire for fifteen (15) days by reason of the above
seizure, detention, requisition or arrest, Charterers have the option of canceling the balance
period of this Charter.”
